This Renewal Statement is subject to the terms and conditions set forth in the agreement between "Aspect Software, Inc." (hereinafter "Aspect") and "City of Renton, Washngton" dated 4-OCT-2012, as amended ("Agreement") and as of its execution becomes an Order Document and part of the Agreement. Any inconsistent or additional terms of Customer's PO are excluded regardless of Aspect accepting the PO for payment. This Renewal Statement automatically expires on the expiration date listed above. After the expiration date, all details and prices are subject to change. An Order Document is non-cancellable. • Investment Protection Plan. Maintenance Support Services purchased under this Order Document are for the term identified and will be delivered in accordance with Aspect's current support policies available at https://aspect.force.com/community/Home (login required}. The support policies are subject to change at Aspect's discretion; however, Aspect will not materially reduce the level of support services provided for supported software, services, programs or hardware during the period for which fees for Maintenance Support Services have been paid. • Payment. Payments are due and payable Net 30 days from invoice date and no later than the last day of the current Maintenance Support Service term. If required, please email the PO for the renewal to Supportsales.renewals@aspect.com no later than 30 days prior to the expiration of the current term. Please verify the billing contact information to ensure proper receipt of invoice. If changes are required, please email Supportsales.renewals@aspect.com and include your customer name, contact name and renewal number. • Maintenance Support Service will renew automatically for a period equal to the Support Period described in this Renewal Statement, unless either party provides written notice of termination at least 60 days prior to the end of the current Support Period. Aspect may increase the price 5% at the time of auto-renewal.
