This Indemnification Agreement is made as of June 2, 2016, by the Housing Authority of
the County of King, a public body corporate and politic formed under Washington law (KCHA)
for the benefit of the City of Renton, a Washington municipal corporation (RENTON).
Background
KCHA owns and operates two adjacent low-income senior housing projects located in
RENTON known, respectively, as Vantage Glen, which has been in operation for several years,
and Vantage Point, built in 2015, which abuts Vantage Glen, though at a higher elevation.
KCHA has agreed to monitor the water runoff from Vantage Point onto Vantage Glen
and to mitigate and/or correct any deficiencies or damage associated with the surface or ground
water which migrate to Vantage Glen.
Therefore, in consideration of the foregoing, KCHA has made the following agreement:

KCHA hereby agrees to defend, indemnify and hold RENTON, its officers, officials,
employees, agents and volunteers harmless from any and all claims, injuries, damages, losses or
suits of every type and nature, including those for personal injury and property damage, and
including all legal costs and attorney fees incurred in defending against any such claims or in
enforcing this indemnity, arising out of or in connection with water runoff from Vantage Point
onto Vantage Glen except for any portion of the injuries and damages caused by RENTON's
negligence. KCHA agrees that RENTON's inspection and acceptance of any of the work at the
Vantage Point project shall not be grounds to void any of these covenants of indemnification.
