benefits, receipt of which is hereby acknowledged, does hereby grant and convey unto the
City of Renton, a municipal corporation, and its successors and assigns ("City" or "Grantee"),
from the property legally described on Exhibit "A" — Entire Parcel (the "Property"), attached
hereto and incorporated by this reference, a permanent non-exclusive easement with

repairing, replacing, operating, and maintaining a flood control berm, mitigation plantings,
and associated features in accordance with local, state and federal permitting, within the
Easement Area as desired for construction and local, state, and federal permitting ("facilities")
and reasonable access upon Grantor's private road system within the Property to the

prior to conducting any work, unless prior permission is obtained for work done outside of
normal business hours. Normal business hours are 9am-5prn Monday through Friday
(excluding holidays). In exercising any right hereunder, Grantee shall not (1) cause or allow
any unreasonable material interference or disruption to the use and enjoyment of the

scope of this easement.
THIS EASEMENT is executed and delivered and said Easement is granted upon the following
conditions to wit:
1. The Grantor, its heirs, executors, administrators, successors, and assigns, hereby
releases the Grantee, its agents and employees, assigns, and successors from any and all
liability for damage to the remaining lands resulting from this conveyance and Grantee's
exercise of the rights granted under this Easement, provided, however, that the Grantee, its
agents and employees, assigns, and successors shall:

alterations and repairs thereto, restore all impacted Property to the Grantor to a neat and
presentable condition in compliance with federal, state, and local permitting, and
B. indemnify, defend and hold harmless Grantor, its officials, directors, employees,
agents and tenants each a "Grantor Ps' anv claim, loss or liabilitM in c nnection with

of a Grantor Party. The foregoing indemnity is specifically and expressly intended to constitute
waiver of the immunity under Washington's Industrial Act, RCW, Title 51 for the purpose of
enforcing this Section; this waiver has been speccally negotiated and agreed upon by the
parties. The obligations of this Section I survive any termination of this Easement.
2. Grantor reserves the right to use the Easement Area for any purpose not inconsistent
with the rights herein granted, provided, however, that Grantor shall not:
a. Erect or maintain any buildings, structures, or improvements within the Easement
Area;

b. Disturb the lateral or subjacent support facilities and other improvements and uses of
the Easement Area by Grantee, dig, tunnel, or undertake any form of construction or
other activity that may disturb or damage the compaction or unearth Grantee's
facilities on the Property or in the Easement Area or other improvements or uses of
the Easement Area by Grantee;
c. Disturb mitigation planting areas during the establishment period as outlined in the
mitigation plans pursuant to Renton Municipal Code (RMC) 4-3-050;
d. Plant trees, shrubs, or other vegetation having deep root patterns that may cause
damage to or interfere with the use of the facilities;
e. Develop, landscape, or beautify the Easement Area in any way which would
unreasonably increase the costs to Grantee of restoring the Easement Area and any
private improvements therein.
g. Erect fences in such a way as to prevent access across the Property by Grantee's
vehicles to Grantee's facilities. Any fence construction must provide for an openin,�,N
(gated, removable sections, barriers, etc.) of at least ten (10) feet in width, and shall
comply with the codes and laws of the City of Renton and State of Washington.
h. Erect any objects within fifteen (15) feet above the ground surface within the
Easement Areas.
consideration for the grant of this Easement, Grantee agrees to construct the flood
berm and related plantings and maintain the plantings in accordance with plans and local,
state and federal permitting including the WDFW HPA permit at no cost to Grantor. Grantor
shall have the right to give Grantee written notice if landscaping maintenance is required
during the permit required duration. The City will respond with thirty days (30) with whether
or not the planting maintenance is a City requirement under the permit. If required under the
permit, the City will provide the required planting maintenance, if not required under the
permit the planting maintenance will be at the Grantor's discretion and cost.
4. The rights granted herein shall not be construed to interfere with or restrict the
Grantor, its heirs, executors, administrators, successors, and assigns from the use of the
Property outside of the Easement Area for the construction and maintenance of property
improvements outside of the Easement Area.

6. Grantor covenants that it is the lawful owner of the above -described property and it
and the individual signing this Easement has authority to convey this Easement.
7. Any lawsuit or legal action brought by any party to enforce or interpret this Easement
or any of its terms or covenants shall be brought in the King County Superior Court for the
State of Washington at the Maleng Regional Justice Center in Kent, King County, Washington,
or its replacement or successor.
8. It is understood and agreed that delivery of this Easement is hereby tendered and that
the terms and obligations hereof shall not become binding upon City of Renton unless and
until approved hereon in writing by City of Renton.
