BOARD OF DIRECTORS
SEPTEMER 27, 2022
MINUTES OF SEPTEMBER MONTHLY BOARD MEETING
Attending
Present: Elizabeth Stewart, Daryl Delaurenti, Dan Clawson
Absent: Rhea Kimble, Robert Wilson
Quorum: A quorum of Board Members was in attendance at
the beginning of the meeting. Elizabeth Stewart was unable to attend the entire meeting, and after
her departure a quorum was no longer present.

Call to Order, Introductions, and Guest Speaker
President Dan Clawson called the Zoom meeting to order at 5:31 PM.
News, updates, correspondence, and public comments
The Museum Report was included in the Board packet.
Review and approval of minutes Action Item
Deferred until the October Board meeting.
Work session Action Items
(1) Committees Report (Dan Clawson)
No Committees met in the month of September.
(2) Board signers on Museum account (Elizabeth Stewart)
Arrangements for updating the signer on the bank account w ere discussed.
(3) American Alliance of Museums assessment (Elizabeth Stewart):
An annual assessment of the Museum and Board Leadership is available for
consideration by the Board.
(4) 2023 Budget (Elizabeth Stewart):
The usual schedule is for a draft budget to be completed before the November
meeting and approved at the December meeting. Elizabeth Stewart will create a
first draft and sent it to the Board.

(5) Accept resignations of Mike Lennox, Amy Elizabeth Gorton, Colleen Lenahansen,
Jessica Kelly, and Maryann DiPasquale (Dan Clawson):
Dan Clawson explained that under Roberts Rules resignation is not effective until
accepted. To take action at this meeting, the resignations must be accepted so that
the offices President and Secretary do not have more than one officer each.
Resignation from the Board is automatically resignation from elected or appointed
office under the RHS Bylaws.
ACTION: A motion to accept the resignations of Mike Lennox, Amy Elizabeth Gorton,
Colleen Lenahansen, Jessica Kelly, and Maryann DiPasquale from the RHS Board of
Trustees was made and seconded. The motion passed unanimously.
(6) Report on MMA/MOU meetings (Dan Clawson):
Dan Clawson provided the status of the process to enter into a Memorandum of
Understanding for operation of the Museum until a new Museum Management
Agreement (“MMA”) is in place. The Board will consider retaining legal counsel to
review the proposed agreement before it is signed. The goal is to have a new MMA
agreed upon and set to the City Council in early 2023. The MOU needs to be agreed
on and signed by the Parks & Recreation Administrator and the RHS President.
[Elizabeth Stewart left the meeting before the MOU was voted on or further agenda
items discussed and there was no longer a quorum]
