HomeMy WebLinkAboutContractENTERTAINMENT AGREEMENT FOR 2023 EHHS-NEIGHBORHOOD PROGRAMS Between City of Renton and Giggles Entertainment, Inc. This Entertainment Agreement, which is a contract for professional services for the engagements described below, is made by and between the City of Renton and Giggles Entertainment, Inc. 1)Name of Professional Service Provider: Giggles Entertainment, Inc., a Washington profit corporation (hereinafter "Provider") Professional Service: Entertainment for up to five (S) 2023 EHHS Neighborhood Program events. 2)Scope of Engagement: Balloon artists for up to five (5) EHHS Neighborhood Program summer events. (hereinafter "Engagement") Additional details regarding Engagement: City of Renton will provide at least sixty (60) days' notice to Provider at the contact information provided in paragraph 4 of this Agreement for up to five (5 ) events over the course of this Agreement. At each event Provider will provide all necessary supplies and equipment, and two (2) balloon artists for two (2) hours each during the hours of the event. For each engagement listed below, Provider will be directed to specific location at the site by a City Staff person. The specific location will include a covered space (indoors, or either permanent "awning" or a "popup" tent dedicated to the Provider's use) and two (2) folding chairs and one (1) six-foot (6') folding table. 3)Engagement Dates, Times, and Locations a)Sunday April 23, 2023 11:00 am -1:00 pm Thomas Teasdale Park (601 S. 23u1 Street, Renton WA 98055) b)Saturday May 20, 2023 12:00N -2:00 pm Renton Community Center (1715 SE Maple Valley Hwy, Renton WA 98057) c)Friday June 23, 2023 4:00 pm -6:00 pm Cascade Elementary School (16022 116th Ave SE, Renton WA 98058) d)Wednesday July 19, 2023 5:00 pm -7:00 pm Renton High School (400 S. 2nd St, Renton WA 98057); be aware that a portion of 2nd Avenue will be closed for the event, which may impact travel to the location e)Friday August 11, 2023 12:00 N -2:00 pm Renton Community Center 1715 SE Maple Valley Hwy, Renton WA 98057) 4)Total compensation to Provider by City of Renton: S 3,000.00, plus applicable state and local sales taxes; billable at a rate of $150.00 per hour of performance per balloon artist. Check should be made payable to: Giggles Entertainment, Inc. Check should be sent to the following address: 7102 46TH ST NE, MARYSVILLE, WA, 98270 Note: If Provider is a new vendor to City of Renton, a City of Renton Vendor Setup Form must be completed and received by the City of Renton at least 30 days before payment can issue. 5)City of Renton will make payment as follows: This Entertainment Agreement must be executed, and the Provider must complete the City's Vendor Set-up Form. Then, Provider may submit an invoice after each engagement date; if multiple events occur within a single billing period, payment will be made according to a single invoice covering the period. The City of Renton will issue payment within 30 days after receipt of the invoice. The City of Renton does not represent that any required minimum insurance, or waiver of such insurance, is adequate to protect Provider from financial liability created by Provider's acts or omissions. 7)Reservation: Subject to constitutional or other legal limits, the City of Renton reserves the right to specify the manner, means and details of the performance of services by Provider as well as the mode in which the service shall be accomplished. 8)Additional Provisions: a.The City of Renton's primary contact for this Entertainment Agreement is: Contact: Rhemy King, EHHS Neighborhood Programs Phone: (425) 430-6548 ; Email: rking@rentonwa.gov The Provider's primary contract for this Entertainment Agreement is: Contact: Sherry Cannal, Owner, Giggles Entertainment, Inc. Phone: (425) 876-1223; Email: Giggles@seanet.com b.The City of Renton has the right to cancel the Engagement and/or this Entertainment Agreement due to inclement weather or for any other reason, in which case the Provider is not entitled to any compensation. c.Provider shall maintain all records relating to the Engagement and retain such records for as long as required by applicable Washington State records retention laws, but in any event no less than six years after the last date of the Engagement. Provider agrees to provide access to and copies of any records related to the Engagement as required by the City for audit purposes or to comply with the Washington State Public Records Act (Chapter 42.56 RCW). The provisions of this section shall survive the expiration or termination of this Entertainment Agreement. d.The City of Renton maintains licenses with the American Society of Composers, Authors and Publishers (ASCAP) and Broadcast Music Incorporated (BMI). Provider is responsible for obtaining any and all required forms of permission that extend beyond the City of Renton's copyright obligations. e.Provider, and its agents or assigns, agrees to release, indemnify, defend, and hold harmless the City of Renton from any and all claims from any person or entity which may arise due to any act or omission, whether or not intentional, by Provider or anyone acting on Provider's behalf. e.The nature of the relationship between Provider and the City of Renton under this Entertainment Agreement shall be that of an independent contractor, not employee, consultant, or agent. f.To the extent a Provider-prepared attachment conflicts with the terms in the body of this Entertainment Agreement or contains terms that are extraneous to the purpose of this Entertainment Agreement, the terms in the body of this Entertainment Agreement shall prevail, and the attachment's extraneous terms shall not be incorporated herein. g.The laws of the State of Washington shall apply to this Entertainment Agreement. h.Provider and the City of Renton may execute this Entertainment Agreement in any number of counterparts, each of which shall constitute an original, and all of which together constitute this one Entertainment Agreement. This Entertainment Agreement contains the entirety of the agreement between the parties.
