volunteering and being passionate about making Renton a better place. He also presented an  invitation to the REACH "Big Tent Gala" on October 8, 2015 at 5:30 p.m. in the Renton Piazza. b) Community & Economic Development Department recommended adoption of an ordinance  granting a 10‐year franchise agreement with McLeod USA Telecommunications Services, LLC staff recommendation to approve the ordinance amending RMC 1‐3‐3.A, Purpose, in order to  clarify the City’s intent that calls to report domestic violence, sex‐related offenses, stalking, or  any person requiring or requesting needed medical attention shall not be considered a nuisance  or used against a person making such a call in a RMC 1‐3‐3 nuisance criminal prosecution matter. c) Transportation Committee Chair Palmer presented a report recommending concurrence in the  staff recommendation to adopt the Resolution to close Burnett Ave. S between S 2nd St. and S of $811,730 to provide construction management services for the Logan Avenue North (Airport  Way to North 8th Street) Improvement Project. Extend the term of the lease for an additional 12 months from August 31, 2016 to August 31,  2017; and   3. Staff is currently developing tax forms and reporting tools necessary to implement the tax. During this process, staff identified certain technical corrections/clarifications that are advisable for the consistent administration of the B&O tax code. Specifically, the proposed amendments will: 1) clarify that non- profit organization include all 501(c) organizations; 2) clarify certain deductions (membership due, initiation fee, etc.) are meant for non-profit organizations only; 3) correct numbering of certain references/sections. EXHIBITS: A. Draft Ordinance STAFF RECOMMENDATION: Administrative Services recommends to adopt the proposed code amendment to the B&O tax code that takes effect January 1, 2016. AGENDA ITEM #6. c) 1  CITY OF RENTON, WASHINGTON    ORDINANCE NO. ________    AN ORDINANCE OF THE CITY OF RENTON, WASHINGTON, AMENDING  SECTIONS 5‐25‐2, 5‐25‐10, 5‐25‐11 AND 5‐25‐12 OF CHAPTER 25, BUSINESS AND  OCCUPATION TAX CODE, OF TITLE V (FINANCE AND BUSINESS REGULATIONS)  OF THE RENTON MUNICIPAL CODE, BY CORRECTING THE DEFINITION OF “NON‐ PROFIT ORGANIZATION” AND CLARIFYING THE REGULATIONS RELATED TO  DEDUCTIONS AND CREDITS.     WHEREAS, state law authorizes municipalities to impose a business and occupation tax  on business activities within the City; and  WHEREAS, the Council adopted a Business and Occupation Tax Code in compliance with  RCW Chapter 35.102 and the model ordinance to take effect January 1, 2016; and  WHEREAS, the Council deems certain technical clarifications to sections 5‐25‐2, 5‐25‐10,  5‐25‐11, and 5‐25‐12 advisable for the consistent administration of the Business and  Occupation Tax Code;  NOW, THEREFORE, THE CITY COUNCIL OF THE CITY OF RENTON, WASHINGTON, DOES  ORDAIN AS FOLLOWS:  SECTION I. Subsection 5‐25‐2.S, “Non‐profit Organization”, of Chapter 25, Business  and Occupation Tax Code, of Title V (Finance and Business Regulations) of the Renton Municipal  Code, is hereby amended as follows:  S.    “Non‐profit organization” means a corporation or organization in which  no part of the income can be distributed to its members, directors, or officers  and that holds a current tax exempt status as provided under Internal Revenue  Code Sec. 501(c)(3), or is specifically exempted from the requirement to apply  for tax exempt status under Internal Revenue Code Sec. 501(c)(3). Where the  AGENDA ITEM #6. c) ORDINANCE NO. ________  2  term “non‐profit organization” is used, it is meant to include a non‐profit  corporation.  SECTION II. Subsections 5‐25‐10.AB, Health Maintenance Organization, Health Care  Service Contractor, Certified Health Plan, and 5‐25‐10.AC, Certain Commercial Airplane Parts, of  Chapter 25, Business and Occupation Tax Code, of Title V (Finance and Business Regulations) of  the Renton Municipal Code, are hereby relettered as follows:  ABB.    Health Maintenance Organization, Health Care Service Contractor,  Certified Health Plan: This chapter does not apply to any health maintenance  organization, health care service contractor, or certified health plan with respect  to premiums or prepayments that are taxable under RCW 48.14.0201.  ACC.    Certain Commercial Airplane Parts: This chapter does not apply to the  sale of certain parts to a manufacturer of a commercial airplane that are not  taxable under RCW 82.04.627(1). “Commercial airplane” has the same meaning  given in RCW 82.32.550.  SECTION III. Subsection 5‐25‐11.B, Fees, Dues, Charges, of Chapter 25, Business and Impact fees for parks, fire, and transportation were adopted in 2012. As per Ordinance 5670, adopted in 2012, the Community and Economic Development Administrator is required to report to Council on a provision that allows the fees to be paid closer to the time of sale or occupancy to assist developers by reducing “carrying costs” during construction. Per the RMC 4-1-190 Impact Fees, “the Administrator shall report to the Council on the effect of subsections G6 and 7 of this Section, as they exist or may be amended. The report shall include information on the number of applications for deferral, the length of time of deferral, the amount of fees deferred, the number of fees and amount not paid as required, and any adverse impacts to the ability of the City to construct projects made necessary by new development. The report shall also include recommendations for changes to address deficiencies.” Below is the report on impact fee deferral:  Only one project has utilized impact fee deferral. That project is Altitude Apartments, with 117 multi- family units and 4,000 square feet office.  The fees were deferred 18 months, complying with the provision allowing deferral 18 months from building permit issuance.  $305,515.57 was the amount of the fees.  All three fees, Transportation, Fire, and Parks were deferred and all were paid in full.  There were no adverse impacts to the ability of the City to construct projects made necessary by new development. With that increase, the City began phasing in increases by 1/3 each year until the last phase will be effective January 1, 2016. The fees can only be expended to contribute to costs of new physical improvements (fire stations and trucks, park land and improvements, and streets and sidewalks), not administrative, operating, or maintenance costs. Fees are paid one-time for new construction only and are an important financial tool that helps the City keep its infrastructure in pace with new development, while not compounding deficiencies and reducing the City’s overall levels of service. Without impact fees, the City: Would not be able to provide adequate infrastructure to support the demands of new development; or Be forced to raise revenue by raising more generalized taxes. The project will also include a mitigation element to be determined during the permitting process. The 205 Project is a federally authorized project originally designed, permitted and constructed by the USACE Seattle District with the City of Renton as the local project sponsor that included initial dredging of the lower 1.25 miles of the Cedar River, construction of levees and floodwalls and mitigation. The initial dredging was completed in 1998 and the levees and floodwall construction were completed in 2000. Due to the annual sediment accumulation in the 205 Project reach, the lower Cedar River is approaching the maximum allowable bed elevation that represents the highest allowable river bed elevation prior to dredging as indicated in the 205 Project Operations and Maintenance (O&M) Manual. Compliance with the O&M Manual is part of the terms and conditions of the executed Project Cooperation Agreement dated May 9, 1998, between USACE and the City. The original consultant agreement with Coast & Harbor Engineering was developed prior to fully understanding the extent of compensatory mitigation that may be required for the Cedar River Gravel Removal Project. The mitigation completed during the original Cedar River Section 205 Flood Hazard Reduction Project addressed impacts from the project including cyclical maintenance dredging, so additional mitigation requirements were not expected. Through the public notice during the permitting process, additional mitigation for the project was requested by the Muckleshoot Indian Tribe and the Washington Department of Fish and Wildlife. Additional mitigation required to be provided for project construction included:  The completion of a lighting study and implementation of the recommendations included in the report.  Improvements to the Elliot Channel to improve hydraulic connectivity between the Elliot Channel and the main channel.  Two continuous years of sediment survey monitoring.  Continue to complete spawner reports for the spawning channels. This addendum also includes budget for additional general regulatory permitting support and updates to the mitigation plan submitted to the regulatory agencies in 2014. ITEM # 8. b) ORDINANCENO._ _ _ ___ _CouncilofRentonbypassageofanordinanceorresolution.TheCityCouncilshallnotdelayorwithholdwrittenconsent,ordinance,orresolutionwithoutjustcause.SuchconsentshallnotbedeemedtowaiveanyofRenton’srightstosubsequentlyenforceFranchiserelatednoncomplianceissuesthatexistedatorbeforeRenton’sconsent.Anytelecommunicationsassigneeortransfereeshall,atleastthirty(30)dayspriortothedateofanyassignmentortransfer,filewrittennoticeoftheassignmentortransferwithRenton,togetherwithitswrittenacceptanceofalloftheFranchisetermsandconditions.TheFranchisetermsandconditionsshallbebindingupontheParties’respectiveassignsandsuccessors.Notwithstandingtheforegoing,FranchiseemaypledgetheFranchiseforsecuritypurposesonlywiththeCityCouncil’sconsent,andconsentshallberequiredforFranchiseetotransfertheFranchiseorFacilitiestoacreditor.ThetightsofanytransfereeatesubjectatalltimestothetermsandconditionsofthisFranchise,andnotransfereewillhaveanygreaterrightsunderthisFranchisethantherightsofFranchisee.Forthepurposesofthissection,amergerorcorporatereorganizationofanyentitycontrolling,controlledbyorundercommoncontrolwithFranchiseeshallnotbedeemedatransferorassignment.6.2Acceptance:IfRentonconsents,withinthirty(30)daysofthatconsent,FranchiseeshallfilewithRentonawritteninstrumentevidencingsuchsale,assignmentortransferofownership,withtheassignee(s)ortransferee(s)acceptanceoftheFranchiseandallofitstermsandconditions.SECTIONVII:CompliancewithLaws-ReservationofPowersandAuthority11AGENDA ITEM # 8. b) ORDINANCENO.___ _ _ __7.1.Compliance:IneveryaspectrelatedtothisFranchise,includingbutnotlimitedtoallWork,FranchiseeshallcomplywithallapplicableLaws,whetherspecificallymentionedinthisFranchiseornot.7.2.IncorporationofRMC5-19,TelecommunicationsLicensesandFranchises:Theconditions,provisions,requirementsandtermsandofRMCChapter5-19arefullyincorporatedbyreferenceintothisfranchiseagreement,unlessthisagreementrequiressomethingdifferent.7.3.LegitimateMunicipalInterest:AstomatterssubjecttothetermsandconditionsofthisFranchise,ifRentondeterminesduringtheFranchisetermthattheassertionofalegitimatemunicipalinterestisprohibitedbyapplicationoffederalorstatelaw,thenastosuchmatterandsuchmunicipalinterestandconsistentwithitslegalobligations,FranchiseeshallcooperatewithRentoninagoodfaithefforttoaddresssuchmunicipalinterest.Inthiscontext,neitherPartyshallinvokethisFranchiseasabasistoassertthatitsconsiderationofagivenissueisexcusedbyoperationofthedoctrinesofestoppelorwaiver.7.4.ReferencetoSpecificLaworOrder:UponareasonablyjustifiedwritteninquirybyRenton,Franchiseeshallprovideaspecificreferencetothefederal,state,orlocallawortheWUTCorderoractionestablishingabasisforFranchisee’sactionsrelatedtoaspecificFranchiseissue.SECTIONVIII:Non-exclusiveFranchise8.1Non-exclusive:Asprovidedinsubsection3.4,thisFranchiseisnon-exclusive,andasaresult,RentonexpresslyreservestherighttograntotherorfurtherfranchisesortousetheFranchiseAreaitself;providedthatsuchusesdonotunreasonablyinterferewithFranchisee’suseandplacementofitsFacilitiesinanyRights-of-Wayand/oranyFranchiseArea.12AGENDA ITEM # 8. b) ORDINANCENO.8.2Renton’sUseofFranchiseArea:ThisFranchiseshallnotprevent,prohibit,limitoraffectRenton’suseoftheFranchiseArea,consistentwiththisFranchise;orRenton’sjurisdictionovertheFranchiseArea.ThePartiesagreethatRentonreservesandretainsallofitsstatutory,inherentandotherpowersandfranchiseauthority,astheyexistorshallexist.SECTIONIX:Permits,ConstructionandRestoration9.1FreePassageofTraffic:FranchiseeshallatalltimesmaintainitsFacilitieswithintheFranchiseAreasoasnottounreasonablyinterferewiththefreepassageoftraffic,pedestriansortheuseandenjoymentofadjoiningproperty.FranchiseeshallatalltimespostandmaintainproperbarricadesandcomplywithallapplicableLaws,safetyregulationsandstandardsduringsuchperiodofconstruction.9.2PermitApplicationRequired:Exceptintheeventofanemergency,Franchiseeshallfirstobtainallrequireddocumentationandapprovals,includingpermitsfromRentontoperformWorkonFranchisee’sFacilitieswithintheFranchiseArea.Thepermitapplicationshallcontaindetailedplans,mapsandspecificationsshowingtheposition,depthandlocationofallsuchFacilitiesinrelationtoexistingFranchiseArea,collectivelyreferredtoasthe“Plans.”ThePlansshallspecifytheclassandtypeofmaterialandequipmenttobeused,mannerofexcavation,construction,installation,backfill,erectionoftemporarystructuresandfacilities,erectionofpermanentstructuresandfacilities,trafficcontrol,trafficturnoutsandroadobstructions,andallothernecessaryinformation.FranchiseeshallsubmittoRentonas-builtplansand,whenavailable,digitalfacilitylocationdatainaformatcompatiblewithRenton’sgeographicInformationsystem.SuchWorkshallonlycommenceupontheissuanceofrequiredpermits,andpaymentoftheassociatedfees,whichpermitsshallnotbeunreasonablywithheld13AGENDA ITEM # 8. b) ORDINANCENO._ _ _ _ ___ordelayedaftersubmissionofacompleteapplication.FranchiseeshallfurtherinformRentonofanytimeordatethatFranchiseeisperformingWorkwithintheFranchiseAreatoallowRentontoinspectsuchwork.BoringRequired:WorkinvolvingundergroundingofFranchisee’sfacilitieswithincitystreetsshallbeaccomplishedthroughboringratherthanopentrenchingwheneverreasonablyfeasible.FranchiseewillCCIVallRentonownedsewerandstormdrainlinesontheboringroutefollowingcompletionoftheboringworkandpriortoactivatingthefacilitybeingconstructedtoverifythattheseRentonownedlineswerenotdamagedbytheboringwork.UponrequestfromFranchisee,RentonmayallowforothermethodstomeettherequirementasmaybeapprovedbyRentonaspartofpermitting.9.3FacilityPlacement:ThePartiesintendthatthespecificlocationofFacilitieswithintheFranchiseArea(andsimilarfacility-relatedmattersofaspecificnaturerequiringdetailedcase-by-caseanalysis)istobedeterminedinaccordancewithapplicableLaws(including,withoutlimitation,rightsofappeal).9.4LateralSupport:WheneverWorkonFacilitieshavecausedorcontributestoaconditionthatintheCityofRenton’ssoledeterminationwouldsubstantiallyimpairorsubstantiallyimpairsthelateralsupportoftheFranchiseArea,RentonmaydirectFranchisee,atFranchisee’ssoleexpense,totakesuchactionsasarereasonablynecessarywithintheFranchiseAreatorepairand/ornotimpairthelateralsupport.IfFranchiseefailsorrefusestotakepromptaction,orifanemergencysituationrequiresimmediateaction,RentonmayentertheFranchiseAreaandtakeanyactionnecessarytoprotectthepublic,anyPublicWay,PublicProperty,andRights-of-Way,andFranchiseeshallbeliabletoRentonforallcosts,fees,and14AGENDA ITEM # 8. b) ORDINANCENO.expensesresultingfromthatnecessaryaction.Thisprovisionshallsurvivetheexpiration,revocationorterminationofthisFranchiseforaperiodoffive(5)years.9.5LimitsonConstruction:Nopark,publicsquare,golfcourse,streetRights-of-Wayorpublicplaceoflikenatureshallbebored,trenched,excavatedordamagedbyFranchiseeifthereisasubstantiallyequivalentalternative.ThedeterminationoftherebeingasubstantiallyequivalentalternativeshallbeatthesoledeterminationofRenton.9.6BondRequirement:BeforeundertakinganyoftheWorkauthorizedbythisFranchise,asaconditionprecedenttotheRenton’sissuanceofanypermits,Franchiseeshall,upontheRenton’srequest,furnishabondexecutedbyFranchiseeandacorporatesuretyauthorizedtooperateasuretybusinessintheStateofWashington,insuchsumasmaybesetandapprovedbyRentonassufficienttoensureperformanceofFranchisee’sobligationsunderthisFranchise.FranchiseeshallpostaPerformanceBondintheamountoftwenty-fivethousanddollars($25,000)thatshallremainineffectforthetermofthisFranchise.ThebondshallbeconditionedsothatFranchiseeshallobserveallthecovenants,termsandconditionsandshallfaithfullyperformalloftheobligationsofthisFranchise,andtorepairorreplaceanydefectiveworkormaterialsdiscoveredintheFranchiseArea.ThebondshallensurethefaithfulperformanceofFranchisee’sobligationsundertheFranchise,including,butnotlimitedto,Franchisee’spaymentofanypenalties,claims,liens,orfeesdueRentonthatarisebyreasonoftheoperation,construction,ormaintenanceoftheFacilitieswithintheFranchiseArea.Franchiseeshallpayallpremiumsorothercostsassociatedwithmaintainingthebond.Additionally,ifRentondeterminesthatthePerformanceBondisinadequatetoensureFranchisee’sperformanceofaproject,Franchiseeshallpostanyadditionalbondsrequiredto15AGENDA ITEM # 8. b) ORDINANCENO._ ___ _ _ _guaranteeperformancebyFranchiseeinaccordancewiththeconditionsofanypermitsand/ortherequirementsofthisFranchise.InlieuofaseparatebondforroutineindividualprojectsinvolvingworkintheFranchiseArea,FranchiseemaysatisfyRenton’sbondrequirementsbypostingasingleon-goingperformancebondinanamountapprovedbyRenton.9.7Workmanship:AllWorkdonebyFranchiseeoratFranchisee’sdirectionoronitsbehalf,includingallWorkperformedbycontractorsorsubcontractors,shallbeconsideredFranchisee’sWorkandshallbeundertakenandcompletedinaworkmanlikemannerandinaccordancewiththedescriptions,plansandspecificationsFranchiseeprovidedtoRenton,andbewarrantedforatleasttwo(2)years.Franchisee’sactivities(includingworkdoneatFranchisee’sdirectionoronitsbehalf)shallnotdamageorinterferencewithotherfranchises,licenses,utilities,drainsorotherstructures,ortheFranchiseArea,andshallnotunreasonablyinterferewithpublictravel,parkuses,othermunicipaluses,adjoiningproperty,andshallnotendangerthesafetyoforinjurepersonsandproperty.Franchisee’sWorkshallcomplywithallapplicableLaws.9.8MaterialandInstallationMethods:AsaconditionofreceivingtheprivilegetoWorkwithintheFranchiseArea,FranchiseeshallassumefullresponsibilityforusingmaterialsandinstallationmethodsthatareinfullcompliancewithcitystandardsandshallverifythisbythesubmittalofdocumentationofmaterialsandtestingreportswhenrequestedbyRenton.Allcostsforperformingon-sitetesting,suchascompactiontests,shallbebornebyFranchisee.9.9DamageDuringWork:IncaseofanydamagecausedbyFranchisee,orbyFranchisee’sFacilitiestoFranchiseArea,FranchiseeagreestorepairthedamagetoconditionsthatmeetorexceedrequirementestablishedbytheDepartmentofTransportation,atitsown16AGENDA ITEM # 8. b) ORDINANCENO.costandexpense.Franchiseeshall,upondiscoveryofanysuchdamage,immediatelynotifyRenton.Rentonwillinspectthedamage,andsetatimelimitforcompletionoftherepair.IfRentondiscoversdamagecausedbyFranchiseetotheFranchiseArea,RentonwillgiveFranchiseenoticeofthedamageandsetareasonabletimelimitinwhichFranchiseemustrepairthedamage.IntheeventFranchiseedoesnotmaketherepairasrequiredinthissection,Rentonmayrepairthedamage,toitssatisfaction,atFranchisee’ssoleexpense.9.10MemberofLocatorService:FranchiseeshallcontinuouslybeamemberoftheStateofWashingtononenumberlocatorserviceunderRCW19.122(UndergroundUtilities)oranapprovedequivalent,andshallcomplywithallapplicableLaws.9.11RestorationReQuirements:FranchiseeshallafterWorkonanyofFranchisee’sFacilitieswithintheFranchiseArea,restorethesurfaceoftheFranchiseAreaandanyotherpropertywithintheFranchiseAreawhichmayhavebeendisturbedordamagedbysuchWork.AllrestorationofRights-of-Way,sidewalksandotherimprovementsoramenitiesshallconformtotheCityofRentonStandardSpecificationsforRoad,BridgeandMunicipalConstructionandtheCityofRenton’sTrenchRestorationStandardsineffectatthattime,andmustbewarrantedforatleasttwo(2)years.Restorationshallincludealllandscaping,irrigationsystemsandtrees.RentonshallhavefinalapprovaloftheconditionoftheFranchiseAreaafterrestorationpursuanttoapplicableLaws,astheyexistormaybeamendedorsuperseded,providedthatsuchprovisionsarenotinconflictorinconsistentwiththeexpresstermsandconditionsofthisFranchise.9.12SurveyMonuments:AllsurveymonumentswhicharedisturbedordisplacedbyFranchiseeinitsperformanceofanyworkunderthisFranchiseshallbereferencedandrestored17AGENDA ITEM # 8. b) ORDINANCENO.___ _ ___byFranchisee,inaccordancewithWAC332-120(SurveyMonuments—RemovalorDestruction),andotherapplicableLaws.9.13FailuretoRestore:IfitisdeterminedthatFranchiseehasfailedtorestoretheFranchiseAreainaccordwiththissection,RentonshallprovideFranchiseewithwrittennoticeincludingadescriptionofactionsRentonbelievesnecessarytorestoretheFranchiseArea.IfFranchiseefailstorestoretheFranchiseAreainaccordwithRenton’snoticewithinthirty(30)daysofthatnotice,Renton,oritsauthorizedagent,mayrestoretheFranchiseAreaatFranchisee’ssoleandcompleteexpense.TheprivilegegrantedunderthissectionshallbeinadditiontoothersprovidedbythisFranchise.9.14SeparatePermitApprovalNeededForNewTelecommunicationsLines:ThelimitedprivilegesgrantedunderthisFranchiseshallnotconveyanyprivilegetoFranchiseetoinstallanynewtelecommunicationslinesorFacilitieswithoutRenton’sexpresspriorwrittenconsent,includingforexample,permitsasprovidedforinthisSectionIX.SECTIONX:CoordinationandSharedExcavations10.1Coordination:ThePartiesshallmakereasonableeffortstocoordinateanyWorkthateitherPartymayundertakewithintheFranchiseAreatopromotetheorderlyandexpeditiousperformanceandcompletionofsuchWork,andtominimizeanydelayorhindrancetoanyconstructionworkundertakenbythemselvesorutilitieswithintheFranchiseArea.Ataminimum,sucheffortsshallincludereasonableanddiligenteffortstokeeptheotherPartyandotherutilitieswithintheFranchiseAreasinformedofitsintenttoundertakeWork.FranchiseeandRentonshallfurthereachexerciseitsbesteffortstominimizeanydelayorhindrancetoanyconstructionworkeithermayundertakewithintheFranchiseArea.Anyassociatedcosts18AGENDA ITEM # 8. b) ORDINANCENO.___ _ _ __causedbyanyconstructiondelaystoRentonortoanycontractorworkingforRentonduetoFranchisee’sfailuretosubmitandadheretoFranchisee’splansandscheduleinrelocatingorinstallingFranchiseefacilitiesshallbethesoleresponsibilityofFranchisee.Franchiseeshall,atRenton’srequest,alsoattendconstructionmeetingspertainingtoperformanceofWorkwithintheFranchiseAreaandshalldesignateacontactpersontoattendsuchmeetings.10.2JointUseTrenches:IfFranchiseeorRentonshallcauseexcavationstobemadewithintheFranchiseArea,thePartycausingsuchexcavationtobemadeshallaffordtheother,uponreceiptofawrittenrequesttodoso,anopportunitytousesuchexcavation,providedthat:(a)suchjointuseshallnotunreasonablydelaytheworkofthePartycausingtheexcavationtobemade;and(b)suchjointuseshallbearrangedandaccomplishedontermsandconditionssatisfactorytobothParties.10.3JointUsePolicies:ConcerningtheFranchiseArea,duringtheFranchiseTerm,RentonmayadoptpolicieswhichencouragejointuseofutilityfacilitieswithintheFranchiseArea.FranchiseeshallcooperatewithRentonandexploreopportunitiesforjointuseoftheFranchiseAreautilityfacilitiesthatareconsistentwithapplicableLawsandprudentutilitypractices.SECTIONXl:HazardousMaterials11.1WrittenApprovalRequired:InmaintainingitsFacilities(including,withoutlimitation,vegetationmanagementactivities),FranchiseeshallnotapplyanyHazardousSubstance,pesticide,herbicide,orotherhazardousmaterialwithintheFranchiseAreawithoutpriorwrittenapprovalofRenton.Rentonwillnotunreasonablywithholdapproval,butsuchapplicationmustbeinconformancetotheaquiferprotectionregulationsofRenton.If19AGENDA ITEM # 8. b) ORDINANCENO._ _ _ _ ___FranchiseeshallfirstobtainRenton’sapprovaltoapplyaspecificproductinaccordancewithadefinedprocedureonanongoingbasisthroughouttheFranchiseArea,itshallnotthereafterbenecessaryforFranchiseetoobtainRenton’sapprovaloneachoccasionsuchproductisappliedinaccordancewithsuchprocedure.FranchiseeshallnotifyRentonofanyaccidentbyFranchiseeinvolvingFranchisee’suseofHazardousSubstanceswithintheFranchiseArea.11.2ReleaseofHazardousSubstance:UponnoticeordiscoveryofasignificantreleaseofanyHazardousSubstancecausedbyFranchiseeorexpresslyauthorizedbyFranchiseetooccurupontheFranchiseAreaandFacilitiescoveredbythisFranchise,FranchiseeshallnotifyRentonwithintwenty-four(24)hoursofdiscovery.IftheencounteredorsuspectedHazardousSubstancesarenottheresultoftheactsoromissionsofFranchisee,Rentonshall,atitsownexpense,determineifthematerialishazardous,inaccordancewithapplicableLaws.Ifthematerialisfoundtobehazardous,Rentonshall,atitsownexpense,ifpossibleremove,dispose,orotherwisehandlesuchHazardousSubstances,asnecessary,inaccordancewithapplicableLaws.IfHazardousSubstancesareremoved,Rentonalsoshallprovidesubstitutenonhazardoussubstance(s)toreplacetheremovedsubstanceforFranchiseetouseinitsoperation,ifnecessary.UponapprovalbyRentontoproceed,Franchiseeshallproceedwiththeoperationsatitsowncost,withnorecourseagainstRentonforthecostofscheduledelaysincurredduetothedelayinoperation.litheencounteredorsuspectedHazardousSubstanceswithintheFranchiseAreaaretheresultofFranchisee’sactsoromissions,Renton’scharacterizationofthesubstancesinvolvedandanyremoval,disposal,orotherhandlingcostsincurredinconnectionwiththeremoval,disposal,orhandlingofthehazardoussubstanceswillbeatFranchisee’ssoleexpense.Franchiseeshallbesolelyresponsibleforanyexpenseorcost20AGENDA ITEM # 8. b) ORDINANCENO.relatedtoenvironmentalmitigationrequirementsimposed,byoperationofapplicableLawsorotherwise.SECTIONXII:EmergencyWork-PermitWaiver12.1PromptResponseRequired:IntheeventofanyemergencyinvolvingdamagedFranchiseeFacilitieslocatedinorundertheFranchiseArea,orifFranchisee’sFacilitieswithintheFranchiseAreaposeanimmediatelyendangertheproperty,life,healthorsafetyofanyindividual,Franchiseeshall,uponreceiptofnotificationfromRentonoftheexistenceofsuchcondition,immediatelytakethoseactionsasarenecessarytocorrectthedangerouscondition.12.2PermitDeferred:IfanemergencyoccursthatrequiresFranchisee’simmediateactionfortheprotectionofFacilities,Renton’spropertyoranyindividual’sproperty,life,healthorsafety,Franchiseemayactimmediatelytocorrectthedangerousconditionwithoutfirstobtaininganyrequiredpermitsolongas:(1)FranchiseenotifiestheRentonFire&EmergencyServicesDepartmentthroughthedispatchsystemoftheemergency;and(2)FranchiseeinformsRenton’spermittingauthorityofthenature,location,andextentoftheemergency,andtheworktobeperformed,priortocommencingtheworkifsuchnotificationispractical,orwheresuchpriornotificationisnotpractical,FranchiseeshallnotifyRenton’spermittingauthorityonthenextbusinessday;and(3)suchpermitisobtainedbyFranchiseeassoonaspracticablefollowingcessationoftheemergency.12.3PublicServiceObligations:Nothinginthissectionisintended,norshallitbeconstrued,asahindrancetoFranchisee’sabilitytotakesuchactionsasitdeemsnecessarytodischargeitspublicserviceobligationsinaccordancewiththelawsoftheStateofWashington.Nothinginthissectionisintended,norshallitbeconstrued,aspreventingRentonfrom21AGENDA ITEM # 8. b) ORDINANCENO.recoveringfromFranchisee,ifotherwisesoentitledinaccordancewithapplicableLaws,anyextraordinarycostsinrespondingtoanemergencysituationinvolvingFranchisee’sFacilities.SECTIONXIII:RecordsofInstallation13.1FutureConstructionPlans:UponRenton’swrittenrequest,FranchiseeshallprovidetoRentoncopiesofanyplanspreparedbyFranchiseeforpotentialimprovements,relocationsandconversionstoitsFacilitieswithintheFranchiseArea;provided,however,anysuchplanssosubmittedshallbeforinformationalpurposesonlyandshallnotobligateFranchiseetoundertakeanyspecificimprovementswithintheFranchiseArea,norshallsuchplanbeconstruedasaproposaltoundertakeanyspecificimprovementswithintheFranchiseArea.13.2As-BuiltDrawings:UponRenton’swrittenrequest,andatnocosttoRenton,FranchiseeshallprovidetoRentoncopiesofdrawings,maps,andrecordsinusebyFranchiseeshowingthelocationofitsFacilitiesatspecificlocationswithintheFranchiseArea.Astoanysuchdrawingssoprovided,FranchiseedoesnotwarranttheaccuracyofthedrawingsassuchFacilitiesareshownintheirapproximatelocation.13.3DesignLocates:UponRenton’swrittenrequest,inconnectionwiththedesignofanyPublicWorksProject,FranchiseeshallverifythelocationofitsundergroundFacilitieswithintheFranchiseArea.13.4DisclosuretoThird-Parties:Anydrawingsand/orinformationconcerningthelocationofFranchisee’sFacilitiesprovidedbyFranchiseeshallbeusedbyRentonsolelyformanagementoftheFranchiseArea.Rentonshalltakeallprudentstepsreasonablynecessarytopreventunnecessarydisclosureordisseminationofsuchdrawings,maps,recordsand/or22AGENDA _informationtoanythird-partywithoutthepriornoticetoFranchisee,unlessthethird-partyisanauthorizedgovernmentalentityofanytierorapublicrecordsrequestor.RentonwillprovideFranchiseewithnoticeofanypublicrecordsrequestforFranchiseepaperworkassoonasreasonablypracticable.13.5UtilityLocates:Notwithstandingtheforegoing,nothinginthissectionisintended(norshallbeconstrued)torelieveeitherPartyoftheirrespectiveobligationsarisingunderapplicableLawswithrespecttodeterminingthelocationofutilityfacilities.SECTIONXIV:UndergroundingofFacilitiesUndergroundingRequiredforNewFacilities:ConsistentwithRMC4-6-090.C(Applicability),allnewFacilitiesinstalledwithintheFranchiseAreaduringthetermofthisFranchiseshallbelocatedunderground,consistentwiththeRMC,unlessitisunfeasibleinRenton’sreasonableestimationforittobedone;providedthatinstallationofwires,cables,conduitsandsimilarequipmentwillbepermittedandinstalledpursuanttotheprovisionsofanyapplicableLaws,andsubjecttoandaccordancewithanyapplicableTariffsonfilewiththeWUTC.Inareaswhereallexistingtelecommunicationsandcablefacilitiesarelocatedaboveground,FranchiseemayinstallitsFacilitiesaboveground.AnynewFacilitiestobelocatedabovegroundshallbeplacedonexistingutilitypoles.NonewutilitypolesshallbeinstalledinconnectionwithplacementofnewabovegroundFacilities.SECTIONXV:RelocationofFranchiseeFacilities15.1RelocationRequired:RentonshallhavepriorandsuperiorrighttotheuseoftheFranchiseAreafortheconstruction,installation,maintenanceandrepairofitsutilities,improvementsandinfrastructure,andcapitalimprovementprojects,andshouldanyconflict23AGENDA ITEM # 8. b) ORDINANCENO.__ _ ___ _arisewithRentonfacilities,Franchiseeshall,atitsowncostandexpense,conformtoRenton’sutilities,improvementsandinfrastructureandcapitalimprovementprojects.WheneverRentonundertakes(orcausestobeundertaken)anypublicworksimprovementwithintheFranchiseArea,andsuchpublicworksimprovementnecessitatestherelocationofFranchisee’sthenexistingFacilitieswithintheFranchiseArea,Rentonshall:a.ProvideFranchiseewithreasonablepriornoticeofRenton’sintenttoinitiateapublicworksimprovement,andifapplicable,writtennoticerequestingsuchrelocation;andb.ProvideFranchiseewithcopiesofpertinentportionsofRenton’splansandspecificationsforsuchpublicworksimprovement.15.2FranchiseeRelocationPlans:Afterreceiptofsuchnoticeandsuchplansandspecifications,FranchiseeshallsubmittheFranchiseeplandrawingsfortherelocationoftheFranchiseeFacilitiestoRentonwithinareasonableandagreedupontimeinadvanceofthepreparationofRenton’sfinalplansandspecificationsforincorporationintoRenton’sconstructionplans.FranchiseeshallcompletetherelocationworkinareasonableandagreedupontimeperiodtopreventdelaytoRentonproject.FranchiseeshallrelocatesuchFacilitieswithintheFranchiseAreaatnochargetoRenton,exceptthatifRentonpaysfororreimbursestherelocationcostsofanothertelecommunicationsutility,undermateriallyidenticalcircumstances,itshallpayfororreimburseaproportionateshareofFranchisee’srelocationcosts.TherelocationcompletiondatewillbeincludedinRenton’swrittenrequestforsaidrelocationtoFranchisee.Franchiseeshallbesolelyresponsibleforanyassociatedcostcaused24AGENDA ITEM # 8. b) ORDINANCENO.byanyconstructiondelaystoRenton’sprojectduetoFranchisee’sfailuretocomplywithFranchisee’splansandscheduleinrelocatingorinstallingFranchisee’sFacilities.15.3EmergencyRelocationofFacilities:IntheeventanemergencyposingathreattopublicsafetyorwelfarerequirestherelocationofFranchisee’sFacilitieswithintheFranchiseArea,RentonshallgiveFranchiseenoticeoftheemergencyassoonasreasonablypracticable.Uponreceiptofnotice,FranchiseeshallrespondassoonasreasonablypracticabletorelocatetheaffectedFacilities,atFranchisee’ssoleexpense.15.4Third-PartyConstruction:Wheneveranypersonorentity,otherthanRenton,requirestherelocationofFranchisee’sFacilitiestoaccommodatetheworkofsuchpersonorentitywithintheFranchiseArea;or,RentonrequiresanyThird-Partytoundertakework(otherthanworkundertakenatRenton’scostandexpense)withintheFranchiseAreaandsuchworkrequirestherelocationofFranchisee’sFacilitieswithintheFranchiseArea,FranchiseemayconditionsuchrelocationtorequiresuchpersonorentitytomakepaymenttoFranchisee,atatimeandupontermsacceptabletoFranchiseeforanyandallcostsandexpensesincurredbyFranchiseeintherelocationofFranchisee’sFacilities.15.5Third-PartyConstructionofCityIdentifiedProject:AnyconditionorrequirementimposedbyRentonuponanyThird-Party(including,withoutlimitation,anyconditionorrequirementimposedpursuanttoanycontractorinconjunctionwithapprovalsorpermitsobtainedpursuanttoanyzoning,landuse,constructionorotherdevelopmentregulation)whichrequirestherelocationofFranchisee’sFacilitieswithintheFranchiseArea,thenFranchiseeshallrelocateitsFacilities;provided,however,intheeventRentonreasonablydeterminesandnotifiesFranchiseethattheprimarypurposeofimposingsuchconditionor25AGENDA ITEM # 8. b) ORDINANCENO.requirementuponsuchThird-PartyistocauseorfacilitatetheconstructionofaPublicWorksProjecttobeundertakenwithinasegmentoftheFranchiseAreaonRenton’sbehalfandconsistentwithRenton’sCapitalInvestmentPlan;TransportationImprovementProgram;ortheTransportationFacilitiesProgram,thenonlythosecostsandexpensesincurredbyFranchiseeinreconnectingsuchrelocatedFacilitieswithFranchisee’sotherFacilitiesshallbepaidtoFranchiseebysuchThird-Party,andFranchiseeshallotherwiserelocateitsFacilitieswithinsuchsegmentoftheFranchiseAreainaccordancewithsubsection15.1.15.6Alternatives:AstoanyrelocationofFranchisee’sFacilitieswherebythecostandexpenseistobebornebyFranchisee,Franchiseemay,afterreceiptofwrittennoticerequestingsuchrelocation,submitinwritingtoRentonalternativestorelocationofitsFacilities.UponRenton’sreceiptfromFranchiseeofsuchwrittenalternatives,RentonshallevaluatesuchalternativesandshalladviseFranchiseeinwritingifoneormoreofsuchalternativesaresuitabletoaccommodatetheworkwhichwouldotherwisenecessitaterelocationofFranchisee’sFacilities.Inevaluatingsuchalternatives,RentonshallgiveeachalternativeproposedbyFranchiseefairconsiderationwithdueregardtoallfactsandcircumstanceswhichbearuponthepracticalityofrelocationandalternativestorelocation.IfRentondeterminesthatsuchalternativesarenotappropriate,FranchiseeshallrelocateitsFacilitiesasprovidedinsubsection15.1.15.7Non-FranchiseArea:NothingshallrequireFranchiseetobearanycostorexpenseinconnectionwiththelocationorrelocationofanyFacilitiesexistingunderbenefitofeasementorotherrightsnotarisingunderthisFranchise.26AGENDA ITEM # 8. b) ORDINANCENO.___ _ _ _ _15.8IndemnityforDelay:Franchiseeshallindemnify,holdharmless,andpaythecostsofdefendingRentonagainstanyandallThird-Partyactions,claims,damages,liabilities,orsuitsfordelaysonRenton’sconstructionprojectsarisingfromorcausedbyFranchisee’sfailuretoremoveorrelocateitFacilitiesinatimelymanner,thoughFranchiseeshallnotbeliablefordamagesduetodelaysthatwereoutofFranchisee’sreasonableorexpectedcontrol.SECTIONXVI:AbandonmentandDiscontinuanceofFranchisee’sFacilities16.1Notification:FranchiseeshallnotifyRentonofanyabandonmentorcessationofuseofanyofitsFacilitieswithinsixty(60)daysaftersuchabandonmentorcessationofuse.AnyplanforabandonmentorremovalofFranchisee’sFacilitieswithintheFranchiseAreamustbefirstapprovedbytheAdministrator,andallnecessarypermitsmustbeobtainedpriortosuchWork.16.2Removal:IntheeventofFranchisee’sabandonmentorpermanentcessationofuseofanyportionofitsFacilities,oranyportionoftheFranchisedArea,Franchiseeshall,withinonehundredandtwenty(120)daysaftertheabandonmentorpermanentcessationofuse,removetheFacilitiesatFranchisee’ssoleexpense.However,withRenton’sexpresswrittenconsent,Franchiseemay,atFranchisee’ssolecostandexpense,securetheFacilitiesinsuchamannerastocauseittobeassafeasisreasonablypossible,byremovingalllines,conduitsandappurtenances,incompliancewithallLaws,andabandontheminplace,providedthatanyabovegroundFacilitiesshallberemovedatFranchisee’ssoleexpense.16.3Restoration:IntheeventoftheremovalofalloranyportionoftheFacilities,totheextentreasonablypossible,FranchiseeshallrestoretheFranchiseAreatoitpre-installationorbettercondition.SuchrestorationworkshallbedoneatFranchisee’ssolecostandexpense27AGENDA ITEM # 8. b) ORDINANCENO.andtoRenton’sreasonablesatisfaction.IfFranchiseefailstoremoveorsecuretheFacilitiesand/orfailstorestorethepremisesortakesuchothermutuallyagreeduponaction,Rentonmay,afterreasonablenoticetoFranchisee,removetheFacilities,restorethepremisesortakesuchotheractionasisreasonablynecessaryatFranchisee’ssoleexpenseandRentonshallnotbeliableforanydamages,lossesorinjuries.ThisremedyshallnotbedeemedtobeexclusiveandshallnotpreventRentonfromseekingajudicialorderdirectingFranchiseetoremoveitsFacilities.16.4AdministrativeorAbandonmentFees:Renton’sconsenttoFranchisee’sabandonmentofFacilitiesinplaceshallnotrelieveFranchiseeoftheobligationand/orcoststoremove,alterorre-securesuchFacilitiesinthefutureintheeventitisreasonablydetermined,asadjudgedinRenton’ssolediscretion,thatremoval,alterationorre-securingtheFacilitiesisnecessaryoradvisableforthehealth,safety,necessityand/orconvenienceofthepublic,inwhichcaseFranchiseeshallperformsuchworkitssoleexpense.16.5SurvivalofProvisions:ThePartiesexpresslyagreethattheprovisionsofthissectionshallsurvivethetermination,expiration,orrevocationofthisFranchise.SECTIONXVII:Termination,Violations,andRemedies17.1Termination:IftheFranchiseTermexpiresandifeitherPartystatesthatitdoesnotwishtorenew,extendand/orcontinuetheFranchise,thisFranchiseshallbeterminatedasoftheexpirationdate.17.2TerminationbyBreach:IfFranchiseemateriallybreachesorotherwisefailstoperform,complywithanyofthetermsandconditionsofthisFranchise,orfailstomaintainanyrequiredlicense,permitorapproval,andfailstocuresuchbreachorfailurewithinthirty(30)28AGENDA ITEM # 8. b) ORDINANCENO.daysofRentonprovidingFranchiseewithwrittennoticespecifyingwithreasonableparticularitythenatureofanysuchallegedbreachorfailure,or,ifnotreasonablycapableofbeingcuredwithinthirty(30)days,withinsuchotherreasonableperiodoftimeasthePartiesmayagreeupon,RentonmayterminatethisFranchise,withoutanypenalty,liability,costordamages.17.3CityCouncilTermination:ThisFranchiseshallnotbeterminatedexceptuponamajorityvoteoftheCityCouncil,afterreasonablenoticetoFranchisee(whichnoticeshallbegivenatleastthirty(30)daysbeforetheheating)andanopportunitytobeheard,providedthatifexigentcircumstancesnecessitateimmediatetermination,thehearingmaybeheldassoonaspossibleafterthetermination.17.4DiscontinueOperations:IftheFranchiseisterminated,FranchiseeshallimmediatelydiscontinueoperationofFacilitiesthroughtheFranchiseArea.Insuchcircumstances,eitherPartymayinvokethedisputeresolutionprovisionsinSectionXVIII.Alternatively,eitherPartymayelecttoseekreliefdirectlyinSuperiorCourt,inwhichcasethedisputeresolutionrequirementsshallnotbeapplicable.OnceFranchisee’sprivilegehasterminated,FranchiseeshallcomplywithFranchiseprovisionregardingremovaland/orabandonmentofFacilities.17.5RentonRetainsRightforAction:Renton’sfailuretoexerciseaparticularremedyatanytimeshallnotwaiveRenton’srighttoterminate,assesspenalties,orassertanyequitableorlegalremedyforanyfuturebreachordefaultbyFranchisee.17.6FranchiseeLiabilityandObligation:TerminationshallnotreleaseFranchiseefromanyliabilityorobligationwithrespecttoanymatteroccurringpriortosuchtermination,29AGENDA ITEM # 8. b) ORDINANCENO.andshallnotreleaseFranchiseefromanyobligationtoremoveandsecureitsFacilitiesandtorestoretheFranchiseArea.17.7IniunctiveRelief:ThePartiesacknowledgethatthecovenantssetforthinthisFranchiseareessentialtothisFranchise,and,butforthemutualagreementsofthePartiestocomplywithsuchcovenants,thePartieswouldnothaveenteredintothisFranchise.ThePartiesfurtheracknowledgethattheymaynothaveanadequateremedyatlawiftheotherPartyviolatessuchcovenant.Therefore,inadditiontoanyotherrightstheymayhave,thePartiesshallhavetherighttoobtaininanycourtofcompetentjurisdictioninjunctiverelieftorestrainanybreachorthreatenedbreach,ortospecificallyenforceanyoftheFranchisecovenantsshouldtheotherPartyfailtoperformthem.17.8Renton’sRemedies:InadditiontothetermsofthisFranchise,orrightsthatRentonpossessesatlaworequity,Rentonreservestherighttoapplyanyremedy,includingbutnotlimitedtothosedetailedinSectionsXVIII—XXbelow,aloneorincombination,intheeventFranchiseeviolatesanymaterialprovisionofthisFranchise.TheremediesprovidedforinthisFranchisearecumulativeandnotexclusive;theexerciseofoneremedyshallnotpreventtheexerciseofanotheroranyrightsofRentonatlaw,inequity,orbystatutes,unlessspecificallywaivedinthisAgreementorinadocumentsignedbybothparties.SECTIONXVIII:DisputeResolution18.1NoticeofDefault:IfthereisanyallegeddefaultastoperformanceunderthisFranchise,RentonshallnotifyFranchiseeinwriting,statingwithreasonablespecificitythenatureoftheallegeddefault.Withinten(10)daysofitsreceiptofsuchnotice,FranchiseeshallprovideawrittenresponsetoRentonacknowledgingreceiptofnoticeandstatingFranchisee’s30AGENDA ITEM # 8. b) ORDINANCENO._ __ _ _ __response.Franchiseehasthirty(30)days(“cureperiod”)fromthedateofthenotice’smailingto:a.RespondtoRenton,contestingRenton’sassertion(s)astothedisputeoranyallegeddefaultandrequestingameetinginaccordancewithsubsection18.2,or:b.Curetheallegeddefault,or;c.NotifyRentonifFranchiseecannotcuretheallegeddefaultwithinthirty(30)days,duetothenatureofthedefault.Notwithstandingsuchnotice,FranchiseeshallpromptlytakeallreasonablestepstobegintocuretheallegeddefaultandnotifyRentoninwritingandindetailastotheactionsthatFranchiseewilltakeandtheprojectedcompletiondate.Insuchcase,Rentonmaysetameetinginaccordancewithsubsection18.2.18.2Meeting:Ifanyallegeddefaultisnotcuredorifasubsection18.1meetingisrequested,RentonshallpromptlyscheduleameetingbetweenthePartiestodiscusstheallegeddefault.RentonshallnotifyFranchiseeofthemeetinginwritingandthemeetingshalltakeplacenotlessthanten(10)daysafterFranchisee’sreceiptofnoticeofthemeeting.EachPartyshallappointarepresentativewhoshallattendthemeeting,representtheirparty’sinterests,andwhoshallexercisegoodfaithtoreachanagreementonanyallegeddefaultand/oranycorrectiveactiontobetaken.Anydispute(includinganydisputeconcerningtheexistenceoforanycorrectiveactiontobetakentocureanyallegeddefault)thatisnotresolvedwithinten(10)daysfollowingtheconclusionofthemeetingshallbereferredbytheParties’representativesinwritingtotheParties’seniormanagementforresolution.Ifseniormanagementisunabletoresolvethedisputewithintwenty(20)daysofreferral(orsuchother31AGENDA ITEM # 8. b) ORDINANCENO.periodasthePartiesmayagreeupon),eachPartymaypursueresolutionofthedisputethroughSectionXIX,Arbitration,ofthisFranchise.Allnegotiationspursuanttotheseproceduresfortheresolutionofdisputesshallbeconfidentialandshallbetreatedascompromiseandsettlementnegotiationsforpurposesofthestateandfederalrulesofevidence.18.3AdditionalResolutionOptions:If,attheconclusionofthestepsprovidedforinsubsections18.1and18.2above,RentonandFranchiseeareunabletosettlethedisputeoragreeupontheexistenceofadefaultorthecorrectiveactiontobetakentocureanyallegeddefault,RentonorFranchisee(asFranchiseemayhaveauthoritytodoso)may:a.TakeanyenforcementorcorrectiveactionprovidedforbyLaw,includingthecitycode;providedsuchactiondoesnotconflictwiththisFranchise’sprovisions,and/or;b.Demandarbitration,pursuanttoSectionXIXbelow,fordisputesarisingoutoforrelatedtoSectionsIII,GrantofFranchise(orsuchothersectionswithrespecttotheexistenceofconflictsorinconsistencieswiththeexpresstermsandconditionsofthisFranchiseandanyapplicableLaws);XIII,RecordsofInstallation;XIV,UndergroundingofFacilities(exceptaspreemptedbyWUTCauthority);andXV,RelocationofFranchiseeFacilities(excludingprojectdelayclaimsexceeding$30,000)ofthisFranchise(the“ArbitrationClaims”),and/or;c.Byordinance,declareanimmediateforfeitureofthisFranchiseforabreachordefaultofanymaterial,non-ArbitrationClaims,obligationsunderthisFranchiseand/or;U.TakeanyactiontowhichitisentitledunderthisFranchiseoranyapplicableLaws.32AGENDA ITEM # 8. b) ORDINANCENO.18.4ContinuationofObligations:UnlessotherwiseagreedbyRentonandFranchiseeinwriting,RentonandFranchiseeshall,continuetoperformtheirrespectiveobligationsunderthisFranchiseduringthependencyofanydispute.SECTIONXIX:Arbitration19.1RulesandProcedures:ThePartiesagreethatanydispute,controversy,orclaimarisingoutoforrelatingtoArbitrationClaims,shallbereferredforresolutiontotheAmericanArbitrationAssociationinaccordancewiththerulesandproceduresinforceatthetimeofthesubmissionofarequestforarbitration.19.2Discovery:Thearbitratorsshallallowappropriatediscoverytofacilitateafair,speedyandcost-effectiveresolutionofthedispute(s).ThearbitratorsshallreferencetheWashingtonStateRulesofCivilProcedurethenineffectinsettingthescopeandtimingofdiscovery.TheWashingtonStateRulesofEvidenceshallapply.ThearbitratorsmayenteradefaultdecisionagainstanyPartywhofailstoparticipateinthearbitrationproceedings.19.3CompensatoryDamages:Thearbitratorsmayawardcompensatorydamages,includingconsequentialdamages.Suchdamagesmayinclude,butshallnotbelimitedto:allcostsandexpensesofmaterials,equipment,supplies,utilities,consumables,goodsandotheritems;allcostsandexpensesofanystaff;allcostsandexpensesofanylabor(including,butnotlimitedto,laborofanycontractorsand/orsubcontractors);allpre-arbitrationcostsandexpensesofconsultants,attorneys,accountants,professionalandotherservices;andalltaxes,insurance,interestexpenses,overheadandgeneraladministrativecostsandexpenses,andothercostsandexpensesofanykindincurredinconnectionwiththedispute.Thearbitrator33AGENDA ITEM # 8. b) ORDINANCENO.mayawardequitablereliefinthosecircumstanceswheremonetarydamageswouldbeinadequate.19.4Award:Anyawardbythearbitratorsshallbeaccompaniedbyawrittenopinionsettingforththefindingsoffactandconclusionsoflawrelieduponinreachingthedecision.Theawardrenderedbythearbitratorsshallbefinal,bindingandnon-appealable,andjudgmentuponsuchawardmaybeenteredbyanycourtofcompetentjurisdiction.19.5EachPatty’sCosts:Exceptasprovidedinsubsection19.7below,eachPartyshallpaythefeesofitsownattorneys,expensesofwitnesses,andallotherexpensesandcostsinconnectionwiththepresentationofsuchPatty’scaseincluding,withoutlimitation,thecostofanyrecords,transcriptsorotherthingsusedbythePartiesforthearbitration,copiesofanydocumentsusedinevidence,certifiedcopiesofanycourt,propertyorcitydocumentsorrecordsthatareplacedintoevidencebyaParty.19.6ArbitrationCosts:Exceptasprovidedinsubsection19.7below,theremainingcostsofthearbitration,includingwithoutlimitation,feesofthearbitrators,costsofrecordsortranscriptspreparedforthearbitratorsuseinthearbitration,costsofproducingthearbitrator’sdecisionandadministrativefeesshallbeborneequallybythePatties.19.7CostsforMultipleArbitrations:Notwithstandingtheforegoingsubsections19.5and19.6,intheeventeitherPartyisfoundduringthetermofthisFranchisetobetheprevailingpattyinanytwo(2)arbitrationproceedingsbroughtbysuchpartypursuanttothisSectionXIX,thensuchpartyshallbeentitledtorecoverallreasonablyincurredCosts,includingattorneys’fees,foranysubsequentarbitrationbroughtbytheminwhichtheyarefoundtobetheprevailingparty.34AGENDA _propertywhichiscausedby,inwholeorinpart,andonlytotheextentof,thewillfullytortiousornegligentactsoromissionsofFranchiseeoritsagents,contractors(ofanytier),employees,representativesortraineesrelatedtoFranchisee’sgrantedFranchiseprivileges,IfanyactionorproceedingisbroughtagainstRentonbyreasonofFranchisee’sFacilities,FranchiseeshalldefendRentonatFranchisee’ssoleexpense,providedthat,foruninsuredactionsorproceedings,defenseattorneysshallbeapprovedbyRenton,whichapprovalshallnotbeunreasonablywithheld.ThetermsofthissectionshallnotrequireFranchiseetoindemnifyRentonagainstandholdharmlessRentonfromclaims,demandsorsuitsbaseduponRenton’snegligentorwillfulconduct,andprovidedfurtherthatiftheclaimsorsuitsarecausedbyorresultfromtheconcurrentnegligenceof(a)theFranchisee’sagents,officers,oremployeesand(b)Renton,thisprovisionwithrespecttoclaimsorsuitsbaseduponsuchconcurrentnegligenceshallbevalidandenforceableonlytotheextentofFranchisee’snegligenceorthenegligenceofFranchisee’sagentsoremployeesexceptaslimitedinthisFranchise.22.3EnvironmentalIndemnification:Franchiseeshallindemnify,defend,andsaveRentonharmlessfromandagainstanyandeveryThird-Partyaction,claim,cost,damage,death,expense,harm,injury,liability,orloss,eitheratlaworinequity,topersonsorproperty,including,butnotlimitedto,costsandreasonableattorneys’andexperts’feesincurredbyRenton,arisingdirectlyorindirectlyfrom:(a)Franchisee’sbreachofanyenvironmentalLawsorLawsapplicabletotheFacilities,or(b)fromanyreleaseofahazardoussubstanceonorfromtheFacilities,or(c)otheractivityrelatedtothisFranchisebyFranchisee.Thisindemnityincludes,butisnotlimitedto,(a)liabilityforagovernmentalagency’scostsofremovalorremedialactionforHazardousSubstances;(b)damagestonaturalresourcescausedby37AGENDA ORDINANCENO.damagestopropertycausedbyorresultingfromtheconcurrentnegligenceofFranchisee,itsofficers,officials,employees,andvolunteersand/orthecontractor,orRenton,itselectedofficials,officers,officials,employees,andvolunteers,andorthecontractor,theparty’sliabilityshallbeonlytotheextentoftheparty’snegligence.22.6Notice:IntheeventanymatterforwhichRentonintendstoassertitsrightsunderthissectionispresentedtoorfiledwithRenton,RentonshallpromptlyattempttonotifyFranchiseeinaccordancewithSectionXVofthisFranchise,andFranchiseeshallhavetheprivilege,atitselectionandatitssolecostsandexpense,tosettleandcompromisesuchmatterasitpertainstoFranchisee’sresponsibilitytoindemnify,defendandholdharmlessRenton.IntheeventanysuitoractionisstartedagainstRentonbaseduponanysuchmatter,RentonshalllikewisepromptlyattempttonotifyFranchisee,andFranchiseeshallhavetheprivilege,atitselectionandatitssolecostandexpense,tosettleandcompromisesuchsuitoraction,ordefendthesameatitssolecostandexpense,byattorneysofitsownelection,asitpertainstoFranchisee’sresponsibilitytoindemnify,defendandholdharmlessRenton.Franchisee’sindemnificationobligationsdonotapplytotheextentthatRentonfailstoprovideattempttonoticeinaccordancewithSectionXVofthisFranchise,andsuchfailuremateriallyprejudicesFranchiseeorthedefenseofanaction,claim,cost,damage,death,expense,harm,injury,liability,orlossofanykind.22.7RecoveryofCityCosts:IntheeventthatRentonisrequiredtodefenda“suitoraction”asreferencedinsubsection22.2andRentonisdeterminedtobewithoutfaultfortheclaimordemandgivingrisetosuch“suitoraction,”FranchiseeshallreimburseRentonforapercentageofRenton’stotaldefensecosts.ThepercentageofRenton’stotaldefensecoststo39AGENDA _bereimbursedshallbeapercentageequaltothepercentage(ifany)offaultattributabletoFranchiseefortheclaimordemandgivingrisetosuch“suitoraction.”22.8Survival:TheprovisionsofthissectionshallsurvivetheexpirationorterminationofthisFranchiseifthebasisforanysuchclaim,demand,suitoractionasreferencedinsubsection25.2occurredduringtheFranchiseterm.22.9Negotiated:THEPARTIESHAVESPECIFICALLYNEGOTIATEDSECTIONXXII,INDEMNIFICATION.SECTIONXXIII:Insurance23.1InsuranceRequired:FranchiseeshallprocureandmaintainforthedurationoftheFranchise,insurance,orprovideevidenceofself-insurance,againstallclaimsforinjuriestopersonsordamagestopropertywhichmayarisefromorinconnectionwiththeexerciseoftheprivilegesgrantedbyFranchisetoFranchisee.FranchiseeshallprovidetoRentonaninsurancecertificate,and/oracertificateofself-insurance,togetherwithanendorsementonthegeneralandautomotiveliabilitypolicies,namingRentonasanadditionalinsureduponFranchisee’sacceptanceofthisFranchise,andsuchinsurancecertificateshallevidencethefollowingminimumcoverages:a.Commercialgeneralliabilityinsurance,includingbutnotlimitedto,blanketcontractual,propertydamage,operations,explosionsandcollapsehazard,undergroundhazard(XCD)andproductscompletedhazard,withlimitsnotlessthanfivemilliondollars($5,000,000)foreachoccurrenceandwithlimitsnotlessthanfivemilliondollars($5,000,000)intheaggregateforbodilyinjuryordeathtoeachperson,propertydamage,oranyothertypeofloss;40AGENDA ___b.Automobileliabilityforowned,non-ownedandhiredvehicleswithalimitofthreemilliondollars($3,000,000)foreachpersonandthreemilliondollars($3,000,000)foreachaccident;c.Worker’sCompensationwithinstatutorylimitsconsistentwiththeIndustrialInsurancelawsoftheStateofWashington;andd.PollutionlegalliabilityshallbeineffectthroughouttheentireFranchiseterm,withalimitnotlessthanonemilliondollars($1,000,000)foreachoccurrence,andnotlessthantwomilliondollars($2,000,000)intheaggregate,andnotlessthanfiftythousanddollars($50,000)forenvironmentalcrisismanagement,totheextentsuchcoverageisreasonablyavailableinthemarketplaceforanypollutionconditionoroccurrenceaftertheeffectivedateofthisFranchise.23.2ClaimsMadeBasis:Ifcoverageispurchasedona“claimsmade”basis,thenFranchiseewarrantscontinuationofcoverage,eitherthroughpolicyrenewalsorthepurchaseofanextendeddiscoveryperiod,ifsuchextendedcoverageisavailable,fornotlessthanthree(3)yearsfromthedateofterminationofthisFranchiseand/orconversionfroma“claimsmade”formtoan“occurrence”coverageform.23.3Deductibles:AlldeductiblesshallbethesoleresponsibilityofFranchisee.Theinsurancecertificaterequiredbythissectionshallcontainaclausestatingthatcoverageshallapplyseparatelytoeachinsuredagainstwhomclaimismadeorsuitisbrought,exceptwithrespecttotheaggregatelimitsoftheinsurer’sliability.23.4NamedInsured:Renton,itsofficers,officials,employees,agentsandvolunteersshallbenamedasanadditionalinsuredontheinsurancepolicy,asrespectstoworkperformed41AGENDA ITEM # 8. b) ORDINANCENO.byoronbehalfofFranchiseeandtheendorsementnamingRentonasadditionalinsuredshallbeindicatedonthecertificateofinsuranceorcertificationofself-insurance.23.5PrimaryInsurance:Franchisee’sinsuranceshallbeprimaryinsurancewithrespecttoRenton.AnyinsurancemaintainedbyRentonshallbeinexcessofFranchisee’sinsuranceandshallnotcontributewithit.FranchiseeshallgiveRentonthirty(30)dayspriorwrittennoticebycertifiedmail,return-receiptrequested,ofsuspension,cancellation,ormaterialchangeincoverage.23.6Cancellation:Inadditiontothecoveragerequirementssetforthinthissection,thecertificateofinsuranceshallprovidethat:“Theabovedescribedpolicieswillnotbecanceledbeforetheexpirationdate,withouttheissuingcompanygivingsixty(60)dayspriorwrittennoticetothecertificateholder.”Intheeventofcancellationoradecisionnottorenew,FranchiseeshallobtainandfurnishtoRentonevidenceofreplacementinsurancepoliciesmeetingtherequirementsofthissectionbeforethecancellationdate.23.7CertificatesandEndorsements:FranchiseeshallfurnishRentonwithcertificatesofinsuranceevidencingthecoverageorself-insurancerequiredbythissectionuponacceptanceofthisFranchise.ThecertificatesandendorsementsshallbesignedbyapersonauthorizedbytheinsurertobindcoverageonitsbehalfandmustbereceivedandapprovedbyRentonpriortothecommencementofanyWork.23.8SeparateCoverage:Franchisee’sinsuranceshallcontainaclausestatingthatcoverageshallapplyseparatelytoeachinsuredagainstwhomclaimismadeorsuitisbrought,exceptwithrespectstothelimitsoftheinsurer’sliability.42AGENDA ITEM # 8. b) ORDINANCENO.23.9Self-Insurance:Inadditiontotheforegoinginsurance/self-insurancerequirements,Franchiseemayalsoinsureorself-insureagainstadditionalrisksinsuchamountsasareconsistentwithprudentutilitypractices.Franchiseeshall,uponrequest,provideRentonwithsufficientevidencethatsuchself-insuranceisbeingsomaintained.23.10Survival:TheindemnityandinsuranceprovisionsunderSectionsXXIIandXXIIIshallsurvivetheterminationofthisFranchiseandshallcontinueforaslongasFranchisee’sFacilitiesremaininorontheFranchiseAreaoruntilthePartiesexecuteanewFranchisethatmodifiesorterminatestheseindemnityorinsuranceprovisions.SECTIONXXIV:DiscriminationProhibitedInconnectionwiththisFranchise,includingandnotlimitedtoallWork,hiringandemployment,neitherFranchiseenoritsemployees,agents,subcontractors,volunteersorrepresentativesshalldiscriminateonthebasisofrace,color,sex,religion,nationality,creed,maritalstatus,sexualorientationorpreference,age(exceptminimumageandretirementprovisions),honorablydischargedveteranormilitarystatus,orthepresenceofanysensory,mentalorphysicalhandicap,unlessbaseduponabonafideoccupationalqualificationinrelationshiptohiringandemployment,inemploymentorapplicationforemploymentorintheadministrationofthedeliveryofservicesoranyotherbenefitsunderthisagreement.FranchiseeshallcomplyfullywithallapplicableLawsthatprohibitsuchdiscrimination.Acopyofthislanguagemustbemadeapartofanycontractororsubcontractoragreement.SECTIONXXV:Notice25.1WhenevernoticetoornotificationbyanyPartyisrequired,thatnoticeshallbeinwritinganddirectedtotherecipientattheaddresssetforthbelow,unlesswrittennoticeof43AGENDA ORDINANCENO.26.7ForceMaieure:IntheeventthatFranchiseeispreventedordelayedintheperformanceofanyofitsobligationsunderthisFranchisebyreason(s)beyondthereasonablecontrolofFranchisee,thenFranchisee’sperformanceshallbeexcusedduringtheForceMajeureoccurrence.UponremovalorterminationoftheForceMajeureoccurrenceFranchiseeshallpromptlyperformtheaffectedobligationsinanorderlyandexpeditedmannerunderthisFranchiseorprocureasubstituteforsuchobligationorperformancethatissatisfactorytoRenton.Franchiseeshallnotbeexcusedbymereeconomichardshiporbymisfeasanceormalfeasanceofitsdirectors,officersoremployees.EventsbeyondFranchisee’sreasonablecontrolinclude,butarenotlimitedto,ActsofGod,war,actsofdomesticterrorismorviolence,civilcommotion,labordisputes,strikes,earthquakes,fire,floodorothercasualty,shortagesoflaborormaterials,governmentregulationsorrestrictionsandextremeweatherconditions.FranchiseeshalluseallcommerciallyreasonableeffortstoeliminateorminimizeanydelaycausedbyaForceMajeureevent.26.8ForfeitureandOtherRemedies:IfFranchiseewillfullyviolatesorfailstocomplywithanyoftheFranchiseprovisions,orthroughwillfulorunreasonablenegligencefailstoheedorcomplywithanynoticethatRentonmaygivetoFranchiseeundertheFranchiseprovisions,attheelectionoftheRentonCityCouncil,thisFranchisemayberevokedorannulledafterahearinghelduponreasonablenoticetoFranchisee(whichnoticeshallbegivenatleastthirty(30)daysbeforethehearing),anduponsuchrevocation,allprivilegesconferredunderthisFranchiseshallbeforfeited.26.9Franchisee’sAcceptance:RentonmayvoidthisFranchiseordinanceifFranchiseefailstofileitsunconditionalacceptanceofthisFranchisewithinthirty(30)daysfromthefinal46AGENDA
