AGREEMENTFORCONSULTINGSERVICES THISAGREEMENT,datedforreferencepurposesonlyasMarch16,2022,isbyandbetweenthe CityofRenton(the“City”),aWashingtonmunicipalcorporation,andMilliman,Inc. (“Consultant”),aWashingtonforprofitcorporation.TheCityandtheConsultantarereferredto collectivelyinthisAgreementasthe“Parties.”OncefullyexecutedbytheParties,thisAgreement iseffectiveasofthelastdatesignedbybothparties. 1.ScopeofWork:ConsultantagreestoprovideactuarialservicesasspecifiedinExhibitA, whichisattachedandincorporatedhereinandmayhereinafterbereferredtoasthe “Work.” 2.ChangesinScopeofWork:TheCity,withoutinvalidatingthisAgreement,mayorder changestotheWorkconsistingofadditions,deletionsormodifications.Anysuchchanges totheWorkshallbeorderedbytheCityinwritingandtheCompensationshallbe equitablyadjustedconsistentwiththeratessetforthinExhibitAorasotherwisemutually agreedbytheParties. 3.TimeofPerformance:ConsultantshallcommenceperformanceoftheAgreement pursuanttotheschedule(s)setforthinExhibitA.AllWorkshallbeperformedbynolater thanDecember31,2023. 4.Compensation: A.Amount.TotalcompensationtoConsultantforWorkprovidedpursuanttothis Agreementshallnotexceed$30,000,plusanyapplicablestateandlocalsalestaxes. CompensationshallbepaidbaseduponWorkactuallyperformedaccordingtothe rate(s)oramountsspecifiedinExhibitA.TheConsultantagreesthatanyhourlyorflat ratechargedbyitforitsWorkshallremainlockedatthenegotiatedrate(s)unless otherwiseagreedtoinwritingorprovidedinExhibitA.Exceptasspecificallyprovided herein,theConsultantshallbesolelyresponsibleforpaymentofanytaxesimposed asaresultoftheperformanceandpaymentofthisAgreement. B.MethodofPayment.Onamonthlyornolessthanquarterlybasisduringanyquarter inwhichWorkisperformed,theConsultantshallsubmitavoucherorinvoiceinaform specifiedbytheCity,includingadescriptionofwhatWorkhasbeenperformed,the nameofthepersonnelperformingsuchWork,andanyhourlylaborchargeratefor suchpersonnel.TheConsultantshallalsosubmitafinalbilluponcompletionofall CAG-23-062 PAGE2OF12 Work.PaymentshallbemadebytheCityforWorkperformedwithinthirty(30) calendardaysafterreceiptandapprovalbytheappropriateCityrepresentativeofthe voucherorinvoice.IftheConsultant’sperformancedoesnotmeettherequirements ofthisAgreement,theConsultantwillcorrectormodifyitsperformancetocomply withtheAgreement. C.EffectofPayment.PaymentforanypartoftheWorkshallnotconstituteawaiverby theCityofanyremediesitmayhaveagainsttheConsultantforfailureofthe ConsultanttoperformtheWorkorforanybreachofthisAgreementbythe Consultant. D.NonͲAppropriationofFunds.Ifsufficientfundsarenotappropriatedorallocatedfor paymentunderthisAgreementforanyfuturefiscalperiod,theCityshallnotbe obligatedtomakepaymentsforWorkoramountsincurredaftertheendofthe currentfiscalperiod,andthisAgreementwillterminateuponthecompletionofall remainingWorkforwhichfundsareallocated.Nopenaltyorexpenseshallaccrueto theCityintheeventthisprovisionapplies. 5.Termination: A.TheCityreservestherighttoterminatethisAgreementatanytime,withorwithout causebygivingten(10)calendardays’noticetotheConsultantinwriting.Intheevent ofsuchterminationorsuspension,allcompleteddocuments,data,studies, worksheets,modelsandreports,orothermaterialpreparedbytheConsultant pursuanttothisAgreementshallbesubmittedtotheCity,ifanyarerequiredaspart oftheWork. B.ConsultantreservestherighttoterminatethisAgreementifanyinvoicegoesunpaid for60days.IntheeventofsuchterminationandsubjecttoSection4(D),Consultant shallbeentitledtocollecttheoutstandingbalance,aswellaschargesforallservices andexpensesincurreduptothedateoftermination. C.IntheeventthisAgreementisterminatedbytheCity,theConsultantshallbeentitled topaymentforallhoursworkedtotheeffectivedateoftermination,lessallpayments previouslymade.IftheAgreementisterminatedbytheCityafterpartialperformance ofWorkforwhichtheagreedcompensationisafixedfee,theCityshallpaythe Consultantanequitableshareofthefixedfee.Thisprovisionshallnotpreventthe Cityfromseekinganylegalremediesitmayhavefortheviolationornonperformance ofanyoftheprovisionsofthisAgreement.NopaymentshallbemadebytheCityfor anyexpensesincurredorworkdonefollowingtheeffectivedateofterminationunless authorizedinadvanceinwritingbytheCity. PAGE3OF12 6.WarrantiesAndRightToUseWorkProduct:Consultantrepresentsandwarrantsthat ConsultantwillperformallWorkidentifiedinthisAgreementinaprofessionalmanner andinaccordancewithallreasonableandprofessionalstandardsandlaws.Compliance withprofessionalstandardsincludes,asapplicable,performingtheWorkincompliance withapplicableCitystandardsorguidelinesConsultantfurtherrepresentsandwarrants thatallfinalworkproductcreatedforanddeliveredtotheCitypursuanttothis AgreementshallbetheoriginalworkoftheConsultantandfreefromanyintellectual propertyencumbrancebyathirdpartywhichwouldrestricttheCityfromusingthework product.Consultantshallretainallrights,titleandinterest(including,withoutlimitation, allcopyrights,patents,servicemarks,trademarks,tradesecretandotherintellectual propertyrights)inandtoalltechnicalorinternaldesigns,data,databases,methods, ideas,concepts,knowͲhow,techniques,genericdocumentsandtemplates(“Tools”)that havebeenpreviouslydevelopedbyConsultantorsuchToolsdevelopedduringthecourse oftheprovisionoftheServicesprovidedsuchToolsdonotcontainand/orarenotbased uponorderivedfromanyCityproprietarydata.RightsandownershipbyConsultantofits ToolsshallnotextendtoorincludealloranypartofCity’sproprietarydata.Totheextent thatConsultantmayincludeintheworkproductanyTools,ConsultantagreesthatCity shallbedeemedtohaveafullypaidupperpetuallicensetomakecopiesoftheToolsas partofthisengagementforitsinternalbusinesspurposesandprovidedthatsuchTools cannotbemodifiedordistributedoutsideCitywithoutthewrittenpermissionof ConsultantorexceptasotherwisepermittedinSection7.Theprovisionsofthissection shallsurvivetheexpirationorterminationofthisAgreement. 7.NoThirdPartyBeneficiary.Consultant'sworkispreparedsolelyfortheuseandbenefit ofCityinaccordancewithitsstatutoryandregulatoryrequirements.Consultant recognizesthatmaterialsitdeliverstoCitymaybepublicrecordssubjecttodisclosure tothirdparties,however,Consultantdoesnotintendtobenefitandassumesnodutyor liabilitytoanythirdpartieswhoreceiveConsultant'sworkandmayincludedisclaimer languageonitsworkproductsostating.Cityagreesnottoremoveanysuchdisclaimer languagefromConsultant’swork. 8.RecordMaintenance:TheConsultantshallmaintainaccountsandrecords,which properlyreflectalldirectandindirectcostsexpendedandWorkprovidedinthe performanceofthisAgreementandretainsuchrecordsforaslongasmayberequiredby applicableWashingtonStaterecordsretentionlaws,butinanyeventnolessthansix yearsaftertheterminationofthisAgreement.TheConsultantagreestoprovideaccess toandcopiesofanyrecordsrelatedtothisAgreementasrequiredbytheCitytoaudit expendituresandchargesand/ortocomplywiththeWashingtonStatePublicRecordsAct (Chapter42.56RCW).Theprovisionsofthissectionshallsurvivetheexpirationor terminationofthisAgreement. PAGE4OF12 9.PublicRecordsCompliance:TothefullextenttheCitydeterminesnecessarytocomply withtheWashingtonStatePublicRecordsAct,Consultantshallmakeaduediligentsearch ofallrecordsinitspossessionorcontrolrelatingtothisAgreementandtheWork, including,butnotlimitedto,eͲmail,correspondence,notes,savedtelephonemessages, recordings,photos,ordrawingsandprovidethemtotheCityforproduction.Intheevent Consultantbelievessaidrecordsneedtobeprotectedfromdisclosure,itmay,at Consultant’sownexpense,seekjudicialprotection.Consultantshallindemnify,defend, andholdharmlesstheCityforallcosts,includingattorneys’fees,attendanttoanyclaim orlitigationrelatedtoaPublicRecordsActrequestforwhichConsultanthasresponsive recordsandforwhichConsultanthaswithheldrecordsorinformationcontainedtherein, ornotprovidedthemtotheCityinatimelymanner.Consultantshallproducefor distributionanyandallrecordsresponsivetothePublicRecordsActrequestinatimely manner,unlessthoserecordsareprotectedbycourtorder.Theprovisionsofthissection shallsurvivetheexpirationorterminationofthisAgreement. 10.StatusofConsultant: A.TheConsultantisretainedbytheCityonlyforthepurposesandtotheextentsetforth inthisAgreement.ThenatureoftherelationshipbetweentheConsultantandtheCity duringtheperiodoftheWorkshallbethatofanindependentcontractor,not employee.TheConsultant,nottheCity,shallhavethepowertocontrolanddirectthe details,mannerormeansofWork.Specifically,butnotbymeansoflimitation,the Consultantshallhavenoobligationtoworkanyparticularhoursorparticular schedule,unlessotherwiseindicatedintheScopeofWorkorwhereschedulingof attendanceorperformanceismutuallyarrangedduetothenatureoftheWork. ConsultantshallretaintherighttodesignatethemeansofperformingtheWork coveredbythisagreement,andtheConsultantshallbeentitledtoemployother workersatsuchcompensationandsuchotherconditionsasitmaydeemproper, provided,however,thatanycontractsomadebytheConsultantistobepaidbyit alone,andthatemployingsuchworkers,itisactingindividuallyandnotasanagent fortheCity. B.Consultantshallnotbedeemedtobea“namedfiduciary”or“planadministrator”as thosetermsaredefinedunderERISAoranysimilarorsuccessorlaw. C.TheCityshallnotberesponsibleforwithholdingorotherwisedeductingfederal incometaxorSocialSecurityorcontributingtotheStateIndustrialInsurance Program,orotherwiseassumingthedutiesofanemployerwithrespecttoConsultant oranyemployeeoftheConsultant. D.IftheConsultantisasoleproprietorshiporifthisAgreementiswithanindividual,the ConsultantagreestonotifytheCityandcompleteanyrequiredformiftheConsultant PAGE5OF12 retiredunderaStateofWashingtonretirementsystemandagreestoindemnifyany lossestheCitymaysustainthroughtheConsultant’sfailuretodoso. 11. HoldHarmless:SubjecttoanylimitationsofliabilityinthisAgreement,theConsultant agreestorelease,indemnify,defend,andholdharmlesstheCity,electedofficials, employees,officers,andrepresentatives,fromclaims,demands,actions,suits,causesof action,arbitrations,mediations,proceedings,judgments,awards,injuries,damages, liabilities,taxes,losses,penalties,reasonableattorney’sorattorneys’fees,costsof defense,and/orlitigationexpensestoorbythirdpartiestotheextentresultingfromthe negligentacts,errorsoromissionsoftheConsultantinitsperformanceofthisAgreement, exceptforthatportionoftheclaimscausedbytheCity’snegligence. Cityagreesthatit willpromptlynotifyandtenderthedefensetoConsultantofanyindemnifiedclaim, providedthatCity’sfailuretoprovidepromptnoticeshallnotrelieveConsultantfrom liabilityhereinexcepttotheextentConsultantisprejudicedbysuchfailure,and Consultantshall,atitssoleexpense,defend,andatitssolediscretion,settleanysuch indemnifiableclaim,providedthat,ConsultantshallobtainCity’sconsentintheeventof anysettlement,whichconsentshallnotbeunreasonablywithheld.Citymayparticipate inthedefenseofanyindemnifiedclaimatitsownexpense. Itisfurtherspecificallyandexpresslyunderstoodthattheindemnificationprovidedin thisAgreementconstituteConsultant’swaiverofimmunityundertheIndustrial InsuranceAct,RCWTitle51,solelyforthepurposesofthisindemnification.TheParties havemutuallynegotiatedandagreedtothiswaiver.Theprovisionsofthissectionshall survivetheexpirationorterminationofthisAgreement. 12. LimitationofLiability.Intheeventofanyclaimsarisingfromservicesprovidedby Consultantatanytime,thetotalliabilityofConsultant,itsofficers,directors,agentsand employeestoCityshallnotexceed,intheaggregate,fivemilliondollars($5,000,000).This limitappliesregardlessofthetheoryoflawunderwhichaclaimisbrought,including negligence,tort,contract,orotherwise.InnoeventshallConsultantbeliableforlost profitsofCityoranyothertypeofincidentalorconsequentialdamages.Theforegoing limitationsshallnotapplyintheeventoftheintentionalfraudorwillfulmisconductof Consultant. 13. DataReliance.InperformingtheserviceshereunderConsultantwillrelyondataand otherinformationprovidedtoitbytheCityoronbehalfoftheCity.Consultantwillnot audit,verifyorreviewthedataandotherinformationforreasonablenessand consistency.Suchareviewisbeyondthescopeoftheassignment.Iftheunderlyingdata orinformationisinaccurateorincomplete,theresultsofConsultant’sanalysismay likewisebeinaccurateorincomplete. GiftsandConflicts:TheCity’sCodeofEthicsandWashingtonStatelawprohibitCity employeesfromsoliciting,accepting,orreceivinganygift,gratuityorfavorfromany person,firmorcorporationinvolvedinacontractortransaction.Toensurecompliance withtheCity’sCodeofEthicsandstatelaw,theConsultantshallnotgiveagiftofanykind toCityemployeesorofficials.ConsultantalsoconfirmsthatConsultantdoesnothavea businessinterestoraclosefamilyrelationshipwithanyCityofficeroremployeewhowas, is,orwillbeinvolvedinselectingtheConsultant,negotiatingoradministeringthis Agreement,orevaluatingtheConsultant’sperformanceoftheWork. 15. CityofRentonBusinessLicense:UnlessexemptedbytheRentonMunicipalCode,t ConsultantshallobtainaCityofRentonBusinessLicensepriortoperforminganyWork andmaintainthebusinesslicenseingoodstandingthroughoutthetermofthis agreementwiththeCity. Insurance:Consultantshallsecureandmaintain: A. Commercialgeneralliabilityinsuranceintheminimumamountsof$1,000,000for eachoccurrence/$2,000,000aggregatefortheTermofthisAgreement. B. IntheeventthatWorkdeliveredpursuanttothisAgreementeitherdirectlyor indirectlyinvolveorrequireProfessionalServices,ProfessionalLiability,Errorsand Omissionscoverageshallbeprovidedwithminimumlimitsof$1,000,000perclaim. "ProfessionalServices",forthepurposeofthissection,shallmeananyWorkprovided byalicensedprofessionalorWorkthatrequiresaprofessionalstandardofcare. C. Workers’compensationcoverage,asrequiredbytheIndustrialInsurancelawsofthe StateofWashington,shallalsobesecured. D. CommercialAutomobileLiabilityforowned,leased,hiredornonͲowned,leased,hired ornonͲowned,withminimumlimitsof$1,000,000peraccidentcombinedsinglelimit, iftherewillbeanyuseofConsultant’svehiclesontheCity’sPremisesbyoronbehalf oftheCity,beyondnormalcommutes. E. ConsultantshallnametheCityasanAdditionalInsuredonitscommercialgeneral liabilitypolicyonanonͲcontributoryprimarybasiswithrespecttoliabilitiesarising fromConsultant’sWork.TheCity’sinsurancepoliciesshallnotbeasourcefor paymentofanyConsultantliability,norshallthemaintenanceofanyinsurance PAGE7OF12 requiredbythisAgreementbeconstruedtolimittheliabilityofConsultanttothe coverageprovidedbysuchinsuranceorotherwiselimittheCity’srecoursetoany remedyavailableatlaworinequity. F. Acertificateofinsuranceshowingtheproperendorsements,shallbedeliveredtothe CitybeforeperformingtheWork. G. ConsultantshallprovidetheCitywithwrittennoticeofanypolicycancellation,within ten(10)businessdaysoftheirreceiptofsuchnotice. 17. Delays:Consultantisnotresponsiblefordelayscausedbyfactorsbeyondthe Consultant’sreasonablecontrol.WhensuchdelaysbeyondtheConsultant’sreasonable controloccur,theCityagreestheConsultantisnotresponsiblefordamages,norshallthe ConsultantbedeemedtobeindefaultoftheAgreement. 18. SuccessorsandAssigns:NeithertheCitynortheConsultantshallassign,transferor encumberanyrights,dutiesorinterestsaccruingfromthisAgreementwithoutthe writtenconsentoftheother. 19. Notices:AnynoticerequiredunderthisAgreementwillbeinwriting,addressedtothe appropriatepartyattheaddresswhichappearsbelow(asmodifiedinwritingfromtime totimebysuchparty),andgivenpersonally,byregisteredorcertifiedmail,returnreceipt requested,byfacsimileorbynationallyrecognizedovernightcourierservice.Timeperiod fornoticesshallbedeemedtohavecommenceduponthedateofreceipt,EXCEPT facsimiledeliverywillbedeemedtohavecommencedonthefirstbusinessdayfollowing transmission.Emailandtelephonemaybeusedforpurposesofadministeringthe Agreement,butshouldnotbeusedtogiveanyformalnoticerequiredbytheAgreement. DiscriminationProhibited:Excepttotheextentpermittedbyabonafideoccupational qualification,theConsultantagreesasfollows: A. Consultant,andConsultant’sagents,employees,representatives,andvolunteers withregardtotheWorkperformedortobeperformedunderthisAgreement,shall notdiscriminateonthebasisofrace,color,sex,religion,nationality,creed,marital PAGE8OF12 status,sexualorientationorpreference,age(exceptminimumageandretirement provisions),honorablydischargedveteranormilitarystatus,orthepresenceofany sensory,mentalorphysicalhandicap,unlessbaseduponabonafideoccupational qualificationinrelationshiptohiringandemployment,inemploymentorapplication foremployment,theadministrationofthedeliveryofWorkoranyotherbenefits underthisAgreement,orprocurementofmaterialsorsupplies. B. TheConsultantwilltakeaffirmativeactiontoinsurethatapplicantsareemployedand thatemployeesaretreatedduringemploymentwithoutregardtotheirrace,creed, color,nationalorigin,sex,age,sexualorientation,physical,sensoryormental handicaps,ormaritalstatus.Suchactionshallinclude,butnotbelimitedtothe followingemployment,upgrading,demotionortransfer,recruitmentorrecruitment advertising,layoffortermination,ratesofpayorotherformsofcompensationand selectionfortraining. C. IftheConsultantfailstocomplywithanyofthisAgreement’snonͲdiscrimination provisions,theCityshallhavetheright,atitsoption,tocanceltheAgreementin wholeorinpart. D. TheConsultantisresponsibletobeawareofandincompliancewithallfederal,state andlocallawsandregulationsthatmayaffectthesatisfactorycompletionofthe project,whichincludesbutisnotlimitedtofairlaborlaws,worker'scompensation, andTitleVIoftheFederalCivilRightsActof1964,andwillcomplywithCityofRenton CouncilResolutionNumber4085. 21. Miscellaneous:Thepartiesherebyacknowledge: A. TheCityisnotresponsibletotrainorprovidetrainingforConsultant. B. Consultantwillnotbereimbursedforjobrelatedexpensesexcepttotheextent specificallyagreedwithintheattachedexhibits. C. Consultantshallfurnishalltoolsand/ormaterialsnecessarytoperformtheWork excepttotheextentspecificallyagreedwithintheattachedexhibits. D. Intheeventspecialtraining,licensing,orcertificationisrequiredforConsultantto provideWorkhe/shewillacquireormaintainsuchathis/herownexpenseand,if Consultantemploys,subͲcontracts,orotherwiseassignstheresponsibilitytoperform theWork,saidemployee/subͲcontractor/assigneewillacquireandormaintainsuch training,licensing,orcertification. E. ThisisanonͲexclusiveagreementandConsultantisfreetoprovidehis/herWorkto otherentities,solongasthereisnointerruptionorinterferencewiththeprovisionof WorkcalledforinthisAgreement. PAGE9OF12 F. Consultantisresponsibleforhis/herowninsurance,including,butnotlimitedto healthinsurance. G. Consultantisresponsibleforhis/herownWorker’sCompensationcoverageaswellas thatforanypersonsemployedbytheConsultant. H. CityagreesthatitshallnotuseConsultant’sname,trademarksorservicemarks,or refertoConsultantdirectlyorindirectlyinanymediarelease,publicannouncement orpublicdisclosure,includinginanypromotionalormarketingmaterials,customer lists,referrallists,websitesorbusinesspresentationswithoutConsultant’sprior writtenconsentforeachsuchuseorrelease,whichconsentshallbegivenin Consultant’ssolediscretion.ThissubsectionshallnotpreventtheCityfrom referencingConsultant’sworkordisclosingthiscontractorrecordsrelatingtothis contractintheCity’sordinaryconductofbusiness,includingbutnotlimitedto financialreviews,responsestopublicrecordsrequests,negotiationswithinterested unions,publishinginformationtotheCityCouncilforitsinformationand/orapproval, andprocessingpayments. 22. OtherProvisions: A. ApprovalAuthority.EachindividualexecutingthisAgreementonbehalfoftheCity andConsultantrepresentsandwarrantsthatsuchindividualsaredulyauthorizedto executeanddeliverthisAgreementonbehalfoftheCityorConsultant. B. GeneralAdministrationandManagement.TheCity’sprojectmanagerisKariRoller, FinanceAdministrator.InprovidingWork,ConsultantshallcoordinatewiththeCity’s contractmanagerorhis/herdesignee. C. AmendmentandModification.ThisAgreementmaybeamendedonlybyan instrumentinwriting,dulyexecutedbybothParties. D. Conflicts.IntheeventofanyinconsistenciesbetweenConsultantproposalsandthis Agreement,thetermsofthisAgreementshallprevail.Anyexhibits/attachmentsto thisAgreementareincorporatedbyreferenceonlytotheextentofthepurposefor whichtheyarereferencedwithinthisAgreement.TotheextentaConsultant preparedexhibitconflictswiththetermsinthebodyofthisAgreementorcontains termsthatareextraneoustothepurposeforwhichitisreferenced,thetermsinthe bodyofthisAgreementshallprevailandtheextraneoustermsshallnotbe incorporatedherein. E. GoverningLaw.ThisAgreementshallbemadeinandshallbegovernedbyand interpretedinaccordancewiththelawsoftheStateofWashingtonandtheCityof PAGE10OF12 Renton.ConsultantandalloftheConsultant’semployeesshallperformtheWorkin accordancewithallapplicablefederal,state,countyandcitylaws,codesand ordinances. F. JointDraftingEffort.ThisAgreementshallbeconsideredforallpurposesasprepared bythejointeffortsofthePartiesandshallnotbeconstruedagainstonepartyorthe otherasaresultofthepreparation,substitution,submissionorothereventof negotiation,draftingorexecution. G. DisputeResolution.Intheeventofanydisputearisingoutoforrelatingtothis Agreement,thepartiesagreethatthedisputewillberesolvedbyfinalandbinding arbitrationundertheCommercialArbitrationRulesoftheAmericanArbitration Association.Thearbitrationshalltakeplacebeforeapanelofthreearbitrators.Within 30daysofthecommencementofthearbitration,eachpartyshalldesignateinwriting asingleneutralandindependentarbitrator.Thetwoarbitratorsdesignatedbythe partiesshallthenselectathirdarbitrator.Thearbitratorsshallhaveabackgroundin eitherinsurance,actuarialscienceorlaw.Thearbitratorsshallhavetheauthorityto permitlimiteddiscovery,includingdepositions,priortothearbitrationhearing,and suchdiscoveryshallbeconductedconsistentwiththeFederalRulesofCivil Procedure.Thearbitratorsshallhavenopowerorauthoritytoawardpunitiveor exemplarydamages.Thearbitratorsmay,intheirdiscretion,awardthecostofthe arbitration,includingreasonableattorneyfees,totheprevailingparty.Anyaward mademaybeconfirmedinanycourthavingjurisdiction.Anyarbitrationshallbe confidential,andexceptasrequiredbylaw,neitherpartymaydisclosethecontentor resultsofanyarbitrationhereunderwithoutthepriorwrittenconsentoftheother party,exceptthatdisclosureispermittedtoaparty’sauditorsandlegaladvisors. H. Severability.Acourtofcompetentjurisdiction’sdeterminationthatanyprovisionor partofthisAgreementisillegalorunenforceableshallnotcancelorinvalidatethe remainderofthisAgreement,whichshallremaininfullforceandeffect. I. SoleandEntireAgreement.ThisAgreementcontainstheentireagreementofthe Partiesandanyrepresentationsorunderstandings,whetheroralorwritten,not incorporatedareexcluded. J. ThirdͲPartyBeneficiaries.NothinginthisAgreementisintendedto,norshallbe construedtogiveanyrightsorbenefitsintheAgreementtoanyoneotherthanthe Parties,andalldutiesandresponsibilitiesundertakenpursuanttothisAgreementwill beforthesoleandexclusivebenefitofthePartiesandnooneelse. K. BindingEffect.ThePartieseachbindthemselves,theirpartners,successors,assigns, andlegalrepresentativestotheotherpartytothisAgreement,andtothepartners, PAGE11OF12 successors,assigns,andlegalrepresentativesofsuchotherpartywithrespecttoall covenantsoftheAgreement. L. Waivers.Allwaiversshallbeinwritingandsignedbythewaivingparty.Eitherparty’s failuretoenforceanyprovisionofthisAgreementshallnotbeawaiverandshallnot preventeithertheCityorConsultantfromenforcingthatprovisionoranyother provisionofthisAgreementinthefuture.Waiverofbreachofanyprovisionofthis Agreementshallnotbedeemedtobeawaiverofanypriororsubsequentbreach unlessitisexpresslywaivedinwriting. M. Counterparts.ThePartiesmayexecutethisAgreementinanynumberof counterparts,eachofwhichshallconstituteanoriginal,andallofwhichwilltogether constitutethisoneAgreement.
