WebLinkAboutLeaseLAG-23-O01CEDARRIVERBOATHOUSEAGREEMENTatCedarRiverTrailParkTHISLEASEAGREEMENT(“Agreement”)ismadeandenteredintothisJanuary1,2023(the“EffectiveDate”),byandbetweentheCityofRenton(“City”),aWashingtonmunicipalcorporation,andtheRentonRowingCenter(RRC),aWashingtonnonprofitcorporation,forthepurposeofoperatingatowingclubandpaddlecraftrentalbusinessattheCedarRiverBoathouse.TheCityandRRCareattimescollectivelyreferredtoas“Parties.”WHEREAS,theCityhasformerlyleasedspacetotheGeorgePocockRowingFoundation(GPRF)intheCedarRiverBoathouse(LAG-14-001);andWHEREAS,RentonRowingCenterbranchedofffromGPRFtobecomeanindependentnon-profitcorporation;andWHEREAS,theCityandRRCdesiretocontinuetheirrelationshipandtoenterintoanewagreement;andInconsiderationoftheWHEREASprovisions,covenantsandagreementssetforthinthisAgreement,thePartiesagreeasfollows:1.LEASEPREMISESA.TheCitydoesherebyleasetoRRCtheprivilegetomanageandoperatearowingclubandpaddlecraftrentalbusinessattheCedarRiverBoathouse,inCedarRiverTrailPark.TheCedarRiverBoathouseofthatcertainrealpropertyislocatedonaconcreteslabonpilings.ThespecifiedPremisesshallincludeandbelimitedto:a.Thebuildingwithtotalenclosedspaceof4,420ft’thatincludesafloorareaof3,128ft2withanadditionalmezzanineof1,292ft2asshowninExhibit“A,”page2.b.Adockandwalkwayareaof3,565ft2asshowninExhibit“A,”page1.c.CedarRiverParkTrailParkingLot:1.Ten(10)parkingstallsarespecificallydesignatedforplacementofstoragecontainer(s)andequipmentasshowninExhibit“B.”TheCitymayrequireRRCtomoveorrelocatethestoragecontainer(s)andequipmentatnocosttotheCityshouldtheCityrequirethespacesorintheeventofanemergency.2.Noreservedparking—allotherparkingisontirstcomefirstserve,non-exclusiveuse,non-guaranteedbasis.B.RRCshallnotusethePremisesforanyotherpurposewithoutthepriorwrittenconsentoftheCity,whichmaybewithheldforanyreason.C.RRChaseitherexaminedthePremisesorhaswaivedexaminingthePremisesandacceptsthePremisesasis,initspresentconditionaspartoftheconsiderationofthisAgreement,andRRCacceptsallrelatedliabilitiesandrisksrelatedtouseofthePremises.NewLeaseAgreementRRC D.RRCshallnotusethePremises,theadjacentright-of-way,oraccessareasinanywaythatinterfereswiththeCity’suseofthepropertyforCitypurposes.Similarly,otherthanfortheuseprovidedforinthisAgreement,theCityshallnotunreasonablyuse,orpermititsagents,employees,representatives,tenants,orvolunteerstouseanyportionofthePremisesinanywaythatmateriallyinterfereswithRRCoperationsthatareauthorizedbythisagreement.E.RRCcanmakenochangesoralterationstotheentirePremiseswithouttheadvancewrittenapprovaloftheCity,andallsuchchangesandalterationsshallbeentirelypaidforbyRRC.2.TERMANDTERMINATIONA.TermThisagreementshallbeforaperiodoffive(6)yearsfromthebeginningJanuary1,2023toDecember31,2028,unlessotherwiseterminatedpursuanttotheterminationsectionofthesectionofthisAgreement(“InitialTerm”).B.TerminationEitherPartymayterminatethisAgreementwithninety(90)days’writtennoticeatanytime,foranyreasontotheotherParty.EitherPartymayterminatethisAgreementwiththirty(30)days’writtennoticetotheotherPartypriortotheterminationdateoftheAgreement.3.NOTICEExceptasotherwisedesignatedinthisAgreement,allnoticesmustbeinwritingandshallbedeemedvalidgivenifsetbycertifiedmail,return-receiptrequested,orovernightdelivery,addressedasfollowsorasotherwisespecifiedbytheCityduringthedurationofthisAgreement:CityofRentonDepartmentofPublicWorksFacilitiesDirector1055SouthGradyWayRenton,Washington98057Attn:FacilitiesDirectorRentonRowingCenterExecutiveDirector3320FuhrmanAveESeattle,WA981024.PAYMENTANDCONSIDERATION:A.MonthlyLeasePayment:1.Foratotalareaof7,9$5ftz,RRCagreestopayuntotheCityasrentalforthePremises,TwentyThreeThousandEightHundredEightyOneDollarsandEightCents($23,881.08)in2023and2024.Eachsubsequentyearafter12/31/2024thetentshallincreaseby3%annually.RRCisalsoresponsibleforpaymentofStateNewLeaseAgreementRRC LeaseholdExciseTax(LET)of12.84%.LETrateisbasedontheWaterfrontfairmarketvaluerateof$2.991t2,therefore,LETis$255.53permonth.Themonthlypaymentisasfollows;LETYearRental12.84%TotalPayment1/1/2023-1990.012/31/20249255.532,245.621/1/2025-2049.712/31/20259263.192,312.981/1/2026-2111.212/31/20268271.092,382.371/1/2027-2174,612/31/20272279.222,453.841/1/2028-2239,812/31/20286287.602,527.462.RRCmayobtain,onanannualbasis,anon-profitLETexemptioncertificatefromtheDepartmentofRevenue.AslongasthiscertificationisprovidedtotheCityandinforce,RRCwillbeexemptfrompayingtheLET.3.If,aftertheendoftheinitialTermoranyExtensionTerm,RRCcontinuestousethePremiseswithoutenteringintoanewleasewiththeCity,and/ortheCityhasnotsentRRCwrittennoticetoterminateornotrenewtheAgreement,RRCshallowetheCityamonthlyleasepaymentonamonth-to-monthbasisonthesametermsandconditionsofthisAgreement,ananynewtermsrequiredbytheCity.Themonthlyleasepaymentshallbeanamountequaltoonehundredtwenty-fivepercent(125%)ofthecurrentPaymentorExtensionTermPaymentwhichwaspayableduringtheTermorExtensionTermofthisAgreementplusLETonthethencurrentmarketvalue(“Month-to-MonthPayment“).4.TheCity,throughitsrepresentative,shallhavetherightatreasonabletimestoexamineandinspectbooksandrecordsoftheRRCbearinguponorconnectedwiththebusinessconductedupontheRRCpremisestodeterminecompliancewiththeprovisionsoftheagreement.B.DueDatePaymentisdueonthefirstdayofeachandeverycalendarmonthduringthedurationofthisAgreement.C.Allpaymentsshallbepaidordeliveredto:RE:LAG____AccountsReceivableFinanceDepartmentRentonCityHall—5thFloorNewLeaseAgreementRRC 1055SouthGradyWayRenton,Washington98057D.LatePaymentIfanyrequiredPayment(includinganyExtensionTermPaymentandMonth-to-MonthPayment)isnotpaidbyRRCtotheCitywithinten(10)daysafterthedatespecified,alatechargeoftenpercent(10%)ofthepaymentdueandunpaidshallbeaddedtothePaymentasapenaltyandthetotalsumshallbecomeimmediatelydueandpayable.Anyamountremainingunpaidbythefirstdayofthemonthfollowingtheduedateforpayment(i.e.,approximatelytwenty(20)dayslate)shallbearinterestatonepercent(1%)eachmonth.E.TheCity’sreceiptoracceptanceofanyPayment,ExtensionTermPayment,orMonth-to-Month,withknowledgeofRRCbreachofthisAgreementorRRC’sdefaultthatisrelatedtothisAgreementorimpactsthisAgreement,shallnotconstituteorbedeemedawaiverofanyprovisionothisAgreement.5.TAXES-FEESRRCagreestopayalltaxesandassessmentswhicharetheresultofRRC’suseofthePremisesand/orwhichmaybecomealienonRRC’sinterestinaccordancewiththeRCW79.44.010(Landssubjecttolocalassessment).RRCshalltimelypayalltaxes,fees,charges,andcostsraisingoutoftheuseandoccupancyofthePremisesincluding,butnotlimitedto,chargesimposedforgovernmentalinspectionsorexaminations,licenseandexcisefees,taxespersonalpropertyonthePremises,workers‘compensationand/orinsuranceandtheleaseholdinterestcreatedbythisagreement.6.OPERATION,SERVICESANDJANITORIALA.Facilities:RRCagreestoandshalloperateandmanagethePremisesinaccordancewiththefollowingrequirements:1.Canoe,Kayak,andStand-upPaddleBoardRentalsperattachedExhibit“D.”2.OperatetheRRCunderconditionscontainedinExhibit“C.”8.Deliveries:DeliveriestothePremisesshallbemadeinearlymorninghoursorlateafternoonhourstominimizetheimpactonPackoperationsandpedestriantraffic.C.Promotions/Advertising:AlladvertisingshallrequireRenton’spriorwrittenapproval.AllpromotionsmustbecoordinatedwithRenton’sParksandRecreationDepartment.D.Signage:AllgraphicsplaceduponoraffixedtoanyofthePremisesshallbesubjecttoRenton’spriorwrittenapprovalandshallnotincludeproductorcommercialadvertising.RRCwillfollowallCitysigncodes,includingA-framesigns.RRCshallsubmitdetailedplansandsecureanyneededpermits/approvalsforallexteriorandinteriorsigns.Inallcases,signageshallbeconsistentinsize,color,lettering,andthemetoregularparksignageandspecifications.E.RRCshallbesolelyresponsiblefor,atalltimes:NewLeaseAgreementRRC 1.KeepingthePremisesandadjacentareasinneat,clean,safeandsanitaryconditions;includingcleaningandtheminorrepairofthefloatingdockandassociatedgangwayshighlightedinorangeinExhibit“A,”page1.2.Keepingtheglassofallwindowsanddoorscleanandpresentable;3.Keepingstoreditemsintheparkinglotareawithinthatspaceandnotoverhanging,tothee)ctentpossible,lawnandlandscapedareasofCedarRivetTrailPark.4.Furnishingpre-approvedcleaningsupplies,materials,andequipmentneededtooperatethePremisesinthemannerprescribedinthisAgreementand;5.AJanitorialServicemaybecontractedoutwithathirdparty,whichshallbesubjecttothisAgreementandfrequencyscheduleattachedinExhibit“E”withpriorwrittenapprovaloftheCity.AllrelatedexpensesaresolelyRRC’sresponsibility.F.TheCityisresponsiblefor,atalltimes:1.MajormaintenanceandupkeeponHVACequipment(FACILITIES)2.Majorrepairsonplumbingfixturesincludinghotwaterheaters,drainmaintenance,andanyupgradesneededbycurrentcodes(FACILITIES)3.Majorelectricalrepairs(FACILITIES)4.Littercontrolandemptyingexteriortrashcontainers(PARKSANDTRAILS)5.Minorconcretepatchinginsidethebuilding(FACILITIES)andoutsidethebuilding(PARKSANDTRAILS)6.Minormaintenanceofthegalvanizedtailingsuchaspaintingandtighteninglooseconnections(PARKSANDTRAILS)7.Maintenanceofvariousassetsalongthewalkways(s)includingsignageontherailing,liferings,benches,picnictablesandfishinglinecollectiontube(PARKSANDTRAILS)8.Keepingcleantheexteriorbathroomsandemptyingtrashcontainersfromtheexteriorrestrooms,daily(FACILITIES)9.KeepingcleanandrepairsonthepierandassociatedgangwaysnexttothePremises(PARKSANDTRAILS)G.RRCmustnotifytheCityandobtaintheCity’swrittenapprovalbeforeinstallinganynewequipment,fixtures,otherimprovements,ormakinganymaterialchangesintheequipment,sizeordesignofanysuchequipmentinoronthePremisesthatrequiresabuildingpermitbyCityCode.NewLeaseAgreementRRC 7.CAPITALIMPROVEMENTSAllexistingpermanentimprovementsshallbecomethepropertyoftheCityofRentonuponterminationorexpirationofthisAgreement.NofuturecapitalimprovementswillbemadewithoutthepriorwrittenconsentoftheFacilitiesDirectorand/orPublicWorksAdministrator.8.UTILITIESElectricalpower,waterandsewerserviceareprovidedviatheBoeingutilitygrid.TelephoneserviceisprovidedbytheCity’sInformationTechnologyDivisionandgarbagecollectioniscoordinatedbyPublicWorksSustainabilityandSolidWasteDivision.A.RRCshallbesolelyresponsibleforobtaining,retaining,maintaining,andpayingforanyutilitiesand/orutilityinstallations.B.RRCshallbesolelyresponsibleforpaymentofallutilitychargesandanyrelatedpenaltiesandfees.C.AttheendoftheTerm,theinstalledutilityhardwareshallbethepropertyoftheCityofRentonunlessownedbytheutilityorunlessthePartiesreachawrittenagreementdetailinganotherresolutionordispositionoftheinstalledutilityhardware.D.Atitssoleexpense,RRCmayinstallabackupgeneratorinalocationandmannerthattheCityapproves,inordertoprovideelectricalserviceduringanemergencysituationwhereelectricalpowerisnotavailable.TheCitymaydenyapprovalofsuchabackupgeneratorforanyreason.E.TheCityshallnotbeheldresponsibleforanychargesorchangesintheprovisionofelectrical,waterandsewerservices.TheCityshallnotbeliableforanydamagestoanyperson,property,ormonetary,norshallRRCberelievedfromanyofitsobligationsunderthisAgreement,asadirectorindirectresultoftemporaryinterruptionintheelectricalpowerprovidedtothePremises,unlesstheCityintentionallycausedtheinterruption.9.RIGHTOFENTRYTheCity’srepresentative(s)mayenterthePremisesduringnormaloperatinghoursforthepurposeofinspectingorrepairingthesame.Inthecaseofemergency,theCitymayenter,inspectandrepairasneededatanytime.ThisrightshallimposenoobligationupontheCitytomakeinspectionstoascertaintheconditionofthePremisesinadditiontotheCity’sresponsibilitytoconductannualinspectionsandshallimposenoliabilityorresponsibilityotherthantoinformRRCofanydefect.10.EQUALITYOFTREATMENTRRCshallconductitsbusinessinamannerthatensuresfair,equalandnon-discriminatorytreatmentatalltimesinallrespectstoallpersonswithoutregardtorace,color,religion,sex,sexualorientation,maritalstatus,ageornationalorigin.Nopersonshallberefusedservice,be,showndiscriminatorytreatment,orbedeniedanyprivilege,useoffacilities,orparticipationinactivitiesonthePremisesbasedon:Race,color,religion,sex,sexualorientation,maritalstatus,NewLeaseAgreementRRC age,ornationalorigin.FailuretocomplywithanyofthetermsofthisprovisionshallbeamaterialbreachofthisAgreement.11.NON-DISCRIMINATIONRRCshallcomplywithallapplicablelawsregardingnondiscriminationinemployment,theprovisionofservicestothepublicinanon-discriminatorymanner,andaffirmativeaction,includingbutnotlimitedtotheprovisionsoftheCityofRentonFairPracticesPolicyasattachedinExhibit“F”andfullyincorporatedbyreferenceintothisAgreement.RRCshallcomplywithallprovisionsoftheAmericanswithDisabilitiesAct.12.INSURANCEA.RentonRowingCenterInsurance:RRCshallsecureandmaintainthefollowinginsurancepolicies,andshallnotcancelorsuspendtheinsurancepoliciesidentifiedbelow:1.CommercialGeneralliabilityInsurance:Commercialgeneralliabilityinsuranceintheminimumamountsof$1,000,000foreachoccurrence/$2,000,000aggregatethroughoutthedurationofthisAgreement.2.ProfessionalLiabilityInsurance:Professionalliabilityinsurance,intheminimumamountof$1,000,000foreachoccurrence,shallalsobesecuredforanyprofessionalservicesbeingprovidedtotheCitythatareexcludedinthecommercialgeneralliabilityinsurance.3.Workers’Compensation:Workers’compensationcoverage,asrequiredbyRCW51,IndustrialInsurancelawsoftheStateofWashington.4.PersonalProperty:RRC,atitsexpense,shallmaintaininforceduringtheTermapolicyofspecialform—causesoflossorall-riskpropertyinsuranceonallofRRCalterations,improvements,tradefixtures,furnitureandotherpersonalpropertyin,onoraboutthePremises,inanamountequaltoatleasttheirfullreplacementcost.AnyproceedsofanysuchpolicyavailabletoRRCshallbeusedbyRRCfortherestorationofRRC’salterations,improvementsandtradefixturesandthereplacementofRRC’sfurnitureandotherpersonalproperty.AnyportionofsuchproceedsnotsuedforsuchrestorationshallbelongtoRRC.5.CityasanAdditionalInsured:ItisagreedthatonRRCcommercialgeneralliabilitypolicy,theCityofRentonwillbenamedasanAdditionalinsuredonaprimaryandno-contributorybasis.AnycoveragemaintainedbytheCityofRentonissolelyforthecoverageandbenefitoftheCity,anditselectedofficials,officers,agents,employees,representativesandvolunteers.6.VerificationofCoverage:SubjecttotheCity’sreviewandacceptance,acertificateofinsuranceshowingtheproperendorsements,shallbedeliveredtotheCitybeforeexecutingthisAgreement.NewLeaseAgreementRRC 7.Cancellationofinsurancecoverage:TheCityshallbeprovidedwithwrittennoticeofanypolicycancellationwithinaminimumoftwo(2)businessdaysofreceiptofsuchnoticebythepolicyholder.B.ReviewofPolicy:Uponrequest,theRRCshallgivetheCityafullcopyoftheinsurancepolicyforitsrecordsandfortheCityAttorney’sorRiskManager’sreview.Thepolicylimitsmaybereviewedandthevaluereassessedannually.C.TheCertificateofInsuranceshouldread:CityofRentonAUNtJeffMinisci,FacilitiesDirectorPublicWorks—Facilities1055SouthGradyWayRenton,WA9805713.INDEMNIFICATION/HOLDHARMLESSRRCagreestorelease,indemnify,defend,andholdharmlesstheCity,itselectedofficials,employees,officers,representatives,andvolunteersfromanyandallclaims,demands,actions,suits,causesofaction,arbitrations,mediations,proceedings,judgments,awards,injuries,damages,liabilities,taxes,losses,fines,fees,penalties,expenses,attorney’sorattorneys’fees,costs,and/orlitigationexpensestoorbyanyandallpersonsorentities,arisingfrom,resultingfrom,orrelatedtothenegligentacts,errorsoromissionsofRRCinitsperformanceofthisAgreementorabreachofthisAgreementbyRRC,exceptforthatportionoftheclaimscausedbytheCity’ssolenegligence.ShouldacourtofcompetentjurisdictiondeterminethatthisagreementissubjecttoRCW4.24.115,(Validityofagreementtoindemnifyagainstliabilityfornegligencerelativetoconstruction,alteration,improvement,etc.,ofstructureorimprovementattachedtorealestate...)then,intheeventofliabilityfordamagesarisingoutofbodilyinjurytopersonsordamagestopropertycausedbyorresultingfromtheconcurrentnegligenceofRRCandtheCity,itsofficers,employeesandvolunteers,RRCliabilityshallbeonlytotheextentofRRC’snegligence.ItisfurtherspecificallyandexpresslyunderstoodthattheindemnificationprovidedinthisAgreementconstitutesRRC’swaiverofimmunityundertheIndustrialInsuranceAct,RCWTitle51,solelyforthepurposesofthisindemnification.ThePartieshavemutuallynegotiatedandagreedtothiswaiver.TheprovisionsofthissectionshallsurvivetheexpirationorterminationofthisAgreement.14.GOVERNINGLAW/COMPLIANCEWITHLAWS/SEVERABILITY/JURISDICTIONANDVENUE/WAIVERA.RRCshallcomplywithallapplicablelaws.ThisAgreementshallbegovernedby,andconstruedandenforcedinaccordancewith,thelawsoftheStateofWashington.B.RRCshallnotusethePremisesforanyillegalpurposeortoviolateanylaw.RRCshallnotcreateorallowanynuisanceorhazardousmaterialsonthePremises.RRCshallnotpermitordoanyactonthePremisesthatwouldincreasetherateinsuranceonorfortheNewLeaseAgreementRRC Premises.RRCshallnotdamageoroverloadthestructuralcomponentsofanystructure,fixture,orpartofthePremises.C.Severability:ShouldanyoftheprovisionsofthisAgreementbefoundtobeinvalid,illegalorunenforceablebyanycourtorcompetentjurisdiction,suchprovisionshallbestrickenandtheremainderofthisAgreementshallnonethelessre4maininfullforceandeffectunlessstrikingsuchprovisionshallmateriallyaltertheintentionoftheparties.D.JurisdictionandVenue:IntheeventanyactionifbroughttoenforceanyoftheprovisionsofthisLease,thepartiesagreetobesubjecttoexclusiveinpersonamjurisdictionintheSuperiorCourtoftheStateofWashingtoninandfortheCountyofKing,MalengRegionalJusticeCenterorintheUnitedStatesDistrictCourtfortheWesternDistrictofWashington.E.Waiver:NowaiverofanyrightunderthisAgreementshallbeeffectiveunlesscontainedinawritingsignedbyadulyauthorizedofficerorrepresentativeofthePartysoughttobechargedwiththewaiverandnowaiverofanytightarisingfromanybreachorfailuretoperformshallbedeemedtobeawaiverofanyfuturerightorofanyrightarisingunderthisAgreement.F.TheprovisionsofthissectionshallsurvivetheexpirationorterminationofthisAgreement.15.UNUSABILIWEitherPartymayterminatethisAgreementintheeventthatallorasubstantialportionofthePremisesisrenderedunusablebyanActofGod,fire,flood,earthquake,actofwarorotherextraordinarycasualtydestroyingordamagingthePremisesbynoticegiventheotherPartywithinthirty(30)daysaftersuchconditionsarediscovered.NeitherPartyshallberequiredtorestoreorreconstructthePremises.DuringanyperiodofPremisesusesubsequenttosaidthirty(30)days,themonthlyPaymentpayablemaybereducedbytheratioofthearearenderedunusablebysuchextraordinarycasualtyandnotreconstructedorrepairedbearstothetotalareaofthePremises.16,SURRENDEROfPREMISESANDREMOVALOFRRC’SPROPERTYA.UponterminationorexpirationofthisAgreement,RRCshallsurrenderthePremisestotheCityandpromptlysurrenderanddelivertotheCityallkeys,passwordsorpasscodesthatitmayhavetoallpartsofthePremises.B.ThePremisesshallbesurrenderedtotheCityinasgoodofconditionasatthedateofexecutionofthisAgreement,exceptfortheeffectsofreasonablewearandtear,alterations,andrepairsmadewithconcurrenceandwrittenpermissionoftheCity,andpropertydamagebyfireandotherperilsinsuredincontractsorpoliciesofallriskinsurance.C.PriortotheexpirationofthisAgreement,RRCshallremovefromthePremises,atitssoleexpenseallfixtures,equipment,furnishings,andotherpersonalpropertyownedandplacedinoronthePremisebyRRC.D.IfafterterminationorexpirationofthisAgreement,RRChasnotremoveditspropertyandfixtureswithinthetimeallowed,theCitymay,butneednot,removesaidpersonalNewLeaseAgreementRRC
