Commerce. Please do not submit to the City of Renton; we will ensure that everyone receives the appropriate copies

Consent to Leasehold Deed of Trust.

MEMORANDUM OF GROUND LEASE
THIS MEMORANDUM OF GROUND LEASE is executed as of_&o4C, /3 ", 2022, by and
between RENTON SCHOOL DISTRICT NO. 403, A Washington municipal corporation
("Landlord"), and the CITY OF RENTON, a Washington municipal corporation ("Tenant").

AGREEMENT
1. Landlord and Tenant have entered into a Ground Lease dated September 30, 2020 (the
"Lease") pursuant to which Landlord will lease to Tenant and Tenant will lease from Landlord a
parcel of real property on a portion of the property commonly known as 16022 116`h Ave SE,
Renton, Washington, upon which Tenant will construct a building (the "Premises") legaIly
described on Exhibit A attached hereto, and by this reference incorporated herein. The Lease
commenced on January 31, 2022, and will continue for an initial term of fifty (50) years. The Lease
contains three (3) additional ten (10)-year Tenant renewal options which upon exercise and
approval by Landlord would extend the term of the Lease to a total of eighty (80) years from the
commencement date of the Lease.
2. This Memorandum Lease is executed solely for the purpose of giving notice to the public
of the existence of the Lease, the terms and conditions of which are expressly incorporated herein
by reference for all purposes as though fully set forth herein.
3. Should there be any inconsistency between the terms of this instrument and the Lease
incorporated herein, the terms of said incorporated Lease shall prevail.
