publishedbyDHS/FEMAapplicabletothe22EMPGProgram,including,butnotlimitedto,allcriteria,restrictions,andrequirementsofTheDepartmentofHomelandSecurity(DHS)NoticeofFundingOpportunity(NOFO)FiscalYear(FY)2022EmergencyManagementPerformanceGrant(EMPG)document,theManual,theDHSAwardLetterfortheGrantinAttachmentC,andthefederalregulationscommonlyapplicabletoDHS/FEMAgrants.iii.TheSubrecipientshallberesponsibletotheDepartmentforensuringthatall22EMPGfederalawardfundsprovidedtoitssubrecipients,andassociatedmatchingfunds,areusedinaccordancewithapplicablefederalandstatestatutesandregulations,andthetermsandconditionsofthefederalawardsetforthinAttachmentCofthisAgreement.2.BUDGET,REIMBURSEMENT,ANDTIMELINEa.WithinthetotalGrantAgreementAmount,travel,subcontracts,salaries,benefits,printing,equipment,andothergoodsandservicesorotherbudgetcategorieswillbereimbursedonanactualcostbasisuponcompletionunlessotherwiseprovidedinthisAgreement.b.ThemaximumamountofallreimbursementrequestspermittedtobesubmittedunderthisAgreement,includingthefinalreimbursementrequest,islimitedtoandshallnotexceedthetotalGrantAgreementAmount.c.IftheSubrecipientchoosestoincludeindirectcostswithintheBudget(AttachmentF),additionaldocumentationisrequiredbasedontheapplicablesituation.Asdescribedin2CFR200.414andAppendixVIIto2CFR200:IftheSubrecipientreceivesdirectfundingfromanyFederalagency(ies),documentationoftheratemustbesubmittedtotheDepartmentKeyPersonnelperthefollowing:A.Morethan$35million,theapprovedindirectcostrateagreementnegotiatedwithitsfederalcognizantagency.B.Lessthan$35million,theindirectcostproposaldevelopedinaccordancewithAppendixVIIof2CFR200requirements.ii.litheSubrecipientdoesnotreceivedirectfederalfunds(i.e.,onlyreceivesfundsasasubrecipient),theSubrecipientmusteitherelecttochargeademinimisrateoftenpercent(10%)or10%ofmodifiedtotaldirectcostsorchoosetonegotiateahigherratewiththeDepartment.Ifthelatterispreferred,theSubrecipientmustcontactDepartmentKeyPersonnelforapprovalsteps.d.Fortravelcosts,theSubrecipientshallcomplywith2CFR200.475andshouldconsulttheirinternalpolicies,stateratessetpursuanttoRCW43.03.050andRCW43.03.060asnowexistingoramended,andfederalmaximumratessetforthathttps://www.gsaqov,andfollowthemostrestrictive.Iftravelcostsexceedsetstateorfederallimits,travelcostsshallnotbereimbursedwithoutwrittenapprovalbyDepartmentKeyPersonnel.e.ReimbursementrequestswillincludeaproperlycompletedStateA-19InvoiceFormandReimbursementSpreadsheet(intheformatprovidedbytheDepartment)detailingtheexpendituresforwhichreimbursementissought.ReimbursementrequestsmustbesubmittedtoReimbursements(mil.wa.govnolaterthantheduedateslistedwithintheTimeline(AttachmentE).ReimbursementrequesttotalsshouldbecommensuratetothetimespentprocessingbytheSubrecipientandtheDepartment.f.Receiptsand/orbackupdocumentationforanyapproveditemsthatareauthorizedunderthisAgreementmustbemaintainedbytheSubrecipientconsistentwithrecordretentionrequirementsofthisAgreementandbemadeavailableuponrequestbytheDepartmentandauditors.DHS-FEMA-EMPG-FY22Page3of42RentonOEM,E23-151 g.TheSubrecipientmustrequestpriorwrittenapprovalfromDepartmentKeyPersonneltowaiveorextendaduedateintheTimeline(AttachmentE).Forwaivedorextendedreimbursementduedates,allallowablecostsshouldbesubmittedonthenextscheduledreimbursementduedatecontainedintheTimeline.Waivingormissingdeadlinesservesasanindicatorforassessinganagency’slevelofriskofnoncompliancewiththeregulations,requirements,andthetermsandconditionsoftheAgreementandmayincreaserequiredmonitoringactivities.AnyrequestforawaiverorextensionofaduedateintheTimelinewillbetreatedasarequestforAmendmentoftheAgreement.ThisrequestmustbesubmittedtotheDepartmentKeyPersonnelsufficientlyinadvanceoftheduedatetoprovideadequatetimeforDepartmentreviewandconsiderationandmaybegrantedordeniedwithintheDepartment’ssolediscretion.h.AllworkunderthisAgreementmustendonorbeforetheGrantAgreementEndDate,andthefinalreimbursementrequestmustbesubmittedtotheDepartmentwithinforty-five(45)daysaftertheGrantAgreementEndDate,exceptasotherwiseauthorizedbyeither(1)writtenamendmentofthisAgreementor(2)writtennotificationfromtheDepartmenttotheSubrecipienttoprovideadditionaltimeforcompletionoftheSubrecipient’sproject(s).Nocostsforpurchasesofequipment/supplieswillbereimburseduntiltherelatedequipment/supplieshavebeenreceivedbytheSubrecipient,itscontractor,oranynon-federalentitytowhichtheSubrecipientmakesasubawardandisinvoicedbythevendor.j.Failuretosubmittimely,accurate,andcompletereportsandreimbursementrequestsasrequiredbythisAgreement(including,butnotlimitedto,thosereportsintheTimeline)willprohibittheSubrecipientfrombeingreimburseduntilsuchreportsandreimbursementrequestsaresubmittedandtheDepartmenthashadreasonabletimetoconductitsreview.k.FinalreimbursementrequestswillnotbeapprovedforpaymentuntiltheSubrecipientiscurrentwithallreportingrequirementscontainedinthisAgreement.AwrittenamendmentwillberequirediftheSubrecipientexpectscumulativetransferstoapproved,directbudgetcategories,asidentifiedintheBudget(AttachmentF),toexceedtenpercent(10%)oftheGrantAgreementAmount.AnychangestobudgetcategorytotalsnotincompliancewiththisparagraphwillnotbereimbursedwithoutapprovalfromtheDepartment.m.SubrecipientsshallonlyusefederalawardfundsunderthisAgreementtosupplementexistingfundsandwillnotusethemtoreplace(supplant)non-federalfundsthathavebeenbudgetedforthesamepurpose.TheSubrecipientmayberequiredtodemonstrateanddocumentthatareductioninnon-federalresourcesoccurredforreasonsotherthanthereceiptorexpectedreceiptoffederalfunds.3.REPORTINGa.Witheachreimbursementrequest,theSubrecipientshallreporthowtheexpenditures,forwhichreimbursementissought,relatetotheWorkPlan(AttachmentD)activitiesintheformatprovidedbytheDepartment.b.Withthefinalreimbursementrequest,theSubrecipientshallsubmittotheDepartmentKeyPersonnelafinalreportdescribingallcompletedactivitiesunderthisAgreement.c.TheSubrecipientshallcomplywiththeFederalFundingAccountabilityandTransparencyAct(FFATA)andrelated0MBGuidanceconsistentwithPublicLaw109-282asamendedbysection6202(a)ofPublicLaw110-252(see31U.S.C.6101note)andcompleteandreturntotheDepartmentanAuditCertification/FFATAForm.Thisformisrequiredtobecompletedoncepercalendaryear,perSubrecipient,andnotperagreement.TheDepartment’scontractsOfficewillrequesttheSubrecipientsubmitanupdatedformatthebeginningofeachcalendaryearinwhichtheSubrecipienthasanactiveagreement.4.EQUIPMENTANDSUPPLYMANAGEMENTa.TheSubrecipientandanynon-federalentitytowhichtheSubrecipientmakesasubawardshallcomplywith2CFR200.317through200.327,andallWashingtonStateprocurementstatutes,whenprocuringanyequipmentorsuppliesunderthisAgreement,2CFR200.313DHS-FEMA-EMPG-FY22Page4of42RentonOEM,E23-151 formanagementofequipment,and2CFR200.314formanagementofsupplies,toinclude,butnotlimitedto:UponsuccessfulcompletionofthetermsofthisAgreement,allequipmentandsuppliespurchasedthroughthisAgreementwillbeownedbytheSubrecipient,orarecognizednon-federalentitytowhichtheSubrecipienthasmadeasubaward,forwhichacontract,Subrecipientgrantagreement,orothermeansoflegaltransferofownershipisinplace.Allequipment,andsuppliesasapplicable,purchasedunderthisAgreementwillberecordedandmaintainedintheSubrecipient’sinventorysystem.iii.Inventorysystemrecordsshallinclude:A.DescriptionofthepropertyB.Manufacturer’sserialnumber,orotheridentificationnumberC.Fundingsourcefortheproperty,includingtheFederalAwardIdentificationNumber(FAIN)(FaceSheet,Box11)D.AssistanceListingsNumber(formerlyCFDANumber)(FaceSheet,Box13)E.WhoholdsthetitleF.AcquisitiondateG.CostofthepropertyandthepercentageoffederalparticipationinthecostH.Location,use,andconditionofthepropertyatthedatetheinformationwasreportedI.Dispositiondataincludingthedateofdisposalandsalepriceoftheproperty.iv.TheSubrecipientshalltakeaphysicalinventoryoftheequipment,andsuppliesasapplicable,andreconciletheresultswiththepropertyrecordsatleastonceeverytwoyears.AnydifferencesbetweenquantitiesdeterminedbythephysicalinspectionandthoseshownintherecordsshallbeinvestigatedbytheSubrecipienttodeterminethecauseofthedifference.TheSubrecipientshall,inconnectionwiththeinventory,verifytheexistence,currentutilization,andcontinuedneedfortheequipment.v.TheSubrecipientshallberesponsibleforanyandalloperationalandmaintenanceexpensesandforthesafeoperationoftheequipmentandsuppliesincludingallquestionsofliability.TheSubrecipientshalldevelopappropriatemaintenanceschedulesandprocedurestoensuretheequipment,andsuppliesasapplicable,arewellmaintainedandkeptingoodoperatingcondition.vi.TheSubrecipientshalldevelopacontrolsystemtoensureadequatesafeguardstopreventloss,damage,andtheftoftheproperty.Anyloss,damage,ortheftshallbeinvestigated,andareportgeneratedandsenttotheDepartment’sKeyPersonnel.vii.TheSubrecipientmustobtainandmaintainallnecessarycertificationsandlicensesfortheequipment.viii.IftheSubrecipientisauthorizedorrequiredtoselltheproperty,propersalesproceduresmustbeestablishedandfollowedtoensurethehighestpossiblereturn.Fordisposition,ifuponterminationorattheGrantAgreementEndDate,whenoriginalorreplacementsuppliesorequipmentacquiredunderafederalawardarenolongerneededfortheoriginalprojectorprogramorforotheractivitiescurrentlyorpreviouslysupportedbyafederalawardingagency,theSubrecipientmustcomplywiththefollowingprocedures:DHS-FEMA-EMPG-FY22Page5ot42RentonOEM,E23-151 A.ForSupplies:Ifthereisaresidualinventoryofunusedsuppliesexceeding$5,000intotalaggregatevalueuponterminationorcompletionoftheprojectorprogramandthesuppliesarenotneededforanyotherfederalaward,theSubrecipientmustretainthesuppliesforuseonotheractivitiesorsellthem,butmust,ineithercase,compensatethefederalgovernmentforitsshare.Theamountofcompensationmustbecomputedinthesamemannerasforequipment.B.ForEquipment:1)Itemswithacurrentper-unitfair-marketvalueof$5,000orlessmayberetained,sold,transferred,orotherwisedisposedofwithnofurtherobligationtothefederalawardingagency.2)Itemswithacurrentper-unitfair-marketvalueinexcessof$5,000mayberetainedorsold.TheSubrecipientshallcompensatethefederalawardingagencyinaccordancewiththerequirementsof2CFR200.313(e)(2).ix.RecordsforequipmentshallberetainedbytheSubrecipientforaperiodofsixyearsfromthedateofthedisposition,replacement,ortransfer.Ifanylitigation,claim,orauditisstartedbeforetheexpirationofthesix-yearperiod,therecordsshallberetainedbytheSubrecipientuntilalllitigation,claims,orauditfindingsinvolvingtherecordshavebeenresolved.b.TheSubrecipientshallcomplywiththeDepartment’sPurchaseReviewProcess,whichisincorporatedbyreferenceandmadepartofthisAgreement.Noreimbursementwillbeprovidedunlesstheappropriateapprovalhasbeenreceived.c.AllowableequipmentcategoriesforthegrantprogramarelistedontheAuthorizedEquipmentList(AEL)locatedontheFEMAwebsiteathttps://www.fema.gov/grants/guidance-tools/authorized-eguipment-list.ItisimportantthattheSubrecipientandanynon-federalentitytowhichtheSubrecipientmakesasubawardregardtheAELasanauthorizedpurchasinglistidentifyingitemsallowedunderthespecificgrantprogram;theAELincludesitemsthatmaynotbecategorizedasequipmentaccordingtothefederal,state,local,andtribaldefinitionsofequipment.TheSubrecipientissolelyresponsibleforensuringanddocumentingpurchaseditemsunderthisAgreementareauthorizedasalloweditemsbytheAELattimeofpurchase.litheitemisnotidentifiedontheAELasallowableunderthegrantprogram,theSubrecipientmustcontacttheDepartmentKeyPersonnelforassistanceinseekingFEMAapprovalpriortoacquisition.U.Unlessexpresslyprovidedotherwise,allequipmentmustmeetallmandatoryregulatoryand/orDHS/FEMAadoptedstandardstobeeligibleforpurchaseusingfederalawardfunds.e.Iifundingisallocatedtoemergencycommunications,theSubrecipientmustensurethatallprojectscomplywithSAFECOMGuidanceonEmergencyCommunicationsGrants,locatedathttps://www.cisa.gov/safecom/funding,ensuringtheinvestmentsarecompatible,interoperable,resilient,andsupportnationalgoalsandobjectivesforimprovingemergencycommunications.f.EffectiveAugust13,2020,FEMArecipientsandsubrecipients,aswellastheircontractorsandsubcontractors,maynotobligateorexpendanyFEMAawardfundsto:Procureorobtainanyequipment,system,orservicethatusescoveredtelecommunicationsequipmentorservicesasasubstantialoressentialcomponentofanysystem,orascriticaltechnologyofanysystem;ii.Enterinto,extend,orrenewacontracttoprocureorobtainanyequipment,system,orservicethatusescoveredtelecommunicationsequipmentorservicesasaDHS-FEMA-EMPG-FY22Page6of42RentonOEM,E23-151 A.13LEGALRELATIONSItisunderstoodandagreedthatthisAgreementissolelyforthebenefitofthepartiestotheAgreementandgivesnorighttoanyotherparty.NojointventureorpartnershipisformedasaresultofthisAgreement.Totheextentallowedbylaw,theSubrecipient,itssuccessorsorassigns,willprotect,saveandholdharmlesstheDepartment,thestateofWashington,andtheUnitedStatesGovernmentandtheirauthorizedagentsandemployees,fromallclaims,actions,costs,damagesorexpensesofanynaturewhatsoeverbyreasonoftheactsoromissionsoftheSubrecipient,itssubcontractors,subrecipients,assigns,agents,contractors,consultants,licensees,invitees,employeesoranypersonwhomsoeverarisingoutoforinconnectionwithanyactsoractivitiesauthorizedbythisAgreement.Totheextentallowedbylaw,theSubrecipientfurtheragreestodefendtheDepartmentandthestateofWashingtonandtheirauthorizedagentsandemployeesinanylitigation;includingpaymentofanycostsorattorneys’feesforanyclaimsoractioncommencedthereonarisingoutoforinconnectionwithactsoractivitiesauthorizedbythisAgreement.Thisobligationshallnotincludesuchclaims,costs,damagesorexpenseswhichmaybecausedbythesolenegligenceoftheDepartment;provided,thatiftheclaimsordamagesarecausedbyorresultfromtheconcurrentnegligenceof(1)theDepartment,and(2)theSubrecipient,itsagents,oremployees,thisindemnityprovisionshallbevalidandenforceableonlytotheextentofthenegligenceoftheSubrecipient,ortheSubrecipient’sagentsoremployees.Insofarasthefundingsource,FEMAisanagencyoftheFederalgovernment,thefollowingshallapply:44CFR206.9Non-liability.TheFederalgovernmentshallnotbeliableforanyclaimbasedupontheexerciseorperformanceof,orthefailuretoexerciseorperformadiscretionaryfunctionordutyonthepartofafederalagencyoranemployeeoftheFederalgovernmentincarryingouttheprovisionsoftheStaffordAct.A.14LIMITATIONOFAUTHORITY—AUTHORIZEDSIGNATUREThesignatoriestothisAgreementrepresentthattheyhavetheauthoritytobindtheirrespectiveorganizationstothisAgreement.OnlytheDepartment’sAuthorizedSignaturerepresentativeandtheAuthorizedSignaturerepresentativeoftheSubrecipientorAlternatefortheSubrecipient,formallydesignatedinwriting,shallhavetheexpress,implied,orapparentauthoritytoalter,amend,modify,orwaiveanyclauseorconditionofthisAgreement.Anyalteration,amendment,modification,orwaiverofanyclauseorconditionofthisAgreementisnoteffectiveorbindingunlessmadeinwritingandsignedbybothparties’AuthorizedSignaturerepresentatives,exceptasprovidedfortimeextensionsinArticleA.3.Further,onlytheAuthorizedSignaturerepresentativeorAlternatefortheSubrecipientshallhavesignatureauthoritytosignreimbursementrequests,timeextensionrequests,amendmentandmodificationrequests,requestsforchangestoprojectsorworkplans,andotherrequests,certificationsanddocumentsauthorizedbyorrequiredunderthisAgreement.A.15LOSSORREDUCTIONOFFUNDINGIntheeventfundingfromstate,federal,orothersourcesiswithdrawn,reduced,orlimitedinanywayaftertheeffectivedateofthisAgreementandpriortonormalcompletionorenddate,theDepartmentmayunilaterallyreducetheworkplanandbudgetorunilaterallyterminateallorpartoftheAgreementasa“TerminationforCause”withoutprovidingtheSubrecipientanopportunitytocure.Alternatively,thepartiesmayrenegotiatethetermsofthisAgreementunder‘AmendmentsandModifications”tocomplywithnewfundinglimitationsandconditions,althoughtheDepartmenthasnoobligationtodoso.A.16NONASSIGNABILITYNeitherthisAgreement,noranyclaimarisingunderthisAgreement,shallbetransferredorassignedbytheSubrecipient.A.17NONDISCRIMINATIONDuringtheperformanceofthisagreement,theSubrecipientshallcomplywithallfederalandstatenondiscriminationstatutesandregulations.Theserequirementsinclude,butarenotlimitedto:a.NondiscriminationinEmployment:TheContractorshallnotdiscriminateagainstanyemployeeorapplicantforemploymentbecauseofrace,color,sex,sexualorientation,religion,nationalorigin,creed,maritalstatus,age,Vietnameraordisabledveteransstatus,orthepresenceofanysensory,DHS-FEMA-EMPG-FY22Page16of42RentonOEM,E23-151 mental,orphysicalhandicap.Thisrequirementdoesnotapply,however,toareligiouscorporation,association,educationalinstitutionorsocietywithrespecttotheemploymentofindividualsofaparticularreligiontoperformworkconnectedwiththecarryingonbysuchcorporation,association,educationalinstitutionorsocietyofitsactivities.b.TheSubrecipientshalltakeactiontoensurethatemployeesareemployedandtreatedduringemploymentwithoutdiscriminationbecauseoftheirrace,color,sex,sexualorientationreligion,nationalorigin,creed,maritalstatus,age,Vietnameraordisabledveteransstatus,orthepresenceofanysensory,mental,orphysicalhandicap.Suchactionshallinclude,butnotbelimitedto,thefollowing:Employment,upgrading,demotion,ortransfer,recruitmentorrecruitmentselectionfortraining,includingapprenticeshipsandvolunteers.A.18NOTICESTheSubrecipientshallcomplywithallpublicnoticesornoticestoindividualsrequiredbyapplicablelocal,stateandfederallawsandregulationsandshallmaintainarecordofthiscompliance.A.19OCCUPATIONALSAFETY/HEALTHACTandWASHINGTONINDUSTRIALSAFETY/HEALTHACT(OSHAIWISHA)TheSubrecipientrepresentsandwarrantsthatitsworkplacedoesnoworwillmeetallapplicablefederalandstatesafetyandhealthregulationsthatareineffectduringtheSubrecipient’sperformanceunderthisAgreement.Totheextentallowedbylaw,theSubrecipientfurtheragreestoindemnifyandholdharmlesstheDepartmentanditsemployeesandagentsfromallliability,damagesandcostsofanynature,including,butnotlimitedto,costsofsuitsandattorneys’feesassessedagainsttheDepartment,asaresultofthefailureoftheSubrecipienttosocomply.A.20OWNERSHIPOFPROJECT/CAPITALFACILITIESTheDepartmentmakesnoclaimtoanycapitalfacilitiesorrealpropertyimprovedorconstructedwithfundsunderthisAgreement,andbythissubawardoffundsdoesnotandwillnotacquireanyownershipinterestortitletosuchpropertyoftheSubrecipient.TheSubrecipientshallassumeallliabilitiesandresponsibilitiesarisingfromtheownershipandoperationoftheprojectandagreestoindemnifyandholdtheDepartment,thestateofWashington,andtheUnitedStatesgovernmentharmlessfromanyandallcausesofactionarisingfromtheownershipandoperationoftheproject.A.21POLITICALACTIVITYNoportionofthefundsprovidedhereinshallbeusedforanypartisanpoliticalactivityortofurthertheelectionordefeatofanycandidateforpublicofficeorinfluencetheapprovalordefeatofanyballotissue.A.22PROHIBITIONAGAINSTPAYMENTOFBONUSORCOMMISSIONTheassistanceprovidedunderthisAgreementshallnotbeusedinpaymentofanybonusorcommissionforthepurposeofobtainingapprovaloftheapplicationforsuchassistanceoranyotherapprovalorconcurrenceunderthisAgreementprovided,however,thatreasonablefeesorbonafidetechnicalconsultant,managerial,orothersuchservices,otherthanactualsolicitation,arenotherebyprohibitedifotherwiseeligibleasprojectcosts.A.23PUBLICITYTheSubrecipientagreestosubmittotheDepartmentpriortoissuancealladvertisingandpublicitymattersrelatingtothisAgreementwhereintheDepartment’snameismentioned,orlanguageusedfromwhichtheconnectionoftheDepartment’snamemay,intheDepartment’sjudgment,beinferredorimplied.TheSubrecipientagreesnottopublishorusesuchadvertisingandpublicitymatterswithoutthepriorwrittenconsentoftheDepartment.TheSubrecipientmaycopyrightoriginalworkitdevelopsinthecourseoforunderthisAgreement;however,pursuantto2CFRPart200.315,FEMAreservesaroyaltyfree,nonexclusive,andirrevocablelicensetoreproduce,publishorotherwiseuse,andtoauthorizeotherstousetheworkforgovernmentpurposes.PublicationresultingfromworkperformedunderthisAgreementshallincludeanacknowledgementofFEMA’sfinancialsupport,bytheAssistanceListingsNumber(formerlyCFDANumber),andastatementthatthepublicationdoesnotconstituteanendorsementbyFEMAorreflectFEMA’sviews.A.24RECAPTUREPROVISIONIntheeventtheSubrecipientfailstoexpendfundsunderthisAgreementinaccordancewithapplicablefederal,state,andlocallaws,regulations,and/ortheprovisionsoftheAgreement,theDepartmentreservestherighttorecapturefundsinanamountequivalenttotheextentofnoncompliance.SuchrightDHS-FEMA-EMPG-FY22Page17of42RentonOEM,E23-151 ofrecaptureshallexistforthelifeoftheprojectfollowingAgreementtermination.RepaymentbytheSubrecipientoffundsunderthisrecaptureprovisionshalloccurwithin30daysofdemand.IntheeventtheDepartmentisrequiredtoinstitutelegalproceedingstoenforcetherecaptureprovision,theDepartmentshallbeentitledtoitscostsandexpensesthereof,includingattorneyfeesfromtheSubrecipient.A.25RECORDSa.TheSubrecipientagreestomaintainallbooks,records,documents,receipts,invoicesandallotherelectronicorwrittenrecordsnecessarytosufficientlyandproperlyreflecttheSubrecipient’scontracts,subawards,grantadministration,andpayments,includingalldirectandindirectcharges,andexpendituresintheperformanceofthisAgreement(the‘records”).b.TheSubrecipient’srecordsrelatedtothisAgreementandtheprojectsfundedmaybeinspectedandauditedbytheDepartmentoritsdesignee,bytheOfficeoftheStateAuditor,DHS,FEMAortheirdesignees,bytheComptrollerGeneraloftheUnitedStatesoritsdesignees,orbyotherstateorfederalofficialsauthorizedbylaw,forthepurposesofdeterminingcompliancebytheSubrecipientwiththetermsofthisAgreementandtodeterminetheappropriateleveloffundingtobepaidundertheAgreement.c.TherecordsshallbemadeavailablebytheSubrecipientforsuchinspectionandaudit,togetherwithsuitablespaceforsuchpurpose,atanyandalltimesduringtheSubrecipient’snormalworkingday.U.TheSubrecipientshallretainandallowaccesstoallrecordsrelatedtothisAgreementandthefundedproject(s)foraperiodofatleastsix(6)yearsfollowingfinalpaymentandclosureofthegrantunderthisAgreement.Despitetheminimumfederalretentionrequirementofthree(3)years,themorestringentStaterequirementofsix(6)yearsmustbefollowed.A.26RESPONSIBILITYFORPROJECT/STATEMENTOFWORK/WORKPLANWhiletheDepartmentundertakestoassisttheSubrecipientwiththeproject/statementofwork/workplan(project)byprovidingfederalawardfundspursuanttothisAgreement,theprojectitselfremainsthesoleresponsibilityoftheSubrecipient.TheDepartmentundertakesnoresponsibilitytotheSubrecipient,ortoanythirdparty,otherthanasisexpresslysetoutinthisAgreement.Theresponsibilityforthedesign,development,construction,implementation,operationandmaintenanceoftheproject,asthesephrasesareapplicabletothisproject,issolelythatoftheSubrecipient,asisresponsibilityforanyclaimorsuitofanynaturebyanythirdpartyrelatedinanywaytotheproject.Priortothestartofanyconstructionactivity,theSubrecipientshallensurethatallapplicablefederal,state,andlocalpermitsandclearancesareobtained,including,butnotlimitedto,FEMAcompliancewiththeNationalEnvironmentalPolicyAct,theNationalHistoricPreservationAct,theEndangeredSpeciesAct,andallotherenvironmentallaws,regulations,andexecutiveorders.TheSubrecipientshalldefend,atitsowncost,anyandallclaimsorsuitsatlaworinequity,whichmaybebroughtagainsttheSubrecipientinconnectionwiththeproject.TheSubrecipientshallnotlooktotheDepartment,ortoanystateorfederalagency,ortoanyoftheiremployeesoragents,foranyperformance,assistance,oranypaymentorindemnity,including,butnotlimitedto,costofdefenseand/orattorneys’fees,inconnectionwithanyclaimorlawsuitbroughtbyanythirdpartyrelatedtoanydesign,development,construction,implementation,operationand/ormaintenanceofaproject.A.27SEVERABILITYIfanycourtofrightfuljurisdictionholdsanyprovisionorconditionunderthisAgreementoritsapplicationtoanypersonorcircumstancesinvalid,thisinvaliditydoesnotaffectotherprovisions,termsorconditionsoftheAgreement,whichcanbegiveneffectwithouttheinvalidprovision.Tothisend,thetermsandconditionsofthisAgreementaredeclaredseverable.A.28SINGLEAUDITACTREQUIREMENTS(includingallAMENDMENTS)TheSubrecipientshallcomplywithandincludethefollowingauditrequirementsinanysubawards.Non-federalentities,asSubrecipientsofafederalaward,thatexpend$750,000ormoreinonefiscalyearoffederalfundsfromallsources,directandindirect,arerequiredtohaveasingleoraprogramspecificauditconductedinaccordancewith2CFRPart200SubpartF.Non-federalentitiesthatspendlessthan$750,000ayearinfederalawardsareexemptfromfederalauditrequirementsforthatyear,exceptasnotedin2CFRPart200SubpartF.Asdefinedin2CFRPart200,theterm“non-federalentity”DHS-FEMA-EMPG-FY22Page18of42RentonOEM,E23-151 A.30TAXES,FEESANDLICENSESUnlessotherwiseprovidedinthisAgreement,theSubrecipientshallberesponsiblefor,payandmaintainincurrentstatusalltaxes,unemploymentcontributions,fees,licenses,assessments,permitchargesandexpensesofanyotherkindfortheSubrecipientoritsstaffrequiredbystatuteorregulationthatareapplicabletoAgreementperformance.A.31TERMINATIONFORCONVENIENCENotwithstandinganyprovisionsofthisAgreement,theSubrecipientmayterminatethisAgreementbyprovidingwrittennoticeofsuchterminationtotheDepartmentKeyPersonnelidentifiedintheAgreement,specifyingtheeffectivedatethereof,atleastthirty(30)dayspriortosuchdate.ExceptasotherwiseprovidedinthisAgreement,theDepartment,initssolediscretionandinthebestinterestsofthestateofWashington,mayterminatethisAgreementinwholeorinpartten(10)businessdaysafteremailingnotice.Uponnoticeofterminationforconvenience,theDepartmentreservestherighttosuspendallorpartoftheAgreement,withholdfurtherpayments,orprohibittheSubrecipientfromincurringadditionalobligationsoffunds.Intheeventoftermination,theSubrecipientshallbeliableforalldamagesasauthorizedbylaw.TherightsandremediesoftheDepartmentprovidedforinthissectionshallnotbeexclusiveandareinadditiontoanyotherrightsandremediesprovidedbylaw.A.32TERMINATIONORSUSPENSIONFORLOSSOFFUNDINGTheDepartmentmayunilaterallyterminateorsuspendallorpartofthisGrantAgreement,ormayreduceitsscopeofworkandbudget,ifthereisareductioninfundsbythesourceofthosefunds,andifsuchfundsarethebasisforthisGrantAgreement.TheDepartmentwillemailtheSubrecipientten(10)businessdayspriortotermination.A.33TERMINATIONORSUSPENSIONFORCAUSEIntheeventtheDepartment,initssolediscretion,determinestheSubrecipienthasfailedtofulfillinatimelyandpropermanneritsobligationsunderthisAgreement,isinanunsoundfinancialconditionsoastoendangerperformancehereunder,isinviolationofanylawsorregulationsthatrendertheSubrecipientunabletoperformanyaspectoftheAgreement,orhasviolatedanyofthecovenants,agreementsorstipulationsofthisAgreement,theDepartmenthastherighttoimmediatelysuspendorterminatethisAgreementinwholeorinpart.TheDepartmentmaynotifytheSubrecipientinwritingoftheneedtotakecorrectiveactionandprovideaperiodoftimeinwhichtocure.TheDepartmentisnotrequiredtoallowtheSubrecipientanopportunitytocureifitisnotfeasibleasdeterminedsolelywithintheDepartment’sdiscretion.AnytimeallowedforcureshallnotdiminishoreliminatetheSubrecipient’sliabilityfordamagesorotherwiseaffectanyotherremediesavailabletotheDepartment.IftheDepartmentallowstheSubrecipientanopportunitytocure,theDepartmentshallnotifytheSubrecipientinwritingoftheneedtotakecorrectiveaction.Ifthecorrectiveactionisnottakenwithinten(10)calendardaysorasotherwisespecifiedbytheDepartment,orifsuchcorrectiveactionisdeemedbytheDepartmenttobeinsufficient,theAgreementmaybeterminatedinwholeorinpart.TheDepartmentreservestherighttosuspendallorpartoftheAgreement,withholdfurtherpayments,orprohibittheSubrecipientfromincurringadditionalobligationsoffundsduringinvestigationoftheallegedcompliancebreach,pendingcorrectiveactionbytheSubrecipient,ifallowed,orpendingadecisionbytheDepartmenttoterminatetheAgreementinwholeorinpart.Intheeventoftermination,theSubrecipientshallbeliableforalldamagesasauthorizedbylaw,including,butnotlimitedto,anycostdifferencebetweentheoriginalAgreementandthereplacementorcoverAgreementandalladministrativecostsdirectlyrelatedtothereplacementAgreement,e.g.,costofadministeringthecompetitivesolicitationprocess,mailing,advertisingandotherassociatedstafftime.TherightsandremediesoftheDepartmentprovidedforinthissectionshallnotbeexclusiveandareinadditiontoanyotherrightsandremediesprovidedbylaw.IfitisdeterminedthattheSubrecipient:(1)wasnotindefaultormaterialbreach,or(2)failuretoperformwasoutsideoftheSubrecipient’scontrol,faultornegligence,theterminationshallbedeemedtobeaterminationforconvenience.A.34TERMINATIONPROCEDURESInadditiontotheproceduressetforthbelow,iftheDepartmentterminatesthisAgreement,theSubrecipientshallfollowanyproceduresspecifiedintheterminationnotice.UponterminationofthisDHS-FEMA-EMPG-FY22Page20of42RentonOEM,E23-151 These terms refer to the status of a person or company that cannot contract with or receive grants from a federal agency.
