HomeMy WebLinkAboutContractPage1of12 JOINTUTILITYTRENCHCONSTRUCTIONAGREEMENT BetweenQwestCorporationd/b/aCenturyLinkQCandtheCITYOFRENTON CityofRentonAgreementNo._____________________ THISAGREEMENT("Agreement"),effectiveasof____________dayof______________, 2023(the"EffectiveDate"),ismadebyandbetweentheCITYOFRENTON,aWashington MunicipalCorporation(the“CITY"),andQwestCorporationd/b/aCenturyLinkQC(“LUMEN”),a ColoradoCorporation,onbehalfofitselfanditsapplicableaffiliatesholdingthefranchise agreement(s)intheareacoveredbythisAgreement(collectively,TheCityandLUMENareeach referredtointhisAgreementasa"Party"andcollectivelyasthe“Parties.”).TheAttachments referredtohereinareincorporatedbythisreference. RECITALS A. TheCITYismakingimprovementstoRainierAvenueS(the“Project”)withinthe corporateboundariesoftheCITY. B. LUMENprovidesbroadbandcommunicationsservicesintheCITY. C. TheProjectincludesrelocationoffacilitiesthatarecurrentlylocatedalongthe corridorandownedbyLUMENandotherutilityserviceproviders.Alloftheseutilityservicesare toberelocatedaspartoftheProject(“Relocation”). D.TheCITYhasdeveloped,advertised,andawardedandexecutedbidsfora constructioncontract,includingPlans,SpecificationsandEstimates(“PS&E”)toconstructthe Project.Bythisreference,thePS&Easadvertisedandawardedforconstruction,andincluding anypublishedamendmentsduringthebiddingperiod,aremadeapartofthisAgreement. E. TheRelocationrequirestrenchingwithintherightͲofͲwayforplacementof facilitiesofutilitiesserviceproviders,includingLUMEN,theCITYandothersintoaJointUtility Trench(“JUT”). F. LUMENdesirestosecuretheservicesoftheCITYtoinstallconduitandutility vaultsunderground(“Work")andLUMENdesirestocooperateintheplanning,engineering, designandotherworkassociatedwithcompletionoftheJUTandtheWork. AGREEMENT NOW,THEREFORE,inconsiderationofthemutualcovenants,terms,conditionsand obligationscontainedherein,andintendingtobeboundhereby,thePartiesagreeasfollows: 'ͲϮϯͲϭϳϴ          CAG-23-178 17th May Page2of12 1. ProjectDescriptionandTerm. A. TheJUTwillbeplacedintheCITYrightͲofͲwayalongRainierAvenueSaspartof theProjectandfacilitiesextendedtothosesidestreetsandtopropertiesincludedandas showninthePS&E.TheJUTwillbeconstructedtoaccommodatetheunderground facilitiesofseveralutilityserviceproviders,includingataminimum,LUMEN,COMCAST, andPSE(gasandelectric).TheCITYhasawardedandexecutedacontractthatincludes constructionoftheProject,includingtheJUTandtheWork. B. Term:ThisAgreementshallcommenceontheEffectiveDateandcontinueuntil theJUTandtheWorkarecompleted. 2. PerformanceofWork. A. TheCITY,actingthroughthesuccessfulbidder("CITYContractor"),willperform andcompletetheWorkinaccordancewiththePS&Eandallapplicablefederal,state, andlocallawsandtherequirementsofthosethatownorhavejurisdictionovertherights ofwayinwhichtheWorkistobeperformed.Asoneofthefirstordersofworktobe required,theCITYContractorwilldevelopaconstructionschedulefortheProjectin sufficientdetailtoallowtheCITYandLUMENtounderstandtimeframesforcompletion oftheProjectandtheWork. B. TotheextentthatperformanceoftheWorkrequirestheinstallationofany materialsthatwouldnotbeneededbutforLUMEN'sparticipationintheProject,LUMEN willarrangeforthepurchaseanddeliveryofsuchmaterialstotheCITYContractor. SpecificmaterialstobepurchasedanddeliveredbyLUMENaredefinedinthePS&E. 3. ResponsibilityofPartiestoCompletetheWork. A. CITYResponsibilities: 1.CityContractorDuties.CITYwillcausetheCITYContractortoexcavatethe JUT,accommodateandcoordinatetheinstallationofundergroundutilities,install vaultsandconduits,furnishandinstallbeddingmaterial,backfillandcompactthe JUT,andperformanyrestorationrequiredbytheCITYwithintherightͲofͲway. CITYand/orCITYContractorwillexercisereasonablecareintheperformanceof theWork,andwillinstallLUMENconduitandutilityvaultsinaccordancewith writtenrequirementsanddrawingsprovidedinthePS&E.TheCITYContractor willprovidealltrafficcontrolrequiredfortheCITY’SWork,exceptfortheWork describedinSection3(B)(3). 2.NoticeofMaterialsRequired.TheCITYwillprovideLUMENnotice,notless thanten(10)workingdayspriortotherequireddeliverydate,requestingdelivery ofnecessaryconduitsandvaultsandallrelatedmaterialsthattheCITYContractor reasonablyrequirestoinstalltheJUTandconduits.          Page3of12 LUMEN’sfailuretorespondorsupplymaterialsmayleadtoprojectdelayand, exceptfordelaysresultingfromForceMajeureEvents,mayleadtoenforcement ofpenalties,iflawful,andrecoveryofdamagesunderclaimsmadepursuantto LUMEN'sSection11indemnificationobligations. 3.PlanDiscrepancies.IfthereisanydiscrepancybetweenthePS&Eandthe LUMENPlans,thePartiesmutuallyagreetoworktogethertoresolvesuch discrepancybetweensaidplans. B.LUMENResponsibilities: 1.ProvisionofWork,Materials,andEquipment.Allworkandequipment describedinthissectionasLUMENresponsibilitiesshallbeprovidedbyLUMEN inthemannerandtimeframedescribedhereinatLUMEN'ssolecostandexpense. 2.Coordination.LUMENwillmaintaincontinuedcoordinationwiththeCITY regardinginstallationofLUMEN’sfacilities.Thiscoordinationwillinclude,butnot belimitedtothefollowing: a.TakingintoaccountLUMEN’sreasonableinput,theCITY Contractorwilldevelopareasonableschedule,inaccordancewith Section8Ͳ35ofthePS&ESpecialProvisions,thatwillaccuratelydepict howtheCITYContractorplanstocompletetheproject,includingthe RelocationandtheWork.LUMENwillberesponsibleforcoordinatingits worktomeetthisreasonableprojectschedule. b.AweeklymeetingwillbeheldinwhichtheCITYContractorwill provideascheduleandlistofmaterialsneededforthefollowingtwo(2) weeks.ArepresentativefromLUMENwillattendeachmeetingand provideweeklyprogressreports.TheLUMENrepresentativewillbe responsibleforcoordinatingthedeliveryofmaterialsperthediscussion ofscheduleattheseweeklymeetings,inaccordancewithSection3(A)(2). c.LUMENwillfurnishallmaterialsrequiredfortheinstallationof LUMENconduitandutilityvaultsincludingvaults,conduits,andallother materialsnecessaryforinstallationofthevaultsandconduitsrequiredby theCITYContractorfortheinstallationofLUMENfacilitiesthatweek,not lessthanten(10)workingdayspriortothedatethattheworkisscheduled tobeginasdiscussedintheweeklymeeting,providedthatCITYgives LUMENnoticeinaccordancewithSection3(A)(2).TheCITYwillprovidea reasonablelocationtoLUMENwherethematerialswillbedelivered. d.LUMENandtheCITYwillprovideaninspectoronͲsite,ontwentyͲ four(24)hours’notice,toinspectandaccepttheinstallationofallvault andconduitinstallationwork.LUMEN'sinspectorwillnotdirecttheCITY          Page4of12 Contractorinanymanner;theLUMENinspectorwillcommunicateall requestsinwritingtotheCITY'sinspector. e. OncevaultsandsectionsofconduitareinstalledbytheCITYand acceptedbyLUMEN,LUMENwillcompleteinstallationofconductorsand equipmentandperformcutͲoverandtransferofexistingcustomersand facilitiestothenewundergroundsystem,andremoveallexistingfacilities associatedwiththeWorkthatarenolongerinuse.Thiswillbedoneina mannerthatdoesnotdelayorotherwiseimpactprogressofconstruction oftheProject.LUMEN’sresponsibilitieswillinclude,butnotbelimited to,furnishingandinstallingallcables,conductors,electricalequipment, andtemporaryutilitypoles;conversiontounderground;andforthe removalofpoles,andotherequipmentnolongerneeded. f. Federal"BuyAmerica"requirementssignificantlyrestrictthevalue ofnonͲdomesticironorsteelmaterialincorporatedintotheProjectbythe CITY."BuyAmerica"requirementsapplytoallmaterialtobefurnishedby LUMEN,thatismadeofironorsteel,andequipmentwhichincludesany componentsmadeofironorsteel.Becauseofthe"BuyAmerica" requirements,allmaterialmadeofironorsteel,andallcomponentsof equipmentthataremadeofironorsteelthatisfurnishedbyLUMENmust bemadeofmaterialcreatedintheUnitedStates,andthematerialor componentfabricatedintheUnitedStates.LUMENwillprovidetothe CITY,priortoincorporationintotheWork,CertificationofMaterialsOrigin (CMO)documentationthatclearlystatesthesematerialandequipment componentsaremadeofironorsteelthatwascreatedintheUnited StatesandthecomponentsfabricatedintheUnitedStates.TheCMOcan beprovidedbycompletingandsigningastandardCMOformdeveloped bytheWashingtonStateDepartmentofTransportation(WSDOTForm 350Ͳ109).LUMEN’sfailuretorespondortocomplywithitsobligations underthisAgreementmayleadtoprojectdelayand,exceptfordelays resultingfromForceMajeureEvents,mayleadtoenforcementof penaltiesandrecoveryofdamagesunderclaimsmadepursuantto LUMEN'sSection11indemnificationobligations.DelayscausedbyLUMEN resultingindamagespaidtotheContractorbytheCityshallbe reimbursedbyLUMEN. 3.TrafficControl.LUMENoritscontractorwillprovidetrafficcontrolwhen LUMENoritscontractorisinstallingitsnewundergroundcablingandsplicing. TrafficcontrolplanstobeutilizedbyLUMENoritscontractorwillbecoordinated withtrafficcontrolestablishedfortheProject.Trafficcontrolplansshallbe submittedtotheCITY’sTransportationProjectManager.          Page5of12 4.InstallationNotinRightofWay.TheinstallationofanyLUMENfacilities notinCITYrightͲofͲway,includingbutnotlimitedtocable,conduit,and pedestals,willbetheresponsibilityofLUMEN.LUMENwillcoordinatewith privatepropertyowners onwhosepropertythefacilitieswillbelocated.The ProjectwillnotprovideforanyconstructionoutsideoftheCITY’srightsͲofͲway oreasements.Coordinationofwork,andpaymentfornecessaryeasementsor agreementsfromprivatepropertyowners,istheresponsibilityofLUMENand shallbedoneinamannersoasnottodelayorotherwiseimpacttheconstruction oftheProject. 4. Compensation. A. LUMENagreestopaytheCITYaportionoftheJUTcosts,includingJUTbedding andbackfill,commensuratewithLUMEN’sproportionateshareofJUTusage.For planningpurposes,anestimateofthecoststobereimbursedbyLUMENtotheCITYfor theWorkisincludedasAttachmentAtothisAgreement.Thiscompensationcoversa proratashareofcertaincosts, andtheproratashareformulaissetforthonAttachment A.Preliminarycostswillbeagreeduponpriortoconstruction.Costswillbefinalizedafter completionofconstructionand willbesubjecttofinalreviewandapprovalbyLUMEN, whichapprovalshallnotbeunreasonablywithheld.LUMENagreestopaytheCITYfor itsportionoftheactualconstructioncostsapprovedbyLUMENbasedontheprorata shareformulasetforthonAttachmentA. B. Shareofadditionalexpenses:LUMENwillpayitsproportionateshareofany reasonable,additionalexpensesincurredbytheCITYtocompletetheWork,aslistedin AttachmentA,providedsuchadditionalexpensesaremutuallyagreeduponbythe Partiesinwriting,priortosuchadditionalexpensesbeingincurred. C. Invoice:LUMENagreestopay alluncontestedamountstotheCITYwithinthirty (30) daysofbeinginvoicedbytheCITYforamountswhichLUMENhasagreedtopay underthisAgreement.LUMEN’S responsibility for payment of contested amounts shall be resolved under the Dispute Resolution provisions set forth in Section 9 below. The making of final payment by LUMEN shall constitute a waiver of claims by the CITY, except those previously and properly made and identified by the CITY as unsettled at the time the CITY makes written request to LUMEN for final payment. D. Defective:LUMENreservestherighttowithholdpaymentfromtheCITYforany defectiveperformancebytheCITYContractor. 5. AmendmentsandChangeOrders. A. AnyrequestforchangebyeitherPartyexceptchangescausedbychanged conditionsmustbeagreeduponinadvanceasevidencedbywrittenamendmentand signedbyauthorizedrepresentativesofbothParties.          Page6of12 B.AnychangerequestedbyLUMENtobeperformedbytheCITYwillbesubmitted totheCITY'sConstructionManagementConsultant,whowillsubmittherequesttothe CITYContractortoobtainareasonablepricefromtheCITYContractortoperformthe work.TheCITYwillnotifyLUMENoftheprice.LUMENwillhavethirtyͲsix(36)hours afterbeingnotifiedofthepricetorespondandconfirmtherequestedchangeand authorizethechangeinworkandcost. C.LUMENwillreimbursetheCITYforitsshareofallnegotiatedcostsassociated withanychange,includingassociatedengineeringandinspectioncosts. LUMENwill notpayforanyshareofadditionalexpensesincurredduesolelytoapprovedchange requestsfromotherprivatecompanies,utilitiesand/ortheCITY. 6.Schedule. TheCITYContractorwillberesponsibleforplanningandschedulingtheWorkandtheCITYwill requiretheCITYContractortosubmitaprogressscheduletotheCITYandLUMENpriorto beginningconstructionactivities. 7.Notices. ThisAgreementshallbegovernedbyandinterpretedinaccordancewiththelawsoftheState ofWashington.TheWorkshallbeperformedinaccordancewithallapplicablefederal,state, countyandcitylaws,codesandordinances. 9.DisputeResolution,JurisdictionandVenue. Anycontroversyorclaim,whetherbasedoncontract,statute,tort,fraudmisrepresentationor othertheory,relateddirectlyorindirectlytothisagreementbetweenLUMENandtheCITYwillbe resolvedbymutualnegotiationbetweentheParties.Shouldsuchnegotiationsfailtosettlesuch controversyorclaim,thePartiesmayagreetobindingarbitration.Anylawsuitorlegalaction broughtbyanypartytoenforceorinterpretthisAgreementoranyofitstermsorcovenantsshall bebroughtintheKingCountySuperiorCourtfortheStateofWashingtonattheMalengRegional JusticeCenterinKent,KingCounty,Washington,oritsreplacementorsuccessor. 10.ForceMajeure. APartyshallbeexcusedfromitsperformancetotheextentpreventedbyactsoreventsbeyond theParty’sreasonablecontrolincludingextremeweatherconditions,strikes,fires,embargoes, actionsofcivilormilitarylawenforcementauthorities,actsofGod,oractsoflegislative,judicial, executive,oradministrativeauthorities("ForceMajeureEvent"). CITYwillindemnify,defendandholdharmlessLUMEN,itsowners,parents,subsidiaries,and affiliates,andtheirrespectiveofficers,directors,andemployees(collectivelythe“LUMEN IndemnifiedParties”)fromandagainstanyandallliabilities,claims,judgments,losses,orders, awards,damages,costs,fines,penalties,costsofdefense,andattorneys'fees(collectively "Liabilities")totheextenttheyarisefromorinconnectionwith:(a)theperformanceoftheWork oranyotherworkrequiredunderthisAgreementbytheCITY,theCITYContractorandeachof theirrespectiveofficers,employees,subcontractorsand/orrepresentatives,excepttothe extenttheinjuriesanddamagesarecausedbythenegligenceorwillfulmisconductof any LUMENIndemnifiedParty;or(b)failureoftheCITY,theCITYContractororanyoftheirrespective officers,employees,subcontractorsand/orrepresentativestocomplywithanytermofthis Agreementoranyapplicablelocal,state,orfederallaworregulation,includingbutnotlimited totheOccupationalSafetyandHealthActof1970andenvironmentalprotectionlaws. LUMENwilldefend,indemnify,andholdharmlesstheCITY,itsofficers,employees,contractors, subcontractorsand/orrepresentatives(collectivelythe“CITYIndemnifiedParties”)fromand againstanyandallLiabilitiestotheextenttheyarisefromorinconnectionwith:(a)the performanceofanyworkrequiredunderthisAgreementbyLUMEN,itsofficers,directors, employees,subcontractorsand/orrepresentatives,excepttotheextenttheinjuriesand damagesarecausedbythenegligenceorwillfulmisconductofanyCITYIndemnifiedParty;or (b) failureofLUMEN,itsofficers,directors,employees,subcontractorsand/orrepresentatives tocomplywithanytermofthisAgreementoranyapplicablelocal,state,orfederallawor regulation,includingbutnotlimitedtotheOccupationalSafetyandHealthActof1970and environmentalprotectionlaws. IntheeventofLiabilitiesarisingoutofinjuryordamagescausedbyorresultingfromthe concurrentnegligenceofthepartiesinvolvedintheProject,eachParty’sliabilityhereunder, includingthedutyandcosttodefend,shallbelimitedonlytotheextentofitsownnegligence. TheindemnificationprovisionshereinconstituteeachParty’swaiverofimmunityunder industrialinsurance,Title51RCW,solelytocarryoutthepurposesoftheindemnification provisions.ThePartiesacknowledgetheyhavemutuallynegotiatedthiswaiver.Theforegoing waivershallnotinanywayprecludetheindemnifyingPartyfromraisingsuchimmunityasa defenseagainstanyclaimbroughtagainsttheindemnifyingPartybyanyofitsemployees. ExceptforeachParty'sindemnificationobligationsunderthissection,neitherPartyisliableto theotherforconsequential,incidental,indirect,punitiveorspecialdamages,includingthosein theformofcommerciallossandlostprofits,howevercausedandregardlessoflegaltheoryor foreseeability,directlyorindirectlyarisingunderthisAgreement,evenifsuchPartyhasbeen apprisedofthepossibilityofsuchdamages. TheprovisionsofthisSection11shallsurvivetheterminationorexpirationofthisAgreement.          Page9of12 12. Insurance. TheCITYhasincludedinthePS&ErequirementsfortheCITYContractortosecureandmaintain insurancecoveragesthatareconsistentwithstatelawandfederalfundingrequirements.Each Partyagreestosecureandmaintain,andtheCITYshallcauseContractortosecureandmaintain insuranceinamountsnotlessthanthosespecifiedbelow: A. CommercialGeneralLiabilityinsurancecoveringclaimsforbodilyinjury,death, personalinjuryorpropertydamage(includinglossofuse)occurringorarisingoutofwork performedunderthisAgreementforwhichtheinsuredPartyisresponsiblehereunder andincludingcoverageforpremisesͲoperationproduct/completedoperationsand contractualliabilitycoverage.Thelimitsofinsuranceshallnotbelessthan: EachOccurrence $1,000,000 GeneralAggregate$2,000,000 B. Workers’Compensationinsurancewithstatutorylimitsasrequiredinthestate(s) ofoperation;andprovidingcoverageforanyemployeeinconnectionwiththis Agreement,evenifnotrequiredbystatute.Employer’sLiabilityor“StopGap”insurance withlimitsofnotlessthan$1,000,000eachaccident. C. BusinessAutomobileLiabilityinsurancecoveringtheownership,operationand maintenanceofallowned,nonͲownedandhiredmotorvehiclesusedinconnectionwith thisAgreementwithlimitsofatleast$1,000,000eachaccident.EachPartyshall assumeallpropertylossordamagefromanycausewhatsoevertoanyoftheirrespective tools,employeeͲownedtools,machinery,equipment,anymotorvehiclesownedor rented,includinganytemporarystructures,scaffoldingandprotectivefencesusedin performanceofworkunderthisAgreementunlesscausedbythenegligentact,omission orwillfulmisconductoftheotherParty.ThePartiesshallrequiretheiragentsand subcontractorstoalsoassumethesamepropertylossordamageasrequiredunderthis paragraphDfortheirproperty. E. AcceptabilityofInsurers.Insuranceistobeplacedwithinsurerswithacurrent A.M.BestratingofnotlessthanAͲ:VII. F. VerificationofCoverage:LUMENshallfurnishtheCITYwithcertificatesanda copyoftheamendatoryendorsementsorprovisions,includingbutnotnecessarily limitedtotheadditionalinsuredendorsement,evidencingtheAutomobileLiabilityand CommercialGeneralLiabilityinsuranceofLUMENbeforecommencementofthework. Uponrequest,theCITYshallprovideevidenceofcoverageinaccordancewiththissection 12. G. Contractors:LUMENshallfurnishseparatecertificatesandendorsementsfor eachofitscontractorsandsubcontractorperformingworkassociatedwiththis          Page10of12 Agreement.Allcoveragesforcontractorsandsubcontractorsshallbesubjecttoallof sameinsurancerequirementsasstatedhereinforLUMEN. 13. RelationshipoftheParties. ThisAgreementdoesnotcreateapartnership,jointventureorsimilarrelationshipbetweenthe PartiesandneitherPartywillhavethepowertoobligatetheotherinanymannerwhatsoever. AnypersonwhoperformsservicesrequiredbythisAgreementtobeperformedbyaPartywill besolelytheemployeeoragentofthatParty.EachPartyissolelyresponsiblefor(a)thehours ofwork,methodsofperformanceandcompensationofitsemployeesandagents;(b) compliancewithallfederal,state,andlocalrulesandregulationsincludingthosegoverning Worker'sCompensation,Unemployment,DisabilityInsurance,andSocialSecuritywithholding foritsemployeesandagents;and(c)allfederalincometaxesforitsincomederivedin connectionwiththisAgreement. 14. Assignment. NeitherPartywillassignthisAgreementwithoutthepriorwrittenconsentoftheotherParty. Suchconsentwillnotbeunreasonablywithheld,conditionedordelayed.Notwithstandingthe foregoing,LUMENmayassignthisAgreement(i)toanyaffiliateor(ii)inconnectionwiththesale ofanycablesystemorsaleofsubstantiallyallofthebusinessorassetsofLUMEN,ineachcase, towhichtheProjectrelates. 15. EntireAgreement. ThisAgreement,includingallAttachmentsandallspecifiedreferences,containstheentire agreementbetweenthePartiesandsupersedesallpriororalorwrittenagreementswithrespect tothesubjectmatterhereof.ThisAgreementmaynotbeamendedormodifiedexceptbya writteninstrumentexecutedbythePartieshereto.Nomodificationstotheseterms,including handwritten,arepermittedorshallbemadewithoutadulyexecutedwrittenamendment betweenthePartiesor,ifpriortoexecution,arevisedprintedAgreement.Intheeventany handwrittenmodificationismadetotheAgreementtermsandconditions,suchmodifications shallbeconsiderednullandvoid,whetherornotacknowledgedbytheParties,andthe Agreementshallcontinueinfullforceandeffectunderitsoriginal,unadulteratedtermsand conditions. 16. Binding.
