RESOLUTION4439CITYOFRENTONBYLAWSOFTHERENTONAIRPORTADVISORYCOMMIUEETheCityofRenton(“City”)AirportAdvisoryCommittee(“Committee”)hasadoptedthefollowingasitsBylawssettingforththerulesandproceduresdeemednecessarytocarryoutitsdutiesestablishedinchapter2-17oftheRentonMunicipalCode(“RMC”).AfterapprovaloftheseBylawsbytheRentonCityCouncil,theCommitteewillfileacopyoftheseBylawswiththeCityClerkofRenton.ARTICLEI—ORGANIZATION,PURPOSE,STRUCTURE,ELECTIONOFOFFICERSANDDUTIESA.ORGANIZATION:TheCommitteeservestheCitywithrespecttoissuesreferredtoitconcerningtheRentonMunicipalAirportwhichislocatedat616WestPerimeterRoad;Renton,WA98057.8.PURPOSE:TheCommitteewasestablishedbyadoptionofcityofRentonOrdinanceNo.5155onSeptember26,2005.PursuanttoRMC2-17-4,theroleoftheCommitteewillbetoactinanadvisorycapacitytotheMayorandCityCouncilonmattersreferredtotheCommitteebytheMayorandCityCouncil.Theprimaryfunctionwillbetoprovideaforumformembersofthecommunitytodiscusstheirconcernsdirectlywithairportoperatorsandforcollaborativeproblemsolvingandresolutionoftheirissues.C.STRUCTURE:VOTINGANDNON-VOTINGMEMBERSThestructureandvotingrightsoftheCommitteeshallbeasprovidedinRMC2-17-2and2-17-3,whichcallfortheCommitteetobecomprisedofneighborhoodrepresentativesandAirportrepresentatives.InordertopreservethemaximumnumberofvotespermittedperrepresentedneighborhoodorAirportarea,allalternatemembersoftheCommitteewillbenon-votingmembers.Anonvotingmemberwillbepermittedtovoteonlyiffillinginforanabsentregularvotingmember,asfurthersetforthintheseBylaws.D.ELECTIONOFOFFICERSPROCESSANDDUTIESOFOFFICERSAChairpersonshallbeelectedassetforthinRMC2-17-5.TheChairpersonshallpresideatallmeetings.TheChairpersonmayrequestspecialCommitteemeetingsandappointsubcommittees.TheCommitteemayalsoelectaViceChairpersonusingthesameelectionprocessassetforthfortheChairpersoninRMC2-17-5.TheViceChairpersonshall,intheabsenceoftheChairperson,performthedutiesandpossessthepowersoftheChairperson,and,inaddition,performotherdutiesassignedbytheChairperson.lof6Rev.05/11/2021 BylawsRentonAirportAdvisoryCommitteeTheelectionprocessfortheChairpersonandViceChairpersonpositionswilloccurannuallyatthebeginningoftheCommittee’sfirstquartermeeting.TheChairpersonwillbeelectedfirstandmaybeelectedfromeithertheneighborhoodrepresentativegrouportheAirportrepresentativegroup.TheViceChairpersonwillthenbeelectedfromthevotingmembershipgroupoppositeofthenewlyelectedChairpersontoensuretheneighborhoodandAirportgroupshaverepresentationamongtheCommitteeofficers.TheCity’sPublicWorksAdministrativeAssistantwillfacilitatetheprocesstoelecttheChairpersonandViceChairperson.TheprocessshallbethesameforbothpositionsandwillbeasfollowswiththeelectionoftheChairpersontakingplacefirst.1.NominationswillbeopenedforelectionofaChairpersonfirst.Self-nominationswillnotbeconsideredfortheChairpersonposition.2.Committeevotingmembersmaynominateuptoonevotingmemberperperson.Anomineehastheoptiontodeclinethenominationiftheysochoose.Committeealternatemembers,unlesssittinginforaprimarymember,shallnotparticipateintheelection.Non-votingmembersshallnotparticipateintheelectionprocess.3.Onceallnominationshavebeenrecognized,theAdministrativeAssistantwillclosenominations.4.NomineesmaymakeabriefstatementabouttheirexperienceandwhytheywouldliketoserveasChairperson.5.TheCommitteewillvote.Nomineeswillbevoteduponintheorderinwhichtheywerenominated.Votingwillceaseonceasimplemajorityofthevotingmemberspresentatthemeetingvoteinfavorofoneofthenominees.Votingshallbeconductedbyvoicevoteunlessashowofhandsisrequiredforclarification.6.Steps1-5willberepeatedfortheprocesstoelectaViceChairperson.AllparametersoftheelectionshallbeconsistentwiththoseusedtoelecttheChairperson,exceptthatthepoolofnominationsfortheViceChairpersonpositionshallbelimitedtotheoppositevotingmembergroupfromtheChairperson,assetforthabove.ARTICLEII—RULESOFPROCEDUREA.ROBERT’SRULESOFORDER:Unlessotherwiseprovidedbylawormodifiedbytheserules,theprocedureforCommitteemeetingsshallbegovernedbyRobert’sRulesofOrder.TheCommitteehasanobligationtothepublictobeclearandsimpleinitsproceduresandintheconsiderationofthequestionscomingbeforeit.Therefore,CommitteemembersshouldavoidinvokingthefinerpointsofparliamentaryprocedurewhensuchpointsserveonlytoobscuretheissuesbeforetheCommitteeasawhole,andtoconfusetheaudienceatpublicmeetingsandthepublicingeneral.B.PRESIDINGOFFICER:TheChairperson,orintheChairperson’sabsencetheViceChairperson,shallserveasthePresidingOfficerforpurposesofrunningaCommitteemeeting.IntheabsenceofboththeChairpersonandViceChairpersonataCommitteemeeting,thestaffliaisonshallsolicitnominationsforandmanageelectionofaPresidingOfficerinthesamemanneras2of6Rev.5/18/2021 BylawsRentonAirportAdvisoryCommitteetheelectionoftheOfficersassetoutinArticle1.D.ThePresidingOfficermayvoteonanymatterbeforetheCommittee.C.PARLIAMENTARIAN:ACityAttorneyDepartmentrepresentativeand/orPublicWorksAdministrativeAssistantmayprovideguidanceandsupporttothePresidingOfficeronanyquestionsoforder.ARTICLEIII—MEETINGSA.QUORUM:TheCommitteehas18votingmembers.Morethan50%oftheseatedvotingmembersshallconstituteaquorumatanygivenmeeting.Anon-votingalternatemembermayattendthemeeting,andintheabsenceofthealternate’sregularvotingmemberwillcounttowardquorumandwillbepermittedtovote.ThetotalnumberofvotesatanymeetingfortheneighborhoodrepresentativegrouportheAirportrepresentativegroupshallnotexceedthatgroup’snumberofvotingmemberslistedinRMC2-17-2.IIlessthanaquorumispresentatanymeeting,themeetingmaycontinue,howevernoactionitemswillbedebatedorvotedupon;onlyinformationalitemsmaybepresented.Ameetingmaybecanceledifneeded(e.g.,weather,local,stateornationalemergency),butmaynotberescheduledwithoutaquorumpresent.B.REGULARMEETINGS:TheCommitteeshallmeetquarterlyonthesecondTuesdayofFebruary,May,September,andNovember.TheCommitteeshallhavetheauthoritytochangeitsmeetingdatesandtimesifnecessary,byactionofamajorityoftheCommitteeataregularCommitteemeeting.AmeetingscheduleforthefollowingyearshallbeproposedbystaffandplacedontheNewBusinessportionoftheagendaforthefinalmeetingofthecurrentyear.TheCommitteemayapproveoramendtheproposedmeetingschedulebysimplemajorityvoteofthoseinattendance.TheChairpersonmaychange,cancel,oralterthedateofameetingasneeded.C.SPECIALMEETINGS:TheChairpersonmaycallspecialmeetings,worksessionsandCommitteemeetingswhenproperandasnecessarywithnoticetoCommitteemembersandthepublic.WorksessionsshallbenoticedaspublicmeetingsandallCommitteemembersmayparticipate.D.VIRTUALMEETINGSANDREMOTEATTENDANCE:.1.VirtualMeetings:AlthoughtheCommitteeshallhaveastandardpracticeofmeetinginpersonatasitedeterminedbycitystaff,ifneeded,ordirectedtodosobecauseofanemergencysituation,theCommitteewillbepermittedtoconductbusinessviaavirtualplatformifallowedbylaw.Regardlessofhowthemeetingisconducted,allprimaryandalternatememberswillbeinvitedtoattendandparticipateasoutlinedinArticlel.C.2.RemoteAttendance:Anymembermayattendameetingremotelyif(1)bytelephonicaccess,orbyotherelectronic,internetorothermeansofremoteaccessacceptabletoandarrangedwithcitystaff,and(2)ifallpersonsattendingthemeetingcanhearandbeheardbythememberattendingremotely.3of6Rev.5/18/2021 BylawsRentonAirportAdvisoryCommitteeE.NOTICE:AllmeetingswillbenoticedbytheCityClerkDivisionatleast24hoursinadvanceofthemeeting.Eachmeetingnoticeshallincludethedate,time,location,andprimaryagendatopics.Inaddition,anemailnoticemaybesenttoallinterestedpersonsprovidingalinktotheCity’swebsiteonwhichthemeetingagendaandsupportingmaterialswillbeposted.lithewebsiteisnotavailableatthetimeofthenotification,meetingmaterialsmaybesentasattachmentstotheemail.F.ATTENDANCEREQUIREMENTS:Committeememberswhofailtoattendatleast75%oftheCommitteemeetingswithinacalendaryearshallbesubjecttothefollowing:1.lithecauseofabsenceisnotofanexcusableandtemporarynature,including,butnotlimitedto,illness,vacationorworknecessity,staffshallworkwiththeChairpersontocontactthememberandremindthememberthatattendanceisakeyresponsibilityofmembership.2.Ifthememberfailstoattendatleast75%ofthemeetingswithinthefollowingcalendaryear,themembermaybeaskedtoresign.3.lIthememberrefusestoresignuponrequest,theMayorordesigneemayrecommendthattheCityCounciltakeactiontoremovethememberfromtheCommittee,uponwhichoccurrencethevacantpositionmayberefilled.G.GENERALDECORUM:1.PresidingOfficer:ThePresidingOfficershallpreservedecorumanddecideallpointsoforder,subjecttoappealtotheCommittee.2.Members:WhiletheCommitteeisinsession,allmembersmustpreserveorder,decencyanddecorum,andnomembershalldelayorinterrupttheproceedingsoftheCommitteeordisturbanymemberwhilespeaking,orrefusetoobeytheorderofthePresidingOfficer.DiscussionbymembersoftheCommitteeshallrelatetothesubjectmatterathandandshallberelevantandpertinenttoallowfortheexpeditiousdispositionandresolutionofthebusinessbeforetheCommittee.3.Staff:Membersoftheadministrativestaff,employeesoftheCityandotherpersonsattendingCommitteemeetingsshallobservethesamerulesofprocedure,decorum,andgoodconductapplicabletothemembersoftheCommittee.4.PublicAddressingCommittee:Anypersonwhoimpedes,interrupts,orthreatenstheproceedingsoftheCommitteemaybebarredfromfurtheraudiencebeforetheCommitteebythePresidingOfficer.AnindividualmaynotreturnfortheremainderofthatmeetingunlesspermissionisgrantedbyamajorityvoteoftheCommitteequoruminattendance.5.UseofEmail:EmailmaybeusedtodistributeinformationtotheCommittee.Responsestothefullgroupwhichstimulatedialogue,discussionofpendingactionitemsareprohibited;suchresponsesshouldbemadeduringthenextCommitteemeetingduringwhichaquorumispresent.H.SETTINGTHEMEETINGAGENDA:Citystaffwillcreateadraftmeetingagendapriortoeachmeeting.StaffwillprovidethedraftmeetingagendatotheChairpersonandViceChairperson4of6Rev.5/18/2021 BylawsRentonAirportAdvisoryCommitteetoreviewandfinalizetheagendabeforethemeetingdocumentsaredistributedtotheCommitteemembers.I.ORDEROFBUSINESS:TheorderofbusinessforallregularCommitteemeetingsshallbeasfollows,provided,howeverwhenitappearstobeinthebestinterestofthepublic,theorderofbusinessmaybechangedforanysinglemeetingbymajorityvote:1.CalltoOrder2.RollCall3.ConsentAgenda(includingapprovalofpreviousmeetingminutes)4.SpecialPresentationsandReports5.PublicWorksAdministrator’sReport6.AirportDirector’sReport7.Chairperson’sReport8.CommitteeMemberComments9.PublicComment10.UnfinishedBusiness11.NewBusinessa.GeneralBusinessDiscussionItemsb.ActionItemsc.DebateofItemsasneededd.AirportDirector’sReport12.AdjournmentARTICLEIV—TERMSANDVACANCIESTermsofCommitteemembersshallbeassetforthinRMC2-17-6.TermsshallrunfromMay7toMay6.Shouldamemberneedorwishtoresignanappointedpositionpriortotheexpirationoftheterm,theyshallnotifytheChairperson,AirportDirectorandPublicWorksAdministrativeAssistantinwriting.Thememberwillreceiveawrittenacknowledgmentoftheresignation.Uponreceiptofapplications,arecommendationforanindividualtofillthevacatedpositionwillbepresentedtotheMayorforappointment.Ifappointed,theindividualwillserveouttheremainingtimeofthevacatedterm.Upontermexpiration,Committeememberswhodesireservinganothertermmayre-applyfortheirpositionbycompletinganapplication.Theapplicationwillbeconsidered,alongwithothersreceived,forafinalrecommendationtotheMayor.Atthistime,termlimitsdonotexist.ARTICLEV—ETHICS1.STATEANDCITYETHICSCODE/OPENPUBLICMEETINGSACT:MembersshallfollowtheCity’sCodeofEthicsPolicy100-07.MembersarealsorequiredbyRCW42.30.205toattendOpenPublicMeetingsAct(OPMA)trainingwithin90daysofbeingappointedandeveryfouryearsthereafterwhileappointedtotheCommittee.UponcompletionofthetrainingmembersshallsubmitaCertificateofCompletiontotheCityClerkDivisiondocumentingattendanceofinitialtrainingandsubsequenttrainingsforpublicofficers.Sof6Rev.5/18/2021
