HomeMy WebLinkAboutContractPage1of13 JOINTUTILITYTRENCHCONSTRUCTIONAGREEMENT BetweenCOMCASTandtheCITYOFRENTON CityofRentonAgreementNo._____________________ THISAGREEMENT("Agreement"),effectiveasofthe15thdayofApril,2023(the"Effective Date"),ismadebyandbetweentheCITYOFRENTON,aWashingtonMunicipalCorporation(“the “CITY"),andComcastCableCommunicationsManagement,LLC,aDelawarelimitedliability company,onbehalfofitselfanditsapplicableaffiliatesholdingthefranchiseagreement(s)inthe areacoveredbythisAgreement(collectively,“COMCAST”TheCityandCOMCASTareeach referredtointhisAgreementasa"Party"andcollectivelyasthe“Parties.”).TheAttachments referredtohereinareincorporatedbythisreference. RECITALS A. TheCITYismakingimprovementstoRainierAvenueS(the“Project”)withinthe corporateboundariesoftheCITY. B. COMCASTprovidesbroadbandcommunicationsservicesintheCITY. C. TheProjectincludesrelocationoffacilitiesthatarecurrentlylocatedalongthe corridorandownedbyCOMCASTandotherutilityserviceproviders.Alloftheseutilityservices aretoberelocatedaspartoftheProject(“Relocation”). D. TheCITYhasdeveloped,advertisedandawardedandexecutedbidsfora constructioncontract,includingthePlans,SpecificationsandEstimatesfoundonBuilders ExchangeofWashingtonat http://www.bxwa.com/bxwa_toc/pub/300/ren46_rainier_ave_s_corridor_i_72258/info.php (“PS&E”)toconstructtheProject.Bythisreference,thePS&Easadvertisedandawardedfor construction,andincludinganypublishedamendmentsduringthebiddingperiod,aremadea partofthisAgreement. ApplicablePS&ERequirements:theworkfortheJointUtilityTrenchisinSection8Ͳ35of theSpecialProvisions.ThereareothersectionssuchasMobilization,Dewatering,TrafficControl, andErosionControlandWaterPollutionControlandothersthatalsoapplytoJointUtilityTrench Work. E. TheRelocationrequirestrenchingwithintherightͲofͲwayforplacementof facilitiesofutilitiesserviceproviders,includingCOMCAST,theCITYandothersintoaJointUtility Trench(“JUT”). F. COMCASTdesirestosecuretheservicesoftheCITYtoinstallconduitandutility vaultsunderground(“Work")andCOMCASTdesirestocooperateintheplanning,engineering, designandotherworkassociatedwithcompletionoftheJUTandtheWork.                       CAG-23-188 CAG-23-188 Page2of13 AGREEMENT NOW,THEREFORE,inconsiderationofthemutualcovenants,terms,conditionsand obligationscontainedherein,andintendingtobeboundhereby,thePartiesagreeasfollows: 1.ProjectDescriptionandTerm. A.TheJUTwillbeplacedintheCITYrightͲofͲwayalongRainierAvenueSaspartof theProjectandfacilitiesextendedtothosesidestreetsandtopropertiesincludedandas showninthePS&E.TheJUTwillbeconstructedtoaccommodatetheunderground facilitiesofseveralutilityserviceproviders,includingataminimum,LUMEN,COMCAST, andPSE(gasandelectric).TheCITYhasawardedandexecutedacontractthatincludes constructionoftheProject,includingtheJUTandtheWork. B.Term:ThisAgreementshallcommenceontheEffectiveDateandcontinueuntil theJUTandtheWorkarecompleted. 2.PerformanceofWork. A.TheCITY,actingthroughthesuccessfulbidder("CITYContractor"),willperform andcompletetheWorkinaccordancewiththePS&Eandallapplicablefederal,stateand locallawsandtherequirementsofthosethatownorhavejurisdictionovertherightsof wayinwhichtheWorkistobeperformed.Asoneofthefirstordersofworktobe required,theCITYContractorwilldevelopaconstructionschedulefortheProjectin sufficientdetailtoallowtheCITYandCOMCASTtounderstandtimeframesfor completionoftheProjectandtheWork. B.TotheextentthatperformanceoftheWorkrequirestheinstallationofany materialsthatwouldnotbeneededbutforCOMCAST'sparticipationintheProject, COMCASTwillarrangeforthepurchaseanddeliveryofsuchmaterialstotheCITY Contractor.SpecificmaterialstobepurchasedanddeliveredbyCOMCASTaredefinedin thePS&E. 3.ResponsibilityofPartiestoCompletetheWork. A.CITYResponsibilities: 1.CityContractorDuties.CITYwillcausetheCITYContractortoexcavatethe JUT,accommodateandcoordinatetheinstallationofundergroundutilities,install vaultsandconduits,furnishandinstallbeddingmaterial,backfillandcompactthe JUT,andperformanyrestorationrequiredbytheCITYwithintherightͲofͲway. CITYand/orCITYContractorwillexercisereasonablecareintheperformanceof theWork,andwillinstallCOMCASTconduitandutilityvaultsinaccordancewith writtenrequirementsanddrawingsprovidedinthePS&E.TheCITYContractor                       Page3of13 willprovidealltrafficcontrolrequiredfortheCITY’SWork,exceptfortheWork describedinSection3(B)(3). 2.NoticeofMaterialsRequired.TheCITYwillprovideCOMCASTnotice,not lessthanten(10)workingdayspriortotherequireddeliverydate,requesting deliveryofnecessaryconduitsandvaultsandallrelatedmaterialsthattheCITY ContractorreasonablyrequirestoinstalltheJUTandconduits. COMCAST’sfailuretorespondorsupplymaterialsmayleadtoprojectdelayand, exceptfordelaysresultingfromForceMajeureEvents,mayleadtoenforcement ofpenaltiesandrecoveryofdamagesunderclaimsmadepursuanttoCOMCAST's Section11indemnificationobligations. 3.PlanDiscrepancies.IfthereisanydiscrepancybetweenthePS&Eandthe COMCASTplans,thePartiesmutuallyagreetoworktogethertoresolvesuch discrepancybetweensaidplans. B.COMCASTResponsibilities: 1.ProvisionofWork,Materials,andEquipment.Allworkandequipment describedinthissectionasCOMCASTresponsibilitiesshallbeprovidedby COMCASTinthemannerandtimeframedescribedhereinatCOMCAST'ssolecost andexpense. 2.Coordination.COMCASTwillmaintaincontinuedcoordinationwiththe CITYregardinginstallationofCOMCAST’sfacilities.Thiscoordinationwillinclude, butnotbelimitedtothefollowing: a.TheCITYContractorwilldevelopaschedulethatwillaccurately depicthowtheCITYContractorplanstocompletetheproject,including theRelocationandtheWork.COMCASTwillberesponsiblefor coordinatingitsworktomeetthisprojectschedule. b.AweeklymeetingwillbeheldinwhichtheCITYContractorwill provideascheduleandlistofmaterialsneededforthefollowingtwo(2) weeks.ArepresentativefromCOMCASTwillattendeachmeetingand provideweeklyprogressreports.TheCOMCASTrepresentativewillbe responsibleforcoordinatingthedeliveryofmaterialsperthediscussion ofscheduleattheseweeklymeetings,inaccordancewithSection3(A)(2). c.COMCASTwillfurnishallmaterialsrequiredfortheinstallationof COMCASTconduitandutilityvaultsincludingvaults,conduits,andall othermaterialsnecessaryforinstallationofthevaultsandconduits requiredbytheCITYContractorfortheinstallationofCOMCASTfacilities thatweek,notlessthanten(10)workingdayspriortothedatethatthe                       Page4of13 workisscheduledtobeginasdiscussedintheweeklymeeting,provided thatCITYgivesCOMCASTnoticeinaccordancewithSection3(A)(2).The CITYwillprovideareasonablelocationtoCOMCASTwherethematerials willbedelivered. d.COMCASTandtheCITYwillprovideaninspectoronͲsite,on twentyͲfour(24)hours’notice,toinspectandaccepttheinstallationofall vaultandconduitinstallationwork.COMCAST'sinspectorwillnotdirect theCITYContractorinanymanner;theCOMCASTinspectorwill communicateallrequestsinwritingtotheCITY'sinspector. e.UponcompletionoftheWorkbyCITY,COMCASTwillcomplete installationofconductorsandequipmentandperformcutͲoverand transferofexistingcustomersandfacilitiestothenewunderground system,andremoveallexistingfacilitiesassociatedwiththeWorkthat arenolongerinuse.Thiswillbedoneinamannerthatdoesnotdelayor otherwiseimpactprogressofconstructionoftheProject.COMCAST’s responsibilitieswillinclude,butnotbelimitedto,furnishingandinstalling allcables,conductors,electricalequipment,andtemporaryutilitypoles; conversiontounderground;andfortheremovalofpoles,andother equipmentnolongerneeded. f.Federal"BuyAmerica"requirementssignificantlyrestrictthevalue ofnonͲdomesticironorsteelmaterialincorporatedintotheProjectbythe CITY."BuyAmerica"requirementsapplytoallmaterialtobefurnishedby COMCAST,thatismadeofironorsteel,andequipmentwhichincludes anycomponentsmadeofironorsteel.Becauseofthe"BuyAmerica" requirements,allmaterialmadeofironorsteel,andallcomponentsof equipmentthataremadeofironorsteelthatisfurnishedbyCOMCAST mustbemadeofmaterialcreatedintheUnitedStates,andthematerial orcomponentfabricatedintheUnitedStates.COMCASTwillprovideto theCITY,priortoincorporationintotheWork,CertificationofMaterials Origin(CMO)documentationthatclearlystatesthesematerialand equipmentcomponentsaremadeofironorsteelthatwascreatedinthe UnitedStatesandthecomponentsfabricatedintheUnitedStates.The CMOcanbeprovidedbycompletingandsigningastandardCMOform developedbytheWashingtonStateDepartmentofTransportation (WSDOTForm350Ͳ109). COMCAST’sfailuretorespondorcomplymayleadtoprojectdelay(includingbut notlimitedtodelayscausedbyCOMCASTresultingindamagespaidtothe ContractorbytheCity)and,exceptfordelaysresultingfromForceMajeure Events,mayleadtoenforcementofpenaltiesandrecoveryofdamagesunder claimsmadepursuanttoCOMCAST'sSection11indemnificationobligations.                       Page5of13 3.TrafficControl.COMCASToritscontractorwillprovidetrafficcontrol whenCOMCASToritscontractorisinstallingitsnewundergroundcablingand splicing.TrafficcontrolplanstobeutilizedbyCOMCASToritscontractorwillbe coordinatedwithtrafficcontrolestablishedfortheProject.Trafficcontrolplans shallbesubmittedtotheCITY’sTransportationProjectManager. 4.InstallationNotinRightofWay.TheinstallationofanyCOMCASTfacilities notinCITYrightͲofͲway,includingbutnotlimitedtocable,conduit,and pedestals,willbetheresponsibilityofCOMCAST.COMCASTwillcoordinatewith privatepropertyowners onwhosepropertythefacilitieswillbelocated.The ProjectwillnotprovideforanyconstructionoutsideoftheCITY’srightsͲofͲway oreasements.Coordinationofwork,andpaymentfornecessaryeasementsor agreementsfromprivatepropertyowners,istheresponsibilityofCOMCASTand shallbedoneinamannersoasnottodelayorotherwiseimpacttheconstruction oftheProject. 4.Compensation. A.COMCASTagreestopaytheCITYaportionoftheJUTcosts,includingJUTbedding andbackfill,commensuratewithCOMCAST’sproportionateshareofJUTusage.For planningpurposes,anestimateofthecoststobereimbursedbyCOMCASTtotheCITY fortheWorkisincludedasAttachmentAtothisAgreement.Thiscompensationcovers aproratashareofcertaincosts, andtheproratashareformulaissetforthon AttachmentA.Preliminarycostswillbeagreeduponpriortoconstruction.Costswillbe finalizedaftercompletionofconstructionand willbesubjecttofinalreviewandapproval byCOMCAST,whichapprovalshallnotbeunreasonablywithheld.COMCASTagreesto paytheCITYforitsportionoftheactualconstructioncostsapprovedbyCOMCASTbased ontheproratashareformulasetforthonAttachmentA. B.Shareofadditionalexpenses:COMCASTwillpayitsproportionateshareofany reasonable,additionalexpensesincurredbytheCITYtocompletetheWork,aslistedin AttachmentA,providedsuchadditionalexpensesaremutuallyagreeduponbythe Partiesinwriting,priortosuchadditionalexpensesbeingincurred. C.Invoice:COMCASTagreestopay alluncontestedamountstotheCITYwithin (sixty60)daysofbeinginvoicedbytheCITYforamountswhichCOMCASThasagreedto payunderthisAgreement.COMCAST’Sresponsibilityforpaymentofcontestedamounts shallberesolvedundertheDisputeResolutionprovisionssetforthinSection9below. ThemakingoffinalpaymentbyComcastshallconstituteawaiverofclaimsbytheCITY, exceptthosepreviouslyandproperlymadeandidentifiedbytheCITYasunsettledatthe timetheCITYmakeswrittenrequesttoComcastforfinalpayment. D.DefectiveorUnauthorizedWork:COMCASTreservestherighttowithhold paymentfromtheCITYforanyDefectiveWorkorUnauthorizedWorkperformedbythe                       Page6of13 CITYContractor.“DefectiveWork”includes,withoutlimitation,workandmaterialsthat donotconformtotherequirementsofthisAgreement.“UnauthorizedWork”includes extraworkandmaterialsfurnishedwithoutCOMCAST’sapproval(exceptforworkand materialsrequiredduetoChangedConditions(asthattermisdefinedinSection1Ͳ04.7 DifferingSiteConditions(ChangedConditions)foundinthe2022WSDOTStandard Specificationsavailableathttps://wsdot.wa.gov/publications/manuals/fulltext/M41Ͳ 10/SS2022.pdf). 5.AmendmentsandChangeOrders. A.AnyrequestforchangebyeitherParty(exceptchangescausedbyChanged Conditions)mustbeagreeduponinadvanceasevidencedbywrittenamendmentand signedbyauthorizedrepresentativesofbothParties. B.AnychangerequestedbyCOMCASTtobeperformedbytheCITYwillbe submittedtotheCITY'sConstructionManagementConsultant,whowillsubmitthe requesttotheCITYContractortoobtainareasonablepricefromtheCITYContractorto performthework.TheCITYwillnotifyCOMCASToftheprice.COMCASTwillhavethirtyͲ six(36)hoursafterbeingnotifiedofthepricetorespondandconfirmtherequested changeandauthorizethechangeinworkandcost. C.COMCASTwillreimbursetheCITYforitsshareofallnegotiatedcostsassociated withanychangesolelyrequestedbyCOMCAST,includingassociatedengineeringand inspectioncosts. COMCASTwillnotpayforanyshareofadditionalexpensesincurred duesolelytoapprovedchangerequestsfromotherprivateutilitiesand/ortheCITY. 6.Schedule. TheCITYContractorwillberesponsibleforplanningandschedulingtheWorkandtheCITYwill requiretheCITYContractortosubmitaprogressscheduletotheCITYandCOMCASTpriorto beginningconstructionactivities. 7.Notices. ThisAgreementshallbegovernedbyandinterpretedinaccordancewiththelawsoftheState ofWashington.TheWorkshallbeperformedinaccordancewithallapplicablefederal,state, countyandcitylaws,codesandordinances. 9.DisputeResolution,JurisdictionandVenue. Anycontroversyorclaim,whetherbasedoncontract,statute,tort,fraudmisrepresentationor othertheory,relateddirectlyorindirectlytothisagreementbetweenCOMCASTandtheCITYwill beresolvedbymutualnegotiationbetweentheParties.Shouldsuchnegotiationsfailtosettle suchcontroversyorclaim,thePartiesmayagreetobindingarbitration.Anylawsuitorlegalaction broughtbyanypartytoenforceorinterpretthisAgreementoranyofitstermsorcovenantsshall bebroughtintheKingCountySuperiorCourtfortheStateofWashingtonattheMalengRegional                       Page8of13 JusticeCenterinKent,KingCounty,Washington,oritsreplacementorsuccessor.Nothinginthe foregoingshallbeconstruedinawaythatlimitstheabilityofeitherPartytopursueany appropriatelegalactionavailabletoitinlaworequityinordertoresolvedisputes. 10.ForceMajeure. BothPartiesshallbeexcusedfromtheirperformanceifpreventedbyactsoreventsbeyondthe Partiesreasonablecontrolincludingextremeweatherconditions,strikes,fires,pandemicsand epidemics,embargoes,actionsofcivilormilitarylawenforcementauthorities,actsofGod,or actsoflegislative,judicial,executive,oradministrativeauthorities("ForceMajeureEvent"). 11.Indemnification. CITYwillindemnify,defendandholdharmlessCOMCAST,itsowners,parents,subsidiaries,and affiliates,andtheirrespectiveofficers,directors,andemployees(collectivelythe“COMCAST IndemnifiedParties”)fromandagainstanyandallliabilities,claims,judgments,losses,orders, awards,damages,costs,fines,penalties,costsofdefense,andattorneys'fees(collectively "Liabilities")totheextenttheyarisefromorinconnectionwith:(a)theperformanceofanywork requiredunderthisAgreementbytheCITY,theCITYContractorandeachoftheirrespective officers,employees,subcontractorsand/orrepresentatives,excepttotheextenttheinjuries anddamagesarecausedbythenegligenceorwillfulmisconductof anyComcastIndemnified Party;or(b)failureoftheCITY,theCITYContractororanyoftheirrespectiveofficers,employees, subcontractorsand/orrepresentativestocomplywithanytermofthisAgreementorany applicablelocal,state,orfederallaworregulation,includingbutnotlimitedtoanyapplicable prevailingwagerequirementsorlaws,theOccupationalSafetyandHealthActof1970and environmentalprotectionlaws. COMCASTwilldefend,indemnify,andholdharmlesstheCITY,itsofficers,employees, contractors,subcontractorsand/orrepresentatives(collectivelythe“CITYIndemnifiedParties”) fromandagainstanyandallLiabilitiestotheextenttheyarisefromorinconnectionwith:(a) theperformanceofanyworkrequiredunderthisAgreementbyCOMCAST,itsofficers,directors, employees,subcontractorsand/orrepresentatives,excepttotheextenttheinjuriesand damagesarecausedbythenegligenceorwillfulmisconductofanyCITYIndemnifiedParty;or (b)failureofCOMCAST,itsofficers,directors,employees,subcontractorsand/orrepresentatives tocomplywithanytermofthisAgreementoranyapplicablelocal,state,orfederallawor regulation,includingbutnotlimitedtotheOccupationalSafetyandHealthActof1970and environmentalprotectionlaws. IntheeventofLiabilitiesarisingoutofinjuryordamagescausedbyorresultingfromthe concurrentnegligenceofthepartiesinvolvedintheProject,eachParty’sliabilityhereunder, includingthedutyandcosttodefend,shallbelimitedonlytotheextentofitsownnegligence. TheindemnificationprovisionshereinconstituteeachParty’swaiverofimmunityunder industrialinsurance,Title51RCW,solelytocarryoutthepurposesoftheindemnification provisions.ThePartiesacknowledgetheyhavemutuallynegotiatedthiswaiver.Theforegoing                       Page9of13 waivershallnotinanywayprecludetheindemnifyingPartyfromraisingsuchimmunityasa defenseagainstanyclaimbroughtagainsttheindemnifyingPartybyanyofitsemployees. ExceptforeachParty'sindemnificationobligationsunderthissection,neitherPartyisliableto theotherforconsequential,incidental,indirect,punitiveorspecialdamages,including commerciallossandlostprofits,howevercausedandregardlessoflegaltheoryorforeseeability, directlyorindirectlyarisingunderthisAgreement,evenifsuchPartyhasbeenapprisedofthe possibilityofsuchdamages. TheprovisionsofthisSection11shallsurvivetheterminationorexpirationofthisAgreement. 12.Insurance. TheCITYhasincludedinthePS&ErequirementsfortheCITYContractortosecureandmaintain insurancecoveragesthatareconsistentwithstatelawandfederalfundingrequirements.Each Partyagreestosecureandmaintain,andtheCITYshallcauseContractortosecureandmaintain insuranceinamountsnotlessthanthosespecifiedbelow: A.CommercialGeneralLiabilityinsurancecoveringclaimsforbodilyinjury,death, personalinjuryorpropertydamage(includinglossofuse)occurringorarisingoutofwork performedunderthisAgreementforwhichtheinsuredPartyisresponsiblehereunder andincludingcoverageforpremisesͲoperationproduct/completedoperationsand contractualliabilitycoverage.Thelimitsofinsuranceshallnotbelessthan: EachOccurrence $1,000,000 GeneralAggregate $2,000,000 B.Workers’Compensationinsurancewithstatutorylimitsasrequiredinthestate(s) ofoperation;andprovidingcoverageforanyemployeeinconnectionwiththis Agreement,evenifnotrequiredbystatute.Employer’sLiabilityor“StopGap”insurance withlimitsofnotlessthan$1,000,000eachaccident. C.BusinessAutomobileLiabilityinsurancecoveringtheownership,operationand maintenanceofallowned,nonͲownedandhiredmotorvehiclesusedinconnectionwith thisAgreementwithlimitsofatleast$1,000,000eachaccident. D.EachPartyshallassumeallpropertylossordamagefromanycausewhatsoever toanyoftheirrespectivetools,employeeͲownedtools,machinery,equipment,any motorvehiclesownedorrented,includinganytemporarystructures,scaffoldingand protectivefencesusedinperformanceofworkunderthisAgreementunlesscausedby thenegligentact,omissionorwillfulmisconductoftheotherParty.ThePartiesshall requiretheiragentsandsubcontractorstoalsoassumethesamepropertylossor damageasrequiredunderthisparagraphDfortheirproperty.                       Page10of13 E.AcceptabilityofInsurers.Insuranceistobeplacedwithinsurerswithacurrent A.M.BestratingofnotlessthanAͲ:VII. F.VerificationofCoverage:COMCASTshallfurnishtheCITYwithcertificatesanda copyoftheamendatoryendorsementsorprovisions,includingbutnotnecessarily limitedtotheadditionalinsuredendorsement,evidencingtheAutomobileLiabilityand CommercialGeneralLiabilityinsuranceofCOMCASTbeforecommencementofthework. Uponrequest,theCITYshallprovideevidenceofcoverageinaccordancewiththissection 12. G.Contractors:COMCASTshallfurnishseparatecertificatesandendorsementsfor eachofitscontractorsandsubcontractorperformingworkassociatedwiththis Agreement.Allcoveragesforcontractorsandsubcontractorsshallbesubjecttoallof sameinsurancerequirementsasstatedhereinforCOMCAST. 13.RelationshipoftheParties. ThisAgreementdoesnotcreateapartnership,jointventureorsimilarrelationshipbetweenthe PartiesandneitherPartywillhavethepowertoobligatetheotherinanymannerwhatsoever. AnypersonwhoperformsservicesrequiredbythisAgreementtobeperformedbyaPartywill besolelytheemployeeoragentofthatParty.EachPartyissolelyresponsiblefor(a)thehours ofwork,methodsofperformanceandcompensationofitsemployeesandagents;(b) compliancewithallfederal,state,andlocalrulesandregulationsincludingthosegoverning Worker'sCompensation,Unemployment,DisabilityInsurance,andSocialSecuritywithholding foritsemployeesandagents;and(c)allfederalincometaxesforitsincomederivedin connectionwiththisAgreement. 14.Assignment. NeitherPartywillassignthisAgreementwithoutthepriorwrittenconsentoftheotherParty. Suchconsentwillnotbeunreasonablywithheld,conditionedordelayed.Notwithstandingthe foregoing,COMCASTmayassignthisAgreement(i)toanyaffiliateor(ii)inconnectionwiththe saleofanycablesystemorsaleofsubstantiallyallofthebusinessorassetsofCOMCAST,ineach case,towhichtheProjectrelates. 15.EntireAgreement.
