Whereas,theCityengagedtheservicesoftheConsultantunderAgreementCAGͲ21Ͳ212,dated September23,202,toprovidenecessaryservicesfortheCityofRentonEnergyUpgradesPhase 3(referredtohereinasthe“Agreement”); Whereas,thePartieswishtoamendtheAgreementtochangethescopeofwork,changethe timeforperformance,andchangethecompensation. NOWTHEREFORE,ItismutuallyagreeduponthatCAGͲ21Ͳ212isamendedasfollows: 1.ScopeofWork:Section1,ScopeofWork,isamendedtoincludeworkperExhibit1A. 2.TimeofPerformance:TimeofPerformance,isamended.AllWorkshallbeperformedby nolaterthanDecember31,2025. 3.Compensation:Section4,Compensation,isamendedsothatthemaximumamountof compensationpayabletoConsultantisincreasedby$1,877,666.01from$82,500.00to $1,960,166.01,includingallapplicablestateandlocalsalestaxes.Theadditional compensationshallbepaidbaseduponWorkactuallyperformedaccordingtotherate(s) oramountsspecifiedinExhibit1Band1Cattachedandincorporatedherein. 4.AlltermsoftheAgreementnotexplicitlymodifiedhereinshallremaininfullforceand effectandsuchtermsshallapplytoWorkperformedaccordingtothisAmendmentasif fullysetforthherein.
