HomeMy WebLinkAboutContractPage1of12 JOINTUTILITYTRENCHCONSTRUCTIONAGREEMENT BetweenPSEandtheCITYOFRENTON CityofRentonAgreementNo._____________________ PSEAgreementNo._____________________ THISAGREEMENT("Agreement"),effectiveasof____________dayof______________, 2023(the"EffectiveDate"),ismadebyandbetweentheCITYOFRENTON,aWashington MunicipalCorporation(the“CITY"),andPugetSoundEnergy,Inc.,aWashingtonCorporation (“PSE”),onbehalfofitselfanditsapplicableaffiliatesholdingthefranchiseagreement(s)inthe areacoveredbythisAgreement(collectively,TheCityandPSEareeachreferredtointhis Agreementasa"Party"andcollectivelyasthe“Parties.”).TheAttachmentsreferredtoherein areincorporatedbythisreference. RECITALS A. TheCITYismakingimprovementstoRainierAvenueS(the“Project”)withinthe corporateboundariesoftheCITY. B. PSEprovidesgasandpowerservicesintheCITY. C. TheProjectincludesrelocationoffacilitiesthatarecurrentlylocatedalongthe corridorandownedbyPSE.AllutilityservicesaretoberelocatedaspartoftheProject (“Relocation”). D. TheCITYhasdeveloped,advertised,andawardedandexecutedbidsfora constructioncontract,includingPlans,SpecificationsandEstimates(“PS&E”)toconstructthe Project.Bythisreference,thePS&Easadvertisedandawardedforconstruction,andincluding anypublishedamendmentsduringthebiddingperiod,aremadeapartofthisAgreement. E. TheRelocationrequirestrenchingwithintherightͲofͲwayforplacementof facilitiesofutilitiesserviceproviders,includingPSE,theCITYandothersintoaJointUtilityTrench (“JUT”). F. PSEdesirestosecuretheservicesoftheCITYtoinstallconduitandutilityvaults underground(“Work")andPSEdesirestocooperateintheplanning,engineering,designand otherworkassociatedwithcompletionoftheJUTandtheWork. AGREEMENT NOW,THEREFORE,inconsiderationofthemutualcovenants,terms,conditionsand obligationscontainedherein,andintendingtobeboundhereby,thePartiesagreeasfollows:          CAG-23-251 CAG-23-251 11th July Page2of12 1.ProjectDescriptionandTerm. A.TheJUTwillbeplacedintheCITYrightͲofͲwayalongRainierAvenueSaspartof theProjectandfacilitiesextendedtothosesidestreetsandtopropertiesincludedandas showninthePS&E.TheJUTwillbeconstructedtoaccommodatetheunderground facilitiesofseveralutilityserviceproviders,includingataminimum,LUMEN,COMCAST, andPSE(gasandelectric).TheCITYhasawardedandexecutedacontractthatincludes constructionoftheProject,includingtheJUTandtheWork. B.Term:ThisAgreementshallcommenceontheEffectiveDateandcontinueuntil theJUTandtheWorkarecompleted. 2.PerformanceofWork. A.TheCITY,actingthroughthesuccessfulbidder("CITYContractor"),willperform andcompletetheWorkinaccordancewiththePS&Eandallapplicablefederal,stateand locallawsandtherequirementsofthosethatownorhavejurisdictionovertherightsof wayinwhichtheWorkistobeperformed.Asoneofthefirstordersofworktobe required,theCITYContractorwilldevelopaconstructionschedulefortheProjectin sufficientdetailtoallowtheCITYandPSEtounderstandtimeframesforcompletionof theProjectandtheWork. B.TotheextentthatperformanceoftheWorkrequirestheinstallationofany materialsthatwouldnotbeneededbutforPSE'sparticipationintheProject,PSEwill arrangeforthepurchaseanddeliveryofsuchmaterialstotheCITYContractor.Specific materialstobepurchasedanddeliveredbyPSEaredefinedinthePS&E. 3.ResponsibilityofPartiestoCompletetheWork. A.CITYResponsibilities: 1.CityContractorDuties.CITYwillcausetheCITYContractortoexcavatethe JUT,accommodateandcoordinatetheinstallationofundergroundutilities,install vaultsandconduits,furnishandinstallbeddingmaterial,backfillandcompactthe JUT,andperformanyrestorationrequiredbytheCITYwithintherightͲofͲway. CITYand/orCITYContractorwillexercisereasonablecareintheperformanceof theWork,andwillinstallPSEconduitandutilityvaultsinaccordancewithwritten requirementsanddrawingsprovidedinthePS&E.TheCITYContractorwill providealltrafficcontrolrequiredfortheCITY’SWork,exceptfortheWork describedinSection3(B)(3). 2.NoticeofMaterialsRequired.TheCITYwillprovidePSEnotice,notless thantwenty(20)workingdayspriortotherequiredinitialdeliverydate, requestingdeliveryofnecessaryconduitsandvaultsandallrelatedmaterialsthat theCITYContractorreasonablyrequirestoinstalltheJUTandconduits.          Page3of12 PSE’sfailuretorespondorsupplymaterialsmayleadtoprojectdelayand,except fordelaysresultingfromForceMajeureEvents,mayleadtoenforcementof penaltiesandrecoveryofdamagesunderclaimsmadepursuanttoPSE'sSection 11indemnificationobligations. 3.PlanDiscrepancies.IfthereisanydiscrepancybetweenthePS&Eandthe PSEplans,thePartiesmutuallyagreetoworktogethertoresolvesuch discrepancybetweensaidplans. B.PSEResponsibilities: 1.ProvisionofWork,Materials,andEquipment.Allworkandequipment describedinthissectionasPSEresponsibilitiesshallbeprovidedbyPSEinthe mannerandtimeframedescribedhereinatPSE'ssolecostandexpense. 2.Coordination.PSEwillmaintaincontinuedcoordinationwiththeCITY regardinginstallationofPSE’sfacilities.Thiscoordinationwillinclude,butnotbe limitedtothefollowing: a.TheCITYContractorwilldevelopaschedulethatwillaccurately depicthowtheCITYContractorplanstocompletetheproject,including theRelocationandtheWork.PSEwillberesponsibleforcoordinatingits worktomeetthisprojectschedule.PSEwillreviewtheschedulewiththe CitytoensurePSEcanmeettheschedulerequirements.IfPSEcannot complywiththescheduleoftherelocationworkduetoPSE’ssystem configuration,PSEwillinformtheCityinwriting. b.AweeklymeetingwillbeheldinwhichtheCITYContractorwill provideascheduleandlistofmaterialsneededforthefollowingtwo(2) weeks.ArepresentativefromPSEwillattendeachmeetingandprovide weeklyprogressreports.ThePSErepresentativewillberesponsiblefor ensuringmaterialsareonsiteperthediscussionofscheduleatthese weeklymeetings,inaccordancewithSection3(A)(2). c.PSEintendstodeliverallmaterialstoonelocationspecifiedbythe Cityinonedeliveryeffort.Materialsnotdeliveredintheinitialdelivery, requiredfortheinstallationofPSEconduitandutilityvaults,including vaults,conduits,andallothermaterialsnecessaryforinstallationofthe vaultsandconduitsrequiredbytheCITYContractorfortheinstallationof PSEfacilitiesthatweek,notlessthanten(10)workingdayspriortothe datethattheworkisscheduledtobeginasdiscussedintheweekly meeting,providedthatCITYgivesPSEnoticeinaccordancewithSection 3(A)(2).TheCITYwillprovideareasonablelocationtoPSEwherethe materialswillbedelivered.          Page4of12 d.PSEandtheCITYwillprovideaninspectoronͲsite,onten(10)days’ notice,toinspectandaccepttheinstallationofallvaultandconduit installationwork.PSE'sinspectorwillnotdirecttheCITYContractorin anymanner;thePSEinspectorwillcommunicateallrequestsinwritingto theCITY'sinspector. e.OncevaultsandconduitareinstalledbytheCITYandacceptedby PSE,PSEwillcompleteinstallationofconductorsandequipmentand performcutͲoverandtransferofexistingresidentialcustomersand facilitiestothenewundergroundsystem.Thiswillbedoneinamanner thatdoesnotdelayorotherwiseimpactprogressofconstructionofthe Project.PSE’sresponsibilitieswillinclude,butnotbelimitedto,furnishing andinstallingallcables,conductors,andelectricalequipment;andforthe removalofpoles,andotherequipmentnolongerneededasrequiredby theFranchiseAgreement f.Federal"BuyAmerica"requirementssignificantlyrestrictthevalue ofnonͲdomesticironorsteelmaterialincorporatedintotheProjectbythe CITY."BuyAmerica"requirementsapplytoallmaterialtobefurnishedby PSE,thatismadeofironorsteel,andequipmentwhichincludesany componentsmadeofironorsteel.Becauseofthe"BuyAmerica" requirements,allmaterialmadeofironorsteel,andallcomponentsof equipmentthataremadeofironorsteelthatisfurnishedbyPSEmustbe madeofmaterialcreatedintheUnitedStates,andthematerialor componentfabricatedintheUnitedStates.PSEwillprovidetotheCITY, priortoincorporationintotheWork,CertificationofMaterialsOrigin (CMO)documentationthatclearlystatesthesematerialandequipment componentsaremadeofironorsteelthatwascreatedintheUnited StatesandthecomponentsfabricatedintheUnitedStates.TheCMOcan beprovidedbycompletingandsigningastandardCMOformdeveloped bytheWashingtonStateDepartmentofTransportation(WSDOTForm 350Ͳ109). PSE’sfailuretorespondorcomplymayleadtoprojectdelayand,exceptfor delaysresultingfromForceMajeureEvents,mayleadtoenforcementof penaltiesandrecoveryofdamagesunderclaimsmadepursuanttoPSE'sSection 11indemnificationobligations.DelayscausedbyPSEresultingindamagespaid totheContractorbytheCityshallbereimbursedbyPSE. 3.TrafficControl.PSEoritscontractorwillprovidetrafficcontrolwhenPSE oritscontractorisinstallingitsnewundergroundcablingandsplicing.Traffic controlplanstobeutilizedbyPSEoritscontractorwillbecoordinatedwith trafficcontrolestablishedfortheProject.Trafficcontrolplansshallbesubmitted totheCITY’sTransportationProjectManager.          Page5of12 4.InstallationNotinRightofWay.TheinstallationofanyPSEfacilitiesnot inCITYrightͲofͲway,includingbutnotlimitedtocable,conduit,andpedestals, willbetheresponsibilityofPSE.PSEwillcoordinatewithprivateproperty owners onwhosepropertythefacilitieswillbelocated.TheProjectwillnot provideforanyconstructionoutsideoftheCITY’srightsͲofͲwayoreasements. Coordinationofwork,andpaymentfornecessaryeasementsoragreements fromprivatepropertyowners,istheresponsibilityofPSEandshallbedoneina mannersoasnottodelayorotherwiseimpacttheconstructionoftheProject. 4.Compensation. A.PSEagreestopaytheCITYaportionoftheJUTcosts,includingJUTbeddingand backfill,commensuratewithPSE’sproportionateshareofJUTusage.Forplanning purposes,anestimateofthecoststobereimbursedbyPSEtotheCITYfortheWorkis includedasAttachmentAtothisAgreement.Thiscompensationcoversaproratashare ofcertaincosts, andtheproratashareformulaissetforthonAttachmentA.Preliminary costswillbeagreeduponpriortoconstruction.Costswillbefinalizedaftercompletion ofconstructionand willbesubjecttofinalreviewandapprovalbyPSE,whichapproval shallnotbeunreasonablywithheld.PSEagreestopaytheCITYforitsportionofthe actualconstructioncostsapprovedbyPSEbasedontheproratashareformulasetforth onAttachmentA. B.Shareofadditionalexpenses:PSEwillpayitsproportionateshareofany reasonable,additionalexpensesincurredbytheCITYtocompletetheWork,aslistedin AttachmentA,providedsuchadditionalexpensesaremutuallyagreeduponbythe Partiesinwriting,priortosuchadditionalexpensesbeingincurred. C.Invoice:PSEagreestopay alluncontestedamountstotheCITYwithinninety(90) daysofbeinginvoicedbytheCITYforamountswhichPSEhasagreedtopayunderthis Agreement.PSE’S responsibility for payment of contested amounts shall be resolved under the Dispute Resolution provisions set forth in Section 9 below. The making of final payment by PSE shall constitute a waiver of claims by the CITY, except those previously and properly made and identified by the CITY as unsettled at the time the CITY makes written request to PSE for final payment. D.Defective:PSEreservestherighttowithholdpaymentfromtheCITYforany defectiveperformedbytheCITYContractor. 5.AmendmentsandChangeOrders. A.AnyrequestforchangebyeitherPartyexceptchangescausedbychanged conditionsmustbeagreeduponinadvanceasevidencedbywrittenamendmentand signedbyauthorizedrepresentativesofbothParties.          Page6of12 B.AnychangerequestedbyPSEtobeperformedbytheCITYwillbesubmittedto theCITY'sConstructionManagementConsultant,whowillsubmittherequesttotheCITY ContractortoobtainareasonablepricefromtheCITYContractortoperformthework. TheCITYwillnotifyPSEoftheprice.PSEwillhavethirtyͲsix(36)hoursafterbeingnotified ofthepricetorespondandconfirmtherequestedchangeandauthorizethechangein workandcost. C.PSEwillreimbursetheCITYforitsshareofallnegotiatedcostsassociatedwith anychange,includingassociatedengineeringandinspectioncosts. PSEwillnotpayfor anyshareofadditionalexpensesincurredduesolelytoapprovedchangerequestsfrom otherprivateutilitiesand/ortheCITY. 6.Schedule. TheCITYContractorwillberesponsibleforplanningandschedulingtheWorkandtheCITYwill requiretheCITYContractortosubmitaprogressscheduletotheCITYandPSEpriortobeginning constructionactivities. 7.Notices. ThisAgreementshallbegovernedbyandinterpretedinaccordancewiththelawsoftheState ofWashington.TheWorkshallbeperformedinaccordancewithallapplicablefederal,state, countyandcitylaws,codesandordinances. 9.DisputeResolution,JurisdictionandVenue. Anycontroversyorclaim,whetherbasedoncontract,statute,tort,fraudmisrepresentationor othertheory,relateddirectlyorindirectlytothisagreementbetweenPSEandtheCITYwillbe resolvedbymutualnegotiationbetweentheParties.Shouldsuchnegotiationsfailtosettlesuch controversyorclaim,thePartiesmayagreetobindingarbitration.Anylawsuitorlegalaction broughtbyanypartytoenforceorinterpretthisAgreementoranyofitstermsorcovenantsshall bebroughtintheKingCountySuperiorCourtfortheStateofWashingtonattheMalengRegional JusticeCenterinKent,KingCounty,Washington,oritsreplacementorsuccessor. 10.ForceMajeure. BothPartiesshallbeexcusedfromtheirperformanceifpreventedbyactsoreventsbeyondthe Partiesreasonablecontrolincludingextremeweatherconditions,strikes,fires,embargoes, actionsofcivilormilitarylawenforcementauthorities,actsofGod,oractsoflegislative,judicial, executive,oradministrativeauthorities("ForceMajeureEvent"). 11.Indemnification. CITYwillindemnify,defendandholdharmlessPSE,itsowners,parents,subsidiaries,and affiliates,andtheirrespectiveofficers,directors,andemployees(collectivelythe“PSE IndemnifiedParties”)fromandagainstanyandallliabilities,claims,judgments,losses,orders, awards,damages,costs,fines,penalties,costsofdefense,andattorneys'fees(collectively "Liabilities")totheextenttheyarisefromorinconnectionwith:(a)theperformanceofanywork requiredunderthisAgreementbytheCITY,theCITYContractorandeachoftheirrespective officers,employees,subcontractorsand/orrepresentatives,excepttotheextenttheinjuries anddamagesarecausedbythenegligenceorwillfulmisconductof anyPSEIndemnifiedParty; or(b)failureoftheCITY,theCITYContractororanyoftheirrespectiveofficers,employees, subcontractorsand/orrepresentativestocomplywithanytermofthisAgreementorany applicablelocal,state,orfederallaworregulation,includingbutnotlimitedtotheOccupational SafetyandHealthActof1970andenvironmentalprotectionlaws.          Page8of12 PSEwilldefend,indemnify,andholdharmlesstheCITY,itsofficers,employees,contractors, subcontractorsand/orrepresentatives(collectivelythe“CITYIndemnifiedParties”)fromand againstanyandallLiabilitiestotheextenttheyarisefromorinconnectionwith:(a)the performanceofanyworkrequiredunderthisAgreementbyPSE,itsofficers,directors, employees,subcontractorsand/orrepresentatives,excepttotheextenttheinjuriesand damagesarecausedbythenegligenceorwillfulmisconductofanyCITYIndemnifiedParty;or (b)failureofPSE,itsofficers,directors,employees,subcontractorsand/orrepresentativesto complywithanytermofthisAgreementoranyapplicablelocal,state,orfederallawor regulation,includingbutnotlimitedtotheOccupationalSafetyandHealthActof1970and environmentalprotectionlaws. IntheeventofLiabilitiesarisingoutofinjuryordamagescausedbyorresultingfromthe concurrentnegligenceofthepartiesinvolvedintheProject,eachParty’sliabilityhereunder, includingthedutyandcosttodefend,shallbelimitedonlytotheextentofitsownnegligence. TheindemnificationprovisionshereinconstituteeachParty’swaiverofimmunityunder industrialinsurance,Title51RCW,solelytocarryoutthepurposesoftheindemnification provisions.ThePartiesacknowledgetheyhavemutuallynegotiatedthiswaiver.Theforegoing waivershallnotinanywayprecludetheindemnifyingPartyfromraisingsuchimmunityasa defenseagainstanyclaimbroughtagainsttheindemnifyingPartybyanyofitsemployees. ExceptforeachParty'sindemnificationobligationsunderthissection,neitherPartyisliableto theotherforconsequential,incidental,indirect,punitiveorspecialdamages,including commerciallossandlostprofits,howevercausedandregardlessoflegaltheoryorforeseeability, directlyorindirectlyarisingunderthisAgreement,evenifsuchPartyhasbeenapprisedofthe possibilityofsuchdamages. TheprovisionsofthisSection11shallsurvivetheterminationorexpirationofthisAgreement. 12.Insurance. TheCITYhasincludedinthePS&ErequirementsfortheCITYContractortosecureandmaintain insurancecoveragesthatareconsistentwithstatelawandfederalfundingrequirements.Each Partyagreestosecureandmaintain,andtheCITYshallcauseContractortosecureandmaintain insuranceinamountsnotlessthanthosespecifiedbelow: A.CommercialGeneralLiabilityinsurancecoveringclaimsforbodilyinjury,death, personalinjuryorpropertydamage(includinglossofuse)occurringorarisingoutofwork performedunderthisAgreementforwhichtheinsuredPartyisresponsiblehereunder andincludingcoverageforpremisesͲoperationproduct/completedoperationsand contractualliabilitycoverage.Thelimitsofinsuranceshallnotbelessthan: EachOccurrence $1,000,000 GeneralAggregate $2,000,000          Page9of12 B.Workers’Compensationinsurancewithstatutorylimitsasrequiredinthestate(s) ofoperation;andprovidingcoverageforanyemployeeinconnectionwiththis Agreement,evenifnotrequiredbystatute.Employer’sLiabilityor“StopGap”insurance withlimitsofnotlessthan$1,000,000eachaccident. C.BusinessAutomobileLiabilityinsurancecoveringtheownership,operationand maintenanceofallowned,nonͲownedandhiredmotorvehiclesusedinconnectionwith thisAgreementwithlimitsofatleast$1,000,000eachaccident. D.EachPartyshallassumeallpropertylossordamagefromanycausewhatsoever toanyoftheirrespectivetools,employeeͲownedtools,machinery,equipment,any motorvehiclesownedorrented,includinganytemporarystructures,scaffoldingand protectivefencesusedinperformanceofworkunderthisAgreementunlesscausedby thenegligentact,omissionorwillfulmisconductoftheotherParty.ThePartiesshall requiretheiragentsandsubcontractorstoalsoassumethesamepropertylossor damageasrequiredunderthisparagraphDfortheirproperty. E.AcceptabilityofInsurers.Insuranceistobeplacedwithinsurerswithacurrent A.M.BestratingofnotlessthanAͲ:VII. F.VerificationofCoverage:PSEshallfurnishtheCITYwithcertificatesandacopyof theamendatoryendorsementsorprovisions,includingbutnotnecessarilylimitedtothe additionalinsuredendorsement,evidencingtheAutomobileLiabilityandCommercial GeneralLiabilityinsuranceofPSEbeforecommencementofthework.Uponrequest, theCITYshallprovideevidenceofcoverageinaccordancewiththissection12. G.Contractors:PSEshallfurnishseparatecertificatesandendorsementsforeachof itscontractorsandsubcontractorperformingworkassociatedwiththisAgreement.All coveragesforcontractorsandsubcontractorsshallbesubjecttoallofsameinsurance requirementsasstatedhereinforPSE. 13.RelationshipoftheParties. ThisAgreementdoesnotcreateapartnership,jointventureorsimilarrelationshipbetweenthe PartiesandneitherPartywillhavethepowertoobligatetheotherinanymannerwhatsoever. AnypersonwhoperformsservicesrequiredbythisAgreementtobeperformedbyaPartywill besolelytheemployeeoragentofthatParty.EachPartyissolelyresponsiblefor(a)thehours ofwork,methodsofperformanceandcompensationofitsemployeesandagents;(b) compliancewithallfederal,state,andlocalrulesandregulationsincludingthosegoverning Worker'sCompensation,Unemployment,DisabilityInsurance,andSocialSecuritywithholding foritsemployeesandagents;and(c)allfederalincometaxesforitsincomederivedin connectionwiththisAgreement.          Page10of12 14.Assignment. NeitherPartywillassignthisAgreementwithoutthepriorwrittenconsentoftheotherParty. Suchconsentwillnotbeunreasonablywithheld,conditionedordelayed.Notwithstandingthe foregoing,PSEmayassignthisAgreement(i)toanyaffiliateor(ii)inconnectionwiththesaleof anycablesystemorsaleofsubstantiallyallofthebusinessorassetsofPSE,ineachcase,to whichtheProjectrelates. 15.EntireAgreement. ThisAgreement,includingallAttachmentsandallspecifiedreferences,containstheentire agreementbetweenthePartiesandsupersedesallpriororalorwrittenagreementswithrespect tothesubjectmatterhereof.ThisAgreementmaynotbeamendedormodifiedexceptbya writteninstrumentexecutedbythePartieshereto.Nomodificationstotheseterms,including handwritten,arepermittedorshallbemadewithoutadulyexecutedwrittenamendment betweenthePartiesor,ifpriortoexecution,arevisedprintedAgreement.Intheeventany handwrittenmodificationismadetotheAgreementtermsandconditions,suchmodifications shallbeconsiderednullandvoid,whetherornotacknowledgedbytheParties,andthe Agreementshallcontinueinfullforceandeffectunderitsoriginal,unadulteratedtermsand conditions. 16.Binding. Theterms,covenantsandconditionscontainedinthisAgreementwillbebindingonandinure tothebenefitofthePartiesandtheirrespectivesuccessorsandassigns.Thecounterpartsofthis Agreementmaybeexecutedanddeliveredbyfacsimileorotherelectronicmeansbyanyofthe PartiestoanyotherParty,andthereceivingPartymayrelyonthereceiptofsuchdocumentso executedanddeliveredasiftheoriginalhadbeenreceived. 17.Counterparts. ThisAgreementmaybeexecutedinoneormorecounterparts,eachofwhichwillbedeemedan originalandallofwhichtogetherwillconstituteoneagreement. 18.Authority.
