HomeMy WebLinkAboutAddendum - 2AMENDMENT NO. 2 TO AGREEMENT CAG 22-191 FOR COSTAR SERVICES THIS AMENDMENT, dated for reference purposes only as August 16, 2023, is by and between the City of Renton (the “City”), a Washington municipal corporation, and Costar Realty Information, Inc. (“Consultant”), a foreign (Delaware) corporation. The City and the Consultant are referred to collectively in this Amendment as the “Parties.” Once fully executed by the Parties, this Amendment is effective as of the last date signed by both parties. Whereas, the City engaged the services of the Consultant under Agreement CAG-22-191, dated May 31, 2022, to provide necessary services for the CoStar Suite Services (referred to herein as the “Agreement”); Whereas, the Parties wish to amend the Agreement to extend the time for performance an increase the rate of compensation in order to extend the contract for an additional year of service. NOW THEREFORE, It is mutually agreed upon that CAG-22-191 is amended as follows: 1.Time of Performance: Section 3, Time of Performance, is amended pursuant to the schedule(s) set forth in Exhibit A-1. All Work shall be performed by no later than May 31. 2024. 2. Compensation: Section 4, Compensation, is amended so that the maximum amount of compensation payable to Consultant is increased by $11,203.80 from $10,569.60 to $21,773.4, plus applicable state and local sales taxes. The additional compensation shall be paid based upon Work actually performed according to the rate(s) or amounts specified in Exhibit A-2. 3.All terms of the Agreement not explicitly modified herein shall remain in full force and effect and such terms shall apply to Work performed according to this Amendment as if fully set forth herein. ("Licensor") and City of Renton Economic Development Dept. ("Licensee") and is executed pursuant to and made a part of the License Agreement signed by Licensee on May 31, 2022 for the provision of Licensor's commercial real estate information service(s) (the "License Agreement"). Any capitalized term used in this Addendum and not otherwise defined shall have the meaning set forth in the Agreement. NOW THEREFORE, Licensor and Licensee agree that the License Agreement shall be amended as follows: 1. Notwithstanding anything to the contrary in Section 5 of the License Agreement, effective June 1, 2023 the monthly License Fee for Licensee’s existing services shall be increased from $880.80 to $933.65 (before taxes) and such amount for these services shall not be increased during Licensee’s June 1, 2023 through May 31, 2024 Renewal Term. 2. Licensor and Licensee agree that, except as expressly provided above, all of the terms of the Agreement will remain in full force and effect.
