HomeMy WebLinkAboutContractAGREEMENT FOR KENNYDALE LAKELINE SEWER IMPROVEMENTS PROJECT FINAL DESIGN THIS AGREEMENT, dated for reference purposes only as September 19,2023, is by and between the City of Renton (the “City”), a Washington municipal corporation, and Carollo Engineers, Inc. (“Consultant”), a Delaware Corporation. The City and the Consultant are referred to collectively in this Agreement as the “Parties.” Once fully executed by the Parties, this Agreement iseffective as of the last date signed by both parties. 1. Scope of Work: Consultant agrees to provide engineering services as specified in Exhibit A, which is attached and incorporated herein and may hereinafter be referred to as the “Work.” 2. Changes in Scope of Work: The City, without invalidating this Agreement, may order changes to the Workconsisting of additions, deletions or modifications. Any such changes to the Work shall be ordered by the City in writing and the Compensation shall be equitably adjusted consistent with the rates set forth inExhibit B or as otherwise mutually agreed by the Parties. 3. Time of Performance: Consultant shall commence performance of the Agreement pursuant to the schedule(s) set forth in Exhibit C. All Work shall be performed by no later than December 31, 2025. 4. Compensation: A. Amount. Total compensation to Consultant for Work provided pursuant to this Agreement shall not exceed $1,663,616, plus any applicable state and local sales taxes. Compensation shall be paid based upon Work actually performed according to the rate(s) or amounts specified in Exhibit Exhibit B. The Consultant agrees that any hourly or flat rate charged by it for its Work shall remain locked at the negotiated rate(s) unless otherwise agreed to in writing or provided in Exhibit D. Except as specifically provided herein, the Consultant shall be solelyresponsible for payment of any taxes imposed as a result of the performance and payment of this Agreement. B. Method of Payment. On a monthly or no less than quarterly basis during any quarter in which Workisperformed, the Consultant shall submit a voucher or invoice in a form specified by the City, including a description of what Work has been performed, the name of the personnel performing such Work, and any hourly labor charge rate for         CAG-23-403 PAGE 2 OF 10 such personnel. The Consultant shall also submit a final bill upon completion of all Work. Payment shall be made by the City for Work performed within thirty (30) calendar days after receipt and approval by the appropriate City representative of the voucher or invoice. If the Consultant’s performance does not meet the requirements of this Agreement, the Consultant will correct or modify its performance to comply with the Agreement. The City may withhold payment for work that does not meet the requirements of this Agreement. C. Effect of Payment. Payment for any part of the Work shall not constitute a waiver by the City of any remedies it may have against the Consultant for failure of the Consultant to perform the Work or for any breach of this Agreement by the Consultant. D. Non-Appropriation of Funds. If sufficient funds are not appropriated or allocated for payment under this Agreement for any future fiscal period, the City shall not be obligated to make payments for Work or amounts incurred after the end of the current fiscal period, and this Agreement will terminate upon the completion of all remaining Work for which funds are allocated. No penalty or expense shall accrue to the City in the event this provision applies. 5. Termination: A. The City reserves the right to terminate this Agreement at any time, with or without cause by giving ten(10) calendar days’ notice to the Consultant in writing. In the event of such termination or suspension, all finished or unfinished documents, data, studies, worksheets, models and reports, or other material prepared by the Consultant pursuant to this Agreement shall be submitted to the City, if any are required as part of the Work. B. In the event this Agreement is terminated by the City, the Consultant shall be entitled to payment for all hours worked to the effective date of termination, less all payments previously made. If the Agreement is terminated by the Cityafter partial performance of Work for which the agreed compensation is a fixed fee, the City shall pay the Consultant an equitable share of the fixed fee. This provision shall not prevent the City from seeking any legal remedies it may have for the violation or nonperformance of any of the provisions of this Agreement and such charges due to the City shall be deducted from the final payment due the Consultant. No payment shall be made by the City for any expenses incurred or work done following the effective date of termination unless authorized in advance in writing by the City. 6. Warranties And Right To Use Work Product: Consultant represents and warrants that Consultant will perform all Work identified in this Agreement in a professional and workmanlike manner and in accordance with all reasonable and professional standards         PAGE 3 OF 10 and laws. Compliance with professional standards includes, as applicable, performing the Work in compliance with applicable City standards or guidelines (e.g. design criteria and Standard Plans for Road, Bridgeand Municipal Construction). Professional engineers shall certify engineering plans, specifications, plats, and reports, as applicable, pursuant to RCW 18.43.070. Consultant further represents and warrants that all final work product created for and delivered to the City pursuant to this Agreement shall be the original work of the Consultant and free from any intellectual property encumbrance which would restrict the City from using the work product. Consultant grants to the City a non- exclusive, perpetual right and license to use, reproduce, distribute, adapt, modify, and display all final work product produced pursuant to this Agreement. The City’s or other’s adaptation, modification or use of the final work products other than for the purposes of this Agreement shall be without liability to the Consultant. The provisions of this section shall survive the expiration or termination of this Agreement. 7. Record Maintenance: The Consultant shall maintain accounts and records, which properly reflect all direct and indirect costs expended and Work provided in the performance of this Agreement and retain such records for as long as may be required by applicable Washington State records retention laws, but in any event no less than six years after the termination of this Agreement. The Consultant agrees to provide access to and copies of any records related to this Agreement as required by the City to audit expenditures and charges and/or to comply with the Washington State Public Records Act (Chapter 42.56 RCW). The provisions of this section shall survive the expiration or termination of this Agreement. 8. Public Records Compliance: To the full extent the City determines necessary to comply with the Washington State Public Records Act, Consultant shall make a due diligent search of all records in its possession or control relating to this Agreement and the Work, including, but not limited to, e-mail, correspondence, notes, saved telephone messages, recordings, photos, or drawings and provide them to the City for production. In the event Consultant believes said records need to be protected from disclosure, it may, at Consultant’s own expense, seek judicial protection. Consultant shall indemnify, defend, and hold harmless the City for all costs, including attorneys’ fees, attendant to any claim or litigation related to a Public Records Act request for which Consultant has responsive records and for which Consultant has withheld records or information contained therein, or not provided them to the City in a timely manner. Consultant shall produce for distribution any and all records responsive to the Public Records Act request in a timely manner, unless those records are protected by court order. The provisions of this section shall survive the expiration or termination of this Agreement. 9. Independent Contractor Relationship: A. The Consultant is retained by the City only for the purposes and to the extent set forth in this Agreement. The nature of the relationship between the Consultant and the City         PAGE 4 OF 10 during the period of the Work shall be that of an independent contractor, not employee. The Consultant, not the City, shall have the power to control and direct the details, manner or means of Work. Specifically, but not by means of limitation, the Consultant shall have no obligation to work any particular hours or particular schedule, unless otherwise indicated in the Scope of Work or where scheduling of attendance or performance is mutually arranged due to the nature of the Work. Consultant shall retain the right to designate the means of performing the Work covered by this agreement, and the Consultant shall be entitled to employ other workers at such compensation and such other conditions as it may deem proper, provided, however, that any contract so made by the Consultant is to be paid by it alone, and that employing such workers, it is acting individually and not as an agent for the City. B. The City shall not be responsible for withholding or otherwise deducting federal income tax or Social Security or contributing to the State Industrial Insurance Program, or otherwise assuming the duties of an employer with respect to Consultant or any employee of the Consultant. C. If the Consultant is a sole proprietorship or if this Agreement is with an individual, the Consultant agrees to notify the City and complete any required form if the Consultant retired under a State of Washington retirement system and agrees to indemnify any losses the City may sustain through the Consultant’s failure to do so. 10. Hold Harmless: The Consultant agrees to release, indemnify, defend, and hold harmless the City, elected officials, employees, officers, representatives, and volunteers from any and all claims, demands, actions, suits, causes of action, arbitrations, mediations, proceedings, judgments, awards, injuries, damages, liabilities, taxes, losses, fines, fees, penalties, expenses, attorney’s or attorneys’ fees, costs, and/or litigation expenses to or by any and all persons or entities, arising from, resulting from, or related to thenegligent acts, errors or omissions of the Consultant in its performance of this Agreement or a breach of this Agreement by Consultant, except for that portion of the claims caused by the City’s sole negligence. Should a court of competent jurisdiction determine that this agreement is subject to RCW 4.24.115, (Validity of agreement to indemnify against liability for negligence relative to construction, alteration, improvement, etc., of structure or improvement attached to real estate…) then, in the event of liability for damages arising out of bodily injury to persons or damages to property caused by or resulting from the concurrent negligence of the Consultant and the City, its officers, officials, employees and volunteers, Consultant’s liability shall be only to the extent of Consultant’s negligence.         PAGE 5 OF 10 It is further specifically and expressly understood that the indemnification provided in this Agreement constitute Consultant’s waiver of immunity under the Industrial Insurance Act, RCW Title 51, solely for the purposes of this indemnification. The Parties have mutually negotiated and agreed to this waiver. The provisions of this section shall survive the expiration or termination of this Agreement. 11. Gifts and Conflicts: The City’s Code of Ethics and Washington State law prohibit City employees from soliciting, accepting, or receiving any gift, gratuity or favor from any person, firm or corporation involved in a contract or transaction. To ensure compliance with the City’s Code of Ethics and state law, the Consultant shall not give a gift of any kind to City employees or officials. Consultant also confirms that Consultant does not have a business interest or a close family relationship with any City officer or employee who was, is, or will be involved in selecting the Consultant, negotiating or administering this Agreement, or evaluating the Consultant’s performance of the Work. 12. City of Renton Business License: Unless exempted by the Renton Municipal Code, Consultant shall obtain a City of Renton Business License prior to performing any Work and maintain the business license in good standing throughout the term of this agreement with the City. Insurance: Consultant shall secure and maintain: A. Commercial general liability insurance in the minimum amounts of $1,000,000 for each occurrence/$2,000,000 aggregate for the Term of this Agreement. B. In the event that Work delivered pursuant to this Agreement either directly or indirectly involve or require Professional Services, Professional Liability, Errors and Omissions coverage shall be provided with minimum limits of $1,000,000 per occurrence. "Professional Services", for the purpose of this section, shall mean any Work provided by a licensed professional or Work that requires a professional standard of care. C. Workers’ compensation coverage, as required by the Industrial Insurance laws of the State of Washington, shall also be secured. D. Commercial Automobile Liability for owned, leased, hired or non-owned, leased, hired or non-owned, with minimum limits of $1,000,000 per occurrence combined single         PAGE 6 OF 10 limit, if there will be any use of Consultant’s vehicles on the City’s Premises by or on behalf of the City, beyond normal commutes. E. Consultant shall name the City as an Additional Insured on its commercial general liability policy on a non-contributory primary basis. The City’s insurance policies shall not be a source for payment of any Consultant liability, nor shall the maintenance of any insurance required by this Agreement be construed to limit the liability of Consultant to the coverage provided by such insurance or otherwise limit the City’s recourse to any remedy available at law or in equity. F. Subject to the City’s review and acceptance, a certificate of insurance showing the proper endorsements, shall be delivered to the City before performing the Work. G. Consultant shall provide the City with written notice of any policy cancellation, within two (2) business days of their receipt of such notice. 14. Delays: Consultant is not responsible for delays caused by factors beyond the Consultant’s reasonable control. When such delays beyond the Consultant’s reasonable control occur, the City agrees the Consultant is not responsible for damages, nor shall the Consultant be deemed to be in default of the Agreement. 15. Successors and Assigns: Neither the City nor the Consultant shall assign, transfer or encumber any rights, duties or interests accruing from this Agreement without the written consent of the other. 16. Notices: Any notice required under this Agreement will be in writing, addressed to the appropriate party at the address which appears below (as modified in writing from time to time by such party), and given personally, by registered or certified mail, return receipt requested, by facsimile or by nationally recognized overnight courier service. Time period for notices shall be deemed to have commenced upon the date of receipt, EXCEPT facsimile delivery will be deemed to have commenced on the first business day following transmission. Email and telephone may be used for purposes of administering the Agreement, but should not be used to give any formal notice required by the Agreement. Discrimination Prohibited: Except to the extent permitted by a bona fide occupational qualification, the Consultant agrees as follows: A. Consultant, and Consultant’s agents, employees, representatives, and volunteers with regard to the Work performed or to be performed under this Agreement, shall not discriminate on the basis of race, color, sex, religion, nationality, creed, marital status, sexual orientation or preference, age (except minimum age and retirement provisions), honorably discharged veteran or military status, or the presence of any sensory, mental or physical handicap, unless based upon a bona fide occupational qualification in relationship to hiring and employment, in employment or application for employment, the administration of the delivery of Work or any other benefits under this Agreement, or procurement of materials or supplies. B. The Consultant will take affirmative action to insure that applicants are employed and that employees are treated during employment without regard to their race, creed, color, national origin, sex, age, sexual orientation, physical, sensory or mental handicaps, or marital status. Such action shall include, but not be limited to the following employment, upgrading, demotion or transfer, recruitment or recruitment advertising, layoff or termination, rates of pay or other forms of compensation and selection for training. C. If the Consultant fails to comply with any of this Agreement’s non-discrimination provisions, the City shall have the right, at its option, to cancel the Agreement in whole or in part. D. The Consultant is responsible to be aware of and in compliance with all federal, state and local laws and regulations that may affect the satisfactory completion of the project, which includes but is not limited to fair labor laws, worker's compensation, and Title VI of the Federal Civil Rights Act of 1964, and will comply with City of Renton Council Resolution Number 4085. 18. Miscellaneous:The parties hereby acknowledge: A. The City is not responsible to train or provide training for Consultant. B. Consultant will not be reimbursed for job related expenses except to the extent specifically agreed within the attached exhibits. C. Consultant shall furnish all tools and/or materials necessary to perform the Work except to the extent specifically agreed within the attached exhibits. D. In the event special training, licensing, or certification is required for Consultant to provide Work he/she will acquire or maintain such at his/her own expense and, if         PAGE 8 OF 10 Consultant employs, sub-contracts, or otherwise assigns the responsibility to perform the Work, said employee/sub-contractor/assignee will acquire and or maintain such training, licensing, or certification. E. This is a non-exclusive agreement and Consultant is free to provide his/her Work to other entities, so long as there is no interruption or interference with the provision of Work called for in this Agreement. F. Consultant is responsible for his/her own insurance, including, but not limited to health insurance. G. Consultant is responsible for his/her own Worker’s Compensation coverage as well as that for any persons employed by the Consultant. 19. Other Provisions: A. Approval Authority. Each individual executing this Agreement on behalf of the City and Consultant represents and warrants that such individuals are duly authorized to execute and deliver this Agreement on behalf of the City or Consultant. B. General Administration and Management. The City’s project manager is Joe Stowell. In providing Work, Consultant shall coordinate with the City’s contract manager or his/her designee. C. Amendment and Modification. This Agreement may be amended only by an instrument in writing, duly executed by both Parties. D. Conflicts. In the event of any inconsistencies between Consultant proposals and this Agreement, the terms of this Agreement shall prevail. Any exhibits/attachments to this Agreement are incorporated by reference only to the extent of the purpose for which they are referenced within this Agreement. To the extent a Consultant prepared exhibit conflicts with the terms in the body of this Agreement or contains terms that are extraneous to the purpose for which it is referenced, the terms in the body of this Agreement shall prevail and the extraneous terms shall not be incorporated herein. E. Governing Law. This Agreement shall be made in and shall be governed by and interpreted in accordance with the laws of the State of Washington and the City of Renton. Consultant and all of the Consultant’s employees shall perform the Work in accordance with all applicable federal, state, county and city laws, codes and ordinances.         PAGE 9 OF 10 F. Joint Drafting Effort. This Agreement shall be considered for all purposes as prepared by the joint efforts of the Parties and shall not be construed against one party or the other as a result of the preparation, substitution, submission or other event of negotiation, drafting or execution. G. Jurisdiction and Venue. Any lawsuit or legal action brought by any party to enforce or interpret this Agreement or any of its terms or covenants shall be brought in the King County Superior Court for the State of Washington at the Maleng Regional Justice Center in Kent, King County, Washington, or its replacement or successor. Consultant hereby expressly consents to the personal and exclusive jurisdiction and venue of such court even if Consultant is a foreign corporation not registered with the State of Washington. H. Severability. A court of competent jurisdiction’s determination that any provision or part of this Agreement is illegal or unenforceable shall not cancel or invalidate the remainder of this Agreement, which shall remain in full force and effect. I. Sole and Entire Agreement. This Agreement contains the entire agreement of the Parties and any representations or understandings, whether oral or written, not incorporated are excluded. J. Time is of the Essence. Time is of the essence of this Agreement and each and all of its provisions in which performance is a factor. Adherence to completion dates set forth in the description of the Work is essential to the Consultant’s performance of this Agreement. K. Third-Party Beneficiaries. Nothing in this Agreement is intended to, nor shall be construed to give any rights or benefits in the Agreement to anyone other than the Parties, and all duties and responsibilities undertaken pursuant to this Agreement will be for the sole and exclusive benefit of the Parties and no one else. L. Binding Effect. The Parties each bind themselves, their partners, successors, assigns, and legal representatives to the other party to this Agreement, and to the partners, successors, assigns, and legal representatives of such other party with respect to all covenants of the Agreement. M. Waivers. All waivers shall be in writing and signed by the waiving party. Either party’s failure to enforce any provision of this Agreement shall not be a waiver and shall not prevent either the City or Consultant from enforcing that provision or any other provision of this Agreement in the future. Waiver of breach of any provision of this Agreement shall not be deemed to be a waiver of any prior or subsequent breach unless it is expressly waived in writing.         PAGE 10 OF 10 N. Counterparts. The Parties may execute this Agreement in any number of counterparts, each of which shall constitute an original, and all of which will together constitute this one Agreement. The Kennydale lakeline system (lakeline system) is owned and operated by the City of Renton (City). The lakeline system consists of approximately 4,680 linear feet (LF) of 8-inch diameter cast iron wastewater main in the shores of Lake Washington. The lakeline system serves 57 private residences and the City’s Kennydale Beach Park, with a total of 37 lateral connections. The lakeline system is aging and the City has selected an individual lift station (ILS) system to replace the existing lakeline system. The Project includes the design of the ILS system, which includes ILS units for each customer of the lakeline (except for two residences that can be served by a gravity connection), new forcemain and associated roadway improvements, an electrical service distribution system to power the ILS units, and abandonment of the existing lakeline system. The lakeline system will be owned and operated by the City, and constructed using City funds. The ILS system will be powered from a site located between Lake Washington Blvd N and Burnett Ave N, across from Kennydale Beach Park. The service drop site will consist of a service transformer, service panel, diesel standby generator, and an automatic transfer switch (ATS) to provide standby power during power outages. The service drop site will supply 6 underground distribution vaults in the road along the ILS system path. These vaults will contain a step-down transformer, distribution panelboard, sump pump, lighting, access ladder, and ventilation. Power to the ILS will be distributed from these vaults to the ILS control panel located adjacent to each ILS storage/pump tank. Provisions for additional standby power options include an inlet receptacle for a portable generator located on the E-One ILS control panel. An inlet receptacle for a portable generator will also be included at the service panel for manual switching in case the diesel backup generator is not running. An interlock system for circuit breakers will be installed to prevent switching to portable generator power when the main service breaker is closed. Communication and data collection with the backup generator and ATS will be coordinated with the City’s existing communication and data collection methods. The ILS system includes cellular provisions for remote monitoring through E-One’s Sentry Advisor package. Carollo Engineers and its subconsultants will be referred to as “Consultant” in this document. 2. The City of Renton, Washington and its staff will be referred to as “City” in this document. 3. All deliverables are provided in electronic PDF format, unless otherwise indicated. Final deliverables will be “wet” signed and/or digitally signed in accordance with the Washington Administrative Code (WAC). 4. Consultant shall complete the services required hereunder in accordance with the prevailing engineering standard of care by exercising the skill and ability ordinarily required of engineers performing the same or similar services, under the same or similar circumstances, in the State of Washington. 5. The City shall furnish the Consultant available studies, reports and other data pertinent to the Consultant’s services; obtain or authorize the Consultant to obtain or provide additional reports and data as required; furnish to the Consultant services of others required for the performance of the Consultant's services hereunder, and the Consultant shall be entitled to use and rely upon all such information and services provided by the City or others in performing the Consultant’s services under this Agreement. 6. Opinions of probable costs will be based on the level of project definition and expected accuracy range as defined by the American Association of Cost Engineers (AACE) International. In providing opinions of cost, financial analyses, economic feasibility projections, and schedules for potential projects, the Consultant has no control over cost or price of labor and material; unknown or latent conditions of existing equipment or structures that may affect operation and maintenance costs; competitive bidding procedures and market conditions; time or quality of performance of third parties; quality, type, management, or direction of operating personnel; and other economic and operational factors that may materially affect the ultimate project cost or schedule. Therefore, the Consultant makes no warranty that the City’s actual project costs, financial aspects, economic feasibility, or schedules will not vary from the Consultant’s opinions, analyses, projections, or estimates. 8. The City shall arrange for access to and make all provisions for the Consultant to enter upon public and private property as required for the Consultant to perform services hereunder. 9. The project will use Washington State Department of Transportation (WSDOT) (current City version) Standard Specifications for Road, Bridge, and Municipal Construction and the current version of the City’s special provisions and standard plans. 10. Specifications will include City standard, “front end” legal and general requirements, and technical special provisions in WSDOT/APWA format (Divisions 0 through 9). 11. Supplemental technical specifications (if required) for the project work will be in WSDOT/APWA format, except for electrical, instrumentation and control specifications which will be in CSI format and incorporated by reference from the WSDOT/APWA special provisions. 12. Drawings will be produced in 2D AutoCAD or Civil 3D software (City current version). 13. City review comments for deliverables will be received and noted in the original file (e.g., Bluebeam, Word, etc.). Consultant will respond to City review comments in same original file. The original file including City comments and Consultant responses will serve as the Record of Comment for each deliverable. 14. Durations for meetings, workshops, and site visits in this Scope of Services are based on estimated time on-site. Allowances for travel time from Carollo’s Seattle office, as appropriate, are accounted for in the budget in Exhibit B. Travel charges for remote employees are included in the budget in Exhibit B. 15. All meetings and workshops will be held remotely through Microsoft Teams or a similar video- conferencing platform, unless otherwise specified. 16. The Consultant shall not be responsible for warranties, guarantees, fitness for a particular purpose, breach of fiduciary duty, loss of anticipated profits or for economic, incidental or consequential damages to the City or any third party arising out of breach of contract, termination, or for any other reason whatsoever. Additionally, the Consultant shall not be responsible for acts and decisions of third parties, including governmental agencies, other than the Consultant’s subconsultants, that impact project completion and/or success. 17. The services to be performed by the Consultant are intended solely for the benefit of the City. No person or entity not a signatory to this Agreement shall be entitled to rely on the Consultant's performance of its services hereunder, and no right to assert a claim against the Consultant by assignment of indemnity rights or otherwise shall accrue to a third party as a result of this Agreement or the performance of the Consultant's services hereunder. 18. There will be no significant changes to the forcemain or electrical alignment or overall design concept from what was included in the 30% design package. 19. No new stormwater outfalls, detention or treatment system will be required. Stormwater improvements will be limited to conveyance improvements (catch basins, trench drains, and associated piping) within the roadway in the area of work of the forcemain and electrical distribution system.         FINAL / 4 20. No hydraulic modeling will be required. 21. The design of the ILS units will be based on the E/One grinder pump system. The City will coordinate all associated approvals for sole source agreement or equivalent substitution requests, with technical support as needed from the Consultant. 22. No improvements or access agreements associated with Kennydale Beach Park other than ILS installation and associated restoration are included. An anticipated project schedule is included at the end of this Scope of Services. Tasks Task 100 – Project Management The purpose of Task 100 is to manage the consulting team’s scope, budget, and schedule to meet the project objectives. This includes regular project meetings and monthly progress reports with the City. Task 100 Subtasks: ƒ 101. Monthly Progress Reports and Invoices. This subtask includes preparing and submitting the work- in-progress reports and monthly invoices showing current project scope, budget, and schedule status and identifying key issues, or elements of the project that will need to be addressed in the proceeding weeks. An electronic version of the monthly progress reports and invoices will be sent to the City for review and approval. ƒ 102. Project Coordination. This subtask includes a team kickoff meeting with the City to begin this design phase. It also includes general Consultant team coordination and management. ƒ 103. Project Schedule. This subtask includes preparation of the baseline project design schedule. The schedule will be updated quarterly and updates will coincide with updates to the permit matrix. ƒ 104. Biweekly Project Management Meetings. Facilitate a virtual meeting with City Staff biweekly to review and discuss project status. ƒ 105. Quality Management. This subtask includes managing and executing quality control procedures for all deliverables and developing and maintaining a decision log to record key decisions made throughout the project. Assumptions: 1. Project duration will be approximately eighteen (18) months. Meetings: 1. Biweekly Project Management Meetings via Microsoft Teams. 2. Kickoff Meeting via Microsoft Teams. Deliverables: 1. Monthly invoices and progress reports. 2. Monthly Decision Log in Excel format. 3. Project Baseline Schedule with quarterly updates. Task 200 – Geotechnical         FINAL / 5 ƒ 201. Field Work. Subsurface investigations will be performed by a licensed driller subcontracted to Consultant, for the purposes of characterizing the subsurface conditions for 60% Design. The borings include: » 3 borings in Mountain View Ave / Access Road to characterize subsurface conditions for force main trenching. Truck- or track-mounted drilling rigs will be used. Anticipated boring depth for each boring is 15-ft bgs, pending identification of design trench depth. If encountered conditions warrant, vibrating wire piezometers will be installed to monitor groundwater depths at these locations. » 1 boring in the City-owned parcel at approximately 3500 Burnett Ave N for purposes of proposed retaining wall at that location. Truck- or track-mounted drilling rigs will be used. Anticipated boring depth for each boring is 25-ft bgs, pending identification of wall height and topography. If encountered conditions warrant, a vibrating wire piezometer will be installed to monitor groundwater depths. » 2 borings in City-owned properties near the shoreline of Lake Washington to characterize subsurface conditions along the lakefront, similar to where grinder pumps will be constructed. Anticipated boring depth for each boring is 15-ft bgs. Vibrating wire piezometers will be installed to monitor groundwater depths at these locations. » Dataloggers will be installed in flush-mount surface monuments where vibrating wire piezometers are installed. Consultant personnel will remobilize to retrieve groundwater levels every 2 months for project duration. ƒ 202. Draft & Final Geotechnical Report. » A geotechnical report will be prepared that documents the subsurface data gathered, provides an interpretation of the subsurface conditions at relevant project elements, and provides geotechnical design recommendations for shallow trenching and excavations, conceptual shoring alternatives (shoring design is assumed to be the responsibility of the Contractor), pipe and grinder pump bearing recommendations, and retaining wall recommendations (earth pressures, bearing resistance, and settlement estimate) for a new fill-type retaining wall near 3500 Burnett Ave N. » The report will be issued as a Draft, for comment by the City. Compiled comments will be addressed and reconciled as needed. » A Final Geotechnical Report incorporating resolved comments will be issued. » Reports will be provided as Adobe PDF documents. ƒ 203. Geotechnical Design Support. This subtask includes review and input of for geotechnical elements of design drawings, specifications, and the cost estimate at the 60%, 90%, and 100% design milestones. Assumptions: 1. City is responsible for obtaining permission for field work to occur on King County-owned parcels. 2. A traffic control plan is not required, except for the 3 borings in Mountain View Avenue / Access Road. 3. All borings are accessible by truck or track-mounted equipment. Limited Access or Difficult Access drill rigs will not be required. 4. The potential for contaminated soil and groundwater at the boring sites is unknown. If contamination is detected, Consultant will promptly notify the City. Delays and other costs associated with addressing contaminated material and modifying the exploration program would be considered additional services.         FINAL / 6 5. Uncontaminated Investigation-Derived Waste from the borings will be drummed and disposed of by the driller. If IDW is suspected to be contaminated and the contamination is confirmed using a photo-ionization detector or laboratory chemical testing, it will be drummed, clearly-labeled and left at a City-designated parcel for further testing and disposal. Such testing and disposal would be considered additional services. 6. Surface conditions at boring locations are either unpaved, or Hot Mix Asphalt. No concrete coring is included. 7. Utility locates will be performed using the public one-call center. No private utility locate or vactor potholing is included. If dense utilities appear to be present at drilling locations, the City will be notified that private locating and/or vactor extraction will be required. 8. All borings can be completed in one mobilization. 9. Boring locations will be surveyed using hand-held global positioning survey equipment and measurement from existing facilities at the time of performance. A survey is not included, or will be performed by others. Meetings: 1. None. Deliverables: 1. Draft and Final Geotechnical Report. Task 300 – Design The purpose of Task 300 is to advance the design of the ILS system through the 60%, 90%, and 100% design milestones. Task 300 Subtasks: ƒ 301. 60% Design. y Respond to and incorporate 30% deliverable City review comments. y Prepare 60% design package including City front end legal and general requirements, technical special provisions, technical specifications in WSDOT/APWA format, plans, updated Basis of Design Report (BODR) and opinions of probable construction cost (OPCC) for City review. y Conduct internal QA/QC reviews of 60 percent design. y 60% Design Workshop: Facilitate a workshop at the City offices to review the design package and discuss City review comments. Submit design package ten (10) working days prior to the 60% Design Workshop for City review and meeting preparation. ƒ 302. 90% Design. y Respond to and incorporate 60% deliverable City review comments. y Conduct a constructability review of the 60% design plans and specifications following receipt of City review comments. y Prepare 90% design package including City front end legal and general requirements, technical special provisions, technical specifications in WSDOT/APWA format, plans, updated Basis of Design Report (BODR) and opinions of probable construction cost for City review. y Conduct internal QA/QC reviews of 90 percent design.         FINAL / 7 y 90% Design Workshop: Facilitate a workshop at the City offices to review the design package and discuss City review comments. Submit design package ten (10) working days prior to the 90% Design Workshop for City review and meeting preparation. ƒ 303. 100% Design. y Respond to and incorporate 90% deliverable City review comments. y Prepare final signed and sealed, bid-ready specifications, plans and engineer’s opinion of probable construction cost. ƒ 304. Biweekly Design Team Meetings. Conduct internal design team coordination meetings bi-weekly during the 60%, 90% and 100% design phases. (maximum of 20 virtual meetings, 30 minutes each) ƒ 305. PSE Design Coordination. This subtask includes the coordination required to obtain project approvals with Puget Sound Energy (PSE), including up to four meetings, up to the hours estimated in Exhibit B. ƒ 306. King County Design Coordination. This subtask includes the coordination required to obtain project approvals from King County, including the Special Use Permit from King County Parks, up to the hours estimated in Exhibit B. Assumptions: 1. Updates to the BODR will be minor in nature. The purpose of the document is to document the basis of design, not every element of the design as it progresses through the milestones. 2. All City reviews will be performed electronically using Bluebeam. 3. No traffic control or temporary access plans will be developed during design. The selected contractor will be responsible for preparing traffic control and temporary access plans as required by the City. The Consultant will provide support in the development of a phasing plan to the extent that it is required to develop the supporting Work Restrictions specification. 4. Coordination with PSE will be up to the limit of hours shown in the Level of Effort. 5. Consultant will provide technical input for PSE service drop application. City to submit PSE service drop application and be responsible for fees. 6. Bi-weekly design team meetings noted in Task 304 will be conducted as part of the regularly scheduled bi-weekly meeting in Task 104. 7. Constructability review updates will review draft progress drawings approximately 4 weeks in advance of City submittal. Where a phasing plan has been developed, its review will be included. Where easement acquisition are in progress an understanding of the intended easements will be incorporated into the review, 8. Structural design is limited to the proposed retaining wall at the location of the proposed central service drop site. Meetings: 1. 60% Design Workshop at City offices (2 hours in duration, up to 4 consultants attending). 2. PSE Coordination Meetings (Up to 4 virtual meetings, 1 hour in duration, up to 3 consultants attending) 3. 90% Design Workshop at City offices (2 hours in duration, up to 4 consultants attending). Deliverables: 1. 60% Design Package (response to 30% comments; and 60% plans, specifications, OPCC and updated BODR).         FINAL / 8 2. 90% Design Package (response to 60% comment; and 90% plans, specifications, OPCC and updated BODR). 3. 100% Design Package (response to 90% comments; and 100% plans, specifications, and OPCC). Task 400 – Real Property & Surveying The purpose of Task 400 is to conduct additional survey, and coordinate and develop real property agreements and/or easements with lakeline customers and project stakeholders. Task 400 Subtasks: ƒ 401. Survey. This subtask includes the performance of additional topographic field survey to capture the expanded scope of the project area, including the area of the proposed electrical service connection, transformer and generator; and some missing areas of the roadway to design the full width replacement and associated drainage improvements. The additional survey area will be combined into the mapping of the preliminary design phase to produce a single mapping file. For the additional survey area: y Perform a field survey. Field mapping within the project limits will include topography, man- made surface features, limits of vegetation, trees (6” DBH or larger), overhead utilities, and painted underground utilities. Irrigation systems will not be included. Perform measure-downs of existing storm drain and sanitary sewer structures, indicating rim and pipe invert elevations. Document the approximate size, type, material, and general condition of the structures. These observations will be made from the surface. Any required pipe video inspection, potholing or smoke testing needed to verify the condition or connectivity of drainage features is outside the scope of this task. y An underground conductible utility locate within the project limits to be performed by a private utility locating firm. The location of the locate paint marks will be surveyed. While every reasonable effort will be made by the Consultant Team to depict the location of underground utilities based on utility locates, the Consultant Team is not liable for errors or omissions by utility locators or erroneous or insufficient information shown on utility record drawings. y Prepare 1”=20’ topographic base map and digital terrain model (DTM) in AutoCAD format of the project to the City’s CAD standards. The base map will include information collected in the field survey. Two-foot contours will be generated from the DTM. y Road rights of way within the project limits will be determined from available public records (i.e. records of survey, plats, state right-of-way plans, etc.) and found survey monuments. Parcel lines will be determined from GIS information. Existing utility easements will be added according to title reports for individual parcels. Right-of-way, easement and parcel lines will be added to the base map. ƒ 402. King County Agreements. y Application, coordination and supporting documents required to obtain Special Use Permit with from King County. ƒ 403. Resident Agreements. y General property research and review of project maps and plans. y Review title reports and provide recommendations for clearing any encumbrances. y Provide Administrative Offer Summaries (AOS) or Appraisals for all needed right of way. y Prepare easements, offers, and other transaction documents utilizing City templates. y Negotiate with property owners to secure easement or other property agreements (~57)         FINAL / 9 y A minimum of two (2) contacts will be made with each owner in an attempt to secure the necessary rights. y Maintain detailed negotiator’s logs and acquisition files. y Provide an acquisition status report every two weeks. y Transmit closing packages to City for payment and recording. y Assist in the preparation of condemnation packages in the event eminent domain is required. y Coordination with Public Involvement Assumptions: 1. City will perform any legal reviews and prepare all legal documents. 2. City to provide title reports. 3. City to provide templates for easements or other property agreements. 4. Appraisals to be provided by a third-party vendor or sub-subcontractor. 5. City will pay for all property transactions and all closing/recording fees. 6. City will provide legal support for any property rights which may require legal assistance. 7. Due to uncertainty in the process of meeting with King County, effort will be limited to the allotted number of hours in the fee estimate and not assigned to specific tasks or meetings. s Meetings: 1. Property agreement strategy meeting (virtual 1.5-hour meeting with up to 3 consultants attending). 2. Individual meetings with property owners (up to 57 parties, two (2) contacts each). City Deliverables: 1. Easement records and title reports. 2. Easement templates approved by City legal. 3. Recorded Easement documents. Deliverables: 1. Survey files and basemaps. 2. Complete acquisition or condemnation files. Task 500 – Permitting The purpose of Task 500 is to prepare permit applications and obtain approvals for the project. Task 500 Subtasks: ƒ 501. City Permits. This subtask includes work associated with the application for and issuance of the following City permits: Shoreline, Clearing and Grading, Right-of-Way Use, Noise Variance, and Land Use. This also includes attendance at a pre-application meeting facilitated by City. ƒ 502. State Permits. This subtask includes work associated with the application for and issuance of the following State Permits: State Environmental Policy Act (SEPA), DOE Construction Stormwater General Permit (CSWGP), and Washington Department of Fish and Wildlife (WDFW) Hydraulic Project Approval (HPA). ƒ 503. Federal Permits. This subtask includes work associated with the application for and issuance of the following Federal Permits: Army Corps Nationwide/Individual.         FINAL / 10 Assumptions: 1. For permitting purposes, the Project will be described in two phases. Phase 1 – construction of the new ILS system, Phase 2 – Abandonment of the existing lakeline system. 2. The Army Corps’ jurisdiction doesn’t extend upland and the only in-water work to permit will be related to the Phase 2 decommissioning work. 3. There will be a pre-application meeting facilitated by the Army Corps to discuss permitting needs with various resource agencies and interested Tribes. 4. The in-water work can be permitted through a Nationwide Permit (NWP 12), which also covers Section 401 and additional permitting through Ecology won’t be necessary. 5. An ordinary high-water mark (OHWM) delineation will not be needed and permit drawings can rely on the regulated lake levels as reported by the Army Corps. 6. No wetlands or in-water areas will be affected by the Phase 1 construction of the new ILS system. 7. There is no need for a wetland delineation. 8. No mitigation will be needed for this project and site restoration will be appropriate for all land disturbance. 9. Consultant will provide up to six (6) updates to submittal schedule, permit matrix, and anticipated approval times for permits. 10. Consultant will perform up to two (2) project site visits to assess project conditions. 11. Consultant will attend up to four (4), 1-hour virtual meetings with the City, regulatory agencies, and/or other stakeholders and take meeting notes. The meetings may include kick-off, permit check list review, and pre-application meetings. 12. Consultant will provide a consolidated list of permit conditions and potential changes to the specifications. 13. Arborist services, if required, will be provided by the City. Meetings: 1. City of Renton Pre-Application Meeting. 2. Army Corps Pre-Application Meeting. Deliverables: 1. Completed permit applications for the permits listed in this section. 2. Draft and final version of the JARPA, Biological Evaluation, Critical Areas/Shoreline Report, Aquatic Protection Permitting System (APPS) documentation, SEPA checklist, and project narratives/code consistency analyses for the clearing and grading and ROW use permit applications. 3. Completed permit matrix and permit schedule, and subsequent updates. Task 600 – Public Involvement The purpose of this task is to implement a public involvement plan to engage customers during design. Task 600 Subtasks: ƒ 601. Public Involvement Plan and Strategic messaging.         FINAL / 11 y Updating the Public Involvement Plan (PIP) to cover outreach plans and strategies for the final design phase of the project. The PIP update will be done in coordination with the City and will address specific audiences and key stakeholders that represent a broad range of interests in the project, and various materials and activities to provide for effective and equitable outreach, including consideration of language needs and other inclusive methods. y Provide strategic advice for internal and external public affairs support to share information about the importance of the Kennydale Lakeline Sewer Improvements project and how the City will be able to address and solve the problem of maintaining sewer service. y Develop materials to use in briefings with key stakeholders (neighborhood, community, elected official, jurisdiction and key civic leader representatives and organizations). This may include up to 2 brochures, fact sheets, or other materials. y Support developing talking points or frequently asked questions so there is consistent messaging during engagement periods. ƒ 602. Individual Resident Meetings. y Up to two rounds of property owner meetings with up to 57 properties, including scheduling, tracking, and summary development. y Attend and participate in up to 4 virtual property owner meeting prep sessions with the City, outreach team, and technical team to review design plans and property information. y Draft and develop frequently asked questions to support two rounds of individual resident meetings. ƒ 603. Open House. y Plan and implement 1 in-person open house to educate property owners on grinder pump operations and answer general questions about the project. Open house materials that could be developed include, but are not limited to, logistics plans, FAQs, visual displays, a presentation, and a project factsheet. y Provide facilitation and note-taking support at the in-person open house. ƒ 604. Online Engagement/Website Updates. y Develop 1 online open house using the participate.online platform, including look-and-feel development, site deployment, content development, and analytics tracking. y Prepare content for up to 7 web updates for the final design phase of the project. ƒ 605. Notifications. y Develop materials for and conduct up to 2 rounds of fieldwork (geotechnical and/or survey) notifications (i.e., email, flyering, and phone calls) to the 57 properties to support project activities during the final design phase. y Prepare up to 2 mailers and 2 email notifications for each round of property owner meetings. Assuming one mailer/email at the start of the round and one reminder email/mailer. y Prepare up to 1 open house mailer. y Prepare up to 5 letters and/or email updates to share project updates during the final design phase of the project. ƒ 606: Stakeholder database. y Develop and maintain stakeholder database. y Update the stakeholder database as needed to record: ̵ Changes in ownership of properties in the project areas. ̵ Communications to and from property owners and other affected parties. Third-party interpretation services will be utilized to support in-language property owner meetings as needed to allow property owners to be able to fully participate. 4. The City will coordinate and pay directly for interpretation and translation services, printing and mailing. 5. GovDelivery will be used to manage email updates. 6. EnviroIssues will not attend property owner meetings. The City, Carollo, and LaBonde will attend property owner meetings and provide their meeting notes to EnviroIssues. EnviroIssues will develop a high-level summary of themes and key takeaways from individual resident meetings. 7. Consultant will lead the planning, development, and implementation of the in-person open house and online open house. 8. The City will lead responding to questions from property owners or the general public. Consultant will log communications into the stakeholder database. 9. Consultant will update and maintain a project-specific subscription for tracking contacts, organizations, communications, activities, and parcels. Users may include City and Consultant staff; each user will be provided unique login credentials and be designated with read-only, editor or manager permissions. Upon project completion, Consultant will provide data reports (Word, PDF) and data exports (Excel) directly from the stakeholder database and the project subscription will be permanently deleted. 10. Open house materials will be determined in the public involvement plan and open house planning documents. Level of effort associated with this task includes a standard set of materials, including a project fact sheet, up to 15 display boards, FAQ document and presentation of up to 15 slides. Meetings: 1.
