The legal description omitted a small area of frontage on the north portion of the site. In conversations with both Tom Boynes and Jim Hanson,we have the following alternatives to rectify the situation: 1. Process a new street vacation application -This is the most direct remedy with the only drawbacks being going back to the Council and admitting an error was made in the initial petition and the fact that the vacation would be a 4 to 6 week process,which has potential of delaying building permits. In order to avoid the vacation delaying the issuance of building permits, perhaps we can allow building or construction permits on the large majority of the site which was included in the approved vacation application. 2. Right-of-Way Use Permit-This could be the most expedient process, essentially approving the temporary/interim use of the excluded right-of-way area until either the other vacation application is processed or the overall Automall vacation is approved. However, it adds an indirect step to the process and it could end up expiring before final approval of the vacation. Scott Rhodes (the engineer for Jamie Pierre) has already requested consideration of a right-of-way permit under suggestion from Tom Boynes. The vacation of the south end Maple Avenue SW which fronts the subject property was approved by the City Council (VAC-94-004) and the abandoned right-of-way is included as an area for auto display parking in the project proposal. There are currently three single family residences on the site. •The existing houses on the corners of Maple Avenue SW and SW 13th Street would be demolished as part of the project. The two-story brick residence at 209 SW 13th Street would be renovated for use as a commercial office. Restoration of the house is proposed to be minimal, but would include a new handicap accessible unisex restroom on the ground floor. A detached brick garage is proposed to remain on the site for detailing autos. The applicant is requesting a code modification from requirements for a 15 foot wide landscape strip along public street frontages. The applicant proposes a 10 foot wide landscape frontage strip with additional landscape area concentrated around the site entries and the building. As a result of a previous agreement, the stormwater system for the proposal would connect to the stormwater system for the Good Chevrolet auto dealership to the west of the subject site. Environmental Impacts The Proposal was circulated and reviewed by various City Departments and Divisions to determine whether the applicant has adequately identified and addressed environmental impacts anticipated to occur in conjunction with the proposed development. Staff reviewers have identified that the proposal is likely to have the following probable impacts: 1) Earth Impacts: The site is generally flat with minor slopes up to 2%. Earthwork cut and fill operations would be necessary to prepare the site for development. It is estimated that the earthwork would entail approximately 1,200 cubic yards of cut and 4,500 cubic yards of fill material. The applicant has not specified the source of the fill material. During site preparation and construction, potential erosion impacts would be mitigated by using siltation fences and temporary siltation ponds. The applicant has submitted a Construction Mitigation Plan and a Temporary Erosion Control Plan which would serve to mitigate for potential erosion impacts during the site preparation and construction of the project. Mitigation Measures No mitigation measure is required. Standard TESC methods will be required conditions of Building and Construction Permits. Policy Nexus N/A • 2) Air Impacts: Impacts to air quality can be anticipated both during construction and during operation of the facility. Impacts during construction would include exhaust from construction equipment and dust from exposed soils. Exhaust from construction vehicles is covered by existing State and City Codes. The applicant has submitted a construction mitigation plan to ensure that dust does not become a nuisance on the site. After construction the impacts would be associated primarily with vehicle exhaust from employee and customer traffic. These sources would have a minor impact on air quality though not considered significant to warrant special mitigation measures. Mitigation Measures: No mitigation measure is required. There is no surface water or wetlands located on the site or in the immediate vicinity of the project site. The site does not lie within a 100-year floodplain. The development proposal would result in covering approximately 95% of the site with impervious surfaces for parking areas and building. The applicant anticipates that stormwater runoff from the site would be collected via catch basins and routed to stormwater facilities on the Good Chevrolet auto dealership site which is adjacent to the west of the subject site. This was previously arranged and the Good Chevrolet facility has been designed and sized in anticipation of receiving stormwater flows from the development of the subject site. The stormwater facilities for Good Chevrolet include an underground concrete detention vault and a biofiltration swale for stormwater quality treatment. The facility will be designed in accordance with the King County,Surface Water Design Manual that has been adopted by the City of Renton. In the case that the Good Chevrolet stormwater facility is not constructed as presently planned, the Pierre Auto Sales Lot site plan would have to be modified to provide for stormwater detention on-site, in accordance with code requirements. Mitigation Measures. No mitigation measure is required. Policy Nexus N/A 4) Transportation Impacts The site would be accessed off SW 13th Street via Maple Avenue SW. The proposed site plan shows three driveway cuts off SW 13th Street. The applicant has provided a brief daily trip analysis that is based on assumptions from a traffic study completed for Renton Dodge (now Good Chevrolet) dated May 1994. The traffic analysis estimates an average daily trip rate of 51.7. Plan Review staff has not confirmed the accuracy of the estimate and therefore the transportation mitigation fee cannot be determined at this time. The City of Renton has adopted a uniform transportation impact fee for the entire City. The ordinance requires a fee of $75.00 per trip end for each trip generated by a new land use or development. This fee will be used for transportation improvements that are required throughout the City as new traffic is generated. Site preparation for the proposed development would necessitate a significant quantity of fill material to be imported, estimated at 4,500 cubic yards of fill. This would result in approximately 450 truck trips to the site. The proposal includes a request to partially vacate SW 13th Street along the entire length of the property adjoining the street. The proposed vacation would reduce the existing 60 foot right-of- way to a 25 foot width, vacating approximately 18 feet on the north and south sides of the right-of- way and retaining 12 1/2 feet from the street centerline. The 25 foot street width is considered adequate to ensure access for surrounding residents and for emergency/utility vehicle access. The proposed vacation and the street improvements are consistent with standards anticipated in the draft Automall Improvement Plan. The applicant will be required to submit a separate application for the vacation, subject to the approval of the City Council.. Mitigation Measures 1. A traffic mitigation fee shall be determined based upon an estimate of the average number of daily weekday trips generated by the development. The applicant shall pay $75.00 per daily trip end at the time of issuance of building permits. Car dealerships frequently use an amplified outdoor public address system to contact salespeople and service staff. These address systems may result in the off-site spilling of intrusive noise onto adjacent properties during operating hours. However, this potential impact is limited by the Noise Level Regulations Chapter 7, Title VIII, which establishes maximum permissible noise levels and prohibits "public disturbance" noises as defined in the Ordinance. The regulations would serve to minimize detrimental noise impacts on adjacent properties. CONFORMANCE WITH THE COMPREHENSIVE PLAN, ITS ELEMENTS AND POLICIES; The Comprehensive Plan designation for the project site is Employment Area - Commercial: An objective states that this designation should allow for commercial uses which require high visibility and access to large volumes of auto traffic. The proposed auto dealership is consistent with this objective. Other relevant policies are as follows: Policy LU-169. Individual parcels should be encouraged to consolidate to maximize flexibility of site design and reduce access points. Policy LU-170. The above policies support the intent of the Automall overlay zone which was adopted in this area to further the objectives of creating a cohesive appearance for improved auto retail activity. The subject proposal is one of the first auto dealerships to be proposed within the Automall zone. The proposal complies with the site planning objectives of the Automall zone. The project would be accessed off SW 13th Street and Maple Avenue SW, which are streets internal to the Automall zone, and this would encourage consolidated access and circulation within the Automall area. B. CONFORMANCE WITH EXISTING LAND USE REGULATIONS; The project site is designated as Commercial Arterial (CA) on the City zoning map. It is also included in "Area A" of the Automall overlay zone. The proposed auto dealership is a primary permitted land use in the CA zone, and auto sales are the only primary permitted use allowed for in the Automall overlay. The proposal meets the provisions and development standards of the Zoning Code. Many of the CA development standards which pertain to the existing building (i.e. building setbacks, height, lot coverage) are not considered applicable to the proposed renovation of the existing building. The proposal does not meet the existing landscape requirements of the CA zone, which requires a 15 foot wide on-site landscape strip along public street frontages. The Automall zone ordinance allows a reduction in the required frontage landscaping if it can be relocated and clustered at site or building entries while also maintaining a 15 foot wide landscape strip between the street sidewalk and curb. The applicant proposes a 10 foot wide landscape frontage strip with additional landscape area concentrated around the site entries and the building. The applicant is requesting administrative approval of a modification to the landscape code requirement which is specifically permitted for auto dealerships in the CA zone designation (Section 4-31-10.4, D. 6. c. (2)). It should be noted that the draft Automall Improvement Plan anticipates applying the requirement for a 15 foot wide landscape frontage only to those streets along the perimeter of the Automall area, with reduced and flexible standards along internal streets. The applicant is requesting administrative approval of a modification to the landscape code requirement, in the interest of expediting the project prior to final approval of the Automall Improvement Plan. Landscape modifications have been previously approved for both the Sound Mazda and Good Chevrolet auto dealerships in the Automall area. The proposed landscape modification may be justified because the subject site is bisected by SW 13th Street. A 15 foot wide landscape frontage strip on both sides of the street (as required in the code) would be detrimental to fostering a safe connection between parts of the site for pedestrian travel and it would impose a visual separation between the north and south parts of the site. This could hinder efforts to encourage an appearance of consolidated development within the Automall area. The proposed site.plan does not comply with existing City standards for street and right-of-way improvements (i.e. curb, gutter and sidewalks) along SW 13th Street and Maple Avenue SW. The proposal anticipates the implementation of the draft Automall Plan which includes reduced street widths and as presently drafted would not necessarily require curb, gutter, and sidewalk improvements on internal streets. The project proposal does include curbs and gutters to aid positive drainage though these improvements are not continuous along SW 13th Street. The reduced right-of-way width is addressed in the street right-of-way vacation application. The issuance of building permits should be contingent upon approval of the street vacation. C. MITIGATION OF IMPACTS TO SURROUNDING PROPERTIES AND USES: The project proposal includes a request to partially vacate SW 13th Street along the entire length of the property adjoining the street. The proposed vacation would reduce the existing 60 foot right-of-way to a 25 foot width, retaining 12 1/2 feet on each side of the street centerline. There are presently four residences located on the north side of SW 13th Street which require access off SW 13th Street. The street presently dead-ends into Interstate 405. The proposed street vacation would reduce the street width to 25 feet which is considered adequate to ensure access for residents and emergency/utility vehicles. The proposal would utilize an existing residence on the site for a commercial office. The scale and appearance of the building would be compatible with surrounding residences. The proposal would remove two existing buildings prior to construction. A demolition plan is included with the application submittal. The applicant has also included a Construction Mitigation Plan which addresses hours of construction, hauling and transportation routes and construction mitigation measures. This would serve to minimize impacts on the existing residential and commercial properties in the immediate area during construction. In addition, the applicant has provided an erosion and sedimentation control plan which would prevent pollutants from impacting surrounding properties during the construction phase of the project. The site is bounded by Interstate 405 on the east and south. The proposed auto sales use is most appropriate considering the noise and visual impacts of the interstate highway would render the site unsuitable for most other types of uses. The project proposal utilizes the vacated east half of Maple Avenue SW (VAC-94-004) south of SW 13th Street for auto display parking. This portion of the subject site directly abuts the Good Chevrolet auto dealership. It appears from the site plan submittal that the subject proposal is setback approximately 5 feet from the centerline of Maple Avenue SW. The adjacent auto dealerships should coordinate development to fully utilize the abandoned right-of-way width and to assure a cohesive appearance where the projects meet. This coordination should include at least matching finished grades, and could potentially include a low separation fence and/or pedestrian connections between the developments. The applicant has not indicated a lighting plan for the proposed land use. In order to ensure that exterior lighting does not result in a illumination/glare impacts onto adjacent properties, the on-site lighting should be directed inward on the site. Car dealerships frequently use an amplified outdoor public address system to contact salespeople and service staff. These address systems may result in the off-site spilling of intrusive noise onto adjacent properties during operating hours. However, this potential impact would be limited by the Noise Level Regulations Chapter 7, Title VIII, which establishes maximum permissible noise levels and prohibits "public disturbance" noises as defined in the Ordinance. The regulations would serve to minimize detrimental noise impacts on adjacent properties. D. MITIGATION OF IMPACTS OF THE PROPOSED SITE PLAN TO THE SITE; The proposed site is within the Green River Valley Planning Area. An environmental mitigation agreement between the City and the Soil Conservation Service requires that 2% of a site area be provided as a natural landscaped area for wildlife habitat. The applicant is proposing to provide this landscape area with the wildlife landscape area on the Good Chevrolet property. The natural landscape area on the Good Chevrolet site has been designed in conjunction with the biofiltration swale for stormwater quality treatment. This is a beneficial combination for wildlife habitat. The approach of providing for the natural landscape area off-site is supported by the code which encourages aggregating the natural landscape area to be contiguous with adjacent properties, thereby increasing habitat values and functions. In addition, the applicant should submit a separate landscape plan for the natural landscape area on the Good Chevrolet site. The site plan does not indicate a specific area to collect garbage/refuse. The location should be, shown on a revised site plan and notes or details should indicate that the refuse area is enclosed or fenced as required in the City Code. The plan submittal does not include proposed signage. The applicant should submit an overall signage plan to be approved by the Development Services Division prior to issuance of permits for exterior building or freestanding site signs. E. CONSERVATION OF AREA-WIDE PROPERTY VALUES; The development of the subject site as an auto dealership should serve to enhance property values in the immediate area by assisting in the transition to auto sales uses as anticipated in the Automall zone. F. SAFETY AND EFFICIENCY OF VEHICLE AND PEDESTRIAN CIRCULATION; Vehicular access to the site would be off SW 13th Street via Maple Avenue SW. The proposed site plan shows three driveway cuts off SW 13th Street. As discussed in previous sections of this report, the proposal includes a request to partially vacate SW 13th Street along the entire length of the property adjoining the street. The reduced right-of- way width would be consistent with standards anticipated in the draft Automall Improvement Plan and would provide adequate circulation and site access. The applicant will be required to submit a separate application for the vacation, subject to the approval of the City Council. The site plan indicates a walkway connecting the proposed office building to SW 13th Street which would provide for pedestrian access between the street and building. However, no sidewalks are proposed on either side of SW 13th Street. The draft Automall Plan anticipates the full vacation of SW 13th Street in the future and proposed, interim standards do not suggest improving sidewalks along internal streets. To ensure pedestrian safety while SW 13th Street remains open for providing access to adjacent properties, the applicant should provide crosswalk on SW 13th Street to provide a safe crossing between the two portions of the site bisected by the street. Customer and employee parking is provided (12 parking spaces) around the office building, with the auto display parking along the street frontages. This would provide convenient and safe access between customer parking and the building. G. PROVISION OF ADEQUATE LIGHT AND AIR; The proposed building is setback from property boundaries and most of the lot is paved for auto display which would allow for adequate light and air to reach the building. Analysis: The project site is bisected by SW 13th Street, with the north part of the site devoted to auto display and the proposed sales/office building to the south of SW 13th Street. The draft Automall Plan anticipates the future vacation of the entire right-of-way of SW 13th Street. A 15 foot wide landscape frontage strip on both sides of the street (as required in the code) may be inappropriate considering the potential future vacation of the street. In addition, the full landscape strip width would impose a visual separation between the parts of the site and would be detrimental to efforts to foster a safe connection for pedestrians. The applicant shall provide a legal recorded agreement with the property owner of Good Chevrolet for the proposed off-site stormwater facility and for locating the natural/wildlife landscape area. The recorded agreement shall include an easement and an operation and maintenance agreement. This agreement shall be subject to approval of the Development Services Division and shall be recorded prior to the issuance of building permits. In the absence of this agreement or in the case that the Good Chevrolet stormwater facility is not constructed as presently planned, the Pierre Auto Sales Lot site plan shall be revised to provide for stormwater detention on-site, in accordance with code requirements. Recommendations are: use landscaping to prevent stolen cars from being able to be driven off of the lot. This can be done by using landscaping as a barrier, or ' by creating obstructions such as a grade. that wbuld be too steep for a vehicle to cross over (have a look at the eouth side of the Renton Honda parking lot) . Alho-crecommend that the applican use some type of decorative fencing to fence off the entire lot where the vehicles will be on X display. Ahnexample would be a chain and post type of fence that would provide security, keep the cars from being driven off the lot, and still allow passers-by to be able to see the cars. i When .the office structure is built, it will need heavy-duty dead bolt locks to help prevent commercial burglary. Good lighting in the parking lots is. aunecessity. Recommend that the auto dealer does not use lock-boxes to hold keys, on the vehicles for sale. WA 98055 Phone: (206) 235-2719 FAX: (206) 277-4455 This letter is part of the submittal requirements for Site Plan Review for a new"Used Car Lot" on the corner of Southwest Maple Avenue and Southwest Thirteenth Street, east of the proposed AARCAHINEN I 1 Good Chevrolet Dealership.An existing single family residence on the site will be used as office INTERIOR DES space and the majority of the site will be paved for customer, employee and sales parking. There are no special site features. The owner, Jamie Pierre, proposes to apply for a long term street use permit or partially vacate Southwest Thirteenth Street from the existing right of way to 25'-0", 12'-6"from the existing recorded street centerline. The proposed vacate or street use will extend along the entire length of the properties adjoining the street as indicated on the site plan. The square footage of the property currently is 62,827 square feet, including the additional street use it is 77,958 (1.79 acres). Construction in the proposed vacated area will not proceed until finalized. Off site improvements include drainage retention, wildlife refuge area and main sewer line extension from the existing Twelfth Street manhole. The proposed "Used Car Lot" is intended to be a continuation of the Good Chevrolet concept previously presented to the City of Renton. We are requesting a code modification of the 15'-0" front street setback along Thirteenth Street and propose a reduced setback to 10'-0"with irrigated landscaping to be consistent with Good Chevrolet. It is the intent that landscaping be concentrated near three (3) entrances with the remainder of pervious surface to be grass. This design should provide a positive aesthetic appearance, as well as enhance drainage. In comparison, the Good Chevrolet Dealership proposed 5'-0" concrete sidewalks and landscaping at site entry points only. There are currently three single family residences on the site. The house on.the southeast corner of Thirteenth and Maple will be demolished. The house on the northeast corner is intended to remain until the proposed paving on the north sided of Southwest Thirteenth Street is completed at a later date. The brick residence at 209 Southwest thirteenth Street is proposed to remain. The intended use of the two story 2,800 square foot residence is commercial office for the "Used Car Lot". Restoration of the house is proposed to be minimal, but shall include a new handicap accessible unisex restroom on the ground floor. Signage is proposed on the roof by separate permit by others. There should be no obstruction of views from other properties. The detached brick garage is proposed to remain for detailing automobiles. Landscaping, concrete curb and walk are proposed around the building. The remainder of the property is intended to be paved and striped for parking. The total impervious surface as proposed with the street vacated is 66,385 square feet (85.2% coverage). The property south of Thirteenth Street is designed to accommodate 122 stalls. Overflow display, to be constructed at a later date, will park 30 cars as designed. Required parking is 4 spaces for indoor sales (2,000 sq. ft.), and 8 spaces (-40,700 sq. ft.) for outdoor display. ESM believes that the Conceptual Plan would have had sufficient capacity, if constructed, to handle the Benefited Property storm water, and provide storm water detention and biofiltration under current codes, but has indicated that the Conceptual Plan does not appear to have sufficient capacity to handle drainage and provide storm water detention and biofiltration for the Property and the Benefited Property. Without limiting the scope of changes that might be made (the parties recognizing that the entire development scheme will vary from that shown on the Conceptual Plan), ESM, Inc. anticipates that the "Biofiltration Water Quality Swale" and the storm water detention pond shown on the Conceptual Plan on and west of (on City-owned property) the western portion of the Property will need to be expanded. D. If the Grantor, or Grantor's successor, builds an automobile dealership on the Grantor's Property, Grantor will (subject to the terms of this Agreement) construct its drainage facilities with sufficient capacity to provide for legal storm water runoff, detention and biofiltration for the Benefited Property. E. If the Grantor, or Grantor's successor, does not build an automobile dealership or facility as aforesaid, the Grantor, or Grantor's successor, will permit use of the easement described below over the south 10 feet of Grantor's property (together with a 20-foot construction easement for the purpose of constructing, installing, maintaining and repairing the drainage course and/or any drainage facility installed therein; provided, that Grantee will be required to provide alternative parking to Grantor for the parking spaces utilised, if any, within said construction easement area) for storm water runoff and biofiltration, including the right to ditch or pipe the storm water to the southwest corner of Grantor's property. AGREEMENT, NOW, THEREFORE, the parties agree as follows: • Section 1. Grantor's Drainage System If Grantor, or its successor, develops any or all of the property referred to in Paragraph A above for an automobile dealership, Grantor will construct a drainage system on the Property sufficient to provide storm water facilities with capacity at least equivalent to the'system shown on the Conceptual Plan to accommodate storm water drainage from the Benefited Property. The total cost to install the aforementioned system with a capacity as aforestated for the Benefited Property, shall be borne solely by the Grantor including any cost for unforeseen conditions. If the system, as so designed and with said capacity, is not sufficient to provide storm water facilities to legally serve the Unconsidered Properties, it is agreed that Grantee shall pay for 50% of the additional cost to construct the additional capacity to serve the Unconsidered Property; provided, further, that in any event Grantee shall not be required to pay more than $20,000 for any and all such additional costs. In addition, Grantee will also pay the pro rata share of the cost for any additional cost, if any, incurred in the installation of the drainage system on that portion of Grantor's property lying south of SW 12th Street as the sole result of non-native unsuitable fill or foreign objects, if any, such as a car body. Pro rata share of cost shall mean the ratio of the size of the Benefited Property to the size of all property(s) connected to Grantor's drainage system, including the Unconsidered Property. Undisturbed, native materials, regardless of quality, shall not be deemed to be non-native fill or a foreign object. Section 2. Easements • Upon Grantor's acquisition of the Property described in Paragraph A above lying south of SW 12th, and in consideration of One Dollar ($1.00) and other good and valuable consideration in hand paid, receipt of which is hereby acknowledged, Grantor hereby conveys and quitclaims to Grantee the following easements which shall run with the land (together with Grantor's after-acquired title to such easements): 2.1. A nonexclusive perpetual easement to drain storm and surface water from the Benefited Property under the Property through the drainage system constructed, operated, maintained, removed, repaired, replaced and used by Grantor for the Property. 2.2 A temporary nonexclusive easement for purposes necessarily and reasonably related to the construction of an underground pipe from the Benefited Property under the Property to a point on the Property designated by Grantor (where Grantor's system shall provide a Type II, 54" catch basin as a point of connection) from the eastern boundary of the Property and south of vacated Southwest 13th Street, said easement to commence on the effective date of this instrument and to terminate on the date construction of the underground pipe is completed and accepted by Grantor, at which time the underground pipe under the Property shall become the Property of Grantor and shall be part of Grantor's drainage system, subject to Grantee's drainage easement. 2.3 A nonexclusive perpetual, but determinable easement 10 feet in width north of the southerly margin of the Property for surface water which may now or in the future naturally -4- 11/27/95 14:54 FAX 20 '2 0908 TJOSSEM R1014/023 • drain from the Benefited Property along or over said easement over said easement (together with a temporary 20-foot construction easement for the purpose of constructing, installing, maintaining and repairing the drainage course and/or any drainage facility installed therein; provided, that Grantee will be required to provide alternative parking to Grantor for the parking spaces utilized, if any, within said temporary easement area; and, further, Grantee will restore the property to its original condition save for any permanent drainage facility constructed in the 10-foot easement). This easement shall terminate 180 days following Grantor's completion of a drainage system on the Property for an automall. If neither Grantor nor Grantor's successor constructs an automall, Grantor (or Grantor's successor) may terminate the easements described in paragraphs 2.1 and 2.2 by written notice to Grantee, in which case, Grantee shall be entitled to use the easement area described in this paragraph 2.3 for storm water runoff and biofiltration for the Benefited Property including the right to ditch or pipe storm water, in accordance with applicable Iaw, to•the southwest corner of the Property. Notwithstanding the foregoing, the 10- foot easement and the construction easement as set forth above shall be revived and enforceable if the easements described in Paragraphs 2.1 or 2.2 are'terminated pursuant to court order or Sections 15 or 16 or this Agreement. Grantor may relocate the 10-foot easement and 20-foot construction easement if it interferes with the Grantor's current or future development of Grantor's property; provided, that the cost of any such relocation following initial installation of facilities shall be borne solely by the Grantor; Grantor will take all reasonable steps necessary to ensure that Grantee's property is serviced with adequate storm drainage facilities during the course of any such relocation. This Drainage Easement and Agreement shall be recorded at closing at Grantee's expense. • Section 3. Costs of Construction and Maintenance 3.1 Grantee shall bear and promptly pay all costs and expenses of construction and maintenance of the underground line authorized by Section 2.2. If Grantee does not construct the underground line at the time of Grantor's construction of the drainage system, Grantee shall also bear all costs associated with upgrading the drainage system to meet new standards required for connecting of the underground pipe. 3.2 Grantee shall, within thirty (30) days of receipt of Grantor's invoice, its share PPaY of Grantee's cost pursuant to Section 1 above. 3.3 Grantee shall, within thirty (30) days of receipt of Grantor's invoices therefor from time to time, reimburse Grantor for that portion of the costs (i.e., 24.63%) to maintain, repair or replace the drainage system equal to the ratio of the area of the Benefited Property to the area drained by the drainage system; provided Grantee shall not be obligated to pay for any -5- 11/27/95 14:56 FAX 201, -- '!8 0908 TJOSSE1 2D 015/023 costs incurred as a direct result of the Grantor's failure to comply with all applicable regulations, regarding storm water, and each party shall bear the entire cost for any maintenance or repairs required because of improper use or contamination of the system.by waters discharged from such party's property into the system. 3.4 Grantor agrees to operate, use and maintain the drainage system in a workmanlike fashion and in accordance with all applicable government standards, laws, and regulations. Section 4. Compliance With Laws and Rules Grantee shall at all times exercise its rights under this Drainage Easement and Agreement in accordance with the requirements (as from time to time amended) and all applicable statutes, orders, rules and regulations of any public authority having jurisdiction. Grantee shall cooperate with Grantor and reimburse Grantor for its prorated share of costs associated with National Pollution Discharge Elimination System ("NPDES") and other permitting attributable to drainage of storm and'surface water run-off from the Benefited Property through the drainage system described in Section 1 or across the Property pursuant to this Drainage Easement and Agreement. Grantee shall obtain and pay the entire costs of any permit needed to exercise Grantee's rights under paragraph 2.3. Section 5. Approval of Plans Prior to any construction, alteration, replacement or removal of the underground line by Grantee on the Property, a notification and plans for the same shall be submitted in writing to Grantor by Grantee and no such work by Grantee shall be commenced without Grantor's prior written approval of the plans therefor, which approval shall not be unreasonably withheld.. Any changes or revisions in the plans approved by Grantor shall also be subject to Grantor's prior approval. Nothing in this Agreement shall be deemed to impose any duty or obligation on Grantor to determine the adequacy or sufficiency of Grantee's plans and designs, or to ascertain ,whether Grantee's construction is in conformance with the plans and specifications approved by Grantor. • Section 6. As-Built Survey and Easement Minimization Upon Grantor's request, Grantee shall promptly provide Grantor with as-built drawings and a survey showing the location and depth of the underground line on the Property. Upon Grantee's request, Grantor shall promptly provide Grantee with as-built drawings showing the drainage system. Following construction of the drainage system, this Drainage Easement and Agreement shall, be revised to specify and limit the easements herein to the 2% feet on either side of the components of the drainage system as-built. -6 • - - • 11/27/95 14:57 FAX 20f 8 0908 TJOSSEM I1016/023 Section 7. Coordination of Activities Grantee shall coordinate the dates of its construction on the Property with Howard Sheridan, or such other employee of Grantor as Grantor may from time to time designate, and Grantee shall provide said employee with at least five (5) days' prior written notice of its intent to enter upon the Property to commence such activity; PROVIDED, HOWEVER, that in the event of an emergency requiring immediate action by Grantee for the protection of its facilities or other persons or property, Grantee may take such action upon such notice to Grantor as is • reasonable under the circumstances. Section 8. Work Standards All work to be performed by Grantee on the Property shall be in accordance with the plans submitted to and approved by Grantor and shall be completed in a careful and workmanlike manner to Grantor's satisfaction, free of claims or liens. Upon completion of construction of the portion of the underground line on the Property, and upon completion of any subsequent work performed by Grantee on the Property, Grantee shall remove all debris and restore the surface of the Property as nearly as possible to the condition in which it was at the commencement of such work, and shall replace any property corner monuments, survey references or hubs which were disturbed or destroyed during construction. Section 9. Access by Grantor During Construction Grantee shall make provisions satisfactory to Grantor for continued access by Grantor along, over and across the easement area during periods in which Grantee is conducting construction or other activities. Section 10. Restriction on Access by Grantee Following initial construction of the underground line, Grantee shall have no right of access to the Property; provided, that in the event Grantor does not properly maintain or repair the system, Grantee or its agent may enter the Property and provide appropriate maintenance or repair. Grantor will promptly pay its pro rata share of all costs incurred by Grantee therefor. Grantor shall at all times have the right to erect fences on, over or across the easement area or any part thereof and to occupy the easement area with Grantor's facilities and equipment. Section 11. Grantee's Use and Activities Grantee shall exercise its rights under this Agreement so as to rnin1m17e, and avoid if reasonably possible, interference with Grantor's use of the Property. Section 12. Use of the Easement Area by Grantor Grantee has been advised and is aware that: (a) Grantor is using or intends to use the Property for the purpose of constructing and operating a retail automobile sales and leasing business. (b) New facilities are proposed to be constructed in addition to or in replacement of such facilities already existing on the Property; and (c) Construction of such new facilities will require the installation of buildings, parking areas, utilities, roads and other fixtures or improvements over, upon, across and under the easement area, and, in addition, may require the location of structures with permanent foundations within the easement area. Nothing herein contained shall prevent or preclude Grantor undertaking any construction, installation and use of any of the Property, and Grantor shall not be liable to Grantee, or to Grantee's employees, agents, contractors and users of the drainage system, for loss or injury resulting from any damage or destruction of the drainage system directly or indirectly caused by Grantor's use of the Property or Grantor's facilities on the easement area; provided, that in the event the drainage system is destroyed or damaged by reason of Iack of maintenance, repair or lack of exercise of reasonable care by or on behalf of Grantor, Grantor shall restore the drainage system at Grantor's sole expense. Section 13. Interference With Grantor's Future Facilities In the event Grantor desires to construct facilities relating to Grantor's operations on or in the vicinity any element of the drainage system and the location or existence of the drainage system interferes with such proposed facilities or construction thereof, or makes such construction or facilities more expensive, Grantor may, in Grantor's sole discretion, relocate, protect or modify the drainage system; provided, Grantor shall pay for the entire cost of any such reconstruction and/or relocation. In the event of such relocation, this Drainage Easement and Agreement shall be revised to specify and limit the easements herein to the 2% feet on either side of the components of the drainage system as relocated. • -8- 11/27/95 14:59 FAX 206 3 0908 TJOSSEM ! Drainage System Design Grantee shall cooperate with Grantor in developing and considering various alternative designs for Grantor's facilities and the drainage system and shall supply all Grantee's design data necessary therefor; however, the acceptability of alternative design criteria shall be the sole and reasonable decision of Grantor. Grantor shall mail via first class mail or hand-deliver a copy of his proposed drainage plans to ESM, Inc., 34004 9th Avenue S., Bldg. A, Federal Way, WA, 98003, and to Robert P. Tjossem, PO Box 908, Kirkland, WA, 98083-0908, at the same time a copy is provided to Grantee. Grantee shall provide written comments (including engineering comments) to Grantor within twenty one (21) days of receipt of Grantor's proposed drainage system plans, which shall be provided to Grantee before permit applications are filed with the City. Failure to respond within such twenty one (21) day period shall conclusively be deemed to express Grantee's satisfaction with the plans. Grantor will not be bound to accept Grantee's comments, as design decisions are within Grantor's discretion. Grantee waives any claim with respect to the design of the drainage system, except claims based on problems with the proposed drainage system which Grantee brought to Grantor's attention through the comment process but which Grantor failed to correct. Section 15. Remedies for Breach 15.1 For so long as James P. Pierre (or his wife, children, family, descendants, including family trusts) is or holds a majority interest in (and guarantees performance of the obligations of Grantee under this Drainage Easement and Agreement) Grantee, then in the event Grantee breaches or fails to perform or observe any of the terms and conditions herein, and fails to cure such breach or default within ninety (90) days of Grantor's giving Grantee written notice thereof, or, if not reasonably capable of being cured within such ninety (90) days, within such other period of time as May be reasonable in the circumstances, Grantor's exclusive remedies (which are not mutually exclusive, but only exclusive of other legal or equitable remedies) are as follows: (1) an action.•for damages for breach of the covenant; and (2) an action to specifically enforce compliance with this Agreement. 15.2 In the event a successor to Grantee (other than a Grantee in which James P. Pierre or his wife, children, family, descendants, including family trusts, hold a majority interest in and guarantee performance of the obligations of such Grantee) materially breaches or fails to perform or observe any of the material terms and conditions herein, and fails to cure such breach or default within one hundred twenty (120) days of Grantor's giving Grantee written notice thereof, or, if not reasonably capable of being cured within such one hundred twenty (120) days, within such other period of time as may be reasonable in the circumstances, Grantor may terminate Grantee's rights under this Agreement in addition to and not in limitation of any other remedy of Grantor at law or in equity, and the failure of Grantor to exercise such right at any time shall not waive Grantor's right to terminate for any future breach or default. -9- 11/27/95 15:01 FAX 206 B 0908 TJOSSEM _ _ 4t019/0 • Section 16. Termination for Cessation of Use • In the event Grantee ceases to use the drainage system for a period of ten (10) successive years, this Agreement and all of Grantee's rights hereunder shall terminate and revert to Grantor; provided no termination shall result from Grantee's failure to initially exercise its rights for any period of time. Section 17. Release of Obligations on Termination No termination of this Agreement shall release Grantee from any liability or obligation with respect to any matter occurring prior to such termination. Section 18. Removal of Drainage System On Termination Upon any termination of this Agreement, Grantor may, after reasonable notice to Grantee, remove the underground line, disconnect the Benefited Property from the drainage system, and restore the ground at the expense of Grantee, and Grantor shall not be Iiable therefor. Grantee shall reimburse Grantor for the costs of such work within thirty (30) days of receipt of Grantor's invoice therefor. Section 19. Third-Party Rights Grantor reserves all rights with respect to the Property, including, without limitation, the right to grant easements, licenses and permits to others subject to the rights granted in this Agreement; provided, the Grantor will not convey or grant any rights which would impair the rights of Grantee herein. Section 20. Release and Indemnity 20.1 General Grantee does hereby release, indemnify and promise to defend and save harmless Grantor from and against any and all liability, loss, damage, expense, actions and claims, including costs and reasonable attorneys' fees incurred by Grantor in defense thereof, asserted or arising directly or indirectly on account of or out of acts or omissions of Grantee and Grantee's servants, agents, employees and contractors in the exercise of the rights granted herein; PROVIDED, HOWEVER, this paragraph does not purport to indemnify Grantor against liability for damages arising out of bodily injury to persons or damage to property caused by or resulting from the negligence of Grantor or Grantor's agents or employees. -10- - 11/27/95 15:02 FAX 20f ` S 0908 TJOSSEM 14020/02: • 1 20.2 Hazardous Waste and Contamination (a) Grantor may, at reasonable intervals, collect water samples from the catch basin which serves as the point of interconnection of the underground • pipe to the drainage system, which reasonable intervals shall not occur more frequently than once every six (6) months, unless Grantor has a reasonable basis to believe the water has been contaminated by the Grantee. The actual reasonable cost of analyzing the water samples shall be reimbursed to Grantor by Grantee as part of the maintenance and repair of the Property. Copies of the analysis results from said samples shall be promptly provided to Grantee. (b) Grantee agrees to indemnify and hold Grantor and each of its partners, officers, directors, lessees, employees; successors and assigns harmless from and against any and all costs, expenses, losses, harm and damages incurred in controlling contamination from the Benefited Property, and in investigating and remediating contamination on the Property or other property, including reasonable costs of investigation and reasonable attorneys' fees related thereto, that occurs as a result of any release of petroleum products and/or any other hazardous substance from the Benefited Property; provided, that in the event the Property of Grantor is contributing to the contamination, the Grantee shall only be responsible for its share of the costs, expenses and/or damage incurred. Section 21. Insurance During the course of any of Grantee's construction activities or other substantial activities on the Property and prior to commencement thereof, Grantee shall submit to Grantor certificates of insurance in a form approved by Grantor evidencing that Grantee or Grantee's contractors have comprehensive general liability coverage (including broad form contractual liability coverage) satisfactory to Grantor with limits no less than the following: • Bodily Injury Liability, including $2,000,000 automobile bodily injury liability each occurrence Property Damage Liability, including $2,000,000 • automobile property injury liability each occurrence Section 22. Successors The rights and obligations of the parties shall inure to the benefit of and be binding upon their respective successors and assigns. Section 25. Offsite Improvements 25.1 Grantee shall reimburse Grantor for its pro rata-share of the cost to construct improvements located off of the Property functioning as part of the drainage system to the west or south of the Property that exceed the costs that would have been incurred to construct the off- Property improvements in those locations shown on the Conceptual Plan. 25.2 In addition, Grantee shall, by boundary line adjustment and quit-claim deed, convey to Grantor a portion to be designated by Grantee (other than the Southerly 10 feet) of the east half of Maple Avenue SW between Southwest 13th Street and Interstate 405, if and when vacated by the City of Renton, equal to the pro rata share of the increased area of the bioswale; provided, that the maximum area to be conveyed to Grantor under this paragraph is the east one-half of vacated Maple Avenue (other than the Southerly 10 feet); provided, further, • -12- 11/27/95 15:04 FAX 206.
