WebLinkAboutContract‘1EI’1CAG-23-411INTERAGENCYAGREEMENTBETWEENTHEWashingtonTrafficSafetyCommissionANDRENTONPOLICEDEPARTMENTTHISAGREEMENTismadeandenteredintobyandbetweentheWashingtonTrafficSafetyCommission,hereinafterreferredtoas“WTSC,”andRENTONPOLICEDEPARTMENT,hereinafterreferredtoasSUB-RECIPIENT.”NOWTHEREFORE,inconsiderationoftheauthorityprovidedtoWTSCinRCW43.59andRCW39.34,terms,conditions,covenants,andperformancecontainedherein,orattachedandincorporatedandmadeaparthereof,thepartiesmutuallyagreeasfollows:1.PURPOSEOFTHEAGREEMENT:ThepurposeofthisAgreementistoprovidefunding,providedbytheUnitedStatesDepartmentofTransportation(USD01)NationalHighwayTrafficSafetyAdministration(NHTSA)andallowedundertheAssistanceListingsCatalogofFederalDomesticAssistance(CFDA)number20.600fortrafficsafetygrantproject2024-HVE-5118-Region7/8TargetZeroTaskForce,specificallytoprovidefundingforthelawenforcementagenciesinWTSCRegion718toconductstraighttimeorovertimeenforcementactivities(trafficsafetyemphasispatrols)asoutlinedintheStatementofWork(SOW),insupportofTargetZeropriorities.TheTargetZeroManager(TZM)and/ortheLawEnforcementLiaison(LEL)shallcoordinatetheSOWwiththeSUB-RECIPIENTwiththegoalofreducingtrafficcrashes.Grant2024-HVE-5118-Region7/8TargetZeroTaskForcewasawardedtotheWTSCRegiontosupportcollaborativeeffortstoconductHVEactivities.Bysigningthisagreement,theSUB-RECIPIENTcanseekreimbursementforstraighttimeorovertimeforapprovedlawenforcementactivityexpensesincurredasaparticipantintheregion’sHVEgrant.2.PERIODOFPERFORMANCETheperiodofperformanceofthisAgreementshallcommenceuponthedateofexecutionbybothparties,butnotearlierthanOctober1,2023,andremainineffectuntilSeptember30,2024unlessterminatedsooner,asprovidedherein.3.SCOPEOFWORK3.1.1ProblemIDand/orOpportunityThemaincausesofseriousinjuryandfatalitycollisionsonWashington’sroadwaysaredriverimpairmentthroughdrugand/oralcoholuse,speeding,occupantrestraintmis/nonuse,anddistraction.Fatalitieshaveincreasedalmost40percentsince2019.Despiteaveryhighseatbeltuserate(greaterthan90%formanyyearsinarow),thenumberofunrestrainedfatalitiespage1of16 andseriousinjurieshaveincreasedtothehighestnumbersincebefore2010.Since2019,unrestrainedfatalitieshaveincreasedover40percentMotorcyclistsalsorepresentahighnumberofinjuredandkilledbecauseofunsafeandpoorlytrainedridersandthechallengesvehicledriversfaceinobservingmotorcyclesontheroad.Washingtonhasseenadrasticdecreaseinproactiveenforcementoftrafficlaws.Thisdecreaseisduetoamyriadoffactors,includetheCOVID-19pandemic,politicalactionstoupdatelawsthatreduceanofficer’sabilitytostopdrivers,Thisprojectwillfundlocallycoordinatedenforcementmobilizationstoaddressimpaireddriving,distracteddriving,seatbeltsafety,speeding,andmotorcyclesafety.FundingandeventswillbeorganizedbylocalTargetZeroManagers(TZM5)&thestatewideLawEnforcementLiaisonnetworksandtheirlocalTargetZeroTaskForce.ThesepatrolswillalsobecoordinatedwiththeWashingtonStatePatrol(WSP).TargetZeroManagerswillestablishorstrengthenrelationshipswithkeyWSPdistrictpersonneltoimproveinteragencycoordination.3.1.2ProjectPurposeandStrategiesThisprojectwillfundHighVisibilityEnforcement(HVE)andTrafficSafetyEnforcementProgram(TSEP)patrolstopreventimpaireddriving,distracteddriving,seatbeltuse,speeding,andmotorcyclesafety.HighVisibilityEnforcement(HVE)andTrafficSafetyEnforcementProgram(TSEP)patrolsaredesignedtocreatedeterrencebyincreasingtheexpectationofacitation/fine/arrest.Officersmayalsoremovehighrisk(impaired)driverswhenencountered.Sotogether,thiscountermeasureworksbypreventingdangerousdrivingbehaviorsandstoppingthosewhostilldecidetoengageinthosebehaviors.FundingandeventswillbeorganizedbylocalTZMs,LELs,andtheirlocalTargetZeroTaskForce.Taskforceswilluselocaldataandprofessionaljudgementtodetermineenforcementprioritiesfortheirjurisdictionsandwillscheduleandplanenforcementandoutreachactivities.RegionalparticipationinthefollowingNationalCampaignsismandatory:•ImpaireddrivingenforcementduringtheHolidayDUIcampaign(December2023).•DistracteddrivingenforcementduringtheDistractedDrivingcampaign(April2024)•SeatbeltenforcementduringtheClickItorTicketcampaign(May2024).•ImpaireddrivingenforcementduringtheSummerDUIcampaign(August2024).ThesepatrolswillalsobecoordinatedwiththeWashingtonStatePatrol(WSP).TargetZeroManagerswillestablishorstrengthenrelationshipswithkeyWSPdistrictpersonneltoimproveinteragencycoordinationwiththeWSP.3.1.3RequirementsforNationalMobilizationsandTrafficSafetyEnforcementProgram(TSEP)1.HVEeventswillbedatainformed;basedoncrashdata,anecdotalevidence,andtheprofessionaljudgementoftaskforcemembers.WTSCstronglybelievesintheexpertiseoflocalofficerstounderstandthehighestpriorityareasintheircommunitiestofocustheirefforts.2.TheSUB-RECIPIENTwillensurethatallofficersparticipatinginthesepatrolsareBACcertifiedandhavereceivedandpassedtheSFSTrefreshertraining.3.SUB-RECIPIENTwillensureallofficersparticipatinginImpairedDrivingpatrolshavealsoreceivedAdvancedRoadsideImpairedDrivingEnforcement(ARIDE)training.4.SUB-RECIPIENTshallensureallparticipatingpersonnelwillusetheWEMSsystemprovidedbytheWTSCtorecordallactivitiesindigitalactivitylogsconductedbytheircommissionedofficerspursuanttotheHVEevents.Participatingofficerswillfilloutallapplicablefieldsofthedigitalactivitylogandusethecommentsfieldtoprovidedetailsonirregularities,challengesorotherdetailsthatwouldhelpexplainwhatwasencounteredduringtheirshift.SUBRECIPIENTwillalsoensureallsupervisorsandfiscalstaffhavetheabilitytoreviewandeditthoseactivitylogs.page2of16 5.Activityconductedoutsideofthequarterlytaskforceoperationalplanswillnotbereimbursed.3.1.4ProjectIntentandBestPractice1.SUE-RECIPIENTisencouragedtohelptheirRegionTaskForcefulfilltherequirementtoparticipateinthefourmandatoryNationalCampaigns.(HolidayDUIcampaigninDecember2023,DistractedDrivingcampaigninApril2024,ClickItorTicketcampaigninMay2024,andSummerDUIcampaigninAugust2024).NOTE:Agenciesmustparticipateinspeedorimpaireddrivingenforcementunderthisagreement,tobeeligibletoreceivefundingundertheWASPCequipmentgrant.2.SUB-RECIPIENTisstronglyencouragedtoparticipateintheirtaskforcetoplanandexecuteenforcementevents.3.RegionaltaskforcewillbesubmittingquarterlyoperationalplansandSUB-RECIPIENTisencouragedtoparticipatetothefullestextentpossible.QuarterlyoperationalplansaredueOctober15,December15,March15,andJune15.4.WTSCencouragesparticipatingofficerstoprioritizeviolationsthatdirectlycontributetotheinjuryanddeathofroadusers,suchasimpaireddriving,speeding,distracteddriving,non-restraint,etc.5.SUB-RECIPIENTshouldpromotepatroleventsthroughallearned,ownedand,iffunded,paidmediathatisavailablesothatthepublicismadeawareoftheeventbefore,during,andaftertheenforcementtakesplace.ItisbestpracticetotranslatemessagesasneededandinvitelocalmediainvolvementintheefforttoreachcommunitiesinwhichHVEwilloccur.6.SUB-RECIPIENTshouldstrivetoactivelyenforcetrafficsafetylawsfocusedoncollisioncausingbehaviorsinpriorityareasthroughouttheyearoutsideofHVEevents.7.WhenparticipatinginmotorcyclepatrolsSUB-RECIPIENTshouldfocusontheillegalandunsafedrivingactionsofallmotorvehiclesinteractingwithmotorcycles.Thisincludesspeeding,failuretoyieldtoamotorcycle,followingtoocloselytoamotorcycle,distracteddriving,etc.8.WhenparticipatinginmotorcyclepatrolsSUB-RECIPIENTshouldensurethatenforcementwillfocusontheillegalandunsafedrivingactionsofmotorcyclesthatareknowntocauseseriousandfatalcrashes.Thisincludesimpaireddriving,speeding,andfollowingtooclosely.9.PerformancewillbemonitoredbytheregionalTZM,LEL,andTaskForce,aswellasWTSC.WTSCreservestherighttodesignatespecificofficersasineligibleforcostreimbursement.Thiswilloccurifanofficerisdeterminedtonothavenotmetthepurpose/intentofthisgrantinmultipleemphasispatrols.10.Fundscanbeusedtosupportthementoringofofficersintrafficenforcement.Thiscanbefocusedonimpaireddriving,orgeneraltrafficenforcement.ForDUImentorship,WTSChasfoundittobebestpracticetoincludeamixofinstructionandpracticalexperience.ThementorshouldbeaDREwhenpossible,orahighlyeffectiveDUIemphasispatrolofficerwithaminimumofARIDEtraining.Mentor/menteeactivitieswillbepre-approvedbytheTZMorLELafterthementeesubmitstheirinterest.11.Communityoutreach/collaboration:Fundscanbeusedtopayfortrafficsafetyfocusedcommunityoutreachandcollaborationactivities.TheoperationalapproachforregionalcommunityoutreachandcollaborationactivitiesshouldbedevelopedattheTaskForcelevelandbeapprovedbytheWTSC.WTSCrecommendsthattheseactivitiesincludeanopportunityfortheaudiencetoprovidefeedbackonlocaltrafficsafetyprioritiesandactivities,whichideallywillinfluencetheregion’splanfortrafficsafetyprogramming.page3of16 Inordertoreceivefundingfromthisgrant,agenciesmustparticipatewiththeregionaltrafficsafetytaskforce/coalitionintheplanningeffortsfortheseactivities.WTSCalsoencouragesalllawenforcementagenciesinWashingtontoutilizeWTSC’sdataanalysisresources,suchasinteractivedashboardsanddatafromastatewideattitudinalsurvey,aswelltheirregionalTargetZeroManagertoidentifyprioritiesforengagingwiththecommunity.WTSCwillprovidetoolsfordocumentingcommunitycollaborationactivities,suchastheWEMSactivitylog.3.1.5NATIONALANDSTATE-WIDEMOBILIZATIONSNotallagenciesarerequiredtoparticipateinallofthese,howevertheregionhascommittedtoparticipateasaregioninallofthese.DatesaretentativeandmaychangewhenNHTSApublishestheirFFY2024mobilizationcalendar.MobilizationDatesHolidayDUIDecember13,2023—January1,2024UDrive.UText.UPay.April1—14,2024ClickItorTicketMay13—June2,2024It’saFineLine(optionaliffunded)July5—21,2024DUIDriveSoberorGetPulledOverAugust12—September4,20243.2PROJECTGOALSPreventtrafficcrashestoreducetrafficrelateddeathsandseriousinjuriesthroughactive,visible,consistent,andtargetedtrafficlawenforcement,lawenforcementtraining,andcommunityoutreach.Lawenforcementcanhaveaprofoundeffectontrafficsafetyandthisprojectaimstoincreaseparticipationtoaccomplishthat.3.3COMPENSATION3.3.1TheCompensationforthestraighttimeorovertimeworkprovidedinaccordancewiththisAgreementhasbeenestablishedunderthetermsofRCW39.34.ThecostofaccomplishingtheworkdescribedintheSOWwillnotexceeddollartotalfromamountslistedbelow.PaymentforsatisfactoryperformanceshallnotexceedthisamountunlesstheWTSCandSUB-RECIPIENTmutuallyagreetoahigheramountinawrittenAmendmenttothisAgreementexecutedbyboththeWTSCandSUB-RECIPIENT.Comp-timeisnotconsideredovertimeandwillnotbeapprovedforpayment.AlllawenforcementagencieswhoareactivemembersoftheRegion’strafficsafetytaskforcewithafullyexecutedgrantagreementareeligibletoparticipateinthisgrant.3.3.2WTSCwillreimburseforpersonnelstraighttimeorovertimeexpensesat150percentoftheofficer’snormalsalaryrateplusSUB-RECIPIENT’scontributionstoemployeebenefits,limitedtothefollowing:•FICA•Medicare•AnyportionofL&Ithatispaidbytheemployer(SUB-RECIPIENT)•Retirementcontributionspaidbytheemployer(SUB-RECIPIENT)canbeincludedifthecontributionisbasedonapercentageoftheirhoursworked.Healthinsurance,oranyotherbenefitsnotlistedabove,arenoteligibleforreimbursement.TheSUB-RECIPIENTwillprovidelawenforcementofficerswithappropriateequipment(e.g.,vehicles,radars,portablebreathtesters,etc.)toparticipateintheemphasispatrols.3.3.3Fundingalterationsarepermittedasfollows:UponagreementbytheregionalTZMandallotherpartiesimpactedbyaproposedbudgetalteration,thebudgetcategoryamountsmaybeincreasedordecreasedwithoutamendingthispage4of16 agreement,solongasthetotalgrantawardamountdoesnotincrease.HVEgrantfundsshouldbemanagedcollaborativelybytheSUB-RECIPIENTandtheTZM.ThesealterationsmustberequestedthroughemailcommunicationbetweentheregionalTZMandassignedWTSCProgramManager.Thiscommunicationshallincludedetailsoftherequestedbudgetmodificationsandadescriptionofwhythesechangesareneeded.TheTZMwillalsosendanupdatedquarterlyOperationsPlantotheWASPCrepresentativemonitoringtheprojectifthebudgetmodificationwillresultinchangestothepreviouslysubmittedplan.3.3.4Thesefunds,designatedforsalariesandbenefits,areintendedtopayforthehourlystraighttimeorovertimecostsandproportionalamountsoffringebenefitsofcommissionedstaffpursuingtheactivitiesdescribedinthestatementofwork.Thesefundsmaynotbeusedforanyotherpurposeforexampleanyworkrequiredtomaintainalawenforcementcommissionincludingrecertificationtrainingslikefirearmqualification.Thisagreementisexpresslydesignatedtofundsalariesandbenefits.Bysigningthisagreement,SUB-RECIPIENTagreestosupplyallnecessaryequipmentandvehiclesneededtoaccomplishtheworkinthescopeofwork.WTSCisnotresponsibleforanyequipmentthatislost,stolen,ordestroyedintheexecutionofthescopeofwork.3.3.5Dispatch:WTSCwillreimbursecommunicationsofficers/dispatchpersonnelforworkonthisprojectprovidingSUB-RECIPIENThasreceivedpriorapprovalfromtheirregion’sTZM.Thisactivitymustbeovertimeandonlytheexpenseslistedinsection3.2anditssubsectionswillbereimbursed.3.3.6TransportOfficers:WTSCwillreimbursetransportofficersfortheirworkonthisprojectprovidingSUB-RECIPIENThasreceivedapprovalfromtheirregionsTZM.TheTZMwillworkwiththeregionalLELtodetermineifneediswarrantedforthetypeofHVEactivity.Thisactivitymustbeovertimeandonlytheexpenseslistedinsection3.2anditssubsectionswillbereimbursed.3.3.7Thelawenforcementagencyinvolvedwillnotscheduleindividualofficerovertimeshiftsforlongerthaneighthours.WTSCunderstandstheremaybeinstanceswhenmorethaneighthoursarebilledduetoDUIprocessingorotherreasonsandanexplanationshouldbeprovidedontheWEMSOfficerActivityLog.3.3.8Thelawenforcementagencyinvolvedwillensurethatanyreserveofficerforwhomreimbursementisclaimedhasexceededhis/hernormalweeklyworkinghourswhenparticipatinginanemphasispatrolandisauthorizedtobepaidattheamountrequested.Reserveofficersmayonlybepaidatthenormalhourlyrateandnotatthe150percentovertimerate.3.4PROJECTCOSTSTheWTSChasawarded$306,0000totheWTSCRegion7/8TrafficSafetyTaskForceforthepurposeofconductingcoordinatedHVEenforcementandcommunityoutreach/collaborationactivities.Thefundingmustbeusedfortrafficsafetypurposesintheareasofimpaireddriving,distracteddriving,occupantrestraintuse,speeding,andmotorcyclesafety.SeetheprojectinWEMSforanupdateddistributionoffundingbyspecificemphasisarea.Bysigningthisagreement,theSUB-RECIPIENTcanseekreimbursementforapprovedstraighttimeorovertimeexpensesincurredasaparticipantinthisgrant.Fundsareexpresslydesignatedforstaffingactivitiesandmaynotbeusedforotherexpensesthatmaybeincurred,suchasvehicledamage,supplyreplacement,etc.Allactivitymustbecoordinatedbytheregion’strafficsafetytaskforceandTZMtobeeligibleforreimbursement.APPLICABLESTATEANDFEDERALTERMSANDCONDITIONS:4.ACTIVITYREPORTSpage5of16 TheSUB-RECIPIENTagreestohaveallpersonnelwhoworkHVEpatrolssubmitaWEMSOfficerActivityLogwithin24hoursoftheendofallshiftsworked.Thesesamelogswillbeassociatedwithinvoicesasdetailedinthe“BILLINGPROCEDURE”section.UseoftheOfficerActivityLogintheWTSC’sonlinegrantmanagementsystem,WEMS,isrequired.SupervisorreviewandaccuracycertificationwillalsobedoneinWEMS.5.ADVANCEPAYMENTSPROHIBITEDNopaymentsinadvanceoforinanticipationofgoodsorservicestobeprovidedunderthisAgreementshallbemadebytheWTSC.V6.AGREEMENTALTERATIONSANDAMENDMENTSThisAgreementmaybeamendedbymutualagreementofthePartiesintheformofawrittenrequesttoamendthisAgreement.SuchamendmentsshallonlybebindingiftheyareinwritingandsignedbypersonnelauthorizedtobindeachoftheParties.Changestothebudget,SUB-RECIPIENT’SPrimaryContact,andWTSCProgramManagercanbemadethroughemailcommunicationandsignaturesarenotrequired.7.ALLWRITINGSCONTAINEDHEREINThisAgreementcontainsallthetermsandconditionsagreeduponbytheparties.Nootherunderstandings,oralorotherwise,regardingthesubjectmatterofthisAgreementshallbedeemedtoexistortobindanyofthepartieshereto.8.ASSIGNMENTTheSUB-RECIPIENTmaynotassigntheworktobeprovidedunderthisAgreement,inwholeorinpart,withouttheexpresspriorwrittenconsentoftheWTSC,whichconsentshallnotbeunreasonablywithheld.TheSUB-RECIPIENTshallprovidetheWTSCacopyofallthird-partycontractsandagreementsenteredintoforpurposesoffulfillingtheSOW.Suchthird-partycontractsandagreementsmustfollowapplicablefederal,state,andlocallaw,includingbutnotlimitedtoprocurementlaw,rules,andprocedures.IfanyofthefundsprovidedunderthisAgreementincludefundsfromNHTSA,suchthird-partycontractsandagreementsmustincludethefederalprovisionssetforthinthisAgreementinsections32through40.9.ATTORNEYS’FEESIntheeventoflitigationorotheractionbroughttoenforcetheAgreementterms,eachpartyagreestobearitsownattorneyfeesandcosts.10.BILLINGPROCEDUREAllinvoicesforreimbursementofHVEactivitieswillbedoneusingtheWTSC’sgrantmanagementsystem,WEMS.WEMSOfficerActivitylogswillbeattachedtoinvoices,directlylinkingthecostoftheactivitytotheinvoice.Becausetheactivity,approval,andinvoicingarealldonewithinWEMS,nobackupdocumentationisrequiredinmostcases.OncesubmittedbytheSUB-RECIPIENT,invoicesareroutedtotheregionalTZMforreviewandapproval.TheTZMwillsubmitallapprovedinvoicestotheWTSCviaWEMSwithin10daysofreceipt.PaymenttotheSUB-RECIPIENTforapprovedandcompletedworkwillbemadebywarrantoraccounttransferbyWTSCwithin30daysofreceiptofsuchproperlydocumentedinvoicesacceptabletoWTSC.UponexpirationoftheAgreement,anyclaimforpaymentnotalreadymadeshallbesubmittedwithin45daysaftertheexpirationdateofthisAgreement.AllinvoicesforgoodsreceivedorservicesperformedonorpriortoJune30,2024,mustbereceivedbyWTSCnolaterthanAugust10,2024.AllinvoicesforgoodsreceivedorservicesperformedbetweenJuly1,2024andSeptember30,2024,mustbereceivedbyWTSCnolaterthanNovember15,2024.11.CONFIDENTIALITYISAFEGUARDINGOFINFORMATIONpage6of16 TheSUB-RECIPIENTshallnotuseordiscloseanyinformationconcerningtheWTSC,orinformationwhichmaybeclassifiedasconfidential,foranypurposenotdirectlyconnectedwiththeadministrationofthisAgreement,exceptwithpriorwrittenconsentoftheWTSC,orasmayberequiredbylaw.12.COSTPRINCIPLESCostsincurredunderthisAgreementshalladheretoprovisionsof2CFRPart200SubpartE.13.COVENANTAGAINSTCONTINGENTFEESTheSUB-RECIPIENTwarrantsthatithasnotpaid,andagreesnottopay,anybonus,commission,brokerage,orcontingentfeetosolicitorsecurethisAgreementortoobtainapprovalofanyapplicationforfederalfinancialassistanceforthisAgreement.TheWTSCshallhavetheright,intheeventofbreachofthissectionbytheSUB-RECIPIENT,toannulthisAgreementwithoutliability.14.DISPUTES14.1.DisputesarisingintheperformanceofthisAgreement,whicharenotresolvedbyagreementoftheparties,shallbedecidedinwritingbytheWTSCDeputyDirectorordesignee.Thisdecisionshallbefinalandconclusive,unlesswithin10daysfromthedateoftheSUB-RECIPIENT’sreceiptofWTSC’swrittendecision,theSUB-RECIPIENTfurnishesawrittenappealtotheWTSCDirector.TheSUB-RECIPIENTsappealshallbedecidedinwritingbytheDirectorordesigneewithin30daysofreceiptoftheappealbytheDirector.ThedecisionshallbebindingupontheSUB-RECIPIENTandtheSUB-RECIPIENTshallabidebythedecision.14.2.PerformanceDuringDispute.UnlessotherwisedirectedbyWTSC,theSUB-RECIPIENTshallcontinueperformanceunderthisAgreementwhilemattersindisputearebeingresolved.14.3IntheeventthateitherPartydeemsitnecessarytoinstitutelegalactionorproceedingstoenforceanyrightorobligationunderthisAgreement,thePartiesheretoagreethatanysuchactionorproceedingsshallbebroughtinthesuperiorcourtsituatedinThurstonCounty,Washington.15.GOVERNANCE15.1.ThisAgreementisenteredintopursuanttoandundertheauthoritygrantedbythelawsofthestateofWashingtonandanyapplicablefederallaws.TheprovisionsofthisAgreementshallbeconstruedtoconformtothoselaws.15.2.IntheeventofaninconsistencyinthetermsofthisAgreement,orbetweenitstermsandanyapplicablestatuteorrule,theinconsistencyshallberesolvedbygivingprecedenceinthefollowingorder:15.2.1.Applicablefederalandstatestatutesandrules15.2.2.TermsandConditionsofthisAgreement15.2.3.AnyAmendmentexecutedunderthisAgreement152.4.AnySOWexecutedunderthisAgreement15.2.5.AnyotherprovisionsoftheAgreement,includingmaterialsincorporatedbyreference16.INCOMEAnyincomeearnedbytheSUB-RECIPIENTfromtheconductoftheSOW(e.g.,saleofpublications,registrationfees,orservicecharges)mustbeaccountedfor,reportedtoWTSC,andthatincomemustbeappliedtoprojectpurposesorusedtoreduceprojectcosts.17.INDEMNIFICATIONpage7of16 17.1.lathefullestextentpermittedbylaw,theSUB-RECIPIENTshallindemnifyandholdharmlesstheWTSC,itsofficers,employees,andagents,andprocessanddefendatitsownexpenseanyandallclaims,demands,suitsatlaworequity,actions,penalties,losses,damages,orcostsofwhatsoeverkind(“claims”)broughtagainstWTSCarisingoutoforinconnectionwiththisAgreementand/ortheSUB-RECIPIENT’sperformanceorfailuretoperformanyaspectoftheAgreement.ThisindemnityprovisionappliestoallclaimsagainstWTSC,itsofficers,employees,andagentsarisingoutof,inconnectionwith,orincidenttotheactsoromissionsoftheSUB-RECIPIENT,itsofficers,employees,agents,contractors,andsubcontractors.Provided,however,thatnothinghereinshallrequiretheSUB-RECIPIENTtoindemnifyandholdharmlessordefendtheWTSC,itsagents,employees,orofficerstotheextentthatclaimsarecausedbythenegligentaOtsoromissionsoftheWTSC,itsofficers,employeesoragents;andprovidedfurtherthatifsuchclaimsresultfromtheconcurrentnegligenceof(a)theSUB-RECIPIENT,itsofficers,employees,agents,contractors,orsubcontractors,and(b)theWTSC,itsofficers,employees,oragents,orinvolvesthoseactionscoveredbyRCW4.24.115,theindemnityprovisionsprovidedhereinshallbevalidandenforceableonlytotheextentofthenegligenceoftheSUB-RECIPIENT,itsofficers,employees,agents,contractors,orsubcontractors.17.2.TheSUB-RECIPIENTagreesthatitsobligationsunderthisSectionextendtoanyclaim,demandand/orcauseofactionbroughtby,oronbehalfof,anyofitsemployeesoragentsintheperformanceofthisagreement.Forthispurpose,theSUB-RECIPIENT,bymutualnegotiation,herebywaiveswithrespecttoWTSConly,anyimmunitythatwouldotherwisebeavailabletoitagainstsuchclaimsundertheIndustrialInsuranceprovisionschapter51.12RCW.17.3.TheindemnificationandholdharmlessprovisionshallsurviveterminationofthisAgreement.18.INDEPENDENTCAPACITYTheemployeesoragentsofeachpartywhoareengagedintheperformanceofthisAgreementshallcontinuetobeemployeesoragentsofthatpartyandshallnotbeconsideredforanypurposetobeemployeesoragentsoftheotherparty.19.INSURANCECOVERAGE19.1.TheSUB-RECIPIENTshallcomplywiththeprovisionsofTitle51RCW,IndustrialInsurance,ifrequiredbylaw.19.2.IftheSUB-RECIPIENTisnotrequiredtomaintaininsuranceinaccordancewithTitle51RCW,priortothestartofanyperformanceofworkunderthisAgreement,theSUB-RECIPIENTshallprovideWTSCwithproofofinsurancecoverage(e.g.,vehicleliabilityinsurance,privatepropertyliabilityinsurance,orcommercialpropertyliabilityinsurance),asdeterminedappropriatebyWTSC,whichprotectstheSUB-RECIPIENTandWTSCfromrisksassociatedwithexecutingtheSOWassociatedwiththisAgreement.20.LICENSING,ACCREDITATION,ANDREGISTRATIONTheSUB-RECIPIENTshallcomplywithallapplicablelocal,state,andfederallicensing,accreditation,andregistrationrequirementsandstandardsnecessaryfortheperformanceofthisAgreement.TheSUB-RECIPIENTshallcompleteregistrationwiththeWashingtonStateDepartmentofRevenue,ifrequired,andberesponsibleforpaymentofalltaxesdueonpaymentsmadeunderthisAgreement.21.RECORDSMAINTENANCE21.1.DuringthetermofthisAgreementandforsixyearsthereafter,theSUB-RECIPIENTshallmaintainbooks,records,documents,andotherevidencethatsufficientlyandproperlyreflectalldirectandindirectcostsexpendedintheperformanceoftheservicesdescribedherein.Theserecordsshallbesubjecttoinspection,review,orauditbyauthorizedpersonneloftheWTSC,theOfficeoftheStateAuditor,andfederalofficialssoauthorizedbylaw.Allbooks,records,documents,andothermaterialrelevanttothisAgreementwillberetainedforsixyearsafterexpiration.TheOfficeoftheStateAuditor,federalpage8of16 auditors,theWTSC,andanydulyauthorizedrepresentativesshallhavefullaccessandtherighttoexamineanyofthesematerialsduringthisperiod.21.2.Recordsandotherdocuments,inanymedium,furnishedbyonepartytothisAgreementtotheotherparty,willremainthepropertyofthefurnishingparty,unlessotherwiseagreed.Thereceivingpartywillnotdiscloseormakeavailablethismaterialtoanythirdpartieswithoutfirstgivingnoticetothefurnishingpartyandgivingthemareasonableopportunitytorespond.Eachpartywillutilizereasonablesecurityproceduresandprotectionstoassurethatrecordsanddocumentsprovidedbytheotherpartyarenoterroneouslydisclosedtothirdparties.22.RIGHTOFINSPECTIONTheSUB-RECIPIENTshallproviderightofaccesstoitsfacilitiestotheWTSCoranyofitsofficers,ortoanyotherauthorizedagentorofficialofthestateofWashingtonorthefederalgovernment,atallreasonabletimes,inordertomonitorandevaluateperformance,compliance,and/orqualityassuranceunderthisAgreement.TheSUB-RECIPIENTshallmakeavailableinformationnecessaryforWTSCtocomplywiththerighttoaccess,amend,andreceiveanaccountingofdisclosuresoftheirPersonalInformationaccordingtotheHealthInsurancePortabilityandAccountabilityActof1996(HIPAA)oranyregulationsenactedorrevisedpursuanttotheHIPAAprovisionsandapplicableprovisionsofWashingtonStatelaw.TheSUB-RECIPIENTshalluponrequestmakeavailabletotheWTSCandtheUnitedStatesSecretaryoftheDepartmentofHealthandHumanServicesallinternalpoliciesandprocedures,books,andrecordsrelatingtothesafeguarding,use,anddisclosureofPersonalInformationobtainedorusedasaresultofthisAgreement.23.RIGHTSINDATA23.1WTSCandSUB-RECIPIENTagreethatalldataandworkproducts(collectivelycalledWorkProduct”)pursuanttothisAgreementshallbeconsideredworksmadeforhireundertheU.S.CopyrightAct,17USC§101etseq.,andshallbeownedbythestateofWashington.WorkProductincludes,butisnotlimitedto,reports,documents,pamphlets,advertisement,books,magazines,surveys,studies,computerprograms,films,tapes,soundreproductions,designs,plans,diagrams,drawings,software,and/ordatabasestotheextentprovidedbylaw.Ownershipincludestherighttocopyright,registerthecopyright,distribute,preparederivativeworks,publiclyperform,publiclydisplay,andtheabilitytootherwiseuseandtransfertheserights.23.2.IfforanyreasontheWorkProductwouldnotbeconsideredaworkmadeforhireunderapplicablelaw,theSUB-RECIPIENTassignsandtransferstoWTSCtheentireright,title,andinterestinandtoallrightsintheWorkProductandanyregistrationsandcopyrightapplicationsrelatingtheretoandanyrenewalsandextensionsthereof.23.3.TheSUB-RECIPIENTmaypublish,atitsownexpense,theresultsofprojectactivitieswithoutpriorreviewbytheWTSC,providedthatanypublications(written,visual,orsound)containacknowledgmentofthesupportprovidedbyNHTSAandtheWTSC.AnydiscoveryorinventionderivedfromworkperformedunderthisprojectshallbereferredtotheWTSC,whowilldeterminethroughNHTSAwhetherpatentprotectionswillbesought,howanyrightswillbeadministered,andotheractionsrequiredtoprotectthepublicinterest.24.SAVINGSIntheeventfundingfromstate,federal,orothersourcesiswithdrawn,reduced,orlimitedinanywayaftertheeffectivedateofthisAgreementandpriortocompletionoftheSOWunderthisAgreement,theWTSCmayterminatetheAgreementunderthe“TERMINATIONFORCONVENIENCE”clause,withoutthe30-daynoticerequirement.TheAgreementissubjecttorenegotiationattheWTSC’sdiscretionunderanynewfundinglimitationsorconditions.25.SEVERABILITYpage9of16 IfanyprovisionofthisAgreementoranyprovisionofanydocumentincorporatedbyreferenceshallbeheldinvalid,suchinvalidityshallnotaffecttheotherprovisionsofthisAgreementwhichcanbegiveneffectwithouttheinvalidprovision,ifsuchremainderconformstotherequirementsofapplicablelawandthefundamentalpurposeofthisAgreement,andtothisendtheprovisionsofthisAgreementaredeclaredtobeseverable.26.SITESECURITYWhileonWTSCpremises,theSUB-RECIPIENT,itsagents,employees,orsub-contractorsshallconforminallrespectswithallWTSCphysical,fire,orothersecuritypoliciesandapplicableregulations.27.TAXESAllpaymentsofpayrolltaxes,unemploymentcontributions,anyothertaxes,insurance,orothersuchexpensesfortheSUB-RECIPIENToritsstaffshallbethesoleresponsibilityoftheSUB-RECIPIENT.28.TERMINATIONFORCAUSEIftheSUB-RECIPIENTdoesnotfulfillinatimelyandpropermanneritsobligationsunderthisAgreementorviolatesanyofthesetermsandconditions,theWTSCwillgivetheSUB-RECIPIENTwrittennoticeofsuchfailureorviolation,andmayterminatethisAgreementimmediately.AttheWTSC’sdiscretion,theSUB-RECIPIENTmaybegiven15daystocorrecttheviolationorfailure.IntheeventthattheSUB-RECIPIENTisgiventheopportunitytocorrecttheviolationandtheviolationisnotcorrectedwithinthe15-dayperiod,thisAgreementmaybeterminatedattheendofthatperiodbywrittennoticeoftheWTSC.29.TERMINATIONFORCONVENIENCEExceptasotherwiseprovidedinthisAgreement,eitherpartymayterminatethisAgreement,withoutcauseorreason,with30dayswrittennoticetotheotherparty.IfthisAgreementissoterminated,theWTSCshallbeliableonlyforpaymentrequiredunderthetermsofthisAgreementforservicesrenderedorgoodsdeliveredpriortotheeffectivedateoftermination.30.TREATMENTOFASSETS30.1.TitletoallpropertyfurnishedbytheWTSCshallremainpropertyoftheWTSC.TitletoallpropertyfurnishedbytheSUB-RECIPIENTforthecostofwhichtheSUB-RECIPIENTisentitledtobereimbursedasadirectitemofcostunderthisAgreementshallpasstoandvestintheWTSCupondeliveryofsuchpropertybytheSUB-RECIPIENT.Titletootherproperty,thecostofwhichisreimbursabletotheSUB-RECIPIENTunderthisAgreement,shallpasstoandvestintheWTSCupon(I)issuanceforuseofsuchpropertyintheperformanceofthisAgreement,or(ii)commencementofuseofsuchpropertyintheperformanceofthisAgreement,or(iii)reimbursementofthecostthereofbytheWTSCinwholeorinpart,whicheverfirstoccurs.30.2.AnypropertyoftheWTSCfurnishedtotheSUB-RECIPIENTshall,unlessotherwiseprovidedhereinorapprovedbytheWTSC,beusedonlyfortheperformanceofthisAgreement.30.3.TheSUB-RECIPIENTshallberesponsibleforanylossordamagetopropertyoftheWTSCwhichresultsfromthenegligenceoftheSUB-RECIPIENTorwhichresultsfromthefailureonthepartoftheSUB-RECIPIENTtomaintainandadministerthatpropertyinaccordancewithsoundmanagementpractices.30.4.IfanyWTSCpropertyislost,destroyed,ordamaged,theSUB-RECIPIENTshallimmediatelynotifytheWTSCandshalltakeallreasonablestepstoprotectthepropertyfromfurtherdamage.page10of16 30.5.TheSUB-RECIPIENTshallsurrendertotheWTSCallpropertyoftheWTSCuponcompletion,termination,orcancellationofthisAgreement.30.6.AllreferencetotheSUB-RECIPIENTunderthisclauseshallalsoincludeSUB-RECIPIENT’semployees,agents,orsub-contractors.31.WAIVERAfailurebyeitherpartytoexerciseitsrightsunderthisAgreementshallnotprecludethatpartyfromsubsequentexerciseofsuchrightsandshallnotconstituteawaiverofanyotherrightsunderthisAgreement.APPLICABLECERTIFICATIONSANDASSURANCESFORHIGHWAYSAFETYGRANTS(23CFRPART1300APPENDIXA):32.BUYAMERICAACTTheSUB-RECIPIENTwillcomplywiththeBuyAmericarequirement(23U.S.C.313)whenpurchasingitemsusingfederalfunds.BuyAmericarequirestheSUB-RECIPIENTtopurchaseonlysteel,iron,andmanufacturedproductsproducedintheUnitedStates,unlesstheSecretaryofTransportationdeterminesthatsuchdomesticallyproduceditemswouldbeinconsistentwiththepublicinterest,thatsuchmaterialsarenotreasonablyavailableandofasatisfactoryquality,orthatinclusionofdomesticmaterialswillincreasethecostoftheoverallprojectcontractbymorethan25percent.Inordertousefederalfundstopurchaseforeignproduceditems,theWTSCmustsubmitawaiverrequestthatprovidesanadequatebasisandjustification,andwhichisapprovedbytheSecretaryofTransportation.33.DEBARMENTANDSUSPENSIONInstructionsforLowerTierCertification33.1.BysigningthisAgreement,theSUB-RECIPIENT(hereinafterinthissectionreferredtoasthe“lowertierparticipant”)isprovidingthecertificationsetoutbelowandagreestocomplywiththerequirementsof2CFRpart180and23CFRpart1200.33.2.Thecertificationinthissectionisamaterialrepresentationoffactuponwhichreliancewasplacedwhenthistransactionwasenteredinto.Ifitislaterdeterminedthatthelowertierparticipantknowinglyrenderedanerroneouscertification,inadditiontootherremediesavailabletothefederalgovernment,thedepartmentoragencywithwhichthistransactionoriginatedmaypursueavailableremedies,includingsuspensionand/ordebarment.33.3.ThelowertierparticipantshallprovideimmediatewrittennoticetotheWTSCifatanytimethelowertierparticipantlearnsthatitscertificationwaserroneouswhensubmittedorhasbecomeerroneousbyreasonofchangedcircumstances.33.4.Thetermscoveredtransaction,civiljudgement,debarment,suspension,ineligible,participant,person,principal,andvoluntarilyexcluded,asusedinthisclause,aredefinedin2CFRparts180and1200.33.5.ThelowertierparticipantagreesbysigningthisAgreementthatitshallnotknowinglyenterintoanylowertiercoveredtransactionwithapersonwhoisproposedfordebarmentunder48CFRpart9,subpart9.4,debarred,suspended,declaredineligible,orvoluntarilyexcludedfromparticipationinthiscoveredtransaction,unlessauthorizedbyWTSC.33.6.ThelowertierparticipantfurtheragreesbysigningthisAgreementthatitwillincludetheclausetitled“InstructionsforLowerTierCertification”includingtheCertificationRegardingDebarment,Suspension,IneligibilityandVoluntaryExclusion-LowerTierCoveredTransaction,”withoutmodification,inalllowertiercoveredtransactionsandinallsolicitationsforpage11of16 lowertiercovetedtransactions,andwillrequirelowertierparticipantstocomplywith2CFRpart180and23CFRpart1200.33.7.Aparticipantinacovetedtransactionmayrelyuponacertificationofaprospectiveparticipantinalowertiercoveredtransactionthatitisnotproposedfordebarmentunder48CFRpart9,subpart9.4,debarred,suspended,ineligible,orvoluntarilyexcludedfromthecoveredtransaction,unlessitknowsthatthecertificationiserroneous.Aparticipantisresponsibleforensuringthatitsprincipalsarenotsuspended,debarred,orotherwiseineligibletoparticipateincoveredtransactions.Toverifytheeligibilityofitsprincipals,aswellastheeligibilityofanyprospectivelowertierparticipants,eachparticipantmay,butisnotrequiredto,checktheSystemforAwardManagementExclusionswebsite(https://www.sam.gov/).33.8.Nothingcontainedintheforegoingshallbeconstruedtorequireestablishmentofasystemofrecordsinordertorenderingoodfaiththecertificationrequiredbythisclause.Theknowledgeandinformationofaparticipantisnotrequiredtoexceedthatwhichisnormallypossessedbyaprudentpersonintheordinarycourseofbusinessdealings.33.9.Exceptfortransactionsauthorizedunderparagraph33.5.oftheseinstructions,ifaparticipantinacoveredtransactionknowinglyentersintoalowertiercoveredtransactionwithapersonwhoisproposedfordebarmentunder48CFRpart9,subpart9.4,suspended,debarred,ineligible,orvoluntarilyexcludedfromparticipationinthistransaction,inadditiontootherremediesavailabletotheFederalgovernment,thedepartmentoragencywithwhichthistransactionoriginatedmaypursueavailableremedies,includingsuspensionordebarment.CertificationRegardingDebarment,Suspension,IneligibilityandVoluntaryExclusion-LowerTierCoveredTransactions33.10.Thelowertierparticipantcertifies,bysigningthisAgreement,thatneitheritnoritsprincipalsarepresentlydebarred,suspended,proposedfordebarment,declaredineligible,orvoluntarilyexcludedfromparticipationinthistransactionbyanyfederaldepartmentoragency.33.11.Wherethelowertierparticipantisunabletocertifytoanyofthestatementsinthiscertification,suchparticipantshallattachanexplanationtothisAgreement.34.THEDRUG-FREEWORKPLACEACTOF1988(41U.S.C.8103)34.1.TheSUB-RECIPIENTshall:34.1.1.Publishastatementnotifyingemployeesthattheunlawfulmanufacture,distribution,dispensing,possession,oruseofacontrolledsubstanceisprohibitedintheSUB-RECIPIENT’sworkplace,andshallspecifytheactionsthatwillbetakenagainstemployeesforviolationofsuchprohibition.34.1.2.Establishadrug-freeawarenessprogramtoinformemployeesaboutthedangersofdrugabuseintheworkplace;theSUB-RECIPIENT’spolicyofmaintainingadrug-freeworkplace;anyavailabledrugcounseling,rehabilitation,andemployeeassistanceprograms;andthepenaltiesthatmaybeimposeduponemployeesfordrugviolationsoccurringintheworkplace.34.1.3.Makeitarequirementthateachemployeeengagedintheperformanceofthegrantbegivenacopyofthestatementrequiredbyparagraph34.1.1.ofthissection.34.1.4.Notifytheemployeeinthestatementrequiredbyparagraph34.1.1.ofthissectionthat,asaconditionofemploymentunderthegrant,theemployeewillabidebythetermsofthestatement,notifytheemployerofanycriminaldrugstatuteconvictionforaviolationoccurringintheworkplacenolaterthanfivedaysaftersuchconviction,andnotifytheWTSCwithin10daysafterreceivingnoticefromanemployeeorotherwisereceivingactualnoticeofsuchconviction.page12of16
