SUBJECT: "On Hold" Notice
Max Drive Short Plat, LUAlG-000467, SHPL-A, MOD
Dear Mr. Peterson:
The Planning Division of the City of Renton accepted the above master application for
review on June 24, 2016. During our review, staff has determined that additional
information is necessary in order to proceed further.
The following information will need to be submitted before November 10, 2016 so that
we may continue the review of the above subject application:
1. A certificate of water availability from Soos Creek Water and Sewer District is
required to be provided. Per the Renton Fire department, sprinkler system for
each building will need to be installed. A certificate of water availability will need
to include this system in addition to the domestic water line.
2. A certificate of sewer availability from Soos Creek Water and Sewer District is
required to be provided.
3. A drainage report prepared by Pittman Engineering, has been submitted with the
land use application. The drainage report needs to be prepared based on the City
of Renton Amendments to the 2009 King County surface Water Drainage
Manual. Based on the City's flow control map, this site falls within the Flow
Control Duration Standard Forested site conditions area. A written Drainage
Assessment that provides proposed Flow Control BMPs, and compliance with the
KCSWDM drainage requirements is required. See Section C.4.4 for more
information on this requirement. Stormwater BMP as per the appendix C of the
1055 South Grady Way, Renton, WA 98057, rentonwa.gov
2009 King Count Surface drainage Manual is required for both of the new lots.
Drainage plans and a final drainage report shall be based on the City of Renton's
adopted 2009 Surface Water Design Manual Amendment and the 2009 King
County Surface Water Drainage which is require to be submitted with the
construction permit.
4. Flow Control Duration Standard Matching Forested Site Conditions: Match
developed discharge durations to predeveloped durations for the range of
predeveloped discharge rates from 50% of the 2-year peak flow up to the full 50-
year peak flow. Also match developed peak discharge rates to predeveloped
peak discharge rates for the 2-and 10-year return periods. Assume forested
(historic) site conditions as the predeveloped condition.
5. A Geotechnical report addressing the permeability of the soil and the potential
for stormwater infiltration. See Section C.2.2.1 for more information on the soils
report requirements. If full dispersion is not feasible, evaluation of full and
limited infiltration of stormwater per Section C.2 is required.

Dear Mr. Shott:
Thank you for your comments related to the Max Drive Short Plat; dated July 8, 2016
wherein you raised concerns regarding the proposed project. Your email will be added
to the public record for consideration by the reviewing official and you have been added
as a party of record.
The applicant, Richard Peterson, has only made application for Short Plat and Street
Modification for the subject development and a decision has yet to be made. Notice was
issued soliciting public comment and these comments are used to help City staff
complete a comprehensive review which will continue over the coming weeks.
As part of your letter you stated that your concern was related to the feasibility of
connecting to sanitary sewer and the unlikelihood of a private septic system serving the
two proposed lots. The applicant has proposed to construct a grinder sewage pump
system and sewer force main to connect to the main under 115th Ave SE. The applicant
will be required to obtain approval for this proposal from the Soos Creek Water and
Sewer District.

1. The fire flow requlrement for a single family home is 11 000 gpm minimum for dwellings up to 3,600 square
feet (including garage and basements}. If the dwelling exceeds 3,600 square feet, a minimum of 1,500 gpm
fire flow would be required. A minimum of one fire hydrant is required within 300-feet of the proposed
buildings and two hydrants if the fire flow goes up to 1,500 gpm. There are no existing hydrants within 300
-feet of the proposed homes. A water availability certificate is required from Soos Creek Water and Sewer
District.
2. The fire impact fees are applicable at the rate of $479.28 per single family unit. This fee is paid at building
permit issuance.
3. Fire department apparatus access roadways are required to be a minimum of 20-feet wide fully paved, with
25-feet inside and 45-feet outside turning radius. Fire access roadways shall be constructed to support a 30
-ton vehicle with 322-psi point loading. Access is required within 150-feet of all points on the buildings. An
approved turnaround is required for all dead end streets exceeding 150-feet in length.

I have completed a preliminary review for the above-referenced proposal. The following comments are base<;l
on the pre-application submittal made to the City of Renton by the applicant.
Water
1. Water Service provider will be Soos Creek Water and Sewer District. A water availability certificate will be
required to be submitted to the City.
Sanitary Sewer
l. Sewer Service will be provided by Soos Creek Water and Sewer District. A sewer availability certificate will
be required to be submitted to the City.
Storm Drainage
1. There are no drainage improvements in SE 162nd Street.
2. A drainage plan and drainage report will be required with the short plat application. The report shall
comply with the 2009 King County Surface Water Manual and the 2009 City of Renton Amendments to the
KCSWM, Chapter 1 and 2. All core and any special requirements shall be contained in the report. Based on the
City's flow control map, this site falls within the Flow Control Duration Standard, Forested Site Condition. The
drainage report will need to follow the area specific flow control requirements under Core Requirement #3.
3. A geotechnical report for the site is required. Information on the water table and soil permeability with
recommendations of appropriate flow control BMP options with typical designs for the site from the
geotechnical engineer shall be submitted with the application.
4. Surface water system development fee is $1,228.00 for each new lot. Credit will be given to the~
home.
~ A Construction Stormwater Permit from Department of Ecology is required if clearing and grading of the site
exceeds one acre.
Transportation/Street
1. Existing right of way width in 116th Ave SE Street is 60 feet. 116th Street is classified as a minor arterial.
To meet the City's new complete street standards, street improvements including 22 feet of paving from
centerline, curb and gutter, an 8-foot planter strip, a 5-foot sidewalk, and storm drainage improvements are
required to be constructed in the right of way fronting the site per City code 4-6-060.

General Comments
l. All construction utility permits for drainage and street improvements will require separate plan submittals.
All utility plans shall conform to the Renton Drafting Standards. Plans shall be prepared by a licensed Civil
Engineer.
2. When the utility plans are complete, please submit three (3) copies of the drawings, two (2} copies of the
drainage report, permit application and an itemized cost of construction estimate and application fee at the
counter on the sixth floor.
3. All sewer stubs, water services and storm connections are required to-be provided to each lot prior to
recording of the short plat.

General: We have completed a preliminary review of the pre-application for the above-
referenced development proposal. The following comments on development and
permitting issues are based on the pre-application submittals made to the City of
Renton by the applicant and the codes in effect on the date of review. The applicant is
cautioned that information contained in this summary may be subject to modification
and/or concurrence by official decision-makers (e.g., Hearing Examiner, Community &
Economic Development Administrator, Public Works Administrator, Planning Director,
Development Services Director, and City Council). Review comments may also need to
be revised based on site planning and other design changes required by City staff or
made by the applicant. The applicant is encouraged to review all applicable sections of
the Renton Municipal Code. The Development Regulations are available for purchase
for $100.00 plus tax, from the Finance Division on the first floor of City Hall or on line at
www.rentonwa.gov
Project Proposal: The subject property is located at the Parcel #619720-0060. The
project site is generally flat including the pipestem vehicle access area. The site is
currently wooded and vacant. There are no critical areas according to the City of Renton
mapping software. The property is zoned Residential -4 dwelling units per net acre and
is 25,564 square feet (0.59 acre) in size. The applicant is proposing to subdivide the
property into 2 lots. Both proposed lots would be approximately 10,533 square feet,
where the square footage of the pipestem is not included but the access .easement
across the west lot is included in the square footage for the west lot. The applicant is
proposing vehicular access to both properties from a private driveway connected to
116th Ave SE.
Current Use: The site is wooded and vacant.
Zoning/Density Requirements: The subject property is zoned Residential-4 dwelling
units per acre (R-4). There is no minimum density in the R-4 zone and the maximum
density is 4.0 du/ac, and up to 4.49 du/ac with the rounding provision. Private access
easements, critical areas and public right-of-way dedications would be deducted from
the total area to determine net density. At this point, it is not known if wetlands are on

site, where the wetland (not the buffer) would be reduced from the net square
footage for density calculations, The private access easement would include a 20' foot
paved width for fire requirements and turnaround or cul-de-sac within a separate
access tract, The access easement would reduce the net square footage. Additionally,
there would be a reduction in net density area where right-of-way dedication of 5 feet
would be required along 116th Ave SE (see plan review notes). At this time it is not
known how much square footage will be in the access easement or whether wetlands
are on site, Density cannot be calculated without further details. A Density Worksheet
would be required at the time of formal short plat application.
Development Standards: The project would be subject to RMC 4-2-llOA, "Development
Standards for Single Family Zoning Designations" effective at the time of complete
application. A copy of these standards is included.
Minimum Lot Size, Width and Depth -The minimum lot size permitted in Zone R-4 is
8,000 square feet. Minimum lot width is 70 feet for interior lots and 80 feet for corner
lots; minimum lot depth is 80 feet. It appears that there is adequate room on the
project site to comply with the lot size, width, and depth standards.
Building Standards -The R-4 zone allows a maximum building coverage of 35% of the lot
area or 2,500 square feet, whichever is greater for lots ·over 5,000 square feet in size.
The maximum impervious coverage in the R-4 zone is 55%. Building height is restricted
to 30 feet. Detached accessory structures must remain below a height of 15 feet and
one-story. Accessory structures are also included in building lot coverage calculations.
Compliance with building standards for new single family homes will be determined at
the time of building permit review for any new structure.
Setbacks -Setbacks are the minimum required distance between the building footprint
and the property line. The required setbacks in Zone R-4 are:
\ Front yard -30 feet for the primary structure.
\ Rear yard -25 feet.
\ Side yards -5-feet, except 20-feet for side yards along a street or access easement.
Setbacks would be verified at the time of building permit review.
Residential Design and Open Space Standards: The Residential Design and Open Space
Standards contained in RMC 4-2-1215 would be applicable to any new residential
structures. A handout indicating the applicable guidelines and standards is enclosed.
Access/Parking: The applicant has indicated that access would be taken for both
proposed lots from 116th Ave SE. Two off street parking spaces are required for each
proposed lot. Please see the Plan Review comments for required right-of dedications
along llG'h Ave SE. The private access driveway and individual driveway for each lot
cannot be greater than 15% slope. Also, the driveway on each lot has a maximum
width of 16 feet at property line for two car garages and 9 feet for single car garage.

Landscaping: Except for critical areas, all portions of a development area not covered
by structures, required parking, access, circulation or service areas, must be landscaped
with native, drought-resistant, vegetative cover. Development standards require that all
pervious areas within the property boundaries be landscaped. The minimum on-site
landscape width required along frontages is 10 feet. In addition,. two trees are required.
in the front yard setback area of each lot when there are no street trees within the
street right-of-way as referenced in the landscape regulations (RMC 4-4-070F).
Please refer to landscape regulations (RMC 4-4-070) for further general and specific
landscape requirements. A conceptual landscape plan would be required at the time of
formal Short Plat application.
Significant Tree Retention: Significant trees (greater than 6-inch caliper) are potentially
proposed to be removed; therefore, a tree inventory and a tree retention plan along
with a tree retention worksheet must be provided with the formal land use application.
The ~ete[ition pl® must show preservation of at least 30 percent of significant
trees, and indicate .how proposed building footprints would be sited to accommodate
preservation of significant trees that would be retained. If the trees cannot be retained,
replacement may be allowed with minimum 2 inch caliper trees at a ratio of six to one.
A tree retention worksheet is available on the City website.
Critical Areas: There are no critical areas according to the City of Renton mapping
software although in a previous pre-application review in 2009 based on staff's site visit
observations, vegetation on site indicated there is potentialfor a wetland on site. As
J,Jf. 6'.-_such, a wetland reconnaissance is required to dete(mine if there is a wetland on-site.
;,, ~ Please provide a wetland reconnaissance study. If it is determined a wetland is located
on site, a wetland delineation and classification will be required. If impacts are proposed
to the wetland, a mitigation plan would also be required.
Environmental Review: Short plats are exempt from Environmental (SEPA) Review
given known site conditions. If a wetland is identified on the project site, the application
would require Environmental Review.
Permit Requirements: The proposal would require approval of an administrative short
plat and possible SEPA Environmental Reviel!t, The administrative short plat request,
with or without SEPA Environmental Review, would be reviewed within an estimated
time frame of six to eight weeks. The fee for a short plat application is $1,442.00
($1,400.00 plus 3% Technology Surcharge Fee). The fee for SEPA review would be
required if wetland is determined to be on-site. Detailed information regarding the land
use application submittal is provided in the attached handouts.
Fees: In addition to the applicable building and construction fees, impact fees would be
required. Such fees would apply to all projects and would be calculated at the time of
building permit application and payable prior to building permit issuance. The fees for
2014 are as follows:

Dear Mr. Peterson,
Following your request H & S has completed an onsite assessment of the property (parcel no. #
6197200060) located at 116th Ave SE in the City of Renton, Washington (Fig. 1). The site
consists of one parcel, 0.59 acres. Onsite assessment followed the established criteria and
methods as defined within the Corps of Engineers Wetlands Delineation Manual (2008
Supplement), the Washington State Wetlands Identification and Delineation Manual (Wash.
Manual), City of Renton Title IV-3-050 (Critical Areas Regulations), and the Washington
Department of Natural Resources (WDNR) Forest Practice Rules.
BACKGROUND INFORMATION
National Wetland Inventory Mapping
The National Wetland Inventory (NWI) mapping completed by the U.S. Fish and Wildlife Service
was reviewed as a part of this assessment (Fig. 2). This mapping resource did not identify any
wetland within, or in proximity to, the project site.
King County Wetland Inventory
The King County Wetland Inventory was reviewed as a part of this assessment. This mapping
resource did not identify any wetland within, or in proximity to, the project site.
City of Renton Wetland Inventory
The City of Renton Wetland Inventory was reviewed as a part of this assessment. This mapping
resource did not identify any wetland within the project site.

Soil Mapping
The soil mapping inventory completed by the Natural Resource Conservation Service was
reviewed as a part of this assessment. This mapping identified the soils generally throughout
the project site as Alderwood gravelly sandy loam. Alderwood soils are not listed as "hydric".
ONSITE EVALUATION
Criteria for Wetland Identification
Wetlands are transitional areas between aquatic and upland habitats. In general terms, wetlands
are lands where the extent and duration of saturation with water is the primary factor determining
the nature of soil development and the types of plant and animal communities living in the soil and
on its surface (Cowardin, et al., 1979). Wetlands are generally defined within land use regulations
as "areas that are inundated or saturated by surface or groundwater at a frequency and duration
sufficient to support, and that under normal circumstances do support, a prevalence of vegetation
typically adapted for life in saturated soil conditions" (1987 Manual).
Wetlands exhibit three essential characteristics, all of which must be present for an area to meet
the established criteria within the Wash. Manual and the 1987 Manual. These essential
characteristics are:
1. Hydrophytic Vegetation: A predominance of plants that are typically adapted for life in
saturated soils.
2. Hydric Soil: A soil that is saturated, flooded, or ponded long enough during the growing
season to develop anaerobic conditions in the upper horizons.
3. Wetland Hydrology: Permanent or periodic inundation, or soil saturation to the
surface, at least seasonally.
Evaluation Methodologies
Onsite assessment was completed on March 23, 2014. This assessment covered the entire
project site and followed the methodologies and procedures defined in the 1987 Manual (2008
Supplement), the Wash. Manual, City of Renton Title IV-3-050 (Critical Areas Regulations), and
the WDNR Forest Practice Rules.
Field Observations
The site is bounded on the east by 116111 Ave E, and a single-family house, on the north, south
and East by single-family houses. The project site is vacant and recently cleared of trees. The
site is sloping generally to the northeast.

• The entire project site has been cleared for development. Within this area, no indicators
of wetland or stream characteristics were observed. This area was identified as non-
critical area in character (i.e. not wetlands).
• Off-site to the north, a drainage corridor transects the adjacent parcel. This drainage
appears to collect road runoff from 1161h Ave and direct it to the east, north of the north
boundary. This drainage is approximately 20 feet north of the north boundary at its closest
occurrence. As it flows east and north, it becomes contained in a culvert under an
apartment dwelling, then surfaces and continues to the north and east.
FINDINGS AND CONCLUSIONS
Onsite assessment was completed March 23, 2014 following the methods and procedures
defined within both the Wash. Manual, the 1987 Manual (2008 Supplement), and City of Renton
Title IV-3-050 (Critical Areas Regulations). This assessment identified no areas on site and no
area adjacent that met all three of the established criteria for designation as "wetland."
The drainage north of the project site appears to meet criteria established by City of Renton for
designation as a Class 5 Water. The drainage conducts artificially-collected flow from the road,
and is culverted downstream of the site. Class 5 Waters are exempt from regulation by the City.
This drainage appears to be an artifact of stormwater management, therefore not regulated as
"'Critical Areas".
No other areas within 315 ft. of the pro,ect boundaries appear to meet criteria for designation as
"wetland".

PROJECT OVERVIEW
This project proposes to subdivide approximately 0.59 acres of land into two single
family parcels. The property is located on the east side of I 16th Avenue S.E.,
between S.E. l 80'h Street and S.E. 182nd Street. Furthermore, it is located in the
N.W. V. of Section 33, Township 23 North, Range 5 East, W.M. (See attached
vicinity map).
The majority of the site is a square in shape and sits approximately 150 feet east of
l 16'h Avenue S.E. There is a 30-foot wide access along the north portion of the site
that has frontage to 116 1h Avenue S.E. and provides access to the remainder of the
site, such that it is a "flag-type" of lot. Separate IS-foot accesses will be proposed
for each of the new lots.
The property sits significantly lower that the street, such that it drops
approximately 15 feet, while sloping from west to east and south to north between
five and twenty-five percent. (See attached Topographic Map.) The parcel is
mostly overgrown grass and shrubs with a few trees on it. The soils are Arents-
Alderwood, which are typically conducive to infiltration (see attached Soils Map).
Also, site investigation showed that the soils is a sandy loam material.
Two new separate 10-foot driveways will be located along the north side of the
property and will provide access to each new lot. Access from the existing road to
the lots will be provided by a 20-foot shared access driveway, such that no
improvements are proposed along the 30 feet for frontage.
The total new impervious surface for the project is approximately 9700 square feet.
Approximately 2500 square feet is proposed for the each new
house/patio/sidewalk. The new driveable, pollution-generating, impervious
surface is approximately 4 700 square feet. Reduced building footprints and/or
pervious pavement will be included to be sure that these thresholds can be met.
Stormwater from the new houses will be collected and directed into infiltration
trenches located at the northeast corners of the respective new lots. Sanitary sewer
is provided in I 16th Avenue S.E. and both lots will require separate grinder pumps
in order to connect to the system. Public water is also available in 116th A venue
S.E. and two new services and meters will be provided to the new lots.

CONDITIONS AND REQUIREMENTS
Core Requirement #1: The topography for the site is from west to east as well as
south to north and the majority of the site is significantly lower than the street.
Stormwater from the development will be collected and directed through
individual infiltration trenches and the overflow from these systems will continue
to the west and north along its natural flow path.
Core Requirement #2: Runoff from the site currently flows overland to the west
and north. It is directed across individual parcels before reaching S.E. 180th Street
and 118th Avenue S.E.
Core Requirement #3: Flow control is not required since there is less than 10,000
square feet of new impervious surface. However, each new lot will have on-site
infiltration trenches to prevent an increase in runoff from the project.
Core Requirement #4: Storm conveyance for the site will be provided by the
necessary on-site drainage system to collect and direct runoff to the infiltration
trenches. Overland flow from the infiltration trenches will be overland flow as it is
at this time.
Core Requirement #5: A temporary erosion and sediment control plan will be
provided for this project.

Core Requirement #8: Water quality is not required since the new pollution
generating surface is 4700 SF.
OFFSITE DOWNSTREAM ANALYSIS
Stormwater, from the site (houses and driveways) is collected and connected to
individual on-site infiltration trenches. If these trenches overflow, runoff will be
directed overland to the west and north across the adjacent;roperties. Flow would
continue for several hundred feet before reaching S.E. 180 Street and 118th
Avenue S.E.
FLOW CONTROL AND WATER QUALITY ANALYSIS
Stormwater for the project is collected and directed to individual infiltration
trenches for the lots. The new impervious surface created by the two
houses/patios/sidewalks will be limited to 2500 square feet each, or a total of 5000
square feet. The new driveable impervious surface from the project is 4500 square
feet (2000 square feet for the front lot and 2500 square feet for the back lot.) The
total new impervious surface created by the project will be 9700 square feet.
CONVEYANCE SYSTEM ANALYSIS
Storm conveyance is provided on-site and will be directed into infiltration
trenches. Overflow from the trenches is overland, so no additional conveyance
system will be required as a part of this development.

SCHEDULE OF EXCLUSIONS FROM COVERAGE OF THIS GUARANTEE
Except to the extent that specific assurances are provided in Schedule A of thrs Guarantee, the Company
assumes no lrability for loss or damage by reason of the following:
(a) Defects. liens, encumbrances, adverse claims or other matters against the title, whether or not shown by
the public records.
(b) (1) Taxes or assessments of any taxing authority that levies taxes or assessments on real property; or. (2)
Proceedings by a public agency which may result in taxes or assessments, or notices of such
proceedings, whether or not the matters excluded under (1) or (2) are shown by the records of the taxing
authority or by the public records.
(c) (1) Unpatented mining claims; (2) reservations or exceptions in patents or in Acts authorizing the
issuance thereof; (3) water rights, claims or title to water, whether or not the matters excluded under (1 ),
(2) or (3) are shown by the public records.
2 Notwithstanding any specific assurances which are provided in Schedule A of this Guarantee, the Company
assumes no liability for loss or damage by reason of the following
(a) Defects, liens, encumbrances, adverse claims or other matters affecting the title to any property beyond
the lines of the land expressly described in the description set forth in Schedule (A), (C) or in Part 2 of thrs
Guarantee, or title to streets, roads, avenues, lanes, ways or waterways to which such land abuts, or the
right to maintain therein vaults, tunnels, ramps or any structure or improvements: or any rights or
easements therein, unless such property, rights or easements are expressly and specifically set forth in
said descriptron.
(b) Defects, liens, encumbrances, adverse claims or other matters, whether or not shown by the public
records; (1) which are created, suffered, assumed or agreed to by one or more of the Assureds (2)
which result in no loss to the Assured; or (3) which do not result in the invalidity or potentral invalidity of
any Judicial or non-judicial proceeding which is within the scope and purpose of the assurances provided
(c) The identity of any party shown or referred torn Schedule A.
(d) The validity, legal effect or priority of any matter shown or referred to in this Guarantee.
GUARANTEE CONDITIONS AND STIPULATIONS
Defrnition of Terms.
The following terms when used in the Guarantee mean:
(a) the "Assured": the party or parties named as the Assured in this Guarantee, or on a supplemental writing
executed by the Company.
(b) "land": the land described or referred to in Schedule (A)(C) or rn Part 2, and improvements affixed thereto
which by law constitute real property. The term "land" does not include any property beyond the lines of
the area described or referred to in Schedule (A)(C) or rn Part 2, nor any right, title, interest, estate or
easement in abutting streets, roads, avenues, alleys. lanes, ways or waterways.
(c) "mortgage" mortgage, deed of trust, trust deed, or other security instrument
(d) "public records" records established under state statutes at Date of Guarantee for the purpose of
imparting constructive notice of matters relating to real property to purchasers for value and without
knowledge.
(e) "date": the effective date.
2. Notice of Claim to be Given by Assured Claimant.
An Assured shall notify the Company promptly in writing in case knowledge shall come to an Assured hereunder
of any claim of title or interest which is adverse to the title to the estate or interest, as stated herein, and which
might cause loss or damage for which the Company may be liable by virtue of this Guarantee. If prompt notice
shall not be given to the Company, then all liability of the Company shall terminate with regard to the matter or
matters for whrch prompt notice is required; provided, however, that failure to notify the Company shall rn no case
preJudice the rights of any Assured under this Guarantee unless the Company shall be prejudiced by the failure
and then only to the extent of the prejudice.
3 No Duty to Defend or Prosecute.
The Company shall have no duty to defend or prosecute any action or proceeding to which the Assured is a party
notwithstanding the nature of any allegation in such action or proceeding.
4 Company's Option to Defend or Prosecute Actions; Duty of Assured Claimant to Cooperate
Even though the Company has no duty to defend or prosecute as set forth in Paragraph 3 above
(a) The Company shall have the right, at its sole option and cost. to institute and prosecute any action or
proceeding, interpose a defense, as limited in (b), or to do any other act which in its opinion may oe
necessary or desirable to establish the title to the estate or interest as stated herein, or to establish the
lien rights of the Assured, or to prevent or reduce loss or damage to the Assured. The Company may
take any appropriate action under the terms of this Guarantee, whether or not it shall be liable hereunder,
and shall not thereby concede liability or waive any provision of this Guarantee. If the Company shall
exercise its rights under this paragraph, it shall do so diligently.
(bl If the Company elects to exercise its options as stated in Paragraph 4(a) the Company shall have the
right to select counsel of its choice (subject to the nght of such Assured to object for reasonable cause) to
represent the Assured and shall not be liable for and will not pay the fees of any other counsel. nor will
the Company pay any fees, costs or expenses incurred by an Assured in the defense of those causes of
action which allege matters not covered by this Guarantee.
(CJ Whenever the Company shall have brought an action or interposed a defense as permitted by the
provisions of this Guarantee, the Company may pursue any litigation to final determination by a court of
competent junsdiction and expressly reserves the right, in its sole discretion, to appeal from an adverse
Judgment or order.
(d) In all cases where this Guarantee permits the Company to prosecute or provide for the defense of any
action or proceeding, an Assured shall secure to the Company the right to so prosecute or provide for the
defense of any action or proceeding, and all appeals therein. and permit the Company to use, at its
option, the name of such Assured for this purpose. Whenever requested by the Company, an Assured, at
the Company's expense, shall give the Company all reasonable aid in any action or proceeding. secunng
evidence, obtaining witnesses, prosecuting or defending the action or lawful act which in the opinion of
the Company may be necessary or desirable to establish the title to the estate or interest as stated
herein, or to establish the lien rights of the Assured. If the Company is prejudiced by the failure of the
Assured to furnish the required cooperation, the Company's obligations to the Assured under the
Guarantee shall terminate.
5 Proof of Loss or Damage.
In addition to and after the notices required under Section 2 of these Conditions and Stipulations have been
provided to the Company, a proof of loss or damage signed and sworn to by the Assured shall be furnished to the
Company within ninety (90) days after the Assured shall ascertain the facts giving rise to the loss or damage The
proof of loss or damage shall describe the matters covered by this Guarantee which constitute the basis of loss or
damage and shall state. to the extent possible, the basis of calculating the amount of the loss or damage. If the
Company is prejudiced by the failure of the Assured to provide the required proof of loss or damage. the
Company's obligation to such assured under the Guarantee shall terminate In addition. the Assured may
reasonably be required to submit to examination under oath by any authonzed representative of the Company
and shall produce for examination, inspection and copying, at such reasonable times and places as may be
designated by any authorized representative of the Company, all records, books, ledgers checks
correspondence and memoranda, whether bearing a date before or after Date of Guarantee, which reasonably
pertain to the loss or damage Further, if requested by any authorized representative of the Company, the
Assured shall grant its permission, in wnling, for any authorized representative of the Company to examine.
inspect and copy all records, books, ledgers, checks, correspondence and memoranda in the custody or control
of a third party, which reasonably pertain to the loss or damage. All information designated as confidential by the
Assured provided to the Company pursuant to this Section shall not be disclosed to others unless. in the
reasonable Judgment of the Company, it is necessary in the administration of the claim. Failure of the Assured to
submit for examination under oath, produce other reasonably requested information or grant permission to secure
reasonably necessary information from third parties as required in the above paragraph, unless prohibited by law
or governmental regulation, shall terminate any liability of the Company under this Guarantee to the Assured for
that claim
6 Options to Pay or Otherwise Settle Claims Termination of Liability.
In case of a claim under this Guarantee, the Company shall have the following additional options:
(a) To Pay or Tender Payment of the Amount of Liability or to Purchase the Indebtedness
The Company shall have the option to pay or settle or compromise for or 1n the name of the Assured any
claim which could result in loss to the Assured within the coverage of this Guarantee, or to pay the full
amount of this Guarantee or, if this Guarantee is issued for the benefit of a holder of a mortgage or a
lienholder, the Company shall have the option to purchase the indebtedness secured by said mortgage or

said lien for the amount owing thereon, together with any costs, reasonable attorneys' fees and expenses
incurred by the Assured claimant which were authorized by the Company up to the time of purchase.
Such purchase, payment or tender of payment of the full amount of the Guarantee shall terminate all
liability of the Company hereunder. In the event after notice of claim has been given to the Company by
the Assured the Company offers to purchase said indebtedness, the owner of such indebtedness shall
transfer and assign said indebtedness, together with any collateral security, to the Company upon
payment of the purchase price.
Upon the exercise by the Company of the option provided for m Paragraph (a) the Company's obligation to the
Assured under this Guarantee for the claimed loss or damage, other than to make the payment required in that
paragraph, shall terminate, including any obligation to continue the defense or prosecution of any litigation for
which the Company has exercised its options under Paragraph 4, and the Guarantee shall be surrendered to the
Company for cancellation.
(bi To Pay or Otherwise Settle With Parties Other Than the Assured or With the Assured Claimant
To pay or otherwise settle with other parties for or in the name of an Assured claimant any claim assured
against under this Guarantee, together with any costs, attorneys' fees and expenses incurred by the
Assured claimant which were authorized by the Company up to the time of payment and which the
Company 1s obligated to pay.
Upon the exercise by the Company of the option provided for in Paragraph (b) the Company's obligation to the
Assured under this Guarantee for the claimed loss or damage, other than to make the payment required in that
paragraph, shall terminate, including any obligation to continue the defense or prosecution of any litigation for
which the Company has exercised its options under Paragraph 4.
7 Determination and Extent of Liability.
This Guarantee is a contract of Indemnity against actual monetary loss or damage sustained or incurred by the
Assured claimant who has suffered loss or damage by reason of reliance upon the assurances set forth 1n this
Guarantee and only to the extent herein described, and subject to the Exclusions From Coverage of This
Guarantee.
The l1ab1lity of the Company under this Guarantee to the Assured shall not exceed the least of:
(a) the amount of liability stated in Schedule A or in Part 2;
(bl the amount of the unpaid principal indebtedness secured by the mortgage of an Assured mortgagee. as
limited or provided under Section 6 of these Conditions and Stipulations or as reduced under Section 9 of
these Conditions and Stipulations, at the time the loss or damage assured against by this Guarantee
occurs, together with interest thereon; or
(c) the difference between the value of the estate or interest covered hereby as stated herein and the value
of the estate or interest subject to any defect, lien or encumbrance assured against by this Guarantee
8. Limitation of Liability.
(a) If the Company establishes the title, or removes the alleged defect, lien or encumbrance, or cures any
other matter assured against by this Guarantee in a reasonably diligent manner by any method, including
litigation and the completion of any appeals therefrom, it shall have fully performed its obligations with
respect to that matter and shall not be liable for any loss or damage caused thereby.
(b) In the event of any litigation by the Company or with the Company's consent, the Company shall have no
liability for loss or damage until there has been a final determination by a court of competent Jurisdiction,
and d1spos1tion of all appeals therefrom, adverse to the title, as stated herein.
(c) The Company shall not be liable for loss or damage to any Assured for liability voluntarily assumed by the
Assured in settling any claim or suit without the prior written consent of the Company.
9 Reduction of Liability or Termination of Liability.
All payments under this Guarantee, except payments made for costs, attorneys' fees and expenses pursuant to
Paragraph 4 shall reduce the amount of liability pro tanto.
10 Payment of Loss
(a) No payment shall be made without producing this Guarantee for endorsement of the payment unless the
Guarantee has been lost or destroyed, in which case proof of loss or destruction shall be furnished to the
satisfaction of the Company.
(b) When liability and the extent of loss or damage has been definitely fixed in accordance with these
Conditions and Stipulations, the loss or damage shall be payable within thirty (30) days thereafter
11 Subrogation Upon Payment or Settlement.
Whenever the Company shall have settled and paid a claim under this Guarantee, all right of subrogation shall
vest in the Company unaffected by any act of the Assured claimant.
The Company shall be subrogated to and be entitled to all rights and remedies which the Assured would have
had against any person or property in respect to the claim had this Guarantee not been issued. If requested by
the Company, the Assured shall transfer to the Company all rights and remedies against any person or property
necessary in order to perfect this right of subrogation. The Assured shall permit the Company to sue, compromise

or settle in the name of the Assured and to use the name of the Assured in any transaction or litigation involving
these rights or remedies
If a payment on account of a claim does not fully cover the loss of the Assured the Company shall be subrogated
to all rights and remedies of the Assured after the Assured shall have recovered its principal, interest, and costs of
collection
·,2 Arbitration
Unless prohibited by applicable law, either the Company or the Assured may demand arbitration pursuant to the
Title Insurance Arbitration Rules of the American Land Title Association. Arbitrable matters may include. but are
not limited to, any controversy or claim between the Company and the Assured arising out of or relating to this
Guarantee, any service of the Company in connection with its issuance or the breach of a Guarantee provision or
other obligation. All arbitrable matters when the Amount of Liability is $2,000,000 or less shall be arbitrated at the
option of either the Company or the Assured. All arbitrable matters when the amount of liability is in excess of
$2,000 000 shall be arbitrated only when agreed to by both the Company and the Assured. The Rules in effect at
Date of Guarantee shall be binding upon the parties The award may include attorneys' fees only if the laws of
the state in which the land is located permits a court to award attorneys' fees to a prevailing party Judgment
upon the award rendered by the Arbitrator(s) may be entered in any court having Jurisdiction thereof
The law of the situs of the land shall apply to an arbitration under the Title Insurance Arbitration Rules
A copy of the Rules may be obtained from the Company upon request
13 Liability Limited to This Guarantee; Guarantee Entire Contract.
(a) This Guarantee together with all endorsements, 1f any, attached hereto by the Company 1s the entire
Guarantee and contract between the Assured and the Company In interpreting any provision of this
Guarantee, this Guarantee shall be construed as a whole.
(b) Any claim of loss or damage, whether or not based on negligence. or any action asserting such claim
shall be restricted to this Guarantee.
(c) No amendment of or endorsement to this Guarantee can be made except by a writing endorsed hereon
or attached hereto signed by either the President. a Vice President, the Secretary. an Assistant
Secretary, or validating officer or authorized signatory of the Company.
14 Notices. Where Sent.
All notices required to be given the Company and any statement 1n writing required to be furnished the Company
