SUBJECT:Purchase of 1Password
This memo is in lieu of our standard contract template which allows for signature by
both parties.
Attached for your review is a Quote packet with 1Password. This packet authorizes
payment of Quote # Q-114198, in the amount of $6,345.01 ($5,752.50 plus tax) for the
purchase of 1Password software.
1Password is a SaaS password manager solution that allows for safe and secure storage
of multiple passwords, both personal and shared, in one location which is only
accessible by those given permission. It helps increase security greatly by properly
limiting access to shared passwords where necessary and reducing the number of
passwords people need to remember, eliminating insecure methods of record such as
sticky notes, etc.
This is an off-the-shelf purchase and does not require Legal approval.
This packet is being submitted to the City Clerkâs Office for assignment of a CAG number
for tracking purposes.

TERMS
1.The Agreement:This Order Form is governed by the Business Terms of Service found at
https://1password.com/legal/terms-of-service, unless (i) Customer has a written Service
Agreement executed with 1Password, in which case such Service Agreement will govern, or
(ii) otherwise set forth herein (the governing agreement defined as the "Agreement").
2. Duration of Services: The Customer subscribes to the 1Password Services for the duration
as noted in this Order Form.
3. Order of Precedence: As between the Agreement and the Order Form, the Agreement will
take precedence. Notwithstanding the foregoing, the Order Form will take precedence over
the Agreement with respect to: the Subscription Term, the Effective Date, the Number of
Users, billing and pricing, and governing law (if applicable).
4. Effective Date: The Effective Date of the Agreement is the later of: (i) the Subscription Start
Date or (ii) the date of the signature on this Order Form.
5. Number of Users: Pricing will be based on the number of Users, as specified on this Order
Number of Users as it appears on this Order Form, 1Password will send an invoice for the
applicable Fees for the additional Users.
