A project site vicinity map is shown in Figure 1. Project Description The existing building for Valley Medical Center EmefJ(enry Smices T01ver consists of approximately 45,501l square feet of space and includes the following existing and proposed uses: );> Existing 15,000 square foot Emergency Department will be remodeled to consolidate and expand the Cardiovascular Department. This relocation will provide for 8 new physicians and staff on-site and result in approximately 10,000 square feet of new medical office space ,,-ail able to the campus. y Existing 16,500 square foot Two West will mo\'C 44 surgical beds to the ICL bed floor and Acute Care bed floor in the new emergency services tower, which will be replaced hy 24 beds for the Family Center. There are no new uses associated with change in T\FO \X/cst, as it will not generate any ncw physicians, staff or patient '\'isits; areas will be expanded to provide larger spaces of cxisung services. Srudy Valley Medical Center Emergency Services Tower Trip Generation Nsumptions and Estimates September 19, 2007 Page 3 The new building for Valley Medical Center Dmergency Services Tower consists of approximately 148,000 square feet of space and includes the following proposed uses that will generally be relocated from other parts of Valley Medical Center: )-Relocated Emergency Department will expand in size to 44,000 square feet. The new department is anticipated to generate 25,000 new patient visits per year v.;th an addition of 19 physicians/ full~time staff per day. )-Relocated leU bed floor will be expanded to 26,000 square feet and provide a total of 30 patient beds with 16 existing ICC beds from Three West and 14 existing acute care bed from Two West. There are no new uses associated with ICU bed floor, as it wiII not generate any nc\v physicians, staff or patient visits; areas will be expanded to provide larger spaces of existing services. y Relocated Acute Care bed floor will be expanded to 26,000 square feet and provide a total of 30 patient beds with 30 existing acute care beds from Two West. There arc no ne\v uses associated with Acute Care bed floor. as it will not generate any ne\\,: physicians, staff or patient visits; areas will be expanded to provide larger spaces of existing services. " Two~shelled bed l100rs totaling 26,000 square feet. This section of the building has not been permitted and will remain empty until permits are approved. Therefore, it was not assumed in the calculation of project trip generation. Project Trip Generation Average rate equations in the Institute of Transportatjon Engineers (ITE) Tnp Ceneralion} 7'h Edition, 2003, were used to estimate daily, a.m. peak hour and p.m. peak hour generation for the expanded medical~dental office uses (ITE Land l'se Code 720) based upon conversion of the existing emergency department to the cardiovascular Jepartment and "backfill" of those spaces. for the expanded cmngcncy department in the nnv emergency services tower, an activities based approach was used based upon the anticipated number of new patient visits and physicians/full~time staff. The expanded emergency department is expected to generate 25,O()O new patient visits per year with 19 physicians/ full~time staff per day. This would generate a total of approximately 90 patient visits/physicians/fuJl~time staff per day with a total of 180 vehicular daily project trips (1 trip entering and 1 trip exiting the project site). Based upon average ratc cquations for hospital (ITE Land esc Code (10), traffie volumes during the a.m. and p.m. peak hour are typically 6 to 7 percent of daily traffic. J Iowever, as a "worst-case scenario", a,m. peak hour and p.m. peak hour were assumed to be 10 percent of daily traffic volumes. An estimated new total of approximately 540 daily, 43 p.m. peak hour vehicular trips (32 entering and 11 exiting), anJ 55 p.m. peak hour vehicular trips (16 entering and 39 ex:i6ng) would he generated at ful1 build-out of the project. This ree is established at $75 per daily vehicle trip, totaling $40,500 per a new total (If 540 daily project trips. A developmcnt may qualify for reduction of the $75 per vehicle trip mitigation fee through certain credits for development incentives, construction of needed transportation improvements (arterial, HOY, transit), through public/private partnerships, and transportation demand management programs. That infonnation was then relied on by this office to. conclude that the proposed. parking was greatly in excess oflhe needs of the facility even considering the hospital's unique role in the community .. The updated information would generally be considered late but since it signific.antly affects the entire hospital campus and not just the current expansion this office will consider it. Based upon this new information it appears that the proposed parkingallotrneIil approximates the required allotment based on current code and current conditions. The current analysis shows that based on the hospital's square. footage 1,186 stalls are needed. To this would be. added the beds' ratio (101 stalls), doctotratio (533 stalls) arid general.employee ratio (566 stalls) for an additional 1,200 stalls. We respectfully submit that there was an error made with respect to the parking necessary to adequately provide access necessary to meet the constant growth in demand for emergency medical services, and acknowledge our mistake in the data previously submitted to you. Item number 21 Landscape Aualysis, lot coverage and parking analysis, We believe that the error was in part caused by our original submittal incorrectly providing a dated parking needs study and not a proper, 2007 code requirement study consistent with current need. This study was submitted with the site plan review package utilizing the Walker Parking consultant's analysis of the required campus parking completed in May 8, 2002. This 2002 study indicated a total capacity of 2,055 existing spaces as detailed on the attached table I and 8 pages 3 and 9, and further states that spaces required are 2,025 for 2002. This document was based on a demand study for the campus commissioned in 2002. The document did not reflect the code requirement by the City of Renton for medical institution and medical office buildings and does not meet the Code requirements for 2007 and beyond. We did not submit a code analysis with the site plan review package. Paragraph number 15 of the findings on page 4 from your report states that "It appears that the campus would be served by 2,390 stalls or 365 spaces more than code requires." While this statement likely resulted from your reliance on our submission, as opposed to an independent Code analysis, the result is an error. The 2,025 parking stalls from the 2002 Walker Report was not the City of Renton code requirement, nor is it consistent with our updated analysis. We have since collected current 2007 campus statistics and have completed a code analysis for the required campus parking. To clarify, the SEPA Determination imposed the payment ora Traffic Mitigation Fee in the amount ofS75 for each new net daily trip prior to the issuance of the building permit. Based on the information you submitted we provided you an estimate of what the total mitigation fee would be based on size of the building proposed (not including the parking garage) and data that is provided in the ITE Trip Generation Manual lor a hospital use. The total fee will be calculated and paid with prior to the issuance of the building permit. In addition, further information provided in a Traffic Analysis may impact the final Traffic Mitigation Fee due. The SEPA Detennination also imposed a Fire Mitigation fee in the amount of $0.52 per square foot of new building area (not including parking garage) prior to the issuance of a building permit. Within thirty (30) days of completion of grading work, the applicant shall hydroseed or plant an appropriate ground cover over any portion of the site that is graded or cleared of vegetation and where no further construction work will occur within ninety (90) days. Alternative measures such as mulch, sodding, or plastic covering as specified in the current King County Suiiace Water Management Design Manual as adopted by the City of Renton may be proposed between the dates of November 1st and March 31st of each year. The Development Services Division's approval of this work is required prior to final inspection and approval of the permit. 4. A detailed landscape plan complying with the requirements set forth under RMC 4-8-120D shall be submitted at the time of Building Permit review for review and approval by the Development Services Division Project Manager. Fire 1. The preliminary fire flow is 1,750 gpm. Two fire hydrants are required. One within 150 feet and one within 300 feet of the building. It appears adequate fire flow is available in this area. 2. Approved fire sprinkler, fire alarm and standpipe systems are required in the building. Separate plans and permits are required by the fire department. 3. Fire department apparatus access roadways are required to be minimum 20 feet wide fully paved, with 25 feet inside and 45 feet outside turning radius. Fire aC,cess roadways shall be constructed to support a 30-ton vehLcle with 322 psi point loading. Driveway entrance off of South 43'd Street shall be revised to meet the above requirements. Fire .department apparatus needs to be able to turn west (as we currently do) when entering this driveway in order to access the south and west sides of the hospital campus in a timely manner. The modeled fire flow available at the site is approximately 4600 gpm. The proposed project is located within the 350-watcr pressure zone. The site is outside the Aquifer Protection Area. The property is currently served by an 8" public sewer line. Surface water conveyance facilities currently are serving this site. The site is surrounded by fully improved roadway with curb, gutter, sidewalk and street lighting. Code Related Comments: WATER 1. Any existing sub-standard fire hydrants will be required to be upgraded and/or retrofitted with a quick disconnect Storz fitting. 2. A fire sprinkler system is required for this facility. Existing site ingress and egress is adequate, however the changes shown at the entrance from 43'" street do not provide an adequate Fire Department access. The Valley Medical Center Emergency Services Tower is located on the south side of the main hospital. The project is a seven floor addition connected to the south end of the existing hospital with building uses as follows: • Levell is dedicated to parking (P-I) for 140 cars and lines up with hospital level one. Staff and parking elevators connect to this level. CS, Lab and pharmacy on hospital level one will have connection to the staff elevators. Discharge areas are provided at the staff and parking elevators. • Level 2 is dedicated to parking (P-2) for 115 cars and lines up with hospital level two. Staff and parking elevators connect to this level. Radiology and Surgery on hospital level two will have connection to the staff elevators. Discharge areas are provided at the staff and parking elevators. Mechanical ventilation fans for the garage and electrical transformers and switch gear room will be along the south edge of level two. • Level 3 is the location of the new Emergency Department to the south of the existing main hospital entry level. The new ED lobby and the Surgery/main hospital lobbies are joined by a connecting link. • Level 3 will also have a parking deck to the west of the ED for 50 cars and will be available for future ED expansion. • Level 4 will be the new Intensive Care Unit. Thirty patient rooms with mirrored inboard toilets are planned to be acuity adaptable. The Heating Ventilation and Air Conditioning (HVAC) equipment for this floor is located in a space on this floor (floor by floor system) near the elevators. • Mechanical ventilation and electrical equipment will be located in an expansion of the penthouse on the existing hospital. The mechanical equipment will serve the new ED and Surgery project and there is space to replace the ventilation equipment for the existing ED. • Levels 5, 6 and 7 are similar to leve14 and are also designed for 30 patient rooms and floor by floor HV AC. LevelS will be a finished floor and levels 6 and 7 will be shelled for future use. Additionally, extensive re-grading will occur across much of the southern portion of the campus along with recontiguration of the loop road and vehicular access. There will be a new patient entry on the east and a new ambulance entry on the south. There are no new curb cuts -the entrances and exits remain like the current configuration. Site: The project will be built in three phases to allow for continuous operation of the existing ED and smooth transition to the new facility. The project is almost entirely built south of the south face of the existing hospital. The Central Utility Project is being planned to integrate with this project. A more visible patient drop off for the ED will have access from Talbot Road and from a right tum from the existing curb cut on 43 nJ Street. Page I of 4 , Building Height: Valley Medical Center Emergency Services Tower Project Narrative The patient entry and ambulance entry are the same elevation as the new hospital's new surgery entry. The top bed floor is 61 '6" above the entry elevation. The top floor roof will be designed to support a heliport. The staff trauma elevator will be designed to access the heliport on the roof. Allowing 32 feet from the roof elevation of the bed floor to the elevator parapet would create the highest building point on the project of approximately 111 '6" above the entry elevation. The highest point of the bulk of the project is the parapet of the top floor which will be less than 78' 6" above the entry elevation. Site area: Valley Medical Center has site measuring approximately 32 acres. The South Campus project will encumber approximately 4 acres. This site zoning is designated Commercial Office Pnblic (CO(P)). The largest floor plate for this project is the ED, which is 45,000 square feet. The elevated parking structure to the west, the ambulance entry, the patient entry and ramps to parking total approximately 70,000 square feet including the ED building footprint. The new roadways are roughly equivalent to the existing roadways. Building Area: Including all bed floors, this project will be approximately 145,000 square feet of I occupancy hospital space. Parking or S-2 occupancy will be approximately 76,000 square feet below grade and 28,000 square feet above grade. Parking: The existing site for this project has parking for 155 cars. These spaces will be displaced in this project. Emergency Department Location: Location of the Emergency Department on the third floor was influenced by five distinct drivers: I. Available Site 2. Adjacencies 3. Restrictions 4. Vehicular Access 5. Cost I. Available Site Valley Medical Center is growing quickly and has built up most of the campus over the years. The north end of the campus has developed with an outpatient focus, primarily on medical office buildings and parking. The south end of the campus, although smaller, has remained relatively untouched and provides the best adjacency to hospital functions. 2. Adjacencies -Both the second floor and third floor were studied as possible locations for the new ED. The second floor provided the best adjacency to the existing imaging as well as direct connection to second floor private travel paths, yet had other challenges. The third floor presented excellent adjacency to the public zones of the hospital including the main entry and new lobby. This is especially advantageous when placed in combination with vertical public access to the lCU and future bed floors and the parking level below. A connecting corridor along the eastern edge of the existing hospital will be established. On the clinical side, Page 2 of 4 Valley Medical Center Emergency Services Tower Project Narrative adjacency to the third floor surgery is immediate. Satellite imaging within the ED diminishes the importance for direct connection of the ED to imaging, while new staff/private elevators make travel between floors convenient. 3. Restrictions -Due to the elevations of Level 2 of the hospital building and South 43rd Street, the second level will lose access to daylight as it grows to the south. Also, the !loor to !loor heights of the existing hospital (12 fcet) and are not up to current standards for new construction. By moving the ED to the Level 3 we are able to break free of the constraints of the existing facility while also allowing for ample access to natural light. By building the new addition 30 feet away from the existing hospital, existing footings will not be disturbed, natural light access is enhanced for all floors and a vertical circulation zone is created. 4. Vehicular Access -There is a great deal of grade change across the site as it now exists (50 feet from the intersection of 43rd & Talbot to the tunnel below 43rd). Loss of site due to the new building will reduce the area available for vehicular circulation and access, exacerbating the issue. The ED demands an ease of vehicular access that was best achieved on the third floor. In the accepted scenario access works as follows: • ED Walk-in -east side of building, adjacent to, yet separated from, the main hospital entry • PI and P2 Public Parking -via ramp in front of the ED walk-in drive, off of the loop drive, also accessed from the west • Ambulance -Along the south face of the new expansion • Staff Parking -on the deck to the west of the ED and accessed off of a ramp up from the west. In order to achieve accessibility at these points the site will be filled to level around the building to an elevation of approximately 93'. West of the emergency vehicle access point the south loop road will drop to meet the existing loop road to the west, at 85' elevation, providing access to and from the 43rd street tunnel. The right-in/right-out 43rd Street entmnce/exit will be straightened and the slope reduced to nearly !lat. The walk-in entry plaza will be level with the new main entry plaza. Architecture: The building will be constructed with a 30'x 30' column grid. The ED !loor is larger than the !loors abuve. No column transfers will be necessary to accommodate parking. The bulk of the program space will be built 30 feet away from the south face of the existing hospital. Within the gap of 30 feet, vertical transportation and connections back to the hospital will occur. This space will also allow for penetration of natural light and views to the outside. Page 3 of 4 Design: Valley Medical Center Emergency Services Tower Project Narrative Discussions around the design direction with the client concerning the new addition have been two fold. • The building exterior should be a "beacon" and a "light". At four stories taller than the existing hospital building, the south addition will create the primary vision of the campus from the south and west While the 21 5t century feel of the tower is important, some historical characteristics of the building should be maintained through such things as material, geometry, color or openings. • Experience was passionately discussed as going well beyond the usual. To create a healing environment Connection to nature, spaciousness and progression were discussed. The goal is to design a flexible and technically advanced building that speaks to the human spirit as well as the human body. Departments: "Flexible" and "universal" are the key words for departmental organization. Same and similar size rooms will be organized in such a way that staff can easily flex for maximum efficiency. Construction Cost: The total construction cost is estimated to bc $56,000,000. This cost is escalated to an out to bid date of June 2007. Trees to be removed: There are a number oftrecs to be removed to clear the site for the new building and the regrade. Reuse and recycling areas The Emergency Services Tower Project will replace the existing emergency department and two inpatient bed floors. Within the emergency department there are four soiled utility rooms which contain space for trash and recyclable items collected form treatment and support spaces. Each inpatient bed floor has two soiled utility rooms which contain space for tmsh and recyclable items collected from patient rooms and support space. The tmsh and recyclables are tmnsported to another holding room adjacent to the elevators. From there they are transported to an area adjacent to the loading dock on the first floor of the main hospital. In this area, items are placed in a compactor, recycle containers or infectious waste containers. These containers are then transported to their respective locations for disposal off site. The existing main hospital operates in the same manner as the new tower project. There are numerous soiled holding areas on each floor of the building. Each department has at least one trash and recyclable area which eventually have their contents tmnsferred to the loading dock area. Items are kept separated and then transported to their designated locations for disposal off site. The requirement for recyclables is (2) two square feet per 1000 square feet of building and (4) square feet per 1,000 square feet of building for refuse. The total area for the new and existing building is 518,000 square feet. The required area for recyclables is 2 x 518=1036 SF. The required area for refuse is 4 x 518 = 2072 SF. The total is 3108 SF. We can do a detailed area take off of all the holding areas throughout the building, but we estimate the existing and proposed areas are substantially greater than the required minimum of 3,108 SF. We believe this system of collecting and disposal of recyclables and refuse implements the direction, policies and objectives of the land use plan. This system meets the objectives and safety, function, appearance, environmental protection and maintainability intended hy the code requirements, based upon sound judgment. This will not be injurious to other properties in the vicinity. (c) Whenever the Company shall have brought an action or interposed a defense as permitted by the provisions of this Guarantee, the Company may pursue any litigation to final determination by a court of competent jurisdiction and expressly reserves the right, in its sole discretion, to appeal from an adverse judgment or order. (d) In all cases where this Guarantee permits the Company to prosecute or provide for the defense of any action or proceeding, an Assured shall secure to the Company the right to so prosecute or provide for the defense of any action or proceeding, and all appeals therein, and permit the Company to use, at its option, the name of such Assured for this purpose. Whenever requested by the Company, an Assured, at the Company's expense, shall give the Company all reasonable aid in any action or proceeding, seruring evidence, obtaining witnesses, prosecuting or defending the action or lawful act which in the opinion of the Company may be necessary or desirable to establish the title to the estate or interest as stated herein, or to establish the lien rights of the Assured, If the Company is prejudiced by the failure of the Assured to furnish the required cooperation, the Company's obligations tn the Assured under the Guarantee shall terminate. 5. Proof of Loss or Damage. In addition to and after the notices required under Section 2 of these Conditions and Stipulations have been provided to the Company, a proof of loss or damage signed and sworn to by the Assured shall be furnished tn the Company within ninety (90) days after the Assured shall ascertain the facts giving rise to the loss or damage, The proof of loss or damage shall describe the matters covered by this Guarantee which constitute the basiS of loss or damage and shall state, to the extent possible, the basis of calculating the amount of the loss or damage. If the Company is prejudiced by the failure of the Assured to provide the required proof of loss or damage, the Company's obligation to such Assured under the Guarantee shall terminate. In addition, the Assured may reasonably be required to submit to examination under oath by any authorized representative of the Company and shall produce for examination, inspection and copying, at such reasonable times and places as may be designated by any authorized representative of the Company, all records, books, ledgers, checks, correspondence and memoranda, whether bearing a date before or after Date of Guarantee, which reasonably pertain to the loss or damage. Further, if requested by any authorized representative of the Company, the Assured shall grant its permission, in writing, for any authorized representative of the Company to examine, inspect and copy all records, books, ledgers, checks, correspondence and memoranda in the custody or conlrol of a third party, which reasonably pertain to the loss or Damage. All information designated as confidential by the Assured provided to the Company, pursuant to this Section shall not be disclosed to others unless, in the reasonable judgment of the Company, it is necessary in the administration of the daim. Failure of the Assured to submit for examination under oath, produce other reasonably requested information or grant permission to secure reasonably necessary information from third parties as required in the above paragraph, unless prohibited by law or govemmental regulation, shall terminate any liability of the Company under this Guarantee to the Assured for that daim. In case of a claim under this Guarantee, the Company shall have the following additional options: (a) To Payor Tender Payment of the Amount of liability or to Purchase the Indebtedness. The Company shall have the option to payor settle or compromise for or in the name of the Assured any claim which could result in loss to the Assured within the coverage of this Guarantee, or to pay the full amount of this Guarantee or, if this Guarantee is issued for the benefit of a holder of a mortgage or a lienholder, the Company shall have the option to purchase the indebtedness secured by said mortgage or said lien for the amount owing thereon, together with any costs, reasonable attorneys' fees and expenses incurred by the Assured claimant which were authorized by the Company up to the time of purchase, Such purchase, payment or tender of payment of the full amount of the Guarantee shall terminate all liability of the Company hereunder. In the event after notice of daim has been given to the Company by the Assured the Company offers to purchase said indebtedness, the owner of such indebtedness shall transfer and assign said indebtedness, together with any collateral security, to the Company upon payment of the purchase price. Upon the exercise by the Company of the option provided for in Paragraph (a) the Company's obligation to the Assured under this Guarantee for the claimed loss or damage, other than to make the payment required in that paragraph, shall terminate, including any obligation to continue the defense or prosecution of any litigation for which the Company has exercised its options under Paragraph 4, and the Guarantee shall be surrendered to the Company for cancellation. (b) To Payor Otherwise Settle With Parties Other Than the Assured or With the Assured Oaimant. To payor otherwise settle with other parties for or in the name of an Assured claimant any claim Assured against under this Guarantee, together with any costs, attorneys' fees and expenses incurred by the Assured claimant which were authorized by the Company up to the time of payment and which the Company is obligated to pay. Upon the exercise by the Company of the option provided for in Paragraph (b) the Company's obligation to the Assured under this Guarantee for the claimed loss or damage, other than to make the payment required in that paragraph, shall terminate, including any obligation to continue the defense or prosecution of any litigation for which the Company has exercised its options under Paragraph 4. 7. Determination and Extent of Liability. This Guarantee is a contract of Indemnity against actual monetary loss or damage sustained or incurred by the Assured daimant who has suffered loss or damage by reason of reliance upon the assurances set forth in this Guarantee and only to the extent herein described, and subject to the Exclusions From Coverage of This Guarantee. The Uability of the Company under this Guarantee to the Assured shall not exceed the least of: (a) the amount of liability stated in Schedule A or in Part 2; (b) the amount of the unpaid principal indebtedness secured by the mortgage of an Assured mortgagee, as limited or provided under Section 6 of these Conditioos and stipulations Of as reduced under Section 9 of these Conditions and Stipulations, at the time the loss or damage Assured against by this Guarantee occurs, together with interest thereon; or (c) the difference between the value of the estate or interest covered hereby as stated herein and the value of the estate or interest subject to any defect, lien or encumbrance Assured against by this Guarantee. 8. Umltation of Liability. (a) If the Company establishes the title, or removes the alleged defect, lien or encumbrance, or cures any other matter Assured against by this Guarantee in a reasonably diligent manner by any method, including litigation and the completion of any appeals therefrom, it shall have fully performed its obligations with respect to that matter and shall not be liable for any loss or damage caused thereby. (b) In the event of any litigation by the Company or with the Company's consent,. the Company shall have no liability for loss or damage until there has been a final determination by a court of competent jurisdiction, and disposition of aJi appeals therefrom, adverse to the title, as stated herein. (c) The Company shall not be liable for loss or damage to any Assured for liability voluntarily assumed by the Assured in settling any claim or suit without the prior written consent of the Company. 9. Reduction of Liability or Termination of Liability. All payments under this Guarantee, except payments made for costs, attorneys' fees and expenses pursuant to Paragraph 4 shall reduce the amount of liability pro tanto. 10. Payment of Loss. (a) No payment shall be made without produdng this Guarantee for endorsement of the payment unless the Guarantee has been lost or destroyed, in which case proof of loss or destruction shall be furnished to the satisfaction of the Company. (b) When liability and the extent of loss or damage has been definitely fixed in accordance with these Conditions and Stipulations, the loss or damage shall be payable within thirty (30) days thereafter. 11. Subrogation Upon Payment or Settlement. Whenever the Company shall have settled and paid a claim under this Guarantee, all right of subrogation shall vest in the Company unaffected by any act of the Assured daimant. The Company shall be subrogated to and be entitled to all rights and remedies which the Assured would have had against any person or property in respect to the claim had this Guarantee not been issued. If requested by the Company, the Assured shall transfer to the Company all rights and remedies against any person or property necessary in order to perfect this right of subrogation. The Assured shall permit the Company to sue, compromise or settle in the name of the Assured and to use the name of the Assured in any transaction or litigation involving these rights or remedies. If a payment on account of a claim does not fully cover the loss of the Assured the Company shall be subrogated to aU rights and remedies of the Assured after the Assured shall have recovered its principal, interest, and costs of collection, 12. Arbitration. Unless prohibited by applicable law, either the Company Or the Assured may demand arbitration pursuant to the Title Insurance Arbitration Rules of the American Arbitration Association. Arbitrable matters may indude, but are not limited to, any controversy or claim between the Company and the Assured arising out of or relating to this Guarantee, any service of the Company in connection with its issuance or the breach of a Guarantee provision or other obligation. All arbitrable matters when the Amount of Uability is $1,000,000 or less shall be arbitrated at the option of either the Company or the Assured. All arbitrable matters when the amount of liability is in excess of $1,000,000 shall be arbitrated only when agreed to by both the Company and the Assured. The Rules in effect: at Date of Guarantee shall be binding upon the parties. The award may indude attorneys' fees only if the laws of the state in which the land is located permits a court to award attorneys' fees to a prevailing party. Judgment upon the award rendered by the Arbitrator(s) may be entered in any court having jurisdiction thereof. The law of the situs of the land shall apply to an arbitration under the Title Insurance Arbitration Rules. A copy of the Rules may be obtained from the Company upon request. 13. Liability Umlted to This Guarantee; Guarantee Entire Contract. (a) This Guarantee together with all endorsements, if any, attached hereto by the Company is the entire Guarantee and contract between the Assured and the Company. In interpreting any provision of this Guarantee, this Guarantee shall be construed as a whole. (b) Any claim of loss or damage, whether or not based on negligence, or any action asserting such claim, shall be restricted to this Guarantee. (c) No amendment of or endorsement to this Guarantee can be made except bv a writing endorsed hereon or attached hereto signed by either the President, a Vice President, the Secretary, an Assistant Secretary, or validating officer or authorized signatory of the Company. 14. Notices, Where Sent.
