(a) Manager. The Owner hereby appoints the Manager as the exclusive manager and the exclusive leasing broker and agent of the Project with the responsibilities and upon the T3 Capital and Penta Commercial vanagement Rgreement Rev NEW 91812017 terms and conditions set forth herein, and the Manager, by its execution hereof, does hereby accept such appointment. (b) Commission Schedule. The Manager shall be paid a leasing commission as set forth in the commission schedule attached hereto and made a part hereof as "Exhibit C". It is understood and agreed that any and all sales, use, business and occupations tax, or other such taxes, charged or assessed against or attributable to the fees, costs and expenses charged by, or paid to, Manager shall be the obligation of Owner and shall be paid in full by the Owner. 1.2 Tax Numbers. The Manager's tax identification number is 61-1693713. The Owner's tax identification number is 27-3442919. 1.3 Office Space. If the Owner requires an on-site manager or administrative person for the Project, then the Owner shall provide rent-free office space in the Project to the Manager, which space shall be sufficient to accommodate the Manager, on-site manager and/or administrative person and its employees in the performance of its obligations hereunder. All costs and expenses of operating and maintaining such office space shall be paid for by Owner, which costs and expenses shall include but not be limited to providing adequate office furniture, equipment and supplies, heat, electricity and air conditioning, refuse removal, and other utilities and other costs and expenses related to such office space. 2. MANAGEM'ENTSERVIGES ©FMANAGER. 2.1 Orientation. (a) General. The Manager hereby acknowledges receipt of certain books and records with respect to the operation of the Project, personal property on the Project belonging to the Owner, and all service contracts relating to the maintenance and operation of the Project, all as more fully set forth in the schedule thereof attached hereto and made a part hereof as "Exhibit B". (b) Itemized Receipt. Upon request by the Owner at contract termination per Section 8.2, the Manager shall prepare and submit to the Owners a complete list of all books and records of the Owner held by the Manager, a list of all service contracts and a complete inventory of all personal property received by the Manager. 2.2 Management of the Project. The Manager shall devote its commercially reasonable best efforts consistent with first-class professional management to serving the Owner as manager of the Project, and shall perform its duties hereunder in a diligent, careful and vigilant manner so as to manage, operate, maintain and service the Project as a first-class commercial property. The services of the Manager hereunder are to be of a scope and quality not less than those generally performed by professional managers of other similar first-class complexes and properties in the area. The Manager shall make available to the Owner the full benefit of the judgment, experience and advice of the members of the Manager's organization and staff with respect to the policies to be pursued by the Owner in operating the Project, and will perform such services as may be reasonably requested by the Owner in operating, maintaining, servicing, improving and leasing the Project. 2.3 Use and Maintenance of the Project. The Manager agrees not to knowingly permit the use of the Project for any purpose which might void any policy of insurance held by the Owner or which might render any loss insured thereunder uncollectible, or which would be in violation of any governmental restriction, statute, ordinance, rule or regulation. It shall be the duty of the Manager at all times during the term of this Agreement to operate and maintain the Project according to the highest standards achievable consistent with the expressed plan of the Owner.
