HomeMy WebLinkAboutContractAGREEMENT with KING COUNTY LIBRARY SYSTEM FOR PROVIDING PERFORMERS AT SIX PARK LOCATIONS, STORY TIME AND A STORY WALK AT TWO PARK LOCATIONS Between City of Renton and King County Library System This Agreement, is executed as of the 6th day of June, 2024 (the “Commemcement Date”) by and between the City of Renton and a non-chater code city under RCW 35A.03 and a municipal corporation of the state of Washington (“City”) and King County Rural Library District d/b/a King County Library System, a Washinton rural library district (“KCLS”). 1.Name of Professional Service Provider: KCLS, a Washington rural library district (hereinafter “Provider”) Professional Service: KCLS will provide Entertainment/Entertainers at Six (6) park locations, provide story time at One (1) park and installation of story board pages mounted on metal frames along a walking path at Two (2) park locaitons, during the summer of 2024. In partnership, the City of Renton will supply the park space as well as any additional set-up requested from the presenter. 2.Scope of Engagement: KCLS is promoting literacy, with having performers to engage participants at the Summer Meals program sites and the Renton Farmers Market; promoting literacy at Story Time at Liberty Park; promoting health, and art appreciation using deconstructed children’s storybooks installed along walking paths at Two (2) park locations. At the start of the walk, people will begin to read posted pages of a children’s story and end the book at the end of the walking path loop. The City of Renton does not represent that any required minimum insurance, or waiver of such insurance, is adequate to protect Provider from financial liability created by Provider’s acts or omissions. 8.Reservation: Subject to constitutional or other legal limits, the City of Renton reserves the right to specify the manner, means and details of the performance of services by Provider as well as the mode in which the service shall be accomplished. 9.Additional Provisions: a. The City of Renton has the right to cancel the Engagement and/or this Agreement due to inclement weather or for any other reason, in which case the Provider is not entitled to any compensation. c. Provider shall maintain all records relating to the Engagement and retain such records for as long as required by applicable Washington State records retention laws, but in any event no less than six years after the last date of the Engagement. Provider agrees to provide access to and copies of any records related to the Engagement as required by the City for audit purposes or to comply with the Washington State Public Records Act (Chapter 42.56 RCW). The provisions of this section shall survive the expiration or termination of this Entertainment Agreement. d. The City of Renton maintains licenses with the American Society of Composers, Authors and Publishers (ASCAP) and Broadcast Music Incorporated (BMI). Provider is responsible for obtaining any and all required forms of permission that extend beyond the City of Renton’s copyright obligations. e. Provider, and its agents or assigns, agrees to release, indemnify, defend, and hold harmless the City of Renton from any and all claims from any person or entity which may arise due to any act or omission, whether or not intentional, by Provider or anyone acting on Provider’s behalf. f. The nature of the relationship between Provider and the City of Renton under this Agreement shall be that of an independent contractor, not employee, consultant, or agent. g. To the extent a Provider-prepared attachment conflicts with the terms in the body of this Agreement or contains terms that are extraneous to the purpose of this Agreement, the terms in the body of this Agreement shall prevail, and the attachment’s extraneous terms shall not be incorporated herein. h. The laws of the State of Washington shall apply to this Agreement. i. Provider and the City of Renton may execute this Agreement in any number of counterparts, each of which shall constitute an original, and all of which together constitute this one Agreement. This Agreement contains the entirety of the agreement between the parties. No further agreements have been made between the parties. Limits may be increased for higher than usual or special liability exposures. x $1,000,000 combined single limit for Auto Liability. Required if a commercial vehicle will be used in performance of work or delivery of products, beyond normal commutes. x Proof of Workers’ Compensation coverage, as required by the State of Washington (provide the Washington L&I or excess coverage policy number). x Excess Liability or Umbrella. Required only if needed to reach minimum CGL or auto liability coverage limits. x $1,000,000 Professional Liability.Required if professional services (e.g. architect, engineering, surveying, legal, or medical) are being provided to the city and if those professional services are excluded from the CGL policy. x $1,000,000 Pollution Liability. Required if work involves a pollution risk to the environment. x $2,000,000 Cyber Liability Insurance. Required for information technology professional services agreements. Limits may be higher for special liability exposures. x Builders Risk.May be required up to the amount of the completed value of a new building or major construction project. x $1,000,000 per occurrence Aircraft Liability (Single Limit Bodily Injury and Property Damage Liability). Required coverage only for aircraft tie-down leases. Additional requirements unique to the City of Renton: x Name the City of Renton as a certificate holder and a Primary and Non-Contributory Additional Insured on the policy. This requirement applies to Commercial General, Auto Liability, Excess/ Umbrella, Special Event, and Aircraft Liability policies; it does not apply to Professional Liability, Workers’ Compensation, nor Cyber Insurance. x dŚĞĞƌƚŝĨŝĐĂƚĞ,ŽůĚĞƌƐŚŽƵůĚƌĞĂĚ͗ x The City shall be provided with written notice of any policy cancellation within a minimum of two business days of receipt of such notice by the policy holder. x The city does not represent that the minimum required insurance coverage or limits are adequate to protect the vendor/contractor/consultant from all liabilities. x Insurance certificate requirements and minimum limits can only be waived or modified with Risk Manager approval.
