ADDENDUM TO LEASE AGREEMENT
(City of Renton to Pro - Flight Aviation)
THIS ADDENDUM to Lease Agreement LAG 99 -002 is effective as of the date
of execution by the City of Renton, as indicated on the last page of this addendum.
RECITALS:.
WHEREAS, Pro-Flight Aviation has a Lease Agreement with the City of Renton,
LAG 99 -002; and
WHEREAS, The Boeing Company has a Lease Agreement with the City of
Renton, LAG 877 -65, that included a portion of the north end of Apron B; and
WHEREAS, on March 16, 2004, The Boeing Company terminated approximately
6,181 square feet at the north end of Apron B, including an oil -water separator and
compressed air station, see Exhibits A -1 and A -2; and
WHEREAS, Pro -Flight Aviation desires to amend its Lease to add 5,124 square
feet of the portion of Apron B terminated by The Boeing Company, see Exhibit A -3; and
WHEREAS, The City of Renton and Pro- Flight Aviation removed all above-
ground structures pertaining to The Boeing Company's abandoned compressed air
station, and The'Boeing Company will need periodic access to the.Pro-Flight leased area
to maintain the underground air line; and
WHEREAS, The Boeing Company will retain an electrical sub - station within this
same area, and will need periodic access to the Pro - Flight Aviation leased area for service
and maintenance; and
i WHEREAS, The Boeing Company will retain a fire water line within this same

area, and will need periodic access to the Pro - Flight Aviation leased area for service and ..
maintenance; and

WHEREAS, The City of Renton will need access to the Pro Flight Aviation leased
area to periodically maintain the oil -water separator, and
WHEREAS, the Lease Agreement LAG -99 -002 establishes the Purpose for the
leased area identified in Exhibit A -3; and
WHEREAS, the Purpose identifies the Use of Premises for the leased area; and
WHEREAS, the Use of Premises established that the leased area shall be used for
the purpose of maintenance of aircraft; and

WHEREAS, the Use of Premises established that the leased area shall be used for
storage of aircraft at outdoor tiedown locations; and
WHEREAS, the Use of Premises established that the leased area shall be used for
commercial aircraft services including flight training and aircraft leasing; and
WHEREAS, the Use of Premises established that the leased area shall be used for
maintaining a business office during normal business hours, five days per week; and
WHEREAS, the Parties desire to expand the Use of Premises identified in Lease
Agreement LAG -99 -002 to add retail sale of aircraft fuel to the public; and
WHEREAS, the Lessee desires to install above ground fuel tanks with a spill
containment pad and an oillwater separator; and
WHEREAS, in 1998, the starting date of the Lease Agreement LAG -99 -002, the
land rental rate for the approximately 30,471 square feet was established at $0.28 per
square foot per year and continued until July 31, 2001; and
WHEREAS, on July 31, 2001; and for the ensuing three (3) year period, the land
rental rate was adjusted, using the Consumer Price Index - Urban, to a rate of $0.3066 per
square foot per year, resulting in an annual rental amount of $9,342.41, and continuing
until July 31, 2004; and
WHEREAS, the land rental rate has been adjusted by and between both parties,
effective July 31, 2004, and for the ensuing three (3) year period using the Consumer
Price Index - Urban.
NOW, THEREFORE, IT IS HEREBY AGREED AND COVENANTED BY AND
BETWEEN THE CITY OF RENTON AND THE ASSOCIATION AS FOLLOWS:
WITNESSETH:
1. The Lessor and Lessee do hereby agree to amend Paragraph Ia. of Pro - Flight
Aviation's lease, LAG 99 -002, to add to its leased premises 5,124 square feet of
the portion of Apron B identified in Exhibit A -3, for a total leased area of 35,595
square feet; and
2. The Lessor and Lessee do hereby agree that Exhibit A -3, Legal Description,
attached hereto, of the northern most portion of Apron B, is made a part hereof;
and
3. The Lessor and Lessee agree that the Lessor may periodically access the leased
area to maintain the oil water separator,

4. The Lessor and Lessee agree that The Boeing Company may periodically access
the leased area to maintain Boeing owned utilities;
5. The Lessor and Lessee agree to amend the original Lease Agreement LAG -99 -002
.in the following manner; Paragraph 7 of LAG -99 -002 is amended to read as
follows:
7. PURPOSE:
7a. Use of Premises: The Premises are leased to the Lessee for the following
describes purposes:
7a(1) The maintenance of aircraft within the privately -owned hangar building
identified as 540 West Perimeter Road, available as a service to the public
.7a(2) The storage. of aircraft at outdoor tie -down locations, available as a
service to the public.
.7a(3) The conduct of Lessee's commercial aircraft services including flight
training and aircraft leasing, available as a service to the public.
7a(4) Lessee must maintain a business office during normal business hours,
five days per week, with the building identified as 540 West Perimeter Road.
7a(5) The sale of.Avgas and Jet A to the public in accordance with the Airport
Rules and Regulations and Minimum Standards for Commercial. Service
Providers at Renton Municipal Airport.
6. Lessor and.Lessee agree that the Lessee shall_ retain ownership of the above
ground fuel tank(s) installed on the leased area at the normal expiration of the
term of this Lease (LAG- 99 -002), to wit, July 31, 2018, or at the end of executed
extensions thereof, if any, as provided with the Lease LAG -99 -002, but in no case
later than July.31, 2028. Lessor and Lessee agree that the spill containment pad,
oil water separator and associated piping and electrical. connections shall be
considered to be improvements and subject to Section 10 IlVIPROVEMENTS of
LAG -99 -002.
7. Lessor and Lessee do further agree that the difference between the CPI -U of
August 1, 2001 to July 31, 2004, is 7.2% (193.4- 180.4= 13/180.4 =.072 or 7.2 %).
This results in an annual rate increase from $0.3066 to $0.3287 per square foot
(.3066 x 1.072 = $0.3287); and

8. The Lessor and Lessee do hereby agree to an annual land rent of $11,700.08 for
the 35,595 square feet (35,595 x $0.3287 = $11,700.08) identified in Exhibit A -3;
and
9. Lessor and Lessee do hereby agree that the annual land rent rate in Paragraph 4
shall remain in effect until August 1, 2007, and, effective as of that date the rental
rate shall automatically be readjusted by and between the parties as specified in
Paragraph 3 of the Lease Agreement, using the increase of the Consumer Price
Index, and for each three (3) year period thereafter. Minimum base rental for any
extended period shall not be less than the current annual rental of $11,700.08; and
10. Lessor and Lessee do hereby further agree that the Consumer Price Index
information to be used for rental adjustments shall be the Consumer Price Index-
Urban (CPI -U) then in effect for all urban consumers, as published by the US
Department of Labor for the Seattle - Tacoma Metropolitan Area; and
11. Lessor and Lessee do hereby further agree that at least thirty (30) days prior to the
Rental Adjustment Date either party shall, if they desire to adjust the base land
rental rate for the ensuing three (3) year period by a means other than the
Consumer Price Index- Urban, provide to the other party a written request for
readjustment of the rental rate pursuant to RCW 14.08.120(5).

THIS ADDENDUM to Lease Agreement LAG 99 -002 is effective as of the date

square foot per year and continued until July 31, 2001; and
WHEREAS, on July 31, 2001, and for the ensuing three (3) year period, the land
rental rate was adjusted, using the Consumer Price Index- Urban, to a rate of $0.3066 per
square foot per year, resulting in an annual rental amount of $9,342.41, and continuing
until July 31, 2004; and
WHEREAS, the land rental rate has been adjusted by and between both parties,
effective July 31, 2004, and for the ensuing three (3) year period using the Consumer
Price Index- Urban.
NOW, THEREFORE, IT IS HEREBY AGREED AND COVENANTED BY AND
BETWEEN THE CITY OF RENTON AND THE ASSOCIATION AS FOLLOWS:
WITNESSETH:
1. The Lessor and Lessee do hereby agree to amend Paragraph 1 a. of Pro - Flight
Aviation's lease, LAG 99 -002, to add to its leased premises 5,124 square feet of
the portion of Apron B identified in Exhibit A -3, for a total leased area of 35,595
square feet; and
2. The Lessor and Lessee do hereby agree that Exhibit A -3, Legal Description,
attached hereto, of the northern most portion of Apron B, is made a part hereof,
and
3. The Lessor and Lessee agree that the Lessor may periodically access the leased
