CONSENT OF MANAGER
The undersigned, being the sole Manager of Segale Properties LLC, a
washington limited liability company (the "compafr!,,), by this instrument hereby
consents to the adoption of the following resolutions and hereby waives any notices
required by law with respect thereto:
DELEGATION OF CONTRACTING AUTHORITY
WHEREAS, pursuant to Section 3.4 of the Company's Amended and Restated
Limited Liability company Agreement, as amended, the Manug.r may, by separate
resolution, delegate responsibilities to third parties;
Now, THEREFORE, BE IT RESOLVED rhar Mark A. segale is hereby
designated as Vice President of the Company, and in such capality ir hereby
authorized to commit the Company to the purchase, sale or lease, ur l"rrt, or lessee,
or as a participant in any such transaction, of real or personal property, tangible orintangible, or products or services, to make or participate in any rurh pu..t aie, saleor lease on credit, and to execute contracts, leises, deeds, bilis of saie, easements,
trust agreements, guarantees, indemnities, licenses and permits and other instruments
with respect to any of the foregoing, and that the person named above shall have the
authority to delegate in writing all or any part oi such authority to such person orpersons as he may from time to time deem advisable, the authority so delegated toremain in full force and effect in accordance with the terms of the delegation; andthat the person named above is authorized to revoke in writing the authoiity of said
designated person or persons, such authority to remain in fuliforce and effect until
revoked by resolution of the Manager of the Company.
RESOLVED FURTHER, that any and all actions taken by Mark A. Segale, in
an official capacity in the name and on behalf of the Company irior to the effective
date of this Consent, whether as Vice President or authorized agent or in any other
capacity, which actions are commensurate with the authority granied by the foiegoing
resolution, are hereby ratified, confirmed and approved in alirespects.
RESOLVED FURTHER, that any delegations of authority adopted prior to
the date hereof are hereby revoked, including, without limitation, any tetegation of

authority to John Lamb as Authorized Agent of the Company with respect to the
lease of real property.
