AGREEMENT
This agreement is entered into between Barbee Forest Products, Inc. and the City of
Renton and is effective on the date when it is signed by all parties.
WHEREAS, Barbee Forest Products, Inc. has sued the City of Renton under the Land
Use Petition Act and has filed a separate action for declaratory and injunctive relief and for
damages; and
WHEREAS, those two cases have been combined for trial; and
WHEREAS, Barbee Forest Products, Inc. has three appeals pending before the City of
Renton's Hearing Examiner; and
WHEREAS, the lawsuits and appeals described above concern certain development
applications filed, or presented for filing, on or about July 20, 2000, and on or about August 14,
2000 (LUA-00-I I I), seeking permits to develop certain real property (the "Property") within the
City of Renton; and
WHEREAS, the parties wish to resolve their differences.
NOW THEREFORE the parties do hereby agree as follows:
1. Barbee will dismiss its pending lawsuits against the City of Renton and further
dismiss its pending administrative appeals before the Renton Hearing Examiner.
2. Barbee filed development applications with the City of Renton on or about
December 21, 2001, Application No. LUA01-173 and December 26, 2001, Application No.
LUAO1-174 (the "Applications") concerning the Property. The City of Renton agrees that the
completed Applications will vest to the development regulations in place as of July 20, 2000, and
that the City of Renton will apply such July 20, 2000 development regulations to the
CAWINDOWS\Temporary Internet Files\OLKD1A2W0053AGM.DOC

Applications, provided, however, that the City will not apply the requirement, embodied in
Ordinance 4802 and in subsequently enacted Ordinance 4850, that all adjacent or abutting COR-
zoned properties must be included in any permit application or Level II site plan for any COR
zoned property.
3. The development regulations to which the Applications are vested shall not imply
that the City is in any fashion vesting this project as to any state or federal regulations.
4. The vesting of the project described in the Applications shall not apply to any
City of Renton mitigation fees, connection fees or similar fees.
5. This Agreement may be signed in counterparts.

Project Narrative for the Barbee Mill Site Redevelopment
The applicant is seeking Level 11 Site Plan approval for a mixed -use development
proposal on the Barbee Mill site, located at 4300 Lake Washington Boulevard in Renton.
The property is 22.9 acres situated in north Renton, on the easterly shore of Lake
Washington, adjacent and west of the Burlington Northern Railroad and Lake
Washington Boulevard, and south of NE 44`h Street.
The property is zoned COR 2 (Center Office Residential, Port Quendall Site), and is
adjacent to CDR 2 zoned property to the north and Residential zoned properties to the
south and east.
The site is currently used for lumber production; mainly specialty cuts, and is no longer
in mass production mode. Approximately 15 lumber mill production and storage
buildings with an associated office building exist on site. Many of the production and
storage buildings are unused and not well maintained. The site is largely impervious,
approximately 74%, with the exception of the May Creek corridor.
The site is adjacent to Lake Washington on the west and May Creek flows through the
property along the east side into Lake Washington. The area of the site proposed for re-
development is relatively flat at approximately 0% to 2% slope. The corridor along May
Creek is the steepest area on the site, sloping down to the creek at approximately 35% to
40%.
The soils known to be on site are generally Norma sandy loam (refer to the Golder
Associates geotechnical report originally dated August, 2000 (re -issued without
amendment in December 2001) for specific on -site soil data). The site does not currently
have any storm water retention or water quality facilities in place. Based on the existing
site conditions, storm water sheet -flows directly into Lake Washington. The proposed
project will improve these existing conditions by providing storm water quality facilities
prior to discharge into Lake Washington.

The project involves the construction of eight new buildings consisting of approximately
619 condominium units, 50,000 square feet of retail space, 112,000 square feet of office
space, and 30,000 square feet for a hotel. The joint access across the adjacent property to
the north and the proposed internal circulation along with proposed building locations has
been planned in consideration of the adjacent COR-2 zoned property. The two proposed
northerly cul-de-sacs could become round-abouts in the future with an extension of these
internal roadways into the adjacent property. One existing building located within the
inner harbor line of Lake Washington is proposed for renovation into a 12,000 square
foot restaurant and retail establishment. It is difficult at this time to determine the
estimated construction cost and estimated fair market value of the completed project.
Once the City approves a Level 1 and Level 2 Site Plan, these estimates can be better
calculated based on the final approved magnitude and design of the project.
The City of Renton Development Regulations outright permit 16 to 25 dwelling units per
net acre, with allowance for a bonus density of 2 dwelling units per net acre for each
provision met. The proposal includes the provision of continuous pedestrian access to the
shoreline with a circulation pattern throughout the site, provision of view corridors from
upland boundaries to the shoreline, plus the provision of water related uses. Thus, the
development involves a proposed residential density of 30 units per net acre.
Four of the new buildings will be dedicated solely to condominium units, ranging from 4
to 6 stories in height. Two buildings will be mixed -use accommodating condominiums
with retail on the ground floor, ranging from 6 to 7 stories in height. One 4- to 6-story
building will provide both condominiums and a hotel. One building will be dedicated
solely to office space, 9 stories high. The site will require grading and excavation of the
existing asphalt to construct the new building pads, roadways and install extensive
landscaping throughout the site. The amount of material involved for grading and filling
activities has not been estimated at this time, but the site will generally require export of
excess soil material.
Parking for the development, approximately 1,948 total stalls, will be provided mainly
underneath the new buildings, with the exception of approximately 100 surface parking
stalls for use by the restaurant/retail and marina facilities and on -street parking for the
ground level retail. Vehicular access to the site will be provided at the northeast comer
of the property via an existing access easement with the neighboring property to the north
to Lake Washington Boulevard. A secondary access for emergency services will be
provided near the southeast comer of the property. Internal roads, with sidewalks and
landscape planters, will be constructed for access to the buildings and parking areas.
The site will be landscaped with native vegetation and buffer enhancements along the
May Creek corridor and Lake Washington. All significant trees are to be retained, as
they exist within the buffer area of May Creek. Pedestrian linkages, involving trails and

sidewalks, will be created to provide access between buildings and to the shoreline.
Plaza and open space areas will also be provided to combine natural areas with the built
environment.
In order to effectively screen collection areas used for recyclable materials and trash, it is
anticipated that these areas will be incorporated into the parking areas, under building
footprints. Therefore, design review of these areas would take place during construction
plan check.
The site plan also displays a conceptual layout for a new dock and approximately a 120-
slip marina west of the proposed restaurant. While these features are shown on the
conceptual site plan, they are not part of the subject proposal.
This mixed -use development proposal will create housing and employment for local
residents, as well as a venue to attract tourists and business travelers. The integration of
this high quality urban development with the natural environment of Lake Washington
and May Creek will provide a gateway to the City.

Dear Mr. Dunlap:
Thank you for your recent land use application submittal requesting Level II Site Plan and
Environmental Review for the above referenced proposal. The materials submitted at our offices
on Monday, August 14, 2000 do not meet the minimum requirements for an application submittal
as defined in RMC 4-8-120D. The following items were not included:
1. King Coun!y Portion of the Proposal: The City of Renton can not accept, nor process,
a land use application for proposals outside of the City's jurisdictional boundaries
(including SEPA, Site Plan and Shoreline Permits). Any reference to the proposed
improvements on the portions of the site located within unincorporated King County must
be eliminated from the application package.
2. Authorization for Ad'acent 1 Underwater Property: Authorization from the
Department of Natural Resources (DNR), as well as verification of a lease agreement, will
be necessary for the proposed off -site improvements (i.e., marina, restaurant, roadways).
Authorization must also be provided for any on -site portions of the property which the
State of Washington has rights to (as referenced under item #9 of the title report).
3. Traffic Report: The traffic report is not adequate to consider the impacts of the proposal.
At a minimum, the traffic report must provide an analysis of intersections and
transportation impacts to 1-405 and the interchanges at NE 441" Street and NE 3e Street.
The report must also consider the cumulative impacts of other projects in the area, such
as the Tamaron Pointe Apartments, the Labrador Plat (a.k.a., Clover Creek), and the
Southport development. In addition, traffic distribution, trip generation from the proposed
marina, and the access driveway or driveways from the project must be addressed in the
report. A discussion of suitable mitigation measures must also be included. It is strongly
recommended that the applicant's engineer contact the City to discuss a scope of work
before proceeding with preparing the traffic study for this project.
4. Revised Parking Anal sis: The parking analysis must be amended in order to clarify
the number of residential units included with the project_ Sheet 2 of 10 indicates 619
residential units are proposed. The project narrative and SEPA checklist reference 620
proposed units. A total of 1,085 residential (unit and guest) parking spaces would be
required as opposed to the 1,084 parking spaces indicated on the plan.
In addition, the number of rooms proposed within the 30,000 square foot hotel must be
provided so that adequate parking for the hotel, based on one parking space per guest
room, plus 2 spaces for every 3 employees, may be verified. The total amount of parking
required for the site must also be corrected to accurately reflect the corrections listed
above, as well as to exactly equal the sum of the numbers listed in the table. Otherwise,
the applicant may request a parking modification in order to provide less than the
minimum amount of on -site parking spaces required by code.

5. Letter of Authorization: Documentation is required which demonstrates "Robert Cugini" is
an authorized representative of Barbee Forest Products, Inc. VS-

6. Authorization for Adiacent Properties: Authorization is required from all adjacent and
abutting property owners pursuant to RMC 4-2-120B, which requires: "all adjacent and
abutting properties with COR zoning per RMC 4-2-120B shall be included in a Level II Site
Plan for the entire zone to be approved in accordance with requirements in RMC 4-9-
200." Furthermore, as clarified under City of Renton Ordinance 4850: "for property zoned
COR the site plan must include and be signed by owners of all adjacent and abutting
properties with COR zoning are required by RMC 4-2-120.B."
7. Revised Site Plan: Pursuant to Ordinance #4850, the Site Plan must include all
adjacent and abutting properties with COR zoning including existing structures and
improvements.
_4. Revised PMT Reductions and Display Maps: New Photo Mylar Transfer (PMT)
reductions, as well as display maps, are required for the revised plans.
The materials submitted to the City on Monday, August 14, 2000 do not meet the minimum
requirements for a Level II Site Plan application submittal as defined in RMC 4-8-120D. The
application is considered to be INCOMPLETE, and is NOT ACCEPTED for review.
Furthermore, City Council Resolution 3466, imposes a moratorium on the permitting of all
development in the COR 2 Zone and the acceptance of all development applications in that zone.
Council has set a public hearing date of September 18, 2000 to accept public testimony on
whether or not the City should continue this moratorium. Resolution 3466 states that the
moratorium shall be in place for six (6) months unless extended or renewed. A copy of the
Resolution is included as an enclosure. Therefore, since the application is INCOMPLETE, and
NOT ACCEPTED for review, the City will not accept any further materials associated with the
application, until such time that the City Council rescinds the moratorium on the permitting or
acceptance of development applications for proposals in the COR 2 Zone.
Since Resolution 3466 does not allow acceptance or processing, the application is being returned
under separate cover and a refund of all application fees is being processed.
The following code -related issues have also been identified in the initial review of the application
and have been provided as a courtesy for the applicant's consideration:
The retail component proposed with a restaurant in the existing structure is not permitted
per footnote #68 of the use table (RMC4-2-080A_68). Retail uses are allowed as
"secondary" uses and cannot be located within an independent structure. Even tiiough
restaurants over 5,000 square feet are exempt from this requirement, restaurant use is
still considered a "secondary' use, not a "primary" use.
• The project proposes to construct within 25 feet of the Category 3 wetland. Although a
reduction in buffer width may be requested, such buffer areas are not permitted to be less
than 25 feet in width without approval of a variance from the Critical Areas Regulations
(RMC section 4-3-050.E.6.e.2). If a variance is requested, justification for the applicable
variance criteria pursuant to RMC 4-9-250.13.6 must be included with the land use
application.
• The proposal includes three (one roadway and two pedestrian) crossings over May
Creek. In order to disturb areas within 25 feet of the creek, a variance from RMC 4-4-
130.D.3 of the Tree Cutting and Land Clearing Regulations would be necessary.
• The submitted plans indicate a 25-fool building setback line from the ordinary high water
mark of Lake Washington. However, RMC 4-3-090.L.5.d of the Shoreline Master
Program requires a 50-Foot setback for all commercial buildings. If a Shoreline variance

is requested, written justification for the six -variance criteria as fisted under RMC 4-9-
190.1.4.b must be submitted with the application. Please note the variance criteria is
different for each of the three variances discussed above.
The subject site also contains critical habitat areas for fish species listed under, or for
consideration by, the Endangered Species Act. Through the Environmental Review of the
proposal, it is likely that a Biological Assessment, which analyzes the potential adverse
impacts to such species, would be required.
--- Once the moratorium has been lifted, the applicant may choose to revise the application to
address the code related issues discussed above or submit the necessary variance requests with
the formal land use application. In either case, it is recommended that a pre -application
conference be conducted in order to discuss these issues in depth.
We have attempted to identify all areas of concern in the initial review of the application for
acceptance. Please be aware that unidentified issues may arise subsequent to a more thorough

As you know, there was a submittal on this project in August 2000, which the City considered
incomplete, as evidenced by your letter to me dated August 28, 2000 (copy attached).
In your letter, you identified eight (8) items that the City determined to be lacking in the original
application. While the Applicant believes the prior application was counter -complete and
reserves all rights to that position, and without acknowledging or agreeing that the prior
application was incomplete, we provide the following responses to the August 28, 2000 letter,
along with the application being submitted this date.
RESPONSES
ITEM 1: The letter was not precise as to those portions of the application the City believed were
beyond its jurisdiction. However, we only expect the City to review and process those portions
of the project over which the City has jurisdiction. The restaurant and Marina (assuming that is
what you are referring to) are integral parts of the site plan and are necessary to be identified and
described in order to demonstrate public access to the shoreline and other amenities; the site plan
requirements indicate this information is to be shown. The applicant will undertake the
permitting with applicable regulatory agencies and jurisdictions as necessary to develop the areas
not within the City's jurisdiction.
ITEM 2: As the application is processed and off -site improvements are identified, the Applicant
will seek required approvals from other regulatory and permitting agencies, such as the
Department of Natural Resources. The Applicant acknowledges that the City of Renton has
limited jurisdiction and that other regulatory and permitting agency approvals may be required in
the future.

ITEM 3: The application includes a traffic report prepared by The Transpo Group dated August
2000. The Applicant recognizes that there will be traffic impacts associated with the proposed
development. Further, the Applicant believes that a limited scoped EIS to analyze traffic impacts
may be required as part of the SEPA review process. The EIS process will identify the scope of
the required traffic analysis. The Transpo Group report will be updated as required by the City
as part of the SEPA process.
ITEM 4: The parking numbers have been changed so they are consistent throughout. The
number of rooms proposed within the hotel has also been provided and the table updated to
reflect an accurate accounting.
ITEM 5: Documentation stating that Robert Cugini is authorized to sign for Barbee Forest
Products is attached.
ITEM 6: See enclosed letter. The Applicant has no control over adjoining property owners and
cannot compel their signatures.

Purpose of Checklist: The State Environmental Policy Act (SEPA), chapter 43.21 C RCW,
requires all governmental agencies to consider the environmental impacts of a proposal
before making decisions. An environmental impact statement (EIS) must be prepared for all
proposals with probable significant adverse impacts on the quality of the environment. The
purpose of this checklist is to provide information to help the City of Renton's Responsible
Official and any other agencies with jurisdiction to identify impacts from a proposal (and to

11. Give brief, complete description of the proposal, including the proposed uses and the
size of the project and site. There are several questions later in this checklist that ask
you to describe certain aspects of your proposal. You do not need to repeat those

The proposal is for the construction of a mixed -use re -development on a 22.91-
acre site located in the COR 2 zone, as defined in the City of Renton Development
Regulations. The project will involve the construction of eight (8) new buildings
consisting of approximately 619 condominium units, 50,000 square feet of retail
space, 112,000 square feet of office space, and 30,000 square feet for a hotel. The
proposal also involves the renovation of an existing 12,000 square foot building
into a restaurant/retail establishment and construction of an approximate 120-slip
marina. All parking, approximately 1,948 stalls, will be provided underneath the
buildings, except for 100 surface parking stalls for the restaurant and marina and
on -street parking for ground level retail.

Four of the new buildings will be devoted solely to condominium units with
associated parking. Two buildings will accommodate condominiums with retail
on the ground floor. One building will house condominiums and the hotel. The
final building will be solely for office use.
Vehicular access will be provided at the northeast corner of the property via an
existing access easement with the neighboring property to the north to Lake
Washington Boulevard. Internal roads will be constructed for access to the
buildings and parking areas. Pedestrian linkages, involving trails and sidewalks,
will be provided throughout the site. The project will provide open
spaceivegetative buffers along May Creek and Lake Washington.
Site development will require demolition of 15 existing lumber production and
storage buildings and one office building. Please refer to the conceptual site
plan prepared by Triad Associates dated July 14, 2000.
12. Location of the proposal. Provide a street address, if any, and section, township, and
range, if known. If a proposal would occur over a range of area, provide the range or
boundaries of the site(s). Provide a legal description, site plan, vicinity map, and
topographic map, if available.
The subject property is situated on 22.91 acres, located within the jurisdictional
boundaries of the City of Renton in the NW 1/4 of Section 32 Township 24 North,
Range 5 East W.M. The site is located in the southern portion of an area known
as the Port Quendall site, on the easterly shores of Lake Washington, adjacent
and west of the Burlington Northern Railroad (BNRR) and Lake Washington
Boulevard, and south of NE 44" Street. Please refer to the legal description, site
plan, and vicinity map submitted as part of the Level II Site Plan application.
B. ENVIRONMENTAL ELEMENTS
1. Earth
a. General description of the site (circle one): flat, rolling, hilly, steep slopes,
mountainous.
b. What is the steepest slope on the site (approximate percent slope)?
Based on the existing topography of the site, the steepest slope on the site is
located along the 6- to 10-foot high bank of the May Creek corridor at
approximately 35% to 40% slope. The remainder of the site, the area
proposed for re -development, is relatively flat at approximately 0% to 2%
slope.
c. What general types of soils are found on the site (for example, clay, sand, gravel,
peat, and muck)? if you know the classification of agricultural soils, specify them
and note any prime farmland.
According to the Geotechnical Feasibility prepared by Golder Associates, the
site is primarily fill underlain by organic silts and silty clays, which are
interbedded with silty fine to medium sands. Please refer to the Geotechnical
report for more detail.
d. Are there surface indications or history of unstable soils in the immediate vicinity? If
so, describe.

2. Air
There are no apparent indications of unstable soils on -site or in the
immediate vicinity. According to the King County Sensitive Areas Map, there
are no erosion, landslide or seismic hazard areas within close proximity of
the site.
e. Describe the purpose, type, and approximate quantities of any filling or grading
proposed. Indicate source of fill.
Grading of the site will be necessary to clear the existing asphalt and prepare
building pads, internal roads and utility improvements. The amount of
material involved for grading and filling activities has not been estimated at
this time, but the site will generally require export of excess soil material.
f. Could erosion occur as a result of clearing, construction, or use? If so, generally
describe.
Some erosion could occur on -site as a result of construction activities;
however, temporary erosion and sedimentation control measures to be
approved by the City of Renton will be employed to reduce erosion impacts.
g. About what percent of the site will be covered with impervious surfaces after project
construction (for example, asphalt or buildings)?
Based on preliminary calculations prepared by Triad Associates,
approximately 46 percent of the re -developed site will be covered with
impervious surfaces, which include, but are not limited to, internal roadways,
parking areas, sidewalks, and rooftops. The total proposed impervious
surface area will be less than the existing impervious area, which is
approximately 74 percent of the total site.
h. Proposed measures to reduce or control erosion, or other impacts to the earth, if
any:
During construction, the contractor will follow an approved temporary
erosion and sedimentation control plan meeting City of Renton standards.
Typical measures, which may be employed, include the use of silt fences,
straw bales, and temporary storm drainage features. Hydroseeding exposed
soils and cleared areas after construction will also reduce the potential for
erosion.
a. What types of emissions to the air would result from the proposal (i.e., dust,
automobile, odors, and industrial wood smoke) during construction and when the
project is completed? If any, generally describe and give approximate quantities if
known.
Construction:
Emissions and dust particulates generated primarily by construction
equipment will be produced during the construction phase of this project.
The amount of emissions to the air will be minimal and will occur during the
actual construction of the development.
Lona Term Air Qualiity:
Sources of on -site long-term emissions and odor could include vehicle
emissions from increased vehicle use generated by the new residential units,

office, hotel and restaurant use. The additional vehicular emissions in these
areas are not anticipated to concentrate and therefore are not anticipated to
create a health hazard to the potential residents or surrounding areas.

c. Proposed measures to reduce or control emissions or other impacts to air, if any:
If particulates become suspended during construction, frequent watering of
the site during the construction phase of the project could help control dust
and other particulates generated on the site.
3. Water
a. Surface:
1) Is there any surface water body on or in the immediate vicinity of the site
(including year-round and seasonal streams, saltwater, lakes, ponds, and
wetlands)? If yes, describe type and provide names. If appropriate, state what
stream or river it flows into.
According to on -site evaluation and the King County Sensitive Area Maps
(Wetlands & Stream Classifications), May Creek, a Category 1 stream, runs
through the southeast portion of the property flowing into Lake
Washington, which is located on the west side of the property. According
to the Wetland Determination Report prepared by David Evans and
Associates, Inc. dated May 1997, a Category 3 wetland exists off -site along
the eastern property line, within the BNRR right-of-way.
2) Will the project require any work over, in or adjacent to (within 200 feet) the
described waters? If yes, please describe and attach available plans.
Yes. The proposal involves construction of a marina within Lake
Washington, restoration of an existing building within 10 feet of the lake
and construction of new buildings and roads approximately 50 feet from
May Creek and Lake Washington. Construction will also occur within 25
feet of the Category 3 wetland.
3) Estimate the amount of fill and dredge material that would be placed in or
removed from surface water or wetlands and indicate the area of the site that
would be affected. Indicate the source of fill material.
Filling may be required to construct a new bulkhead along the Lake
Washington frontage for protection of the upland areas. The amount of fill
material necessary for the bulkhead construction is unknown at this time.
4) Will the proposal require surface water withdrawals or diversions? Give general
description, purpose, and approximate quantities if known.
There are no proposed surface water withdrawals or diversions.
5) Does the proposal lie within a 100-year floodplain? If so, note location on the site
plan.

According to the Flood Insurance Rate Map (FIRM) for the site area (Panel
664), the detailed study area ends just within the eastern boundary of the
site. Although the FIRM does not clearly identify the 100-year flood plain for
the development area, the proposed finished grades of the site will be set
sufficiently above the Ordinary High Water Mark to prevent flooding and to
allow for conveyance of site flows. Please refer to the Preliminary Storm
Drainage Report prepared by Triad Associates for more discussion.
6) Does the proposal involve any discharges of waste materials to surface waters?
If so, describe the type of waste and anticipated volume of discharge.
No.
b. Ground:
1) Will ground water be withdrawn, or will water be discharged to ground water?
Give general description, purpose, and approximate quantities if known.
The completed project will not result in groundwater withdrawals.
Temporary dewatering withdrawals from shallow groundwater will likely be
required during the construction of building foundations and installation of
utilities. After appropriate treatment of those dewatering flows, the water
will be discharged into Lake Washington or back to groundwater through
controlled dispersal systems. The quantities of shallow groundwater
withdrawal and dispersal are currently unknown, but are not likely to
significantly change the balance that naturally occurs between interfaces of
the existing stream and lake.
2) Describe waste material that will be discharged into the ground from septic tanks
or other sources, if any (for example: Domestic sewage; industrial, containing the
following chemicals ...; agricultural; etc.)
Describe the general size of the system, the number of such systems, the number
of houses to be served (if applicable), or the number of animals or humans the
system(s) are expected to serve.
None.
c. Water Runoff (including storm water):
1) Describe the source of runoff (including storm water) and method of collection
and disposal, if any (include quantities, if known). Where will this water flow? Will
this water flow into other waters? If so, describe.
The runoff anticipated from the completed project would be from
precipitation and Irrigation. These waters will be collected in an
underground water quality system and directly discharged into Lake
Washington, considered a receiving water.
2) Could waste materials enter ground or surface waters? If so, generally describe.
Any construction waste or contaminated soils from accidental spills during
construction would be contained and removed from the site to an approved
disposal location. An on -site lift pump station is proposed as part of this
project for sanitary sewer.
d. Proposed measures to reduce or control surface, ground, and runoff water
impacts, if any:

Buffer enhancements will be provided along May Creek and Lake
Washington. The proposal will also maintain an averaged 25-foot buffer
from the off -site Category 3 wetland and provide enhancements. Water
quality will be provided by means of an approved storm water filtration
system. Once treated, the water will be directly discharged into Lake
Washington.
4. Plants

re -development of the entire 22.91-acre site. All trees within 25 feet of the
ordinary high water mark of May Creek will be retained. Please refer to the
project landscape plans for more detail.
c. List threatened or endangered species known to be on or near the site.
There are no known threatened or endangered species on or near the site.
d. Proposed landscaping, use of native plants, or other measures to preserve or
enhance vegetation on the site, if any:
A preliminary landscape plan is included with this submittal. The southwest
portion of the site will be redeveloped as open space providing native
vegetation plantings along the shoreline of Lake Washington. The May Creels
corridor will be enhanced with native vegetation as well. Please refer to the
project landscape plans for more detail.
5. Animals
a. Circle any birds and animals, which have been observed on or near the site or are
known to be on or near the site:

% miles west of the site.

Yes, Lake Washington and associated shore lands are part of a migration
route. However, the current use of the site does not provide adequate
feeding or resting habitat for such migratory birds.
d. Proposed measures to preserve or enhance wildlife, if any:
Preservation of significant trees along the May Creek corridor and planting of
significant amounts of native vegetation throughout the site will provide
coverage and habitat for urban tolerant wildlife upon project completion.
Additional vegetation enhancement along May Creek and Lake Washington
will provide shading and food for the threatened species and other wildlife.
6. Energy and Natural Resources
a. What kinds of energy (electric, natural gas, oil, wood stove, solar) will be used to
meet the completed project's energy needs? Describe whether it will be used for
heating, manufacturing, etc.
Electrical energy will be the primary source of power serving the needs of the
project and natural gas will be made available for the purpose of heating and
other needs associated with residential, commercial and office use.
b. Would your project affect the potential use of solar energy by adjacent properties?
If so, generally describe.

c. What kinds of energy conservation features are included in the plans of this
proposal? List other proposed measures to reduce or control energy impacts, if

The buildings that will be constructed as a result of this project will meet or
exceed the applicable residential and commercial energy
conservation/consumption requirements in the City of Renton and the
Uniform Building Code.
7. Environmental Health
a. Are there any environmental health hazards, including exposure to toxic chemicals,
risk of fire and explosion, spill, or hazardous waste, that
could occur as a result of this proposal? If so, describe.
The site is known to contain arsenic from previous activities occurring on the
property. There is also evidence of lumber contamination along the shores of
Lake Washington.

All project -related construction will meet or exceed current, local, city,
state and federal laws.

The current property owner is undergoing review with the Department of
Ecology for approval of a remediationlwork plan for clean up of the site,
which will occur prior to any construction on site. State regulations
regarding safety and the handling of hazardous materials will be followed
during the demolition and construction process. Equipment refueling
areas would be located in areas where a spill could be quickly contained
and where the risk of hazardous materials entering surface water is
minimized.
b. Noise
1) What types of noise exist in the area, which may affect your project (for
example: traffic, equipment operation, other)?
The predominant source of noise in the area is from vehicles traveling on
Lake Washington Boulevard, located on the property's easterly boundary
and from intermittent airplanes flying over the site and trains traveling on
the BNRR, located on the property's easterly boundary. The motor
vehicle, jet and train noise is not project related or generated.
2) What types and levels of noise would be created by or associated with the
project on a short-term or a long-term basis (for example: traffic, construction,
operation, other)? Indicate what hours noise would come from the site.
Short-term impacts would result from the use of construction equipment
during site development. Construction would occur primarily during the
daylight hours and always in compliance with the City of Redmond Noise

residences to the south, a wood treatment plant to the north (no longer in
use), Lake Washington Boulevard and BNRR to the east, and Lake
Washington on the west.

There are 15 existing structures on site, consisting of one office building and
associated lumber mill production buildings.

The site is zoned COR 2 (Center Office Residential, Port Quendall Site)
according to the City of Renton Zoning Map and Development Regulations.
Mixed -use development is the preferred and permitted use within this zone
through the Level I & II Site Plan Review processes with the City of Renton.
f. What is the current comprehensive plan designation of the site?
According to the City of Renton Comprehensive Land Use Map, the area is
designated Center Office Residential.

The subject property is designated as an Urban environment according to the
City of Renton Shoreline Master Program.

The tallest height of any proposed structure will not exceed 10 stories and/or
125 feet, as specified in the City of Renton Development Regulations. The
proposed principal exterior of the buildings is anticipated to be of earth -toned
materials, compatible with surrounding land uses and the shoreline.
b. What views in the immediate vicinity would be altered or obstructed?
Development of the site would result in a change to the visual character of
the site for the nearest existing residences and roadways from that of a
lumber mill production company to that of a mixed -use development. Views
from the neighboring residences and from Lake Washington would be altered
by the building heights and appearance of the site.
c. Proposed measures to reduce or control aesthetic impacts, if any:
The site plan has been developed to provide a site design layout consistent
with the development regulations in place for the COR 2 zone. Perimeter and
onsite landscaping will help control and improve aesthetic impacts to that
which currently exists. Landscaping and building designs will be

constructed in accordance with the City of Renton's Development

11. Light and Glare
a. What type of light or glare will the proposal produce? What time of day would it
mainly occur?
Light and glare that will be produced by this project will be that which is
typically generated by mixed -use developments. Light and glare from the
completed project would mainly occur during the evening hours, and be
associated with vehicle headlights, streetlights, residential unit lighting and
lighting from hotel and restaurant use.
b. Could light or glare from the finished project be a safety hazard or interfere with
views?
Not under normal circumstances.
c. What existing off -site sources of light or glare may affect your proposal?

Installation of a landscape buffer around the perimeter of the property will
help to alleviate some of the light and glare created by streetlights and
headlights from the roadway.

Lake Washington is located on the west property line, but the existing use of
the site is not conducive to recreational opportunities.

The proposed project will obtain access for ingress and egress from Lake
Washington Boulevard via an existing joint access easement with the
neighboring property to the north. An internal roadway system will allow
access to all buildings on -site. A secondary access will be provided near the
southeast portion of the site for emergency vehicles.

Traffic impact fees will be paid to support citywide transportation
improvements. Due to the nature of the project a mixed -use internalization
capture rate would apply, assuming a minimum 15% reduction in the

Analysis prepared by the Transpo Group.

The completed project would result in an increased need for police and fire

The project will be designed and constructed with adequate water pressure,
properly located fire hydrants and internal roadways constructed to allow
adequate access for fire, medic and police protection vehicles. Increased

site recreational facilities will be provided.

between quendall Terminals, a joint venture comprised of Altino
Properties, 1nc., a Washington corporation, and J. H. Baxter & Co.,
a California limited partnership (hereinafter *Grantors*), and
Barbee Mill Co., Inc., a Washington corporation. and J. H. Baxter
& Co., a California limited partnership (hereinafter 'Grantees").
WHEREAS, Grantors are the owners of certain real property
whose location is commonly known as 4503 Lake Washington Blvd_ N.,
Renton, Washington, the legal description of which is attached
hereto as EXHIBIT A and by this reference incorporated herein
("Parcel A").
WHEREAS, Grantee (Barbee Mill Co., Inc.) is the owner of
certain real property commonly known as 4101 Lake Washington
Blvd. N_, Renton, Washington, the legal description of which is
attached hereto as EXHIBIT B and by this reference incorporated
herein ("Parcel B•).
WHEREAS, Grantee (J. H. Baxter & Co.) is the owner of certain
real property commonly known as 5015 Lake Washing►on Blvd. N..
Renton, Washington, the legal description of which is attached
hereto as EXHIBIT C and by this reference incorporated herein

WHEREXS, Grantees desire to acquire certain rights in Parcel
A.
WHEREAS, the parties hereto wish to establish a legal
description as to the location of an easement for access and right
of way, the terms and conditions for the maintenance of the
roadway, and future relocation of the roadway. - --•
POR TEN ($10.00) DOLLARS AND IN CONSIDERATION of the mutual
promises and covenants contained herein, the sufficiency of which
is unconditionally acknowledged by Grantors and Grantees, the
parties hereby agree as follows!

The easement shall be for the purpose of providing access for
ingress and egress and for underground utilities between Parcel A
and Parcel B. between Parcel A and Parcel C. and between Parcel B
and Parcel C. The roadway shall provide access sufficient and
adequate for the purposes of Grantees' uses to the highest use
permitted by the then current zoning, including two access points
to the public highway from Parcel A. The easement may be used by

the owners of Parcel B and Parcel C, as well as their officers,
employees, agents, tenants and invitees.
III. BASEHM LOCATION
The easement granted in this instrument is located on the east
60 feet of that portion of Parcel A lying immediately west of
railroad right -of -tray.
IV. ROADWAY RE14CJLTION
The Grantors or Grantors' successors or assigns may relocate
the easement across Parcel A at their sole discretion and expense
provided passage between Parcel B and Parcel C remains
uninterrupted, and at least two access points remain from Parcel A
to the public highway. Grantor or Grantor's successors or assigns
further agree to record a restated legal description for this
easement upon relocation. They shall also dedicate the easement
m to the City as a public right-of-way, if such dedication is
0 required by the City as a condition for approval for any platting

0 V. TERMINATION
The easement granted herein shall exist in perpetuity, and

shall run with the land and the title to such property, and shall
inure to the benefit of the parties to this Agreement, their

VI. MAINTENANCE OF EASMUENT
Grantees, their respective successors, heirs and assigns,
covenant with Grantors, their respective successors, heirs and
assigns that Grantees, from time to time, and at all times after

the effective date of this instrument, at Grantees' own cost and
expense, will repair and maintain, in a proper, substantial, znd
workerlike manner, the above -described roadway. As between the
Grantees, the costs of repair and maintenance shall be 'equitably
apportioned based upon each party's use of the easement.

Grantors and their successors, heirs and assigns may continue
to use the easement for their own purposes so long as their use is
not inconsistent with the purpose of this grant.
VI11. nWE WIFIChTION
Each party hereto will be responsible for claims or damages
resulting from or arising out of the use of the easement by such
party and shall indemnify and hold all other parties hereto
harmless from any claims or damages arising therefrom.
Ix. E?T1'IRE AGRZEMPiT
This Agreement shall constitute the entire agreement between
the parties and any prior understanding or representation of any
kind preceding the date of this Agreement shall not be binding upon
either party except to the extent incorporated in this Agreement.
X. XODIFICATION OF AGREMCKU '
Any modification of this Agreement or additional obligation
assumed by either party in connection with this Agreement shall be
binding only if evidenced in writing by each party or an authorized
representative of each party.

II. AZTORNSY'S FEES
I1a the event of any controversy, claim, or dispute relating to
this instrument or its breach, the prevailing party shall be
entitled to recover reasonable expenses, attorney,a fees and costs.
XII. BINDING EFFECT
This Agreement shall bind and inure to the benefit of the
respective heirs, personal representatives, successors, and assigns
of the parties.
