7.5 Annual Statement On or before April 1st of each year, Landlord shall give
Tenant a statement showing the total CAM Charges, if any, actually incurred for the prior
calendar year and Tenant's pro rata share thereof. The first and last such statements during the
Lease Term shall be prorated from the commencement of the obligation to pay CAM Charges
and the expiration of the Lease Term, as is appropriate. In the event the total of the monthly
payments which Tenant has made for the prior calendar year shall be less than the actual
Tenant's Pro Rata Share of CAM Charges, then Tenant shall pay the difference in a lump sum
within thirty (30) days after receipt of such statement from Landlord. If Tenant's CAM Charge
payments were in excess of Tenant's Pro Rata Share of CAM Expenses, the excess shall be
applied to future CAM Charges. Even if the Lease has expired or has been terminated when
the final determination is made of Tenant's Pro Rata Share of CAM Charges and other charges
for the year in which the Lease terminates, Tenant shall immediately pay any increase due over
the estimated CAM Charges and other charges previously paid and, conversely, any
overpayment made shall be immediately rebated by Landlord to Tenant; provided, that all or any
part of such refund may be applied by Landlord in payment of any delinquent or past due sum,
including Minimum Rent, charges or any other amounts due from Tenant.
7.6 Audit Tenant shall have the right to audit the Landlord's CAM Charges
statement for the prior calendar year on the following terms: (a) the audit must be commenced
with sixty (60) days after receipt of the annual statement; (b) the audit shall be completed
promptly, in a commercially reasonable manner and with non -contingency fee auditors to
minimize any disruption of the Landlord's day-to-day business operations; and (c) in the event
the audit shows an error in the CAM Charges exceeding five percent (5%) in any calendar year,
Landlord shall reimburse Tenant for its reasonable out-of-pocket costs for such audit, not to
exceed $1,500.00,
7.7 Tent Sales. Subject to the restrictions contained in the OEA, subject to the
restrictions contained in the lease between Landlord and LA Fitness and subject to applicable
law, Tenant shall have the right to the exclusive use of a portion of the Common Area
designated on the Site Plan (not to exceed 7,500 square feet) once each July for a period of not
more than two (2) consecutive weeks for a tent sale conducted in a manner consistent with
those of Tenant's other stores operating under the sane tradename as the Premises in the
Pacific Northwest market. The restrictions from the OEA and the LA Fitness Lease are set forth
in Paragraph 5 of Exhibit F. Tenant shall be responsible for obtaining any necessary consents
for such tent sale. Landlord will coordinate with Target. This Section 7.7 is personal to Tenant
and is not assignable to any assignee or subtenant. To the extent permitted by governmental
authorities, and subject to Landlord's reasonable rules, regulations and guidelines and provided
that at all times pedestrian passage along the Sidewalk Area (defined below) is not
unreasonably obstructed, Landlord will not prevent Tenant from placing daily during Tenant's
hours of operation merchandise (but no cash register or other sales device) on the sidewalk
directly in front of the Premises within the area bound by the imaginary lines drawn by extending
the Premises' demising walls across the sidewalk towards the parking area (the "Sidewalk
Area" j, unless Target (its successors or assigns) or another tenant objects to such display of
merchandise as a violation of the OEA or the lease of such other tenant. In the event of such
objection, Tenant must immediately discontinue such practice. Tenant shall be obligated to
clean and maintain the Sidewalk Area in a clean, neat and attractive condition and as otherwise
required for the Premises.
7,8 Modification of Common Area Landlord shall have the right to modify the
Common Area from time to time without Tenant's approval. Provided however, Landlord shall
make no modification to the "Tenant Protected Area" (herein so called) depicted on Exhibit B,

COMMERCIAL LEASE AGREEMENT

Joe's Sports Winter Tent Sale
Joe's Sports Winter Tent Sale will be located at 915 N. Landing Way,
Renton, WA. In the N. E. parking lot adjacent to the front of the store.
Structure will be a 40' by 80' enclosed single tent structure.
The purpose for the sale is to sell holiday bulk product in the tent.
The property zone 2 west of zone 1 of Target retailer.
No improvements or alteration to the property will be made.
The tent corner entrance located on the S. W corner is approximately 41'
from the hydrant and approximately 64' from the store front.
Access to the parking lot and right of ways, will not be abstracted. The tent

Release and In mnification Agreement r Model Homes
This agreement is made by and between the City of Renton, Washington, a municipal corporation of the State
of Washington ("City") and ("Owners").
Recitals
The Owners own real property in the City legally described in Exhibit A, attached.
The Owners have submitted an application for building permit(s) and/or a Temporary Use Permit to construct
model homes on the real property prior to recording of a short plat or final plat. Since changes to the short plat
or final plat may be necessary after construction of the model homes rendering the homes illegal, there is some
risk in building the model homes.
In consideration of the inherent risks associated with the construction of buildings in advance of the recording of
the plat, the City requires the owner to execute an indemnification agreement prior to any model home
construction activities.
Agreement
The parties agree to the following:
1. The City authorizes the Owners to do the work as described in the Temporary Use Permit application
No. once building permits have been obtained.
2. The owners assume the risk that the model home(s) must be removed or reconfigured and therefore
release and discharge the City and its representatives from all known and unknown losses, claims,
damages or causes of actions which the owners have or may have relating to buildings or structures
authorized by the Temporary Use Permit.

As a condition of granting Owner permission to construct model homes, Owner agrees to indemnify,
defend and hold the City of Renton Harmless from any claims or liens that may be exerted against the
property as a result of construction of model homes and use of the unrecorded plat of
4. Owners understand and acknowledge that, should the model home construction not comply with the
proposed lot configuration of the final plat, that no variances to development standards for either the
lots or the homes may be granted as such a situation would be considered a "self-induced hardship".
5. Owners acknowledge that they understand that any construction begun prior to the recording of the final
plat must be in compliance with all City zoning and subdivision requirements (e.g. setbacks, lot
coverage, etc.) or removed prior to recording of the final plat. If the final plat is not recorded prior to the
expiration of the Temporary Use Permit, Owners acknowledge that the homes must be removed unless
complying with all applicable code requirements (e.g. one home per lot, etc.).
6. Applicant will also provide an Abatement Agreement and a security device acceptable to the City to
ensure removal of any structures not in compliance with City regulations at the time of expiration of the
Temporary Use Permit and understands construction of the model homes is at Owners' own risk.
7. The provisions of this agreement shall bind the parties, their legal heirs, representatives, successors
and assigns and shall expire upon the recording of the final plat of
