5-22-2019WILSONPARK2:SEULEMENTANDRELEASEAGREEMENTThisSettlementandReleaseAgreement(“SettlementAgreement”),datedforreferencepurposesonlyasMay22,2019,isenteredintobyandbetweenROBERTandDORAVINWILSON,husbandandwife,onbehalfofthemselvesindividuallyandtheirmaritalcommunity,(“WILSONS”),andtheCITYOFRENTON,aWashingtonmunicipalcorporation,actingthroughitsCommunityandEconomicDevelopmentDepartment(“CED”).Collectively,WILSONSandCEDarethe“PARTIES.”RecitalsA.WILSONSaretheapplicantsofaplatandplannedurbandevelopment(PUD)knownasWilsonPark2.WilsonPark2obtainedpreliminaryplatapprovalfromtheCityofRentononJuly5,2012,andwassubjecttoaseven-yearvalidityperiodbeforefinalplatrecordingwasrequired.Thatseven-yearperiodhasbeensettoexpireonJuly5,2019.B.OnoraboutJanuary30,2019,citingRentonMunicipalCodefRMC)4-7-080.1.1,WILSONSrequestedaone-yearextensionoftheWilsonPark2preliminaryplat,fromJuly5,2019toJuly5,2020.COnoraboutMarch27,2019,CEDissuedadecisiondenyingWILSONS’requestfortheone-yearextension,findingthattheextensionstandardofRMC4-7-080.1.1hadnotbeenmet.D.WILSONSdisputedCED’sdenialdecision,andonoraboutApril19,2019,WILSONSfiledatimelyappealofCED’sdenialdecisiontotheCityofRentonHearingExaminer.AsofthedateofthisSettlementAgreement,ahearinghasbeenscheduledonthematterbutnotyetheldattherequestofthePARTIES.E.SubsequenttotheWILSONS’filingoftheirappeal,thePARTIESengagedinnegotiations.ThePARTIEShaveagreedupontermsthataremutuallyacceptableandreflectmutualbenefittoWILSONSandtoCED.ThePARTIESdesiretoenterintothisSettlementAgreementtoeffectuatethoseterms.ThePARTIES’electiontoenterintothisSettlementAgreementisnotandshouldnotbeconstruedtobeareflectiononthepartofWILSONSorCEDastothemeritsoftheWILSONS’appealtotheCityofRentonHearingExaminer.AgreementNOW,THEREFORE,inconsiderationofthecovenants,promisesandagreementssetforthherein,thePARTIEStothisSettlementAgreementagreeasfollows,onbehalfofthemselvesaswellastheirsuccessorsandassigns: WilsonPark2SettlementAgreement1.SubjecttotheadditionaltermsandconditionssetforthinthisSettlementAgreement,theexpirationdateoftheWilsonPark2preliminaryplatisextendedfromJuly5,2019toJuly5,r2020.e14et--L4Ctec5otSorLi2.WILSONSAmuStobtainissuanceofacivilconstructionpermitandpayalloutstandingconstructionpermitfeesnolaterthan5:00pmonJuly30,2019.Ifthisdeadlineisnotmet,WilsonPark2expiresat5:00pmonJuly30,2019.3.Constructionworkontheprojectsiteshallcommencepriorto5:00pmonAugust15,2019,andinitialerosioncontrol(siltfences,constructionentrance,sedimentpond/traps)forthesitepertheapprovedcivilconstructionsetshallbeinstalledandundergoinspectionbySeptember5,2019.Ifanyfollow-uporcorrectionisneededtopassinspection,WILSONSshallworkdiligentlytocorrectsuchdeficienciesinordertocomplywithCityofRentonErosionControlStandards,andnogrounddisturbanceshallcommence(otherthanerosioncontrolnecessaryinordertoaccomplishthis)untilerosioncontrolisincompliance.ThesiteshallbeinfullcompliancewiththeCityofRentonWetSeasonRequirementsbyOctober1,2019.Ifthesedeadlinesarenotmet,WilsonPark2expiresat5:00pmonOctober1,2019.4.TheWilsonPark2-relatedpublicrecordsrequestmadeonMay13,2019(assubsequentlynarrowed)iswithdrawneffectiveasoftheeffectivedateofthisSettlementAgreement.5.CEDwillissueadecisiononthePUD,whichwillincludeconditionsincludingrequiredcorrectionstothePUDdrawings,by5:00pmonMay24,2019.6.WILSONSshallprovideanaccuratebondquantityworksheetby5:00pmonMay22,2019.IfWILSONSmeetsuchdeadline,CEOwillrelyontheaccuratebondquantityworksheetinordertoprovideWILSONSwiththeoutstandingconstructionpermitfees,aswellasanyotherfeesthatmayberequiredpriortocommencingcivilsiteconstruction,by5:00pmonMay24,2019.7.Onbehalfofthemselvesandanysuccessorsorassigns:(1)WILSONSagreethattheWilsonPark2preliminaryplatisnot(andwillnotbe,underanycircumstances)eligibleforanextensionbeyondJuly5,2020;(2)WILSONSwaiveallrightstoseekanyextensionofthepreliminaryplatbeyondJuly5,2020;and(3)WILSONSagreethattheywillnotapplyfororotherwiseseekanextensionofthepreliminaryplatbeyondJuly5,2020.8.ThePARTIESacknowledgethatthisSettlementAgreementistheresultofacompromiseandsettlementofdisputedclaims,andthattheSettlementAgreementshallnotatanytimeorforanypurposebeconsideredanadmissionofliabilityorresponsibility(orlackthereof)byeitherofthePARTIES.ThePARTIESagreethatthisSettlementAgreementisintendedtobeafullandfinalcompromise,release,andsettlementofallclaims,demands,actionsandcausesofaction,knownorunknown,suspectedorunsuspected,relatingtothesubjectmatterof2 WilsonPark2SettlementAgreementthisSettlementAgreement.Consistentwiththisunderstanding,WILSONSagreetodismisstheirpendingappealtotheCityofRentonHearingExaminer.9.ThePARTIESagreethatthisSettlementAgreementconstitutestheentireagreementandunderstandingbetweenthemastothesettlementofthismatter,andterminates,supplantsandsupersedesanyandallpriorandcontemporaneousunderstandingsandagreementsbetweenthemwithrespecttothesubjectmatterhereof.ThePARTIESacknowledgethattheyarenotenteringintothisSettlementAgreementonthebasisofanyrepresentation,warrantyorpromisenotexpresslycontainedinthisSettlementAgreement,andthatnopromisesorinducementsotherthanthosewhichareexpresslysetforthhereinhavebeenmadetocauseWILSONSorCEDtoexecutethisSettlementAgreement.10.ThePARTIESagreethatthisSettlementAgreementmaynotbemodifiedoramendedorally,noranytermhereofwaived,exceptbyawritingsignedbyWILSONSandCEDortheirdulyauthorizedrepresentatives,successors,orassigns.11.ThePARTIESacknowledgethattheyhavehadadequateopportunitytoconsultwithindependentlegalcounseloftheirownchoosingandfreelytonegotiatethisSettlementAgreement,thattheyhavehadampletimeandopportunitytoreviewandconsiderthisSettlementAgreement’sterms,thattheyunderstandthetermsandeffectsofthisSettlementAgreement,andthattheyknowinglyenterintothisSettlementAgreementfreelyandwithoutcoercionofanykind.12.ThisSettlementAgreementshallbegovernedby,construedandenforcedinaccordancewiththeinternallawsoftheStateofWashington,withoutgivingeffecttoprinciplesandprovisionsthereofrelatingtoconflictorchoiceoflaws.VenueforanyactionunderthisSettlementAgreementshalllieinKingCounty,Washington.13.ThisSettlementAgreementmaybeexecutedinmorethanonecounterpartandmaybeenteredintothroughfacsimilecopiesandsignatures,eachofwhichshallbedeemedtobeanoriginal,andallofwhichwhentakentogethershallconstituteoneandthesameinstrument.14.ThisSettlementAgreementtakeseffectonthelastdatesignedbelowbythePARTIES.CITYOFRENTONWILSONSBy:___________By:__________C.E.“Chip”Vincent,CEDAdministratorRobertWilsonDated:c/2/)Dated:3
