CONTRACT AGREEMENT

THIS AGREEMENT is made as of the day of t , 2002, between the CITY OF RENTON, a
municipal corporation of the State of Washington, hereinafter referred to as "CITY" and CK DOTY&
ASSOC IATES/WIDMEYER DESIGN, JV(joint venture), hereinafter referred to as "CONTRACTOR", to
install signage at the Renton Municipal Parking Garage, 655 South Second Street, Renton WA 98055.
The City and Contractor agree as set forth below.
1. Scope of Services. The Contractor will provide all material and labor necessary to perform all work
described in Exhibit "A", included with this agreement.
2. Changes in Scope of Services The City, without invalidating the Contract, may order changes in the
Services consisting of additions, deletions or modifications, the Contract Sum being adjusted
accordingly. Such changes in the work shall be authorized by written Change Order signed by the City
and the Contractor.
3. Time of Performance. The Contractor shall commence performance of the Contract no later than ten
(10) calendar days after Contract's final execution, and shall complete the full performance of the
Contract not later than 180 (one hundred and eighty) calendar days from the date of commencement.
4. Term Of Contract. The Term of this Agreement shall end at completion of the enclosed scope of work.
This Agreement may be extended to accomplish change orders, if required, upon mutual written
agreement of the City and the Contractor.
5. Contract Sum. The total amount of this Contract is the sum of seventy-three thousand, eight hundred
and thirty-seven dollars and 60/100 ($73,837.60), which includes Washington State Sales Tax.
6. Method of Payment. Payment for services shall be made by the City to the Consultant for completed
work on a monthly basis. Such payment shall be the full compensation for work performed, services
rendered and for all labor, materials, supplies, equipment and incidentals necessary to complete the
work. The City shall have the right to withhold payment to the Contractor for any work not completed
in a satisfactory manner until such time as the Contractor modifies such work so that the same is
satisfactory.A performance bond will be required, and retainage of 5%of the contract amount will be
withheld until 45 days after final completion of the work. Retainage will not be paid over if any claims
are filed against it until such claims are resolved.
7. Warranty. The Contractor shall be under the duty to remedy any defects in the work and pay for any
damage to other work resulting therefrom, for the statutory limitation period or applicable statue of
repose.
8. Assignment and Subcontract. The Contractor shall not assign or subcontract any portion of this
Contract without express written consent of the City of Renton.
9. Record Keeping and Re ortin . The Contractor shall maintain accounts and records, which properly
reflect all direct and indirect costs, expended and services provided in the performance of this
Agreement. The Contractor agrees to provide access to any records required by the City.
10. Hold Harmless. The Contractor shall indemnify, defend and hold harmless the City, its officers,
agents, employees and volunteers, from and against any and all claims, losses or liability, or any
portion thereof, including attorneys fees and costs, arising from injury or death to persons, including
injuries, sickness, disease or death to Contractor's own employees, or damage to property occasioned
by a negligent act, omission or failure of the Contractor.
11. Insurance. The Contractor shall secure and maintain in force throughout the duration of the Contract
Commercial General Liability insurance in the amount of$1,000,000; Auto Liability insurance in the
amount of$1,000,000; Excess Liability insurance in the amount of$1,000,000; and Workers' Comp
coverage. The City of Renton shall be named as an additional insured on the policy. A certificate of
insurance evidencing the contractor's insurance coverage shall be delivered to the City before
executing the Work on this Agreement.
12. Compliance with Laws. The Contractor and all of the Contractor's employees shall perform the
services in accordance with all applicable federal, state, county and city laws, codes and ordinances.
13. Conflicts. In the event of any inconsistencies between contractor proposals and this contract, the City
of Renton contract shall prevail.
14. _Prevailing Wage Rates. By executing this Contact, the Contractor agrees to comply with the State
prevailing wage requirements as set forth in the Contract Documents.

Dear Joy;
Enclosed is our updated planning information and budget proposal for design and fabrication services for the
new City of Renton Parking Garage sign system.We have based our revised cost proposal on the updated scope
of work from our recent phone discussions and our preliminary design studies showing key sign types.
Per our phone conversation on August 28th,we made the changes as requested in your fax. We have provided
updated budget information for design development fees and associated fabrication costs for an"upgraded"
base package from the original budget outline.This revised scope of work includes the upgraded design of the
1)illuminated primary identification L-shaped pylon with curved and angled top;2)additional vehicle
entrance pylon with curved top;3)overhead directional signs with angled edge and background graphic; 4)
Welcome sign at vehicle entrance;5) stairwell,code,and handicap stall signage;6) building hours on glass at
pedestrian entrances; 7) building address numbers;and 8)retail sign"blanks"with graphic guidelines for
fabrication in the future.Theme graphics have been deleted from the package and replaced with color-coded
banding with vinyl level numbers per your request.We have also replaced all theme graphics at elevators with
large color-coded Plex signs with large vinyl level numbers and the circle"P"graphic used on the pylon and
overhead signs.All theme-related graphics and additional graphic enhancements originally proposed have been
deleted from this cost proposal.
Please contact us if there are any questions regarding our revised fee proposal.We are very excited about
working with you and the City of Renton on your new parking facility.We look forward to completing the
design refinement with the project team and getting everything installed in tandem with completion of the
building construction.

PROJECT APPROACH
Based on previous input from both City of Renton staff and LMN Architects,we have prepared preliminary
designs on which we have based our design and fabrication budget.There is still design refinement work plus
the actual signage artwork to be completed,but we feel we have developed a solid,initial direction for the
project graphics and sign package.Your input throughout the remaining design refinement process will
continue to be important in order to reach a shared vision for the aesthetics and functionality of your new
parking garage signage system.
Our focus is to integrate the signage seamlessly with the project architecture.Sign formats,proportions,
fabrication materials,finishes,and colors will intentionally mimic the architectural design and further enhance
the visitor experience. Our design/build costs reflect the upgraded base package as described in the following
sign item description.

BASE SIGNAGE SYSTEM
Primary Project Identification
1) As a solution for increased visibility at street level,create a pylon sign for the northeast corner located
on the sidewalk.Pedestrian-scaled L-shaped street kiosk with a letter"P"on a circle and project name
(TBD).We have used the name"Renton Self Park"throughout our preliminary design package as the
"working title"for the project.Sign shape to mimic glass tower with curved and angled top.Painted
aluminum with internal illumination of inset Plex letters only and possible use of external floodlights.

8) Painted bands on concrete columns with vinyl numbers on all four faces of columns.Seven color band
colors to be selected that readily differentiate levels for the visitor and that will complement the project
color palette.Large painted Plex signs in corresponding colors with large vinyl number and

Price is based on the updated sign item description for the base package. Carts will be re-estimated if scope or
quantities change and submitted as an addendum/change order to the base contract.Price includes sales tax on

and are not included in the above costs.
Design refinement to be completed approximately sir to eight weeks after contract approval.Sign location plans,sign
message listing,and engineering ofpylon footings will be completed by Doty during the design phase. Our target date
for final approval of design documents for the Base Package is November 8,2002.
Fabrication is estimated to require eight to ten weeks after client approval ofdesign documents with installation and
punch list tasks expected to be concluded by February 24,2003. This is a target date and is dependent timely client
approvals and on the actual building construction completion schedule. With advance planning some code signs can
be installed earlier to assist Owner with obtaining occupancy permits ifrequired.All schedules are preliminary and
based on timely approvals by the client.Design/Fabricator will provide schedule updates throughout the course of the
project as necessary.
Additional presentations to citystaffbeyond those listed above and related project coordination will be subject to
additional fees and are not included in scope of work outlined above.

Fee Structure
Design and project coordination fees will be billed on an hourly basis as work is completed.A payment
schedule will be mutually agreed upon in advance by the Designer/Fabricator and client.If required,the
Fabricator will secure a performance bond based on 3%of the fabrication costs specifically for this project.
Monthly invoices will include design and coordination tasks along with an itemized reimbursable expense
listing.Fabrication invoices will specify fabrication and installation costs and will be itemized by sign type.
Expected design and coordination fees are listed above by phase and are shown at a billing rate of$100/hr.
Changes to the scope or complexity of the work may require a separate Additional Services contract and/or
Change Order.
Changes to the work
Revisions to the work that are inconsistent with prior client approvals may be subject to additional fees and
associated reimbursable materials.Client changes to the scope of work as listed previously may be subject to
additional fees and reimbursable expenses.Fees do not include special models.Unreasonable redesign requests
or excessive revisions by client may be subject to additional fees and may affect submittal delivery to fabricator,
possibly causing fabrication delays. Changes due to architectural revisions or delays by the contractor(s)which
require additional design work and project coordination by the Designer/Fabricator will be subject to
additional fees and may adversely affect delivery and installation dates.
Reimbursable materials
Expenses incurred by the Designer will be itemized on monthly statements during the course of the project and
will include a 15%markup to cover taxes and administrative expenses. Reimbursable expenses include courier,
art materials,image scans,laser and photocopies required to complete the work.Reimbursable expenses are
estimated and will not exceed$1,500 without prior notification to the client.Costs are based on providing
three 11x17 color laser printed master sets of the final design intent documents.
Termination of the work and project delays
In the event of termination of this contract,the Designer/Fabricator will be paid in full for work completed
to date and all reimbursable expenses incurred to the time of termination. In the event of project delays,the
Designer/Fabricator will be paid in full for work completed to date.The Designer/Fabricator reserves the right
to renegotiate the contract amount if contract is put on hold for more than one year from initiation of contract.
Transfer of copyright is contingent upon payment in full.Design work is intended for this facility only and
may not be used for other facilities without permission and an additional agreement with the Designer.
Terms and Conditions
We will conform to standard payment practices and terms of the City of Renton.This document will serve as
an addendum to the formal contract to be provided by the City of Renton for this project.City of Renton
contract terms will supercede terms outlined here if mutually agreed upon by both parties.
