This Master Contract for Maintenance or Repair Service ("the Agreement") is made effective this November 9, 2009, by and between Performance Mechanical Group, herein called CONTRACTOR, located at 25500 74"' Ave. S., Kent, WA 98032, and City of Renton, herein called OWNER GVA Kidder Mathews, 12886 Interurban Ave. S., Seattle, WA 98168, will herein be acting as AGENT for OWNER, OWNER is the entity owning the property located at 200 Mill Ave. S., Renton, WA 98057 upon which the CONTRACTOR is performing work or services ("the Property"). 2 Supe gf A reg ernent. All work and services performed by CONTRACTOR for OWNER shall be governed by this Agreement. OWNER and CONTRACTOR shall utilize written project orders or other documents or written directives issued by OWNER to authorize any work or services by CONTRACTOR (herein collectively, "Project Orders") and all Project Orders will be subject to and governed by this Agreement. The terms of this Agreement are incorporated in and applicable to each Project Order issued by OWNER to CONTRACTOR from and after the effective date of this Agree rnent. The incorporation of this Agreement into any existing contract or contract entered into after the date of this Agreement will occur automatically regardless of whether this Agreement is identified expressly in the Project Order, except to the extent that the Project Order expressly waives or exempts specific terms of this Agwemenl. 3 Contractor Duties, CON IRAC I OR, as an independent contractor, agrees to furnish all supervision, tools, equip ment, labor and materials necessary to fully perforin services authorized by the OWNER in a workmanlike manner, of such times as are designated and according to the terms and specification provided in each Project Order. 4 Payment Ien_ns, OWNER will pay CON IRAUOR only the compensation agreed to in the Project Order, and per- formed to the complete satisfaction of the OWNER in accordance with the specifications in the Project Order. Where this Agreement covers continuing services, CONTRACTOR shall submit an invoice promptly following the end of every month for services rendered during the preceding month. Otherwise, CONTRACTOR shall submit an invoice upon completion of each individual service or repair project performed under the terms of this Agreement: Payment shall be made within approximately 30 days after receipt of invoice. Any applicable sales tax for services performed hereunder will be added by CONTRACTOR and shown on each invoice All other taxes will be borne by CONTRACTOR. 5, Termination.. This Agreement may be terminated by either party (a) upon not less than thirty (30) days advance written notice to the other, or (b) in the event of default or insolvency, immediately upon receipt by the defaulting or insolvent party of written notice from the other party 6. Lien__ CONTRACTOR shall keep Property free from liens arising hereunder. OWNER may withhold any or all pay- ments otherwise due CONTRACTOR until CONTRACTOR submits proof, in a form satisfactory to OWNER, that all lien able claims have been fully paid or lien rights otherwise discharged. 7. Operations. The Property is used for various types of operations and may be occupied by tenants. CONTRACTOR agrees to become familiar with the Property and operations and to take all reasonable precautions to avoid interference, injury or property damage to OWNER, OWNER'S tenants, adjacent landowners, and other third parties, and to employ- ees, representatives, or contractors of any of them. All work or services to be performed hereunder shall be subject:at all times to the inspection and approval of OWNER. Failure of the OWNER to inspect the work or services performed by the CONTRACTOR does not constitute a waiver under this Agreement. 8. Indemnity. CONTRACTOR agrees to defend and indemnify OWNER, its officers, employees, lessees and agents, against all third party claims including claims of CONTRACTOR's own employees arising out of CONTRACTOR'S per- formance hereunder, including claims based on the concurrent negligence of CONTRACTOR and OWNER, their lessees, agents and employees, and acknowledges that this indemnity was mutually negotiated by the parties herein In the event of litigation between the parties to enforce the rights under this paragraph, reasonable attorneys' fees shall be allowed to the prevailing party *450 ti..10! (a) Without limiting the generality of the foregoing, CONTRACTOR's indemnity includes claims arising from the use, misuse or failure of any vehicle, rigging, Hocking, scaffolding or other things rented, loaned or furnished to CONTRACTOR by OWNER, its Lessees or Agents. The defense and indemnity obligation specifically applies to operations in close proximity to power lines and other utilities. (b) If liability is assessed against the OWNER because of CONTRACTOR'S failure to comply with federal, state, or local laws and ordinances and lawful orders, rules or regulations issued thereunder, CONTRACTOR will indem- nify OWNER, and OWNER may deduct from any amounts due CONTRACTOR, the amount of any fines, as- sessments, penalties or liabilities of any nature resulting from the violation. (c) CONTRACTOR specifically and expressly waives any immunity that may be granted it under the Washington State Industrial Insurance Act, Title 51 RCW. Further, CONTRACTOR's Indemnification obligation shall not be restricted or limited in any way by any limitation on the amount or type of damages, compensation or benefits payable to or for any third party under State Industrial Insurance, other worker's compensation acts, disability benefits acts, or other employee benefits acts. CONTRACTOR's waiver of immunity in this paragraph extends only to claims against CONTRACTOR by OWNER and does not include or extend to any claims by CONTRAC- TOR's employees directly against CONTRACTOR 9, Insurance. Prior to commencement of the work, CONTRACTOR shall obtain and maintain in full force and effect during the Tenn hereof, at CONTRACTOR's sole expense, the following insurance coverages: (a) Commercial General Liability (occurrence form), covering bodily injury and property damage liability, including contractual, XCU, products and completed operations with minimum limits of $500,000 per occurrence, 51,000,000 Aggregate Products - Completed Operations and 51,000,000 General Aggregate OWNER, and KIDDER, MATHFWS & SCGNER, Inc:., d/b/a GVA KIDDER MATHEWS PROPLRlY SERVICES, while acting as OWNER'S Agent, shall be named as additional insureds; (b) Automobile Liability covering owned, hired and non-owned vehicles with minimum limits of$250,000 per per- son and 5500,000 per accident for bodily injury and $250,000 property damage or cornbined single limit of $500,000 (c) Workers' Compensation or Industrial Accident insurance as required by law, including Employer's or Stop-Gap Liability with minimum limit of$500,000 per accident. CONTRACTOR shall furnish OWNER with Certificates of Insurance evidencing the above insurance prior to commencing work on the property CONTRACTOR shall require CONTRACTOR's insurance carrier to give OWNER at least: thirty (30)days written notice prior to any change or cancellation of said coverage, either in whole or in part, and the failure of CONTRACTOR's insurance carrier to give said notice as required shall be a default by CONTRACTOR hereunder. 10- Subcontractors. None of the work or services to be performed hereunder shall be contracted out by the CON- TRACTOR without the express written consent of the OWNER. 11 Rules and Re-gulations. CONTRACTOR and CONTRACTOR's employees, representatives and subcontractors shall observe all applicable rules, laws and regulations, including safety codes, industrial insurance codes, and rules of OWNER or OWNFR's insurance underwriters relating to operations hereunder. 12 Safety Requrernents. CONTRACTOR agrees to abide by the CONFRACIOR SAFETY REQUIREMENTS attached hereto as Exhibit A. 13, Warranty_ CONTRACTOR warrants that materials and services performed shall be in compliance with all applicable codes, and regulations; be free from defects in design, material and workmanship; and perform satisfactorily for the pur- poses and under the conditions reasonably to be inferred. Materials or services performed found to be defective shall be replaced or repaired free of charge within a reasonable time after written notice by OWNER. This warranty is in addition to any other warranties provided by CONTRACTOR or implied or provided by law SEADOCS:274702.1 CGVA Kidder Mathews 1✓' 1%.d' 14 Hazardous Substances. CONI RACTOR shall not cause or permit, and shall take every care to prevent any production, deposit, disposal or spill of hazardous substances during performance of this Agreement. In the event that any hazardous wastes are generated on the work site by CONTRACTOR, its agents, employees, subcontractors or invitees, CONTRACTOR shall, at its sole cost, remove such waste promptly and shall be solely responsible for transport, storage and disposal in accordance with the Resource Conservation and Recovery Act, Hazardous Materials Transportation Act and all other similar federal, state and local laws and regulations as now or hereafter enacted or amended. Unused portions of hazardous substances shall not be stored on the work site but shall be removed promptly by CONTRACTOR and properly handled in accordance with all applicable laws. CONTRACTOR shall indemnify and hold harmless the OWNER from any claims, costs, damages,fines and attorneys' fees and costs,for both defense and for establishing the OWNER's right of indemnification, arising out of or in any way related to the handling, use, transport, storage or disposal of hazardous substances by CONTRACTOR, its agents, employees, subcontractors or invitees in the course of performance of this Agreement The term "hazardous substances" shall be as defined by the Superfund Act (Comprehensive Environmental Response, Compensation and I iabilily Act. of 1980, as amended) and shall include any similar definition of a substance subject to similar control by state or local law, including petroleum and petroleum products. 15. Hazardous Communication Proizram CONTRACTOR shall comply with all provisions of OWNER's written hazardous communication program. CONTRACTOR shall hold safety meetings and at its own expense train and supply its employees and enforce all safety standards and specific safety requirements of OWNER and of any federal, state or local authority, including, without limitation, the requirements of the Occupational Safety Health Act of 1970, as amended, (including, the Hazardous Communication Standard, "HCS"), the Construction Safety Act of 1969, as amended; or similar laws and regulations as now enacted or hereafter enacted or arnended- (a) CONTRACTOR shall provide OWNER with appropriate Material Safety Data Sheets (M.SD.S) prior to delivering a hazardous chemical to a work site. In the event that CONTRACIOR's work materials do not require an M.S l) S and no hazardous substances are to be used on the worksite, CONTRACTOR shall so certify, in writing, using the form "Certificalion Regarding M,S-D S and Hazardous Materials", attached hereto. (b) OWNER may at any time during the performance of this Agreement prohibit the delivery or demand the immediate removal of any such hazardous substances, which prohibition shall be immediately effective upon notification by OWNER to CONTRACTOR. Failure of OWNER to prohibit the delivery or to demand the removal of any one or more hazardous substances shall not relieve CONTRACTOR of its responsibilities and obligations under this Agreement. (c) Any hazardous substances brought onto the worksite shall be handled and used in accordance with product specifications and in full compliance with all applicable laws in the event of a spill or release of a reportable quantity of a hazardous substance CONTRACTOR shall immediately notify OWNER CONTRACTOR shall he responsible for statutory reporting and shall bear all costs for clean-up. 16 Independent Contractor. CONTRACTOR is at all times an independent contractor under this Agreement CONTRACTOR has the status of an employer as defined by the Industrial Insurance Workers' Compensation, Unemployment Compensation, and Social Security Acts and any other acts of federal, state, or local governments. OWNER shall in no way be liable as an employer to or on account of any of CONTRACTOR's employees. 17 Time. Time is of the essence of this Agreement and each Project Order. CONTRACTOR will commence work immediately upon issuance of a Project Order, unless otherwise specified in the Project Order. Substantial completion of the work must occur on the date set in the Project Order. 18. Modifications. Changes in the work or materials furnished and modification of the terms and conditions of this Agreement or any Project Order must be agreed to in writing. 19. Headings. The headings of the several sections herein are inserted for convenience and reference and are not part of the terms of this Agreement. 20. Special Conditions. RESPONSIBILITY All contractors shall comply, and ensure compliance by its employees and subcontractors, with all applicable federal, state and local safety and environmental regulations, laws, and standards, as well as with these requirements. 3 PROCEDURE Job Requirements Understanding of the safety and environmental requirerncnts of the job is critical to the overall success of the project Coilractors and their employees will farniliarize themselves with the job site and lob requirements. Reporting to Work Contractor Supervisory personnel shall report to the designated GVA Kidder Mathews representative upon arrival at the work location. Accident, Injury and Illness and Spill Reporting All work related accidents, injuries and illnesses and spills shall be reported immedi- ately or as soon as safely possible to the appropriate GVA Kidder Mathews repre sentative It is the responsibility of the Contractor's designated person-in charge to ensure that all accidents on GVA Kidder Mathews managed property jobsites or at GVA Kidder Mathews facilities involving personnel injury or illness, fire and/or ex- plosions, property damage, hazardous materials spills and vehicles are reported to GVA Kidder Mathews and to all applicable federal, state and local governments having jurisdiction. Contractor Responsibilities Contractor shall ensure that all Contractor personnel are qualified and trained to perform the contracted services Contractor shall adhere to all applicable federal, state and local regulations pertain- inn to a particular operation for which its services are contracted, and appropriate GVA Kidder Mathews procedures Contractor shall be responsible for ensuring that all operations are conducted in a safe and pollution free manner, and for promptly correcting and reporting to GVA Kidder Mathews and to Contractor's employees and subcontractors all known or suspected hazards or unsafe conditions. srauocs.2 w4 70 2.i GVA Kidder Mathews Contractor personnel violating any GVA Kidder Mathews safety or environmental policy, practice or procedure, or applicable governmental regulation shall be subject to immediate removal from the work site Personal Protective Equipment Requirements All required personal protective equipment shall be supplied to Contractor personnel at the sole cost and expense of Contractor. Head Protection A non-conductive hard hat that meets the requirements of ANSI 289.1 shall be worn at all times while performing work on GVA Kidder Mathews managed property jobsites or facilities. Foot Protection Safety shoes or full shelled boots or work shoes in good condition, with slip resistant and oil resistant soles, that meet ANSI Z41 1 requirements shall be won-. Fye/Face, Protection I�,ye protection shall be worn vvhile performing work on GVA Kiclder mathews iyi rna{;ed properly joL>sites or while at GVA Kidder Mathews fa cilities Minimum I)rot(2ctive eyewear shall be safety glasses with side shields. All eye/face protection shall meet ANSI Z87.1. Hearing Protection Hearing protection devices that: meet the standards of OSHA 1910.95 shall be worn in all posted high noise areas. Hearing protection is required in all known or suspected areas with noise levels of 85 dBA. Protective Clothing Protective clothing shall be worn when handling hazardous materials or chemicals, when such is specified by the applicable Material Safety Data Sheet(MSDS). Hand Protection Appropriate protective gloves shall be worn where there is risk of exposure to high temperatures, sharp edges, chemicals or any other conditions or materials which may cause injury to the hands. Fall Protection All work perfon-ned over 10' above ground, or where a fall hazard of 10' exists shall use fall protection, and contractor shall submit a lob Hazard Analysis for the site specific fall protection requirements Respiratory Protection Equipment Personal respiratory protection equipment shall be selected, inspected, maintained and used when applicable ssaDocs.274702.1 GVA Kidder Mathews -"'0, Safe Work Practices The following items recognize basic safe work practices and shall apply to all GVA Kidder Mathews managed property jobsites: Smoking Smoking is prohibited at all facilities except in designated smoking areas Signs All contractors shall be familiar with and comply with all signs posted throughout GVA Kidder Mathews managed property work sites and facili- ties. Lockout/Tagout All contractors shall comply with OSHA 29CFR 1910.147 lockout/tagOut procedures while working on powered equipment, when performing con- fined space entry operations or when engaged in other work activi+ries where the control of potentially hazardous energy is necessary to ensure personal safety Confined Space: Entry All Contractors performinf �n�ork involving coiifincr) space entry shall be in accordance with applicable federal and skate regulatory standards. Hot Work All welding, cutting, and brazing shall be done in accordance with 29CFR 1910 and local Fire Department regulations. Hazard Communication GVA Kidder Mathews shall provide, upon request, an appropriate Material Safety Data Sheet(MSDS) for hazardous chemicals or materials maintained at each location. Contractor shall maintain on-site appropriate MSDS for any hazardous ma- terial or chemical which Contractor brings on-site and will provide a copy to GVA Kidder Mathews. Such hazardous materials or chemicals shall be properly stored and labeled in accordance with OSHA/WISHA and local Fire Department regulations. Vehicle Operations Contractors shall operate vehicles in full compliance with all applicable fed- eral, state and local regulations. Training Contractor employees shall be appropriately trained by Contractor and at Contractor's expense to perform the assigned task. Environmental Protection Contractor shall perform work on GVA Kidder Mathews facilites in a manner that protects the environment and fully complies with federal, state, and local pollution prevention laws, as well as GVA Kidder Mathews procedures. To: Eileen Dozier November 8,2008 200 Mill Street Re: Teletrol eBuilding HVAC Controls Upgrade General Information:This proposal is designed to provide a like-for-like controls upgrade only. The existing Barrington system is old and out dated. The interface is difficult to navigate, and it doesn't provide information on everything it is controlling. A new DDC system will provide you with more access and information about your assets. With remote communications you can even be notified when you have a system issue. When the supply fan goes down, instead of having to wait for an occupant to complain or someone to happen to notice the issue,you can receive an email alarm and respond to the situation accordingly. Many times you will be able to make corrective actions without having to visit the site, and you can address issues before comfort suffers. In addition to many new features you can take advantage of several energy savings control strategies that are lacking. On the central plant equipment we would look to include: • Demand Control Ventilation • Hot Deck/Cold Deck Resets • Supply Fan Pressure Reset • Optimal Start The current building management system currently does not have comprehensive control of the building HVAC central equipment. Greater overall system control and energy efficiency is possible with the proposed upgrade. Other issues noted are: • The current systern is not built on an interoperable platform but is a proprietary product. The proposed Teletrol system is built on ASHRAE's BACNet platform,which is becoming the prevailing protocol of choice allowing interoperability from manufacturer to manufacturer. This prevents the client from becoming totally reliant on a single product or service provider. The following proposal does not address the broader energy efficiency issues with this building. The controls upgrade proposed here is designed to be a replacement for the existing Barrington without addressing the dual duct VAV zone and pneumatic control issues in the tenant spaces. The Teletrol eBuilding product we are proposing is Web-enabled and Internet powered. It's interface is the web browser you are already using,which allows authorized personnel to view and control the facility from any computer anywhere in the world with Internet access if the system is equipped with a dedicated DSL connection. This is the ultimate in remote control of the facility's comfort systems. As your service provider,Performance staff will be able to support you without dispatching a technician to the facility unless the situation truly merits it. GVA engineers will all be able to access this system as needed with multi-level security. We will have the ability to know of problems before the tenant does. In many cases,we will be able to affect a corrective change without the tenant even being aware of it. We will also have the ability to set up trend logs to analyze temperature patterns,energy usage,after-hours usage,and more. Teletrol is an innovator in this web-based technology and was selected to install this same eBuilding product in Chicago's McCormick Place convention center and other high-profile properties around the world. Teletrol is built on the industry standard open-protocol, BACNET IP,which means that its controllers are compatible with many other manufacturers' products. BASE PROPOSAL: PMG proposes to provide a turnkey upgrade of the building management system for this facility to Teletrol eBuilding. The building was constructed in 1967 and while some of the central plant equipment has been replaced,the core design and the majority of the HVAC equipment throughout the facility are original. 'This 42-year-old technology relies on the simultaneous heating and cooling of the building, an approach that has been outlawed by energy codes for many years. There are over 140 dual duct VAV terminals based on this highly inefficient design located above the finished ceilings throughout the building. Additionally, each one of these VAV terminals is currently controlled by an independent pneumatic thermostat with no control parameters or lock out protection to prevent occupants from setting whatever temperatures they desire, The existing duct distribution is based around this dual duct strategy and the supply diffusers are slotted light fixtures. This approach is no longer used and is not suitable for providing economical comfort and ventilation to occupants. A complete conversion to a modern,energy-efficient HVAC system will be accomplished.The project will include the demolition and removal of the existing VAV terminals, pneumatic thermostats,and existing duct infrastructure and distribution.
