Further, the purchase would be made using the Washington State contract,#08601, and according to the terms contained therein. The projects are: Project 1: The Police Department has requested that cameras and monitors be provided and installed in conjunction with the main floor exit door leading from the office to the south parking area immediately adjacent to the door. These cameras and monitors will enable the police department staff to observe the area outside the door prior to exiting the door to the parking area to verify that all appears safe and in order. Project 2: In an attempt to deter vandalism and theft,the Facilities Department has requested installation of a single camera at the Gene Coulon Memorial Beach Park gazebo which has the capability of observing the coin collection machine and the boat launch area and recording the same images on storage appliances located at City Hall. Project 3: As a result of frequent migration of groups of people, especially youth,the City is now considering installing cameras at selected locations at the Transit Center so as to deter and record suspicious behavior associated with groups of people migrating through the Transit Center, especially on the south side throughway. SOLUTION OVERVIEW In 2008,the City of Renton selected ASG to conduct a side-by-side evaluation of video management software (VMS)by Cisco and Lenel. In addition, evaluation was made on mega-pixel cameras for possible use at City facilities.After consideration,the video management software by Lenel Systems was selected; IP style mega- pixel cameras by IQinVision were similarly selected where fine detail is required (e.g., license plate numbers, etc.); IP style general purpose cameras by Pelco were selected where general surveillance is the goal. The Lenel video management software solution is to be integrated with the existing city-wide Lenel On Guard access control and alarm management system deployment. -SCOPEOF WORK Project One: Police Entry Surveillance ■ None of the new cameras will run through the existing matrix switch or recorders. The new cameras and monitors are for surveillance display purposes only. If recording is desired later,than it can be implemented at that time under a separate purchase order. ■ City of Renton staff shall assist with identifying the most effective path to place cable between the cameras and the head-end equipment and the two wall mounted displays. ■ Police Department will provide input into Field of View for each camera and agree to Field of View before installation is complete. Field of View: To the south so as to have full visibility of the coin collection machine and the boat launch area. Note: The camera lens is a specialty type j manual zoom lens with a range of 9-90mm. It is not possible to view BOTH the full width of the launch area AND the small scale detail of a car license at ' the same time with the same camera. Notes: 1. Provide and install one UnVision 755 series camera as approved by i the City at the conclusion of the evaluation phase. 2. The camera shall be installed into a heavy duty exterior housing with i heater and blower,tamperproof fasteners,and latching padlock assembly. Pelco EH5723 is recommended. Renton will provide a padlock with core for securing the camera housing. 3. The housing shall be mounted to a heavy duty mount with appropriate tamper proof fasteners and attached to the structure with appropriately selected fasteners to provide resistance to theft. Pelco WM2000 mount with AH2O00 adjustable head are recommended. 4. Verify that the existing wireless link is functioning and that the image is visible at viewing stations at City Hall. 5. Provide and install bird deterrant"spikes"on the camera assembly. I 6. Remove the existing demonstration server and temporary connections I to cameras at City Hall floor three and park and ride. 7. The proposed camera location has experienced theft in the past. ASG makes no warrantee with regard to theft of the new camera. j 8. ASG to use a lift provided by City of Renton. In addition, configure the computer for proper operation;Install the j NVR application;and Establish communications with the City network and verify proper working condition. In addition, configure the software to enable the video platform;test to verify that the beach camera functions properly and image quality is optimize;. verify that the new security video platform is enabled on the City's network;provide administrator and operator training for the City staff;install license for ALARM reporting on LOSS OF VIDEO;and test ALARM functionality when camera signal is lost. Project Three: Transit Center Surveillance Premises Provide and install by ASG:Cable, cable management, conduit, backboxes, for five I new cameras. Cable and pathway shall extend from the existing digital video recorder in the security room to the new camera locations. Camera power supply shall be provided and installed also. i Provide&installed by ASG: Camera channel licenses on the new Lenel NVR application installed at City Hall in conjunction with project#2 above. SALES TAXES Any sales taxes due to cities, counties or other jurisdictions are excluded. ASBESTOS AND LEAD ABATEMENT Should asbestos, lead or other hazardous materials be encountered in the process of installing the security equipment,any needed abatement will be performed and paid for by others. INSTALLATION -120 VOLT POWER ASG will need you to provide Class 1 electrical power to our equipment locations. We will need 120 volts AC, hardwired on a dedicated 20-amp circuit. Your electrical contractor should run this circuit to our internal junction boxes. We will work with your electrical contractor to assure a timely and cost effective installation. EXCLUSIONS ELECTRICAL CODE COMPLIANCE Ensuring electrical code compliance for existing electrical conditions is excluded. BUILDING PENETRATIONS Building penetrations of exterior walls, roofs, hard lid ceilings, concrete coring or cutting and associated weather barriers is excluded. NETWORK CONNECTIONS Network, network patch cables, network connections, network testing, network terminations,voice/data outlets, TCP/IP addresses, or special connections are excluded. UNDERGROUND WORK FOR NEW CABLING OR RACEWAY Trenching, digging, or burying of/for new cabling raceway is excluded. TELEPHONE CONNECTIONS Telephone connections and interfaces are excluded. LOCATING EXISTING INFRASTRUCTURE Locating or identifying existing buried infrastructure or raceway is excluded. COMPUTER EQUIPMENT PROVIDED BY OTHERS Customer provided PCs,workstations, servers, printers or other equipment and their maintenance and repair are excluded. SOFTWARE/PC PLATFORM MAINTENANCE Antivirus subscriptions or installation,firewall configuration and installation, software maintenance or updates, operating system maintenance or updates,database maintenance, updates or backups,or network/software hot fixes or patches are excluded. DATA ENTRY Data entry of Client specific system information or cardholder data is excluded. DATABASE CONVERSION Database conversions of existing system data are excluded. GATES&DOORS Automatic gates(sliding and swinging), doors, motors,overhead door operators, revolving doors,optical lanes etc.are excluded. PARKING MANAGEMENT SYSTEMS Parking control or revenue equipment is excluded. SOFTWARE LICENSING Additional software licensing or system upgrades (Software Licensing)are excluded. ELEVATORS Any work related to the elevator cabs, cables or elevator machine rooms is excluded. ASG does not perform work in these areas and will require the support of an approved elevator contractor, contracted by the Client. CUSTOM WEB SUPPORT Web design or web support for non-standard browser interfaces is excluded. POWER SUPPLIES PROVIDED BY OTHERS Client provided power supplies and connections to support door hardware system are excluded. CORES, CYLINDERS&KEYS Cores,cylinders,and keys are excluded. EXISTING SECURITY EQUIPMENT Reuse of existing security equipment without proper testing and validation is excluded. A charge for thoroughly testing existing equipment will apply. PAINTING Patching and painting are excluded. CONCRETE Concrete,concrete preparation and forming/finishing for foundations, pads, etc. are excluded. FENCING Security fencing,chain link fencing, barriers, bollards, planters etc.are excluded. LIGHTING Lighting fixtures and illumination are excluded. EXPOSED CABLING Conduit and/or wire mold may be used to route the system cable in exposed areas only. Painting is not included. TERMS & CONDITIONS This proposal is conditioned on acceptance of the terms set forth,including but not limited to the following Terms&Conditions,Exclusions, and Clarifications unless otherwise stated in this Proposal. If ASG and Client execute a contract subsequent to acceptance of this Proposal, the terms of this Proposal shall automatically be incorporated into such contract. All prices quoted are valid for thirty(30)days from the date of this proposal. Equal quality parts from different manufacturers may be substituted to overcome delivery problems or replacement of discontinued items. Substituted item will be of equal or greater value and will meet or exceed original parts specifications. Sales Tax Any sales taxes due to cities,counties or other jurisdictions are excluded from the Total System Investment. Payment Terms As ASG begins work on this project,unless otherwise prearranged,we will invoice you for a payment representing 50%of the total contract amount. This billing represents our project mobilization cost and expenses related to design,engineering,equipment,labor,and sub- contractor labor. ASG will mail you an invoice for this initial payment when the"Job File"is processed at ASG. The remaining 50%installation will be billed at the end of each month(progressive billing)as equipment is received and labor is performed. Billing will include invoicing of materials stored(whether stored at ASG or delivered to the installation site),and labor for design,engineering, shop set-up and site installation,including any sub-contract labor. Unless otherwise prearranged and agreed to in advance,Standard Payment Terms are Net 30;Extension of credit for billing is subject to approval of our credit department. Finance charges will be billed on past due accounts. Finance charges are computed by applying a monthly periodic rate of 1.5%,which is an annual percentage rate of 18%,to that portion of your balance which has not been paid at the end of 30 days from date of invoice. To avoid incurring the finance charge,your bill must be paid in full within thirty(30)days from date of invoice. Acceptance Date The term"Acceptance Date"means the first(1st)business day on which installation of the System is substantially completed. Minor omissions or variances in performance of the System,which do not materially and adversely affect the operation of the System as a whole, shall not be deemed to have postponed the Installation Date. ASG shall diligently endeavor to make timely delivery and installation. However, all stated delivery and installation dates are approximate and except as expressly provided in this agreement,ASG shall,under no circumstances,be deemed to be in default hereunder or be liable for damages,special,consequential,or otherwise,resulting from delays in delivery or installation. Changes And Cancellations Customer may,at any time prior to preplanning the System,request changes in,additions to,or deletions from the System,provided that the requested changes do not,in ASG's judgment,significantly alter the System. Preplanning is that point at which ASG performs system documentation,work scheduling or orders equipment. After system preplanning is completed,a fifteen percent(15%)restocking fee will be charged for customer requested changes. No credit will be allowed for equipment specially ordered for this System or for labor and shipping costs already incurred. If practical,in ASG's judgment,ASG shall implement the request change(s)or deletion(s)prior to Installation Date; otherwise,implementation shall occur after Installation Date. Customer Cooperation Customer shall permit or arrange for access to the premises by ASG's installation and maintenance personnel. Customer shall cooperate with ASG in obtaining all necessary consents and waivers from the owner of the Premises in connection with the installation of the Equipment and shall supply all supplemental equipment and facilities necessary of the installation,such as structural changes,conduits,back boxes, commercial power electrical wiring,outlets,and associated equipment,and equipment room(s)and necessary operating environment as specified by the Equipment manufacturer. This contract price is based upon Customers Premises and facilities being available to allow ASG to perform continuous,uninterrupted work between 8:00 am and 5:00 pm,Monday through Friday,pursuant to a prearranged schedule.Client shall provide free and clear access to all work areas including the removal of furniture,shelving,and other impediments.Additional labor will be billed if ASG's labor schedule is altered or unscheduled overtime is required by reason of ASG's inability to have access to the premises and facilities. fiA " Page 8aronsonsecur6gro p City of Renton, Mulitple Security Surveillance Projects 2010-SEA-10981 Risk Of Loss ASG shall bear the risk of loss or damage to the Equipment while the equipment is in transit until delivery to Customer's Premises or to ASG's premises. ASG shall be responsible for loss or damage to the Equipment during testing or installation directly caused by ASG's employees or agents,but not by others. Customer shall be responsible for security and proper storage of the Equipment after delivery to Customer's Premises. ASG's liability limited to amount of compensation paid to ASG ASG's maximum aggregate liability to Buyer for breach of any terms,conditions,representations,warranties,covenants,obligations,whether arising in contract,tort,or by reason of law,statute,strict liability or otherwise,shall be limited as follows:(i)for claims covered by ASG's insurance,ASG's liability shall be limited by the extent of insurance then available to fund any settlement,verdict or liability;or(ii)for claims not covered or defended by ASG's insurance,ASG's liability shall be limited to the total amount paid to ASG for Work performed on the Project,ASG shall not be responsible for any delays or costs caused by acts of nature or God,including but not limited to force majeure events,or for any other cause beyond ASG's reasonable control(collectively"Force Majeure'). ASG shall be entitled to a change order and reimbursement for all demonstrable costs incurred due to Force Majeure and an extension of time equivalent to the delay caused by Force Majeure. Mutual Waiver of Consequential Damages ASG and Buyer waive claims against each other for consequential damages arising out of or relating to this Agreement. This mutual waiver includes damages incurred by the Buyer for loss of use,income,profit,loss by reason of facility shut down or fluctuation in facility service or operation,loss of electronic or other data,customer claims,or other economic loss or personal injury in connection with or arising out of the existence,furnishing,functioning or use of the services and materials provided by ASG,including any damages arising from any theft by a third party. This mutual waiver also includes damages incurred by ASG for loss of financing,business and reputation and for loss of profit except anticipated profit arising directly from the work. Delays ASG will not be responsible for delays and damages due to delays either by Buyer or other contractors that impede progress and scheduling of ASG's Work.Any such delays that cause ASG to incur more labor hours to complete project or overtime hours than was originally bid will be billed to the customer and will be the responsibility of the customer to pay.ASG will give appropriate notice when possible to the Buyer prior to either the customer or ASG incurring such charges. ASG shall be reimbursed for all costs incurred by ASG or its subcontractors due to work by others that alters or delays ASG's Work,either prior,during or after ASG has started Work. All such events shall constitute a change order to the Buyer. Hazardous Materials. Hazardous materials abatement is excluded. This includes,but is not limited to asbestos and lead and any other materials defined as being radioactive,infectious,hazardous,dangerous,or toxic by any federal,state,or local statute,regulation,or ordinance. If ASG encounters hazardous materials,it will immediately stop work in the affected area until remediated by Buyer. Assignment Of Contract Should ASG's contract be assigned to a General,Electrical,or other contractor on the construction project,that assignment,regardless of verbiage in any contractual agreement between ASG and that contractor,shall be an indication of customer's full acceptance of all terms and conditions in this proposal. Limited Warranty ASG warrants all Work,including equipment installed under this quotation for a period of one(1)year beginning at Substantial Completion of ASG's Work. Substantial Completion is defined as the stage that the Work is sufficiently complete so that Buyer has beneficial use of the Work. Substantial Completion excludes commissioning. During the warranty period,all work shall be free from defects.Any defective material or workmanship and any resulting damage to work of other trades shall be repaired or replaced as directed during the warranty period.Any component of the system that fails within the warranty period will be repaired or replaced as necessary to return the system to full operational condition. Any repair work necessary under this warranty will be scheduled with the Owner's representative to prevent interference with normal building activities. Regular maintenance service(non-emergency)during the warranty period will be provided without charge to Customer during normal business hours(8:00 am to 5:00 pm,Monday—Friday,except holidays). Non-emergency service outside of normal business hours will be provided during the warranty period at ASG's then current surcharges for such services. Emergency service during the warranty period (service required due to the System's inability to function)will be provided without charge to Customer seven(7)days a week and twenty-four (24)hours a day. Except for the warranty of title,ASG makes no warranties with respect to the Equipment,either express or implied,except as provided in this Agreement. If any labor,repair or parts replacement is required because of any accident,negligence,misuse,theft,vandalism,fire,water,or other peril;or because of conditions outside of specifications,including,but not limited to,electrical power,temperature,humidity,or dust;or third party provided parts,material,software,or labor;or by any cause other than normal use,the warranties and maintenance obligations otherwise provided herein shall not apply. However,ASG makes its maintenance services available in accordance with its then standard practices of price and schedules. In no event shall ASG be liable for any consequential damages,personal injury,or commercial loss.
