CAG-15-227 GM 1558 Washington State Department of Transportation and the City of Renton General Maintenance Agreement BENSON ROAD This Agreement is made and entered into between the City of Renton, a municipal corporation (CITY), and the Washington State Department of Transportation (STATE), collectively referred to as the "Parties," and individually referred to as the "Party." WHEREAS, the STATE, in the interest of providing congestion relief in the 1-405 Corridor, constructed improvements along 1-405 within the CITY in a project known as the 1-405, 1-5 to SR 169 Stage 2 —Widening and SR 515 Interchange Project (Project); and WHEREAS, the STATE entered into an agreement with the CITY, GCA 5721 "Cooperative Agreement for Design and Construction of the 1-405/1-5 to SR 169 Stage 2 Widening and SR 515 Interchange Project" executed October 1, 2008, in which Section 4.0 describes the design of Benson Road and the Benson Road Bridge; and WHEREAS, the STATE, as part of the Project, reconstructed a portion of Benson Road, a CITY street, within STATE-owned limited access right of way (Limited Access); and WHEREAS, the STATE mitigated the Project stormwater impacts by providing flow control and treating project runoff from pollution generating impervious surfaces such that the Project will produce no net increase in pollutant loading in accordance with the Project environmental assessment and the Project National Oceanic and Atmospheric Administration (NOAA) Fisheries Biological Opinion, dated March 2008; and WHEREAS, the STATE mitigated a portion of the Project impacts by controlling and treating runoff from CITY streets; and WHEREAS, the CITY allowed the STATE to mitigate a portion of the Project impacts by controlling and treating runoff from CITY streets in lieu of treating pollution generating impervious surface within STATE-owned limited access right of way; and WHEREAS, the STATE, to mitigate the Project stormwater impacts, constructed modified media filter drains MMFD S2.10, MMFD S2.12 and MMFD S2.13, media filter drains MFD S2.6 and MFD S2.7 and the Benson detention pond; and WHEREAS, some of these stormwater treatment and detention facilities collect stormwater runoff from CITY streets which are located outside of state-owned limited access; and WHEREAS, the Parties desire to identify herein each Party's responsibilities for the maintenance of certain items outlined in this Agreement, NOW, THEREFORE, pursuant to chapter 47.24 RCW, RCW 47.28.140, and in consideration of the terms, conditions, covenants, and performances contained herein, including Exhibits A, B, C, and D, which are incorporated by reference and made a part hereof, IT IS MUTUALLY AGREED AS FOLLOWS: 1.0 GENERAL 1.1 The Parties agree that this Agreement supplements the financial responsibility for maintenance of Benson Road required by chapter 47.24 RCW. 1.2 The STATE shall provide the CITY with written notification when the reconstruction of Benson Road is physically complete. The STATE's written notice will set a date for the CITY to begin the maintenance activities contained in this Agreement no less than seven (7) working days from the date of the written notification. 1.3 The area in which the CITY and STATE will be conducting maintenance activities is shown on Exhibit A and Exhibit B, respectively, and will hereafter be known as the "Maintenance Area." 1.4 The CITY is not required to notify the STATE in order to conduct routine maintenance activities that have no effect on STATE facilities. 1.5 The CITY is required to contact the STATE Representative designated in Section 1.6, seven (7) days prior to conducting maintenance activities included in this Agreement that may impact the operation or the maintenance of STATE facilities, including but not limited to 1-405 and associated on and off-ramps. 1.6 Designated Representatives: 1.6.1 STATE: WSDOT Northwest Region, Area 4 Maintenance Superintendent: (253) 372-3900 1.6.2 CITY: City of Renton Public Works Department, Maintenance Services: (425) 430-7400 2.0 CITY MAINTENANCE RESPONSIBILITIES 2.1 The CITY agrees, at its sole expense, to maintain, operate, repair, and/or replace all stormwater facilities (Facilities) constructed for the Project identified as "CITY Facilities" on Exhibit C, Stormwater Facility Detail, and listed in Exhibit D, Stormwater Facility List. These Facilities shall be maintained to preserve their original efficiency and preserve adequate flow into the stormwater pond. 2.1.1 The CITY agrees to maintain the Facilities according to CITY standards; provided that, said maintenance shall preserve the Facilities' original efficiency and adequate flow into the stormwater pond. GM 1558 General Maintenance Agreement for Benson Road Page 2 of 8 2.2 The CITY agrees, at its sole expense, to maintain, repair, and /or replace the landscaping within the Maintenance Area between the roadway and the fencing, as shown on Exhibit A, in a clean, neat, and safe condition, and subject to the following: 2.2.1 All landscape maintenance work shall be performed under the supervision of qualified CITY staff familiar with industry-accepted horticultural practices, and 2.2.2 All pruning and mowing shall be performed, at a minimum, according to STATE policy as described in Chapter 6, Roadside Management, of the STATE Maintenance Manual(M 51-01), current edition, as amended, and 2.2.3 Application of pesticides and herbicides within the Maintenance Area shall be performed by or under the direct supervision of CITY officers, officials, employees, and/or agents who possess a current Public Operator or Commercial Pesticide Operator license as required by law. In accordance with chapter 17.21 RCW, Washington State Department of Agriculture Pesticide Application Records shall be kept by the CITY for each application for a period of seven (7) years and be made available for review by the STATE within five (5) calendar days of its request. 3.0 STATE MAINTENANCE RESPONSIBILITIES 3.1 The STATE agrees to maintain the stormwater facilities constructed for the Project identified as "STATE Facilities" on Exhibit C, Stormwater Facility Detail, and listed in Exhibit D, Stormwater Facility List, according to STATE policy as described in the STATE Maintenance Manual (M 51-01) Chapter 4, Drainage, current edition, as amended, and the STATE Highway Runoff Manual (M 31-16) Chapter 5, Section 5-5, Operation and Maintenance, current edition, as amended. 3.2 The STATE agrees to maintain the fencing within Limited Access, as shown in Exhibit B. 3.3 The STATE shall maintain all retaining walls within Limited Access, including, but not limited to, the cleanup and removal of any graffiti. 3.4 The CITY may notify the STATE when the CITY becomes aware of STATE-responsibility maintenance responsibilities within the Maintenance Area on Exhibit A. The STATE will determine, in its sole discretion, if and when the STATE will perform this maintenance. 4.0 DEFICIENT MAINTENANCE AND REPAIR 4.1 In the event the CITY does not provide adequate maintenance to the stormwater drainage facilities or landscaping specified in this Agreement, the STATE will provide written notification of the deficiency to the CITY's Representative in Section 1.6.2, such official's functional successor, and the CITY agrees to correct the noted deficiency within thirty (30) calendar days. 4.2 If a deficiency cannot, with due diligence, be corrected within a period of thirty (30) calendar days from receipt of the STATE's written notice, the CITY may make a written request of the STATE for an extension of time, and the STATE will respond in writing, granting additional days or denying the request. The STATE shall not, without good cause, deny such a request. GM 1558 General Maintenance Agreement for Benson Road Page 3 of 8 • 4.3 In the event the CITY does not correct a deficiency within thirty (30) calendar days of receipt of the STATE's written notice, or within the approved extension of time as provided in Section 4.2, the STATE, in its sole discretion, may perform the deficient maintenance, or alter or remove the stormwater drainage facilities or landscaping covered by this Agreement. 4.4 In the event the CITY does not correct a deficiency and the STATE elects to alter or remove the stormwater drainage facilities or landscaping covered by this Agreement, the CITY agrees to pay all costs of STATE-performed work in accordance with Section 6.0. The CITY's responsibility for said costs shall be limited to the cost of removing and replacing with standard STATE items the features listed in Sections 2.1 & 2.2. 5.0 EMERGENCY MAINTENANCE AND OPERATION 5.1 Should the STATE identify a condition in those areas of CITY maintenance responsibility within the Maintenance Area on Exhibit A which may cause a danger to the traveling public or state-owned highway right of way, warranting emergency maintenance, the STATE will immediately notify the CITY's Representative listed in Section 1.6.2, or such official's functional successor, and request the CITY to immediately address the maintenance problem. 5.2 Upon STATE notification pursuant to Section 5.1, and in the event that CITY forces are not available to perform emergency maintenance or if the STATE determines that time does not allow, the STATE reserves the right to perform the emergency maintenance, at CITY expense, to the extent necessary to preserve the safety of the traveling public and to prevent damage to state highway right of way. 5.3 Should the CITY identify a condition in those areas of STATE maintenance responsibility within the Maintenance Area on Exhibit B which may cause a danger to the traveling public or city-owned street right of way, warranting emergency maintenance, the CITY will immediately notify the STATE's Representative listed in Section 1.6.1, or such official's functional successor, and request the STATE to immediately address the maintenance problem. 5.4 Upon CITY notification pursuant to Section 5.3, and in the event that STATE forces are not available to perform emergency maintenance or if the CITY determines that time does not allow, the CITY reserves the right to perform the emergency maintenance, at STATE expense, to the extent necessary to preserve the safety of the traveling public and to prevent damage to city street right of way. 6.0 PAYMENTS 6.1 Should the STATE find it necessary to perform CITY maintenance activities within the Maintenance Area on Exhibit A under the conditions described in Sections 4.0 or 5.0 above, the CITY agrees to reimburse the STATE for 100% of the actual direct and related indirect costs. 6.2 Payments shall be made within thirty (30) calendar days after the CITY receives a detailed invoice from the STATE. Invoices and payments are not to be more frequent than one (1) per month. GM 1558 General Maintenance Agreement for Benson Road Page 4 of 8 6.3 Should the CITY fail to make payment to the STATE as provided herein, the CITY authorizes and agrees that the STATE may withhold any moneys to which the CITY is entitled to receive from the Motor Vehicle Fund and expend such moneys until the CITY's obligations are paid in accordance with RCW 47.24.050. 6.4 Should the CITY find it necessary to perform STATE maintenance activities within the Maintenance Area on Exhibit B under the conditions described in Sections 4.0 or 5.0 above, the STATE agrees to reimburse the CITY for 100% of the actual direct and related indirect costs. 6.5 Payments shall be made within thirty (30) calendar days after the STATE receives a detailed invoice from the CITY. Invoices and payments are not to be more frequent than one (1) per month. 7.0 BETTERMENTS AND IMPROVEMENTS 7.1 Improvements made by the CITY to Benson Road within Limited Access will be coordinated with the STATE and completed under a separate agreement between the CITY and the STATE. Design of said improvements shall be in accordance with the current guidance in the STATE Design Manual(M 22-01), as amended. 7.2 In the event that widening or other highway improvements are contemplated by the STATE that will impact the Maintenance Area on Exhibit A, the STATE will review the impacts of the widening or improvement with the CITY. 8.0 RIGHT OF ENTRY 8.1 The STATE hereby grants to the CITY and its authorized agents, contractors, subcontractors, and employees, a right of entry upon the Limited Access, subject to the terms of Section 8.2, for the purpose of maintenance, as required by this Agreement. 8.2 The STATE's right of entry grant to the CITY pursuant to Section 8.1 may require additional conditions, for example, a traffic control plan will be required if the CITY's work will impact interstate highway traffic. Therefore, the CITY agrees to contact the STATE's Representative listed in Section 1.6.1, or such official's functional successor, to determine whether a traffic control plan is required. The granting of this right of entry in Section 8.1 does not relieve the CITY from the need to obtain any required permits that may be necessary to conduct the maintenance as required in this Agreement. 9.0 INDEPENDENT CONTACTOR 9.1 Both Parties shall be deemed an independent contractor for all purposes, and the employees of each Party or any of its contractors, subcontractors, consultants, and the employees thereof, shall not in any manner be deemed to be employees of the other Party. 10.0 INDEMNIFICATION AND HOLD HARMLESS 10.1 Each Party shall protect, defend, indemnify, and hold harmless the other Party, its officers, officials, employees, and agents, while acting within the scope of their • GM 1558 General Maintenance Agreement for Benson Road Page 5 of 8 employment as such, from any and all costs, claims, judgments, and/or awards of damages (both to persons and/or property), arising out of, or in any way resulting from the maintenance work conducted pursuant to the provisions of the Agreement. No Party will be required to indemnify, defend, or hold harmless the other Party if the claim, suit, or action for injuries, death, or damages (both to persons and/or property) is caused by the sole negligence of the other Party. Where such claims, suits, or actions result from the concurrent negligence of both Parties, or involves those actions covered by RCW 4.24.115, the indemnity provisions provided herein shall be valid and enforceable only to the extent of each Party's or its offices', officials', employee', and agents' own negligence 10.2 The Parties agree that their obligations under this Section extend to any claim, demand, and/or cause of action brought by, or on behalf of, any of their employees or agents while performing maintenance work within the Maintenance Areas on Exhibits A and B, as appropriate. For this purpose, the Parties, by mutual negotiation, hereby waive, with respect to the other Party only, any immunity that would otherwise be available against such claims under the Industrial Insurance provisions of chapter 51.12 RCW. 10.3 This indemnification and waiver shall survive the termination of this Agreement. 11.0 SEVERABILITY 11.1 If any section, term, or provision of this Agreement, or any section, term, or provision of any document incorporated by reference, shall be held invalid, such invalidity shall not affect the other sections, terms, or provisions of this Agreement that can be given effect without the invalid section, term, or provision, if such remainder conforms to the requirements of applicable law and the fundamental purpose of this Agreement, and to this end the provisions of this Agreement are declared to be severable. 12.0 AMENDMENT AND ASSIGNMENT 12.1 This Agreement may be amended or modified only by the mutual agreement of the Parties. Such amendments or modification shall not be binding unless they are in writing and signed by persons authorized to bind each of the Parties. 12.2 Neither Party to this Agreement shall transfer or assign any right or obligation hereunder without prior written consent of the other Party. 13.0 EFFECTIVENESS AND DURATION 13.1 The term of this Agreement is effective upon execution by both Parties and will continue to be in full force and effect, unless terminated pursuant to Section 15.0. 14.0 DISPUTE RESOLUTION 14.1 The Designated Representatives identified in Section 1.6 shall use their best efforts to resolve disputes and issues arising out of, or related to this Agreement. The Designated Representatives shall communicate, as needed, to discuss the tasks to be performed hereunder and to resolve any issues or disputes related to successful performance of this Agreement. The Designated Representatives shall cooperate in providing staff GM 1558 General Maintenance Agreement for Benson Road Page 6 of 8 support to facilitate the performance of this Agreement and the resolution of any issues or disputes related to this Agreement. 14.2 A Party's Designated Representative shall notify the other Party's Designated Representative in writing of any problem or dispute that the Designated Representative believes requires formal resolution according to the dispute resolutions provisions of this Agreement. The Designated Representatives shall meet within five (5) working days of receiving the written notices and attempt to resolve the dispute. 14.3 In the event the Designated Representatives cannot resolve the dispute, the Mayor of the CITY and the STATE Regional Administrator, or their respective designees, shall meet and engage in good faith negotiations to resolve the dispute. 14.4 In the event the process described in Sections 14.1 through 14.3 does not resolve the dispute, the STATE and the CITY shall appoint a member to a dispute board. These two members shall jointly appoint a third member to the dispute board who is not affiliated in any manner with the two Parties to this Agreement. The three-member dispute board shall conduct a dispute resolution hearing that shall be informal and unrecorded. The dispute board shall evaluate the facts, contract terms, and applicable statutes and rules and make a determination on the dispute. The CITY and the STATE shall equally share in the cost of the third dispute board member; however, each Party shall be responsible for its own costs and fees. 14.5 An attempt at such dispute resolution in compliance with aforesaid processes shall be a prerequisite to the filing of any litigation concerning the dispute. The Parties agree that they shall have no right to seek relief under this Agreement in a court of law until and unless each of these procedural steps is exhausted. 15.0 TERMINATION 15.1 This Agreement may be terminated by either Party with sixty (60) calendar days written notice, only if mutually agreed to in writing and signed by persons authorized to bind each of the Parties. 15.2 Upon termination, the stormwater drainage facilities and the landscaping within Limited Access identified as CITY maintenance responsibilities shall revert to STATE responsibility and shall be maintained as determined solely by the STATE. The STATE, in its sole discretion may remove, alter, or otherwise modify these stormwater drainage facilities and/or landscaping features. 15.3 Any termination of this Agreement shall not prejudice any rights or obligations accrued to the STATE and/or the CITY prior to termination. 16.0 VENUE AND ATTORNEY FEES 16.1 In the event that either Party deems it necessary to institute legal action or proceedings to enforce any right or obligation under this Agreement, the Parties hereto agree that any such action or proceedings shall be brought in the superior court situated in Thurston County, Washington. The Parties shall be responsible for their own attorney and witness fees and costs.
