SUMMARY OF ACTION:
Engineer's Estimate: $136,482.99
In accordance with Council procedure bids submitted at the subject bid opening met the following three
criteria: There was more than one bid, there were no significant irregularities with the low bid, and the
low bid was within project budget ($205,000 total project budget - $125,000 from the City, and
$80,000 from Soos Creek Water & Sewer District per Addendum No. 1 to interlocal agreement CAG-64-
764). Therefore, staff recommends awarding the contract to the low bidder, Suncoast Environmental
NW, in the amount of $148.256.43.

SUMMARY OF ACTION:
Etelos, Inc. was a Subleasee at the 200 Mill Building. They left unannounced and defaulted by not
paying rents due through the completion of their contracted occupancy. The City pursued payment
through its property management agency, Kidder Matthews, and a settlement has been negotiated. The
Community Services Department is recommending acceptance of the settlement and approval for the
Mayor and City Clerk to sign the Settlement Agreement/Mutual Release.
STAFF RECOMMENDATION:
Approve a Settlement Agreement/Mutual Release with Etelos Inc. and authorize the Mayor and City
Clerk to sign.

SUBJECT:Acceptance of Settlement Agreement/Mutual Release with
Etelos, Inc. for Past Due Rents at the 200 Mill Building
Issue:
Should the Council authorize the Mayor and the City Clerk to sign a Settlement
Agreement/Mutual Release with Etelos, Inc., for past due rents for Suites 400 and 410 in
the 200 Mill Building?
Recommendation:
Council authorize the Mayor and City Clerk to sign the Settlement Agreement/Mutual
Release.
Background:
·The City leased space at the 200 Mill Building to Eoscene Corporation, Inc. since
2004.
·In 2006, the City consented to a Sublease for a portion of the Eoscene space to
Etelos, Inc.
·In October of 2008, Etelos vacated the property without prior notice and
returned possession to Eoscene. They were current in their rents at the time.
Per the terms of the Sublease Agreement, Etelos was still liable for ongoing rents,
which have been accumulating since that time.
·Eoscene defaulted on their Lease shortly thereafter, a matter which is being
pursued separately and will be referred to Council at a later date.
·Kidder Matthews, the City’s Property Manager for the 200 Mill Building,
discovered that Etelos was still operating their business in another location and
had banked assets.
·The Administration authorized the use of an outsourced attorney in this matter,
a firm that regularly represents Kidder Matthews’ interests in the specialized
area of pursuit of past due rents.
·They filed suit against Etelos, which was later consolidated with a suit against
Eoscene in King County Superior Court.

·After a period of delays, extensions and negotiations, Etelos submitted a signed
Settlement & Mutual Release Agreement for the City’s consideration.
·It has been noted that Etelos may soon receive a judgment against them by the
IRS, which would take precedence over any judgments by other creditors that
followed, including the City. This speaks to the urgency of settlement.
·The main business points of the Agreement are as follows:
o Etelos submitted $5,000 and will submit $5,000 per month for the next
six months, providing a total of $35,000 against a balance of $184,433.00.
o The balance of their liability will now become additional liability to
Eoscene, although Eoscene may choose to pursue additional payment
from Etelos.
Conclusion:
Approving this Settlement & Mutual Release Agreement provides some cash flow for the
operation of the City’s Leased Properties Fund 108 and maintains the City’s integrity
regarding pursuit of defaulting tenants.
