I have revzewed the agreement as tarwarded to me, Zt appears
ta be in acceptable legal �orm, keepinq in mind that we are
seeking property from Puget Power. As you know, T do nat
like a paragraph similar ta paraqraph 8 entitled "Release
I� and Indemnity" because of the b�aad nature of that parac�raph. _
However, since we need the property, the paragraph is an
acceptabl.e risk.
I Another matter is paragraph 13 . Paragraph 13 indicates that
the City �hall release Puget fram future dra�nage reten�ion,
campensating storage and fload plain requirements and/ar � �
restrictians on Puget ' s adjacent property. I do not know
how large the Puget parcel is nor do I know the value of
this easement. Hopefully, the parcel is small and the � •
retensian, compensating starage and flood plain requirements
� , will be minimal . However, I believe that paragraph should be '�
amended to reflect the fact �hat the Puget parcel will be
required to pay any starm wa�er drainage charges �hraugh the ,_
' City' s storm water utility. Additi.onally, I hope that sameone
has calculated what the retention, compensating storage and
' fload plain requirements might be on this property befare we
' have agreed ta waive them. The ERC might find such an agreement
very traublesame if its hands are �ie y this contract.

AGREEMENT AND EASEMENT FOR DRAINAGE CHANNEL
THIS AGREEMENT made this day of , 1986 ,
between PUGET SOUND POWER & LIGHT COMPANY, a Washington
corporation ( "Puget" herein) , and CITY OF RENTON, a municipal
corporation, ( "Grantee" herein) ;
WHEREAS, Puget is the owner of a parcel of land in the
Northwest quarter of Section 30 , Township 23 North, Range 5 East ,
W.M. , King County, Washington; and
WHEREAS , Grantee desires an easement for the P-9 Drai�nage
Channel of the U.S . Department of Agriculture East Side Watershed
Project for the Green River in Washington State , across Puget' s
land at a location more specifically described herein below;
NOW THEREFORE, in consideration of mutual benefits and in
consideration of the performance by Grantee of the covenants ,
terms and conditions hereinafter set forth, Puget hereby grants ,
conveys and quitclaims to Grantee the following easement:
A. A nonexclusive perpetual easement across , along , in ,
upon and under that portion of Puget' s land described in Exhibit
"A" attached hereto and by this reference made a part hereof , for
the purpose of : installing , constructing , operating , maintaining ,
removing , repairing, replacing and using a drainage channel with
all connections and appurtenances thereto and public utilities ,
flood control and wildlife habitat (herein the "drainage
channel" ) , together with the nonexclusive right of ingress to and
egress from said portion of Puget' s land for the foregoing
purposes;
The terms "Easement" and "Easement Area" in this instrument
refer to the easement on the property described in Exhibit "A" .
This Easement is granted subject to and conditioned upon the
following terms , conditions and covenants which Grantee hereby
� romises to
p faithfully and fully observe and perform.
l . Cost of Construction and Maintenance . Grantee shall
bear and promptly pay all costs and expenses of construction and
maintenance of the drainage channel , including costs and expenses
associated with relocatin an of Pu et ' s e "

during initial construction.
2 . Compliance with Laws and Rules . The Grantee shall
construct , maintain and use the drainage channel in accordance
with any statute , order, rule or regulation of any public
authority having jurisdiction.
3 . Use of the Easement Area b Puget. Puget reserves the
right to develop and use the lands encumbered by this easement for
any purpose not inconsistent with the rights granted herein.
Puget shall not be liable for any loss or damages to
Grantee ' s facilities resulting from Puget' s use of the lands
encumbered by this easement unless such loss or damage is due to
negligent acts or omissions of Puget . Puget agrees to use
reasonable care.
4 . Termination for Cessation of Use . In the event Grantee
ceases to use the drainage channel for its intended use for a '
period of five ( 5 ) successive years , this Agreement and all
Grantee ' s rights hereunder shall terminate and revert to Puget.
5 . Release of Drainage Channel on Termination. No
termination of this Agreement shall release Grantee from any
liability or obligation with respect to any matter occurring prior
to such termination, nor shall such termination release Grantee
from its obligation and liability to remove the drainage channel
facilities from Puget' s parcel and restore the ground . .

6. Removal of Drainage Channel an Terminatian. t3pon any
� terminatian o� this Agreemen� , Grantee shall pramptly remove from
the Easement Area the drainage channel facilities and restore the
ground to the condition now existing ar, in the alternative , take
such other mu�ually agreeable measures �.o minimize the impact of
the drainage channel on Puge�` s Froperty. Such work , removal and
restoratian shall be done at the sole cast and expense of Grantee
and in a manner satisfactory to Puget . In ease af failure of
Grantee to so remove the drainage channel faci.lities , restare the
ground ar take such other mutually agreed upon measures , Puget
may, after reasonable na�.ice to Grantee, retnove the drainage
channel facilities , restore the ground or take such measures at
� the expense of Grantee, and Puget shall not be liable therefore .
7 . Third Party Rights . Puget reserves all rights with
respect ta its property including , withaut limitation, the right
to grant easements , licenses and permits to others subject to the
I rights gran�ed= in this Agreement .
8 . Release and Indemnity. Grantee does hereby release ,
indemnify and promise to defend and save haz'mless Fuget from and
, against any and all liabi.lity, loss , cost, damage, expense ,
' actions and claims , including costs and reasonable attarney' s fees
incurred by Puget in defen�e thereo�, asserted or arising directly
` or i.ndirectly on account of or out af tI � acts or omission� of
I Grantee and Grantee' s servants , agents , employees , and contractors
I in the exercise af the rights granted herein, or ( 2} acts and
omissions of Puget in its use af the Praperty which affect
�' Grantee' s emp].oyees , agents , contractors , and other parties
benefiting from said drainage channel; pravided, however, this
paragraph does not purport to indemni£y Puget agains� liability
� far damages arising aut af bodily injury to persons ar damage ta
property caused by or resulting from the sole negligence of Puget
or Puget` s agents or employees .
, 9 . Title. The rights granted herein are subject to
' permits, leases, lieenses and easements, zf any, heretofore
granted by Puget affecting the property subject to this Agreement.
'� Puget does not warrant title to its property and shall not be
I liable �or defects thereto or failure thereof .
10 . Notices . Unless otherwise provided herein , notices
required to be zn writ�ing under this Agreement shall be given as
follows:

13 . Release of Grantee ' s Code � Drainacje Retention
Requirements . Grantee shall release Puget from future drainage
retention , compensating storage and flood plain requirements

initial completion of the Drainage Channel across the Easement .
