� MEMORANDUM OF GROUND LEASE

This Memorandum is made this � day of July, 1995 by and between the
City of Renton, a municipal corporation of the State of Washington ("Landlord"), and ,

Sheridan Properties, L.L.C., a Washington limited liability company ( Tenant ).

� Tenant and Landlord have entered into a Ground Lease dated July 7 , 1995
� (the "Ground Lease").

0 1. Property Description. The pi•operty demised by the Ground Lease is
� that certain property situate in the City of Renton, County of King, State of
Washington, more particularly desci�ibed in Schedule 1 attached hereto and by this
reference incoiporated herein, together with all buildings, snuctures and other
improvements now or hereafter located thereon and the appur-tenances thereof(the
"Premises").
�; � 2. Term. The term of the Ground Lease commenced upon the date of its
� � � execution and shall end (unless extended pursuant to Section 1.B of the Ground
� � Lease) at 12:01 a.m. on the second (2nd) anniversary of the commencement date.
`" �' Pursuant to Section 1.B of the Ground Lease, provided Tenant shall not then be in

� .�� default under the Ground Lease, Tenant shall have the option to extend the term of the
�, � Ground Lease foi• five (5) successive terms of one (1) year each upon the same teims
;' � and conditions contained in the Ground Lease.

� � �? 3. Tenant's Option to Repurchase. Under Section 12 of the Ground
� � :�.:; Lease, in the event Tenant determines it will not, prior to the expiration of the Tertn,
j` �` relocate Tenant's automobile dealership to another location described in the Ground
� Lease, then Tenant shall, upon expii�at:on of tl:e Tetm (or such earlier date as Tenant
� shall specify) purchase the Preinises fi�om Landlord pursuant to the teims of the �

Ground Lease.

� � 4. Subject to Ground Lease. The terms of this Memorandum are subject

� in their entu�ety to, and shall Ue conh-olled by, the terms and provisions of the Ground
� Lease.
