Purpose AEI produces a twenty-four(24)hour music service(the DBS Service),consisting of professionally programmed music that AEI transmits to end users by a KU band satellite using a direct broadcast via satellite ("DBS") system of multiple audio formats. The purpose of this Agreement is to set forth the terms and conditions upon which AEI shall provide and Subscriber shall receive the DBS Service. 2. Description of DBS Service AEI agrees to supply to Subscriber the satellite receiving equipment(the "Equipment")and provide the DBS Service identified herein. Subscriber agrees to pay the DBS Service Fee and Installation charge as stated in Paragraph 4, and to abide by all of the other terms and conditions of this Agreement. Subscriber shall subscribe to the DBS Service for the Business Location identified herein for the term of this Agreement. The initial term shall be for a period of sixty(60) months from the Music Service Billing Start Date and shall automatically renew for successive periods of the same length unless terminated by either party hereto by written notice sent at least ninety(90)days prior to the expiration of the initial term or any renewal term, or terminated as otherwise provided for in this Agreement. Performance Rights Fee }u� AEI will pay on behalf of Subscriber all ASCAP and BMI Fees,mechanical rights fees,AF of M union trust and pension fund payments, and record company use fees and royalties due from Subscriber's use of the DBS Service(together the "Performance Rights Fees"), provided that Subscriber uses the DBS Service in accordance with the terms of this Agreement. Upon termination of this Agreement, AEI will so notify ASCAP and BMI, and discontinue any and all payment of Performance Rights Fees on behalf of Subscriber. 4. DBS Service Fees 4(a) Subscriber will pay AEI a DBS Service Fee("DBS Service Fee")of$ 150-oy U.S. each month for the Business Location identified herein, billed quarterly in advance, during the term of this Agreement, which may be adjusted in accordance with Paragraph 17 of this Agreement. 4(b) AEI will su ly the following equipment: Gtx u� r�aso� ws o05 Receiver Type/Serial# 4(c) One time Installation Charge: $ �/UCJ ' U.S.to be paid on or before the Music Service Start Date. 4(d) Subscriber agrees to pay $ / U.S. per month for each channel received in addition to the channel(s) listed in Paragraph 2. New Business Locations In the event Subscriber desires to use the DBS Service at any other Business Locations, Subscriber shall execute an Addendum to this Agreement wherein Subscriber shall subscribe to the DBS Service for each such Business Location upon the same terms and for the same DBS Service Fee as is then in effect for the Business Location identified in this Agreement. The Addendum shall provide for an initial term equal to the initial term of this Agreement of 60 months,at applicable,from the Music Service Billing Start Date specified in the Addendum,which shall automatically renew in the manner described in paragraph(2).Subscriber shall also pay Installation charges, if any, and a Monthly Rental Fee for any additional Equipment rented for each new Business Location at the then current rate charged by AEI. Each DBS Service Subscription shall constitute a separate contract between Subscriber and AEI. 6. Use of DBS Service Subscriber shall not duplicate, interrupt, or alter in any manner the programmed music provided under this Agreement or permit any other persons to do so. Subscriber shall use the DBS Service only to provide programmed music at the Business Location identified herein and in any Addendum to this Agreement and shall not use the DBS Service in conjunction with any advertising or commercial message, except promotional material advertising Subscriber's products approved in advance in writing by AEI. Subscriber shall not transmit the programs nor use the DBS Service outside the Business Location identified herein and in any Addendum to this Agreement. The Performance Rights Fees paid by AEI do not cover use in any ballroom,discotheque,dance studio,or skating rink,or for any music or video programming not provided by AEI,or in conjunction with any advertising or messaging,or in any premises to which an admission fee is charged, and Subscriber shall not use the DBS Service for any such purposes without the prior written consent of AEI, ASCAP, and BMI.Subscriber shall hold harmless and indemnify AEI for any damages or liability AEI incurs(including costs and attorneys'fees) arising from Subscriber's breach of this Section 6.
