EASEMENT

THIS EASEMENT is entered into th,�s��.�� day of August, 1992
by and between AnMarCo �t;;:.' ��sfi>>r: tari " '
"AnMarCo" ' � �1�neral partnership
( ) , Regional Disposal Company, Inc. , a Washington
corporation ("RDC") , and the City of Renton, Washington
("Grantee") . AnMarCo and RDC are referred to collectively herein
as "Grantor" .
RECITALS

_ A. AnMarCo is the owner of that certain real property legally �
described on Exhibit A (the "Property") attached hereto and �
O incorporated herein by this reference. �
B. RDC will be the owner of all improvements (the "Improvements") �
N �ocated on the Property pursuant to that certain Ground Lease �,
� between AnMarCo and RDC dated August 1, 1991. �
C. Grantee is the municipality which has land use and development z
permitting authority with respect to the Property. Under its '�
authority derived from the State Environmental Policy Act ("SEPA") ,
�p Grantee issued a Mitigation Document (the "Document") , dated
� November 7, 1991, with regard to Grantor's proposed development of
the Black River CDL Recycling and Transfer Station (the "Facility")
on the Property. Condition 46 of the Document requires Grantor to
provide to Grantee an easement which will allow Grantee to enter
upon the Property and review the compliance of Grantor with certain
provisions of the Document. This easement is intended to implement
the terms of that Condition 46.
NOW, THEREFOR��, for and in consideration of the covenants
contained herein, the parties agree as follows:

-� AGREEMENT
l. Easement Grant. Grantor hereby grants to Grantee, its
� successors and assigns, the right and easement of pedestrian and
"� vehicular access over across and on a
, portion of the Property
�' ("Easement No. 1") described in Exhibit B, attached hereto and
�, incorporated herein by this reference. RDC hereby grants to
o Grantee the right and easement to access the Improvements as
� described below ("Easement No. 2") . Easement No. 1 and Easement
� No. 2 are referred to collectively herein as the "Easement" . The
� purpose of the Easement shall be exclusively for the entry by
� Grar.}�e, or its designated agent or employee, to the Property in
Y the company nf an employee or agent cf rrantor, upon first
� providing Grantor with 24 hours advance notice, on a single day per
� year during normal hours of Facility operation, commencing one year
� from the date of the issuance of the first certificate of occupancy
; by Grantee to Grantor with respect to the Facility. The right of

entry granted herein to Grantee shall be for the limited purpose

�f reviewing the performance of the Facility regarding landscape
maintenance, noise mitigation, litter control, street cleaning, air
quality, wetlands, control of waste stream, hauling limitations and
traffic mitigation (hereinafter "Monitoring Program") . The
Moni�oring Program shall continue in effect so long as the Facility
remains open and in operation, provided that by mutual agreement
of Grantor and Grantee certain elements of the Monitoring Program
may be terminated if no longer required.
2. Costs of Monitoring Program. All costs of the Monitoring
Program shall be borne exclusively by RDC. The annual fee to pay
for the services provided by Grantee with regard to the monitoring
program shall be 150� of Grantee's total expenditure for the
Monitoring Program during the previous year. The total expenditure
by Grantee shall include, but shall not be limited to, code
inspections, monitoring programs and physical activities such as
street sweeping.
� 3 . Benefit of Easement. The Easement shall be for the
-- exclusive benefit of Grantee and shall not be for the benefit of
-- any other person, entity or party.
� 4. Binding Effect. This Easement shall be binding upon and
— shall inure to the benefit of each of Grantor and Grantee and their
N respective heirs, executors, administrators, legal representatives,
� successors and assigns and shall run with the title to the land
described herein so long as the Monitoring Program shall remain in
effect. In the event of termination of the Monitoring Program,
this Easement shall automatically terminate and be of no further
effect without any further action being required by Grantor or
Grantee.
5. Non-Waiver. No delay or failure by any party hereto to
exercise any right under this Agreement and no partial or single
exercise of that right shall constitute a waiver of that or any
other right unless otherwise expressly provided in this Agreement.
6. Governing Law. This Easement shall be construed in
accordance with and governed by the laws of the State of

LEGAL DESCRIPTION
A tract of land situate in Lots 28A, 28B, 29, 30, 31 , 32, and
33 of Junction Addition to the City of Seattle, King County,
Washington, said tract being bounded on the north by the north by
the north line of said Lot 32, bounded on the west and southwest
by a line drawn parallel and/or concentric with and 50 . 0 feet
distant easterly, measured at right angles and/or radially, from
the centerline of main track of the Union Pacific Railroad Company,
as now constructed and operated, and the easterly and northeasterly
right-of-way line of the Burlington Northern Railroad Company as
now located, bounded on the east by the westerly line of County
