ASSESSOR'S PROPERTY TAX PARCEL: 722780-1400,722780-1055,722780-1085 For and in consideration of good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged, CITY OF RENTON, a Washington municipal corporation ("Grantor" herein), hereby grants and conveys to PUGET SOUND ENERGY, INC., a Washington corporation ("Grantee" herein), for the purposes described below,a nonexclusive perpetual easement under,across and through the following described real property (the"Property"herein)in King County,Washington: SEE EXHIBITS "A" AND "A-1" ATTACHED HERETO AND BY THIS REFERENCE MADE A PART HEREOF. � Except as may be otherwise set forth herein Grantee's rights shall be exercised upon that portion of the Property(the"Easement Area"herein)described as follows: SEE EXHIBIT "B" AND "B-1" ATTACHED HERETO AND BY THIS REFERENCE MADE A PART HEREOF. 1. Purpose. Grantee shall have the right to use the Easement Area to operate, maintain, repair, remove, an existing 6-inch diameter gas main ("Gas Facilities" herein), for purposes of transmission, distribution and sale of gas. 2. Easement Area and Gas Facilities Maintenance and Repair. The City property through which the easement is granted, is, or will be, an open and utilized city park. It will be landscaped, maintained and utilized as an open space and active park. Therefore, PSE shall consult with the City abou� any plans to do any Easement Area clearing, none of which shall be done without the City's prior approval as to the scope, extent and timing, which approval shall not be unreasonably withheld. Except in the case of emergency, PSE will provide to the City 30 days advanced notice for any maintenance or repair of the gas facilities. The City and PSE shall coordinate the timing,extent and duration of the maintenance of the Gas Facilities. PSE,at its expense,shall provide detour routes as needed, signage, and take such further steps necessary to ensure the maximum ordinary use of the park and its facilities during such maintenance and repair. 3. Access. Grantee shall have the right of access to the Easement Area over and across the Property to enable Grantee to exercise its rights hereunder, provided,that Grantee shall compensate Grantor for any damage to the Property caused by the exercise of said right of access. PSE Easement 2014 WO#101090422 RW-090024 Page 1 of 7 4.Grantor's Reseroation of Rights�nd Use of Easernent Area.The Grantor reserves the right to use, occupy and enjoy the Easement Area for any purpose that is not inconsistent with the terms and conditions of this Easement. The Grantor has stated their intent to utilize the Property through which this easement is granted as a park,said park will be developed with improvements including landscaping,utilized, modernized and updated over time. 4.1 Grantor's Duties. In the event the Grantor undertakes public improvement work where Grantee's Gas Facilities are located,and such work unavoidably necessitates the relocation of Grantee's Gas Facilities,the Grantor shall: (a) Provide written notice to Grantee requesting such relocation within a reasonable time prior to the commencement of such public improvement work; (b) Provide Grantee with copies of pertinent portions of Grantor's plans and specifications of such Public Improvement work. (c)Coordinate to minimize conflicts between existing Gas Facilities and Public Improvements which affect the Easement Area where possible:and (d) Make best and reasonable efforts to provide an alternative location for Grantee's Gas Facilities within the Property or public right-of-way. If space within the Property is available,Grantor and Grantee will amend this easement to reflect the new location. (e) Notify Grantee of planned grade changes within the Easement Area. 4.2 Grantee's Duties.After receipt of the Grantor notice requesting the relocation of the Gas Facilities pursuant to Subsection 4.1(a)and receipt of the plans and specifications pursuant to Subsection 4.1(b), Grantee shall,within such reasonable time as approved by the Grantor, relocate such Gas Facilities within the Property at its sole cost and expense so as to conform to such new grades as may be established,and place the Gas Facilities in a location or position causing the least interference with the Public Improvement work contemplated by the Grantor. If relocation within the Property is not feasible,the Grantee shall relocate its Gas Facilities,at its sole expense, in a reasonable location in the public right-of-way. 5. Restoration. Following maintenance or repair of its facilities, Grantee shall restore landscaping and surfaces and portions of the Property affected by Grantee's work to the condition existing immediately prior to such work. All restoration,which is the responsibility of Grantee,shall be perFormed as soon as reasonably possible after the completion of Grantee's work and shall be coordinated with Grantor so as to cause the minimum amount of disruption to Grantor's use of the Property. 6. Successors and Assigns. Grantee shall have the right to assign,apportion or otherwise transfer any or all of its rights, benefits,privileges and interests arising in and under this easement. Without limiting the generality of the foregoing,the rights and obligations of the parties shall inure to the benefit of and be binding upon their respective successors and assigns. 7. Indemnity. Grantee agrees to indemnify Grantor from and against liability incurred by Grantor as a result of the negligence of Grantee or its contractors in the exercise of the rights herein granted to Grantee, but nothing herein shall require Grantee to indemnify Grantor for that portion of any such liability attributable to the negligence of Grantor or the negligence of others. 8. Termination. The rights granted herein shall continue until such time as Grantee terminates such right by written instrument, or at such time the existing Gas Facilities are relocated in their entirety to an area outside the boundary of the Property.
