AGREEMENT RESCINDING ACQUISITION AND FILL AGREEMENT
WHEREAS the City of Renton and the Austin Company entered into
an agreement known as the Acquisition and Fill Agreement on or about
the 31st day of July, 1986, and
WHEREAS the parties of each found it difficult or impossible to
perform their obligations thereunder because of difficulty or
impossibility in obtaining state and federal permits necessary to
perform their functions thereunder, and
WHEREAS it would be mutually beneficial to rescind said
agreement, and
WHEREAS the parties have heretofore agreed to cooperate in
negotiating and executing a future fill and grade agreement when the
parties better understand the availability and conditions of state
and federal permits necessary for their respective projects,
NOW, THEREFORE, the parties hereto do mutually agree as
follows :
1 . Acquisition and Fill Agreement known as CAG-049-86 is
hereby rescinded
2 . The parties agree to negotiate a subsequent fill and grade
agreement when the availability and conditions of state and federal
permits necessary to the respective projects are known.

Agreement and two deeds to be signed . I have had a deed signed by
the Mayor that is in the form similar to the Oakesdale property
Quit Claim Deed . You will find enclosed the executed original of
that deed. I am having the Mayor sign the Quit Claim Deed for the
P-i property, and will return a copy of that, together with an
executed copy of the Agreement Rescinding Acquisition and Fill
Agreement to you.

Dear Mr. Mayor:
You will find enclosed a copy of a letter I have sent to John
Keegan, the attorney for the Austin Company. I am beginning the
process of rescinding the Acquisition and Fill Agreement. As you
will probably recall, the city council authorized this action on
May 2, 1988, following a correspondence item from myself to the
city council recommending the rescission of that agreement. I
have forwarded a draft copy of the agreement to Mr. Keegan for his
comment and review.
You will also find attached hereto a deed transferring certain
property back to the Austin Company. This deed was filed by
mistake by the escrow company holding the deed. That mistake most
likely prevents the City of Renton from obtaining any legal title
to the property. Reluctantly I informed the city council that it
would be in our best interests to redeed the property back to the
Austin Company. When we find it necessary to obtain this property
we will have to pay fair market value for it or, in the future,
obtain the title as environmental mitigation for some act done by
the Austin Company. However, at the present time, the Austin
Company is having great difficulty getting through the state and
federal permitting process in developing their property.
Once you have executed the deed, could you please have it
forwarded to my office for delivery to the escrow company? I will
hold that deed until such time as I have received an executed copy
of the Agreement Rescinding the Acquisition and Fill Agreement.
When I have an executed copy of that agreement, I will tender the
deed to the title company and forward the Acquisition and Fill
Agreement to you for signature to consummate the rescission of the
original Acquisition and Fill Agreement.
The city council, as part of its motion on May 2nd, did not
explicitly give you authorization to sign the deed. However, on
the open council floor I explained that the legal effect of

passing the motion to rescind the original Acquisition and Fill
Agreement would be that we would have to deed the property back.
Therefore, implicit in the council's motion was contained the
authorization to sign this deed. If you have any question about
your authorization, then we should make the record complete by
asking the council to amend its prior motion, or by adopting an
additional motion. However, unless we hear from the council that
they did not intend you to have authorization to sign this deed, I
believe that latter step is unnecessary.

The city council, at its meeting on May 2, 1988, authorized the
Mayor to sign a new agreement with the Austin Company rescinding
the old fill and grade agreement. The council also authorized the
Mayor to sign the requisite deed, or deeds, to reconvey property
to the Austin Company. I have in my files one deed prepared and
sent to me by the title insurance company. Is that the only deed
that we need to execute?
You will find enclosed a draft of the agreement to rescind the
prior fill and grade agreement. If you have any comments,
criticisms, or desire any changes or additions, please let me
know.

CORRESPONDENCE Correspondence was read from Robert Raphael, Vice-President of Service
Citizen Comment: Service Linen Supply, P. O. Box 659, Renton, opposing City removal of parking
Linen Supply spaces in front of Service Linen Supply on South Fourth Street between Wells
and Main, which were used for many years as a loading zone, as Council
recently designated this area for a right-hand turn lane, and requested this
matter be referred back to Committee for consideration. In response to
Council inquiry, Mr. Raphael stated that Service Linen Supply currently pays
for right-of-way on Wells Street and would be willing to pay for right-of-
way on Fourth Avenue if allowed to continue use of loading area. MOVED
BY REED, SECONDED BY STREDICKE, ITEM BE REFERRED TO
TRANSPORTATION COMMITTEE FOR REVIEW. CARRIED.
Legal: Fill and Grade Correspondence from City Attorney Warren, requested Council authorization
Agreement CAG-049-86 for Mayor and City Clerk to sign an Agreement Rescinding the Acquisition
and Fill Agreement CAG-049-86. The Fill and Grade Agreement was
premised upon the belief that the Austin Company could obtain permission to
fill two parcels of its property. The Agreement was also premised upon the
fact that the City was in the process of acquiring the right-of-way for the P-
I Channel. Both premises have proven erroneous and the Agreement needs to
be rescinded. MOVED BY KEOLKER-WHEELER, SECONDED BY
MATHEWS, COUNCIL CONCUR IN THE RECOMMENDATION OF CITY
ATTORNEY AND REFER TO WAYS AND MEANS COMMITTEE.

Vacation: VAC-88-001, Correspondence was read from Fernwood North Homeowners' Association
Bremerton Place NE, noting that homeowners understand Councils' concern for secondary
Fernwood North emergency access, have formulated a Citizen's committee to work with staff
Homeowners' Association on this issue, a meeting of which is scheduled next week, and offer three
suggestions to modify the proposal as follows: 1.) An emergency easement
could be granted; 2.) The area of vacated land can be adjusted so no
homeowner is landlocked; and 3.) Easements will be granted for all utilities.
The letter stated appreciation that Council did not deny said vacation.

Shepherd Group Home Renton, opposing proposed rezoning of Bethlehem Lutheran Church property

to G-1 zoning claiming undue anguish of neighborhood over proposed rezone.

OLD BUSINESS Council President Keolker-Wheeler presented a report indicating that the
Committee of the Whole Committee of the Whole met on April 25, 1988, to discuss: Solid waste stream
Interlocal Agreement with interlocal with King County, including liability issues; the growing problem
King County: Solid with solid waste disposal; the status of the proposed Black River Quarry
Waste Stream/ and incinerator; and recycling and waste reduction options. The Committee of
Proposed Black River the Whole recommended the following: Signing the Interlocal Agreement
Quarry Incinerator with King County based on the letter of understanding being prepared by
attorneys, and approval of City Attorney Warren; 2.) Council agreement that
the garbage hauling and recycling contracts be negotiated concurrently, but
written as two separate requests for proposals; 3.) Authorize staff to invoke
the automatic 120-day extension, if necessary, in the current garbage hauling
contract, allowing appropriate programs to be developed prior to expiration;
and 4.) Council favor an aggressive waste reduction and recycling program
and authorize staff to proceed with the process outlined, which includes
hiring a consultant for purpose of developing said programs, to be paid from
