CONSENT OF SOLE DIRECTOR
Pursuant to RCW 2313.08.210, the undersigned director, the sole director of
Earlington 60, Inc., a Washington corporation (the "Corporation"), acting without a
meeting in his respective capacity as Director and as the Board of Directors, does hereby
unanimously adopt the following corporate resolutions and does hereby unanimously
consent to the taking of the action therein set forth.
RESOLVED: Effective August 23, 2017 ("Effective Date"), Jordan Salisbury
("Salisbury") is hereby appointed an authorized agent of the Company, and is hereby authorized
to prepare, execute, submit, amend, and modify, on behalf of the Company, permit, use, and
entitlement applications. Salisbury, as an authorized agent of the Company may enter into,
execute, and deliver on behalf of the Company the documents described in this Consent.
RESOLVED FURTHER: The execution ofthis Consent shall constitute awritten notice
of any action required by the State of Washington with respect to limited liability companies and
the Company's Articles of Incorporation.
