CONSENT OF MANAGER
Pursuant to the provisions of the Limited Liability Company Act, RCW Chapter 25.15,
and the provisions of the Limited Liability Company Agreement dated May 23, 2018, the
undersigned, being the manager of Glacial Venture II, LLC, a Washington limited liability
company ("the Company"), hereby adopts the following resolutions:
RESOLVED: Effective May 23, 2018 ("Effective Date"), Jordan Salisbury ("Salisbury")
is hereby appointed an authorized agent of the Company, and is hereby authorized to prepare,
execute, submit, amend, and modify, on behalf of the Company, permit, use, and entitlement
applications. Salisbury, as an authorized agent of the Company may enter into, execute, and
deliver on behalf of the Company the documents described in this Consent.
RESOLVED FURTHER: The execution ofthis Consent shall constitute a written notice
of any action required by the State of Washington with respect to limited liability companies and
the Company's Operating Agreement. This Consent shall be filed by the Manager ofthe Company
inthe minute book of the Company.
