NOWTHEREFORE,ITISHEREBYAGREEDasfollows:1.TheAPPLICANTherebywarrantsalloftheIMPROVEMENTStobefreefromanymaterialdefectinworkmanship(“DEFECT”)foraperiodoftwo(2)yearsfromthedateofoccupancy,andshallpayalllaborers,mechanics,subcontractorsandmaterialmen,andallpersonswhoshallsupplyAPPLICANTorsub-contractorswithprovisionsandsuppliesfortherepairorreplacement(“WARRANTYWORK”)ofaDEFECT,ifandtotheextenttheCITYshallnotifyAPPLICANTofsuchDEFECTduringthetwo(2)yearwarrantyperiod.TheAPPLICANTshallholdtheCITYharmlessfromanylossordamageoccasionedtoanypersonorpropertybyreasonofanycarelessnessornegligenceonthepartofsaidprincipaloranysubcontractorintheperformanceofsaidWARRANTYWORK,andshallindemnifyandholdtheCITYharmlessfromanydamageorexpensebyreasonofAPPLICANT’SfailuretoperformanyWARRANTYWORKinaccordancewiththetermsandconditionsofthisAGREEMENT,and2.InadditiontoanyandallotherremediesavailabletotheCITY,atlaworinequity,iftheAPPLICANTfailstoperformanyWARRANTYWORKinaccordancewiththetermsandconditionsofthisAGREEMENT,thentheCITYshallbeentitledandauthorizedtoperformsuchWARRANTYWORKandbilltheAPPLICANTforthecostsincurredinconnectiontherewith.AnysuchbillingbytheCITYtotheAPPLICANTshallbepaidbytheAPPLICANTwithinsixty(60)daysofthebilling,unlessotherarrangementsaremadeinadvance.3.ThisAGREEMENTshallbebindingontheheirs,assignsandsuccessorsininterestofthePARTIEShereto,andtheobligationshereundershallrunwiththelandoftheabove-referencedparcels.4.IntheeventthateitherpartyinitiatesanyactiontoenforcethetermsandconditionsofthisAGREEMENT,theprevailingPartyshallbeentitledtorecoveritsreasonablecostsandattorney’sfeesfromtheotherParty.5.ThisAGREEMENTcontainstheentireunderstandingofthePARTIESwithrespecttothemailerssetforthhereinandanypriororcontemporaneousunderstandingsaremergedherein.ThisAGREEMENTshallnotbemodifiedexceptbywritteninstrumentexecutedbythePARTIEShereto.6.ThisAGREEMENTshallremaininfullforceandeffectforaperiodoftwoyearsfromandafterthedateofoccupancyoftheproject,andshallnotpriortheretobereleaseduntilalltermsofthisAGREEMENThavebeencompletedtothesatisfactionoftheCITY’SCityEngineerorhis/herdesignee.PublicAgencyAgreementforPerformancePage2of4
