WebLinkAboutContractTHISAGREEMENT(“Agreement”)ismadeasofthe5THdayofMarch,2020,(the“EffectiveDate”)byandbetweentheCityofRenton,anon-chartercodecityunderRCW35A,andaWashingtonmunicipalcorporationCityofRenton,PublicWorksDepartmentandWestCoastSignalINC.acontractorwhoarecollectivelyreferredtoasthe“Parties”,toReplaceastreetlightingfoundation,installanewStreetlightingfoundationpadandre-installaStreetlightpoleandfixtureontheEastsideofLoganAVESatE.PerimeterRoad.CityandContractoragreeassetforthbelow.1.ScopeofWork:ContractorwillprovideallmaterialandlabornecessarytoperformallworkdescribedintheScopeofWorkwhichisattachedandfullyincorporatedintothisAgreementbyreferenceasAttachment“A.”2.ChangesinScopeofWork:City,withoutinvalidatingthisAgreement,mayorderchangestotheScopeofWorkconsistingofadditions,deletionsormodifications,theAgreementSumbeingadjustedaccordinglybyPartiesmutualagreement.SuchchangesintheworkshallbeauthorizedbywrittenChangeOrderorAmendmentsignedbytheParties.3.TimeofPerformance:ContractorshallcommenceperformanceoftheAgreementnolaterthan90calendardaysaftertheAgreement’sEffectiveDate.4.TermofAgreement:TheTermofthisAgreementshallendatcompletionoftheScopeofWork,nolaterthan90daysfromtheEffectiveDateoron5/08/2020.ThisAgreementmaybeextendedtoaccomplishchangeorders,ifrequired,uponmutualwrittenagreementofCityandContractor.5.AgreementSum:ThetotalamountofthisAgreementisthesumof$14,700.00whichincludesWashingtonStateSalesTax.ThisamountmaybeadjustedtoamutuallyagreedamountbasedonchangestotheScopeofWork.6.Consideration:InexchangeforContractor’sperformanceoftheitemsandresponsibilitiesidentifiedintheScopeofWork,CityagreestomakepaymentoftheamountidentifiedastheAgreementSum.7.PrevailingWage/MethodofPayment!Retainage/Bonding:PaymentbytheCityfortheWorkwillonlybemadeaftertheWorkhasbeenperformedandavoucherorinvoiceissubmittedinaformacceptabletotheCity.SMALLPUBLICWORKSCONTRACTAGREEMENT A.PrevailingWageRates:ContractormustcomplywiththeStateofWashingtonprevailingwagerequirements.ContractormustfileanIntentToPayPrevailingWageatthebeginningoftheprojectandanAffidavitofWagesPaidattheendoftheprojectwiththeWashingtonStateDepartmentofLaborandIndustries.TheStateofWashingtonprevailingwageratesapplicableforthisproject,whichislocatedinKingCounty,maybefoundatthefollowingwebsiteaddressoftheDepartmentofLaborandIndustries:http://wwwjni.wa.gov/TradesLicensingJPrevWage/default.asphttp://www.Ini.wa.govfrradesLicensingjprevWage/WageRates/default.aspPursuanttoWAC296-127-011,theapplicableeffectivedateforprevailingwageratespaidforthedurationofthiscontractshallbethedatethecontractisexecutedasreflectedinthe“EffectiveDate”identifiedatthetopofthefirstpageofthisAgreement.Uponrequest,theCitywillprovideacopyoftheapplicableprevailingwagesforthisproject.Alternatively,theratesmaybeviewedatthecityofRentonCityHallbymakinganappointmentwiththecontactpersonidentifiedhereinorpriortocontractawardwiththecontactpersonidentifiedastheCityofRentoncontactinParagraph15Noticesofthisagreement.B.RetainageheldbytheCityorinEscrowAccount:PursuanttoRCWChapter60.28,asumequaltofivepercent(5%)ofthemoniesearnedbytheContractorwillberetainedfrompaymentsmadebytheCitytotheContractorunderthisContract.Thisretainageshallbeusedasatrustfundfortheprotectionandpayment(1)totheStatewithrespecttotaxesimposedpursuanttoRCWTale82and(2)theclaimsofanypersonarisingundertheContract.MoniesretainedundertheprovisionsofRCWChapter60.28shallbe:Contractormustpickone—ifcontractordoesnotpickonethenthefirstoptionfretainageheldinafundbytheCity)applies.orRetainedinafundbytheCity.DepositedbytheCityinanescrow(interest-bearing)accountinabank,mutualsavingbank,orsavingsandloanassociation(interestonmoniessoretainedshallbepaidtotheContractor).DepositsaretobeinthenameoftheCityandarenottobeallowedtobewithdrawnwithouttheCity’swrittenauthorization.TheCitywillissueacheckrepresentingthesumofthemonies0PAGE2OFt! reserved,payabletothebankortrustcompany.SuchcheckshallbeconvertedintobondsandsecuritieschosenbytheContractorastheinterestaccrues.AtorbeforethetimetheContractisexecuted,theContractorshalldesignatetheoptiondesired.TheContractorinchoosingoption(2)agreestoassumefullresponsibilitytopayallcoststhatmayaccruefromescrowservices,brokeragechargesorboth,andfurtheragreestoassumeallrisksinconnectionwiththeinvestmentoftheretainedpercentagesinsecurities.TheCitymayalso,atitsoption,acceptabondinlieuofretainage.C.ForAgreementsover$150,000:PursuanttoRCW60.26and39.08TheCityrequiresaS%RetainagebewithheldandthattheContractorwillprovideaPerformanceandPayment(Contract)BondontheCityapprovedformuponexecutionoftheAgreementPaymentoftheinitial95%willbemadeinthenextpaycycleoftheRentonFinanceDepartmentafterreceiptofsuchvoucherorinvoice(paycyclesarebi-weekly).Theremaining5%willberetainedforthepurposeofcompletionoftheprojectandfulfillmentofclaimsandliens.D.ForAgreementsunder$150,000PursuanttoRCW60.26and39.08theCityrequiresa5%RetainagebewithheldandthattheContractorwillprovideeitheraPerformanceandPayment(Contract)BondontheCityapprovedformuponexecutionoftheAgreementorwaivethepaymentandperformancebondandinsteadtheCitywillretain10%.Paymentoftheinitial95%willbemadeinthenextpaycycleoftheRentonFinanceDepartmentafterreceiptofsuchvoucherorinvoice(paycyclesarebi-weekly).Theremaining5%willberetainedforthepurposeofcompletionoftheprojectandfulfillmentofclaimsandliens.(UnlesstheContractorwaivesthepaymentandperformancebondbelowandoptsfora10%retainagebelow.)Contractormustpickone—ifcontractordoesnotpickonethenthefirstoption(5%retainagewithcontractbond)applies:‘I_______Toprovideapaymentandperformancebond(contractbond)intheamountof100%oftheestimateincludingtaxeswitha5%retainage.or/_______Towaiveapaymentandperformancebond(contractbond)andinsteadthIckywillretaintheremaining10%willberetainedforthepurposeofcompletionoftheprojectandfulfillmentofclaimsandliens.0PAGE3oc11 E.ForlimitedPublicWorksContractsunder$35,000Forlimitedpublicworksprojects,theCitymaychoosetowaivethepaymentandperformancebondrequirementsofchapter39.08RCWandtheretainagerequirementsofchapter60.28RCW,forlaborers,mechanics,subcontractors,materialpersons,suppliers,andtaxesimposedunderTitle82RCWthatmaybeduefromthecontractorforthelimitedpublicworksproject,howeverTheCityshallhavetherightofrecoveryagainstthecontractorforanypaymentsmadeonthecontractor’sbehalf.F.CityshallhavetherighttowithholdpaymenttoContractorforanyworknotcompletedinasatisfactorymanneruntilsuchtimeasContractormodifiessuchworksothatthesameissatisfactory.G.FinalAcceptance.FinalAcceptanceoftheProjectoccurswhenthePublicWorksDirectorhasdeterminedthattheProjectisonehundredpercent(100%)completeandhasbeenconstructedinaccordancewiththePlansandSpecifications.H.PaymentintheEventofTermination.IntheeventthisContractisterminatedbytheeitherparty,theContractorshallnotbeentitledtoreceiveanyfurtheramountsdueunderthisContractuntiltheworkspecifiedintheScopeofWorkissatisfactorilycompleted,asscheduled,uptothedateoftermination.Atsuchtime,iftheunpaidbalanceoftheamounttobepaidundertheContractexceedstheexpenseincurredbytheCityinfinishingthework,andalldamagessustainedbytheCityorwhichmaybesustainedbytheCityorwhichmaybesustainedbythereasonofsuchrefusal,neglect,failureordiscontinuanceofContractorperformingthework,suchexcessshallbepaidbytheCitytotheContractor.IftheCity’sexpenseanddamagesexceedtheunpaidbalance,ContractorandhissuretyshallbejointlyandseverallyliablethereforetotheCityandshallpaysuchdifferencetotheCity.SuchexpenseanddamagesshallincludeallreasonablelegalexpensesandcostsincurredbytheCitytoprotecttherightsandinterestsoftheCityundertheContract.8.HoldHarmless:Contractorshallindemnify,defendandholdharmlessCity,itselectedofficials,officers,agents,employeesandvolunteers,fromandagainstanyandallclaims,lossesorliability,oranyportionofthesame,includingbutnotlimitedtoreasonableattorneys’fees,legalexpensesandlitigationcosts,arisingfrominjuryordeathtopersons,includinginjuries,sickness,diseaseordeathofContractor’sownemployees,agentsandvolunteers,ordamagetopropertycausedbyContractor’snegligentactoromission,exceptforthoseactscausedbyorresultingfromanegligentactoromissionbyCityanditsofficers,agents,employeesandvolunteers.ShouldacourtofcompetentjurisdictiondeterminethatthisagreementissubjecttoRCW4.24.115,(ValidityofagreementtoindemnifyagainstliabilityfornegligencerelativetoYEPAGE4cr11 construction,alteration,improvement,etc.,ofstructureorimprovementattachedtorealestate...)then,intheeventofliabilityfordamagesarisingoutofbodilyinjurytopersonsordamagestopropertycausedbyorresultingfromtheconcurrentnegligenceofthecontractorandCity,itsofficers,officials,employeesandvolunteers,Contractor’sliabilityshallbeonlytotheextentofContractor’snegligence.ItisfurtherspecificallyandexpresslyunderstoodthattheindemnificationprovidedinthisAgreementconstituteContractor’swaiverofimmunityundertheIndustrialInsuranceAct,RCWTitle51,solelyforthepurposesofthisindemnification.ThePartieshavemutuallynegotiatedandagreedtothiswaiver.TheprovisionsofthissectionshallsurvivetheexpirationorterminationofthisAgreement.9.Insurance;Contractorshallsecureandmaintain:A.Commercialgeneralliabilityinsuranceintheminimumamountsof$1,000,000foreachoccurrence/$2,000,000aggregatefortheTermofthisAgreement.B.Prefes&enelliabilityin5uranee,intheminimumamountof$1,000,000fore’choccurronco,5haljalsobeEecuredforanyprofessionalservicesbeingprovide&toCitythatarcexcludedinthecommercialgeneralliabilityinsurance.C.Workers’compensationcoverage,asrequiredbytheIndustrialInsurancelawsoftheStateofWashington,shallalsobesecured.D.ItisagreedthatonContractor’scommercialgeneralliabilitypolicy,theCityofRentonwillbenamedasanAdditionalInsuredonanon-contributoryprimarybasis.City’sinsurancepoliciesshallnotbeasourceforpaymentofanyContractorliability.E.SubjecttoCity’sreviewandacceptance,acertificateofinsuranceshowingtheproperendorsements,shallbedeliveredtoCitybeforeexecutingtheworkofthisAgreement.F.ContractorshallprovideCitywithwrittennoticeofanypolicycancellation,withintwo(2)businessdaysoftheirreceiptofsuchnotice.G.AdditionalInsuranceIfmarkedas“Required”byCity:1.DRequired.BuildersRiskinsurancecoveringinterestsoftheCity,theContractor,Subcontractors,andSub-contractorsinthework.BuildersRiskinsuranceshallbeonaspecialperilspolicyformandshallinsureagainsttheperilsoffireandextendedcoverageandphysicallossordamageincludingflood,earthquake,theft,vandalism,maliciousmischief,andcollapse.TheBuildersRiskinsuranceshallincludecoveragefortemporarybuildings,debrisremovalanddamagetomaterialsintransitorstoredoff0PAGE5OFU site.ThisBuildersRiskinsurancecoveringtheworkwillhaveadeductibleof$5,000foreachoccurrence,whichwillbetheresponsibilityoftheContractor.HigherdeductiblesforfloodandearthquakeperilsmaybeacceptedbytheCityuponwrittenrequestbytheContractorandwrittenacceptancebytheCity.AnyincreaseddeductiblesacceptedbytheCitywillremaintheresponsibilityoftheContractor.TheBuildersRiskinsuranceshallbemaintaineduntilfinalacceptanceoftheworkbytheCity.2.ZRequired.ContractorsPollutionLiabilityinsurancecoveringlossescausedbypollutionconditionsthatarisefromtheoperationsoftheContractor.ContractorsPollutionLiabilityinsuranceshallbewritteninanamountofatleast$1,000,000perloss,withanannualaggregateofatleast$1,000,000.ContractorsPollutionLiabilityshallcoverbodilyinjury,propertydamage,cleanupcostsanddefenseincludingcostsandexpensesincurredintheinvestigation,defense,orsettlementofclaims.IftheContractorsPollutionLiabilityinsuranceiswrittenonaclaims-madebasis,theContractorwarrantsthatanyretroactivedateapplicabletocoverageunderthepolicyprecedestheeffectivedateofthiscontract;andthatcontinuouscoveragewillbemaintainedoranextendeddiscoveryperiodwillbeexercisedforaperiodofthree(3)yearsbeginningfromthetimethatworkunderthecontractiscompleted.TheCityshallbenamedbyendorsementasanadditionalinsuredontheContractorsPollutionLiabilityinsurancepolicy.Ifthescopeofservicesasdefinedinthiscontractincludesthedisposalofanyhazardousmaterialsfromthejobsite,theContractormustfurnishtotheCityevidenceofPollutionLiabilityinsurancemaintainedbythedisposalsiteoperatorforlossesarisingfromtheinsuredfacilityacceptingwasteunderthiscontract.CoveragecertifiedtothePublicEntityunderthisparagraphmustbemaintainedinminimumamountsof$1,000,000perloss,withanannualaggregateofatleast$1,000,000.PollutionLiabilitycoverageatleastasbroadasthatprovidedunderISOPollutionLiability-BroadenedCoverageforCoveredAutosEndorsementCA9948shallbeprovidedandtheMotorCarrierActEndorsement(MCS90)shallbeattached.10.DiscriminationProhibited:Excepttotheextentpermittedbyabonafideoccupationalqualification,theContractoragreesasfollows:aPAGE6OF11 A.Contractor,andContractor’sagents,employees,representatives,andvolunteerswithregardtotheWorkperformedortobeperformedunderthisAgreement,shallnotdiscriminateonthebasisofrace,color,sex,religion,nationality,creed,maritalstatus,sexualorientationorpreference,age(exceptminimumageandretirementprovisions),honorablydischargedveteranormilitarystatus,orthepresenceofanysensory,mentalorphysicalhandicap,unlessbaseduponabonafideoccupationalqualificationinrelationshiptohiringandemployment,inemploymentorapplicationforemployment,theadministrationofthedeliveryofWorkoranyotherbenefitsunderthisAgreement,orprocurementofmaterialsorsupplie5.B.TheContractorwilltakeaffirmativeactiontoinsurethatapplicantsareemployedandthatemployeesaretreatedduringemploymentwithoutregardtotheirrace,creed,color,nationalorigin,sex,age,sexualorientation,physical,sensoryormentalhandicaps,ormaritalstatus.Suchactionshallinclude,butnotbelimitedtothefollowingemployment,upgrading,demotionortransfer,recruitmentorrecruitmentadvertising,layoffortermination,ratesofpayorotherformsofcompensationandselectionfortraining.C.IfContractorfailstocomplywithanyofthisAgreement’snon-discriminationprovisions,Cityshallhavetheright,atitsoption,tocanceltheAgreementinwholeorinpart.D.Contractorisresponsibletobeawareofandincompliancewithallfederal,stateandlocallawsandregulationsthatmayaffectthesatisfactorycompletionoftheproject,whichincludesbutisnotlimitedtofairlaborlawsandworkerscompensation.11.IndependentContractor:Contractor’semployees,whileengagedintheperformanceofanyofContractor’sWorkunderthisAgreement,shallbeconsideredemployeesoftheContractorandnotemployees,agents,representativesofCityandasaresult,shallnotbeentitledtoanycoverageorbenefitsfromtheCityofRenton.Contractor’srelationtoCityshallbeatalltimesasanindependentcontractor.AnyandallWorkman’sCompensationActclaimsonbehalfofContractoremployees,andanyandallclaimsmadebyathird-partyasaconsequenceofanynegligentactoromissiononthepartofContractor’semployees,whileengagedinWorkprovidedtoberenderedunderthisAgreement,shallbethesolelyContractor’sobligationandresponsibility.12.CityofRentonBusinessLicense:TheConsultantshallobtainaCityofRentonBusinessLicensepriortoperforminganyWorkandmaintainthebusinesslicenseingoodstandingthroughoutthetermofthisagreementwiththeCity.aPAGE7OF11 Informationregardingacquiringacitybusinesslicensecanbefoundat:http://www.rentonwa.gov/cmsfOne.aspx?portalld=7922741&pageld=9824882InformationregardingStatebusinesslicensingrequirementscanbefoundat:http://dor.wa.gov/doing-business/register-my-business13.RecordKeepingandReporting:Contractorshallmaintainaccountsandrecords,whichproperlyreflectalldirectandindirectcostsexpendedandWorkprovidedintheperformanceofthisAgreement.TheContractoragreestoprovideaccesstoandcopiesofanyrecordsrelatedtothisAgreementasrequiredbytheCitytoauditexpendituresandchargesand/ortocomplywiththeWashingtonStatePublicRecordsAct(Chapter42.56RCW).14.PublicRecordsCompliance.TothefullextenttheCitydeterminesnecessarytocomplywiththeWashingtonStatePublicRecordsAct,Contractorshallmakeaduediligentsearchofallrecordsinitspossession,including,butnotlimitedto,e-mail,correspondence,notes,savedtelephonemessages,recordings,photos,ordrawingsandprovidethemtotheCityforproduction.IntheeventContractorbelievessaidrecordsneedtobeprotectedfromdisclosure,itshall,atContractor’sownexpense,seekjudicialprotection.Contractorshallindemnify,defend,andholdharmlesstheCityforallcosts,includingattorneys’fees,attendanttoanyclaimorlitigationrelatedtoaPublicRecordsActrequestforwhichContractorhasresponsiverecordsandforwhichContractorhaswithheldrecordsorinformationcontainedtherein,ornotprovidedthemtotheCityinatimelymanner.ContractorshallproducefordistributionanyandallrecordsresponsivetothePublicRecordsActrequestinatimelymanner,unlessthoserecordsareprotectedbycourtorder.15.OtherProvisions:A.AdministrationandNotices.EachindividualexecutingthisAgreementonbehalfofCityandContractorrepresentsandwarrantsthatsuchindividualsaredulyauthorizedtoexecuteanddeliverthisAgreementonbehalfofCityorContractor.AnynoticesrequiredtobegivenbythePartiesshallbedeliveredattheaddressessetforthbelow.AnynoticesmaybedeliveredpersonallytotheaddresseeofthenoticeormaybedepositedintheUnitedStatesmail,postageprepaid,totheaddresssetforthbelow.AnynoticesopostedintheUnitedStatesmailshallbedeemedreceivedthree(3)calendardaysafterthedateofmailing.ThisAgreementshallbeadministeredbyandanynoticesshouldbesenttotheundersignedindividualsortheirdesignees.CITYOFRENTONCONTRACTOREricCutshallBeckyMogensen/WestCoastSignalaPAGE8oF11 1055SouthGradyWay20111208THAVESERenton,WA98057Renton,WA98058Phone:(425)430-7423Phone:206-579-3675ecutshall@rentonwa.govaccounting@westcoastsignal.comB.AmendmentandModification.ThisAgreementmaybeamendedonlybyaninstrumentinwriting,dulyexecutedbybothParties.C.AssignmentandSubcontract.ContractorshallnotassignorsubcontractanyportionofthisAgreementwithouttheCityofRenton’spriorexpresswrittenconsent.D.CompliancewithLaws.ContractorandalloftheContractor’semployeesshallperformtheWorkinaccordancewithallapplicablefederal,state,countyandcitylaws,codesandordinances.Acopyofthislanguagemustbemadeapartofanycontractororsubcontractoragreement.E.Conflicts.Intheeventofanyinconsistenciesbetweencontractorproposalsandthiscontract,thetermsofthiscontractshallprevail.F.GoverningLaw.ThisAgreementshallbemadeinandshallbegovernedbyandinterpretedinaccordancewiththelawsoftheStateofWashington.G.JointDraftingEffort.ThisAgreementshallbeconsideredforallpurposesaspreparedbythejointeffortsofthePartiesandshallnotbeconstruedagainstonepartyortheotherasaresultofthepreparation,substitution,submissionorothereventofnegotiation,draftingorexecution.H.JurisdictionandVenue.AnylawsuitorlegalactionbroughtbyanypartytoenforceorinterpretthisAgreementoranyofitstermsorcovenantsshallbebroughtintheKingCountySuperiorCourtfortheStateofWashingtonattheMalengRegionalJusticeCenterinKent,KingCounty,Washington,oritsreplacementorsuccessor.ContractorherebyexpresslyconsentstothepersonalandexclusivejurisdictionandvenueofsuchcourtevenifContractorisaforeigncorporationnotregisteredwiththeStateofWashington.Severability.Acourtofcompetentjurisdiction’sdeterminationthatanyprovisionorpartofthisAgreementisillegalorunenforceableshallnotcancelorinvalidatetheremainderofthisAgreement,whichshallremaininfullforceandeffect.aPAGE9OF11
