WebLinkAboutContractAGREEMENTFORPHASE1ENVIRONMENTALASSESSMENTSTHISAGREEMENT,datedforreferencepurposesonlyasNovember30,2020,isbyandbetweentheCityofRenton(the“City”),aWashingtonmunicipalcorporation,andAssociatedEarthSciences(“Consultant”),Inc.TheCityandtheConsultantarereferredtocollectivelyinthisAgreementasthe“Parties.”OncefullyexecutedbytheParties,thisAgreementiseffectiveasofthelastdatesignedbybothparties.1.ScopeofWork:ConsultantagreestoprovideaPhase1EnvironmentalAssessmentonfourpropertiesasspecifiedinExhibitA,whichisattachedandincorporatedhereinandmayhereinafterbereferredtoasthe“Work.”2.ChangesinScopeofWork:TheCity,withoutinvalidatingthisAgreement,mayorderchangestotheWorkconsistingofadditions,deletionsor modifications.AnysuchchangestotheWorkshallbeorderedbytheCityinwritingandtheCompensationshallbeequitablyadjustedconsistentwiththerates setforthinExhibitBorasotherwisemutuallyagreedbytheParties.3.TimeofPerformance:ConsultantshallcommenceperformanceoftheAgreementpursuanttotheschedule(s)setforthinExhibitC.AllWorkshallbeperformedbynolaterthanFebruary26,2021.4.Compensation:A.Amount.TotalcompensationtoConsultantforWorkprovidedpursuanttothisAgreementshallnotexceed$11,000,plusanyapplicablestateandlocalsalestaxes.CompensationshallbepaidasaflatratefixedsumbaseduponWorkactuallyperformedaccordingtotherate(s)oramountsspecifiedinExhibitB.TheConsultantagreesthatany hourlyorflatratechargedbyitforitsWorkshallremainlockedatthenegotiatedrate(s)unlessotherwiseagreedtoinwritingorprovidedinExhibitB.Exceptasspecificallyprovidedherein,theConsultantshallbesolelyresponsibleforpaymentofanytaxesimposedasaresultoftheperformanceandpaymentofthisAgreement.B.MethodofPayment.Onamonthlyorno lessthanquarterlybasisduringanyquarterinwhichWorkisperformed,theConsultantshallsubmitavoucherorinvoiceinaformspecifiedbytheCity,includingadescriptionofwhatWorkhasbeenperformed,thenameofthepersonnelperformingsuchWork,andanyhourlylaborchargerateforCAG-20-491 suchpersonnel.TheConsultantshallalsosubmitafinalbilluponcompletionofallWork.PaymentshallbemadebytheCityforWorkperformedwithinthirty(30)calendardaysafterreceiptandapprovalbytheappropriateCityrepresentativeofthevoucherorinvoice.IftheConsultant’sperformancedoes notmeetthe requirementsofthisAgreement,theConsultantwillcorrectormodifyitsperformancetocomplywiththeAgreement.TheCitymaywithholdpaymentfor workthatdoesnotmeet therequirementsofthisAgreement.C.EffectofPayment.PaymentforanypartoftheWorkshallnotconstituteawaiverbytheCityofanyremediesitmayhaveagainsttheConsultantfor failureoftheConsultanttoperformtheWorkorforanybreachofthisAgreementbytheConsultant.D.Non-AppropriationofFunds.IfsufficientfundsarenotappropriatedorallocatedforpaymentunderthisAgreementforanyfuturefiscalperiod,theCityshallnotbeobligatedtomakepaymentsforWorkoramountsincurredaftertheendofthecurrentfiscalperiod,andthisAgreementwillterminateuponthecompletionofallremainingWorkforwhichfundsareallocated.NopenaltyorexpenseshallaccruetotheCityintheeventthisprovisionapplies.5.Termination:A.TheCityreservestherighttoterminatethisAgreementatanytime,withorwithoutcausebygivingten(10)calendardays’noticetotheConsultantinwriting.Intheeventofsuchterminationorsuspension,allfinishedorunfinisheddocuments,data,studies,worksheets,modelsandreports,orothermaterialpreparedbytheConsultantpursuanttothisAgreementshallbesubmittedtotheCity,ifanyarerequiredaspartoftheWork.B.IntheeventthisAgreementisterminatedbytheCity,theConsultantshallbeentitledtopaymentforallhoursworkedtotheeffectivedateoftermination,lessallpaymentspreviouslymade.IftheAgreementisterminatedbytheCityafterpartialperformanceofWorkforwhichtheagreedcompensationisafixedfee,theCityshallpaytheConsultantanequitableshareofthefixedfee.ThisprovisionshallnotpreventtheCityfromseekinganylegalremediesitmayhavefortheviolationornonperformanceofanyoftheprovisionsofthisAgreementandsuchchargesdue totheCityshallbedeductedfromthefinalpaymentduetheConsultant.NopaymentshallbemadebytheCityforanyexpensesincurredorworkdonefollowingtheeffectivedateofterminationunlessauthorizedinadvanceinwritingbytheCity.6.WarrantiesAndRightToUseWorkProduct:ConsultantrepresentsandwarrantsthatConsultantwillperformallWorkidentifiedinthisAgreementinaprofessionalandworkmanlikemannerandinaccordancewithallreasonableandprofessionalstandards0PAGE2OF10 andlaws.Compliancewithprofessionalstandardsincludes,asapplicable,performingtheWorkincompliancewithapplicableCitystandardsorguidelines(e.g.designcriteria andStandardPlansforRoad,BridgeandMunicipalConstruction).Professionalengineersshallcertifyengineeringplans,specifications,plats,andreports,asapplicable,pursuanttoRCW18.43.070.ConsultantfurtherrepresentsandwarrantsthatallfinalworkproductcreatedforanddeliveredtotheCitypursuanttothisAgreementshallbetheoriginalworkoftheConsultantandfreefromanyintellectualproperty encumbrancewhichwouldrestricttheCityfromusingtheworkproduct.ConsultantgrantstotheCityanon-exclusive,perpetualrightand licensetouse,reproduce,distribute,adapt,modify,anddisplayallfinalworkproductproducedpursuanttothisAgreement.TheCity’sorother’sadaptation,modificationoruseofthefinalworkproductsotherthanforthepurposesofthisAgreementshallbewithoutliabilitytotheConsultant.TheprovisionsofthissectionshallsurvivetheexpirationorterminationofthisAgreement.7.RecordMaintenance:TheConsultantshallmaintainaccountsandrecords,whichproperlyreflectalldirectandindirectcostsexpendedandWorkprovidedintheperformanceofthisAgreementandretainsuchrecordsforaslongasmayberequiredbyapplicableWashingtonStaterecordsretentionlaws,butinanyeventnolessthansixyearsafterthe terminationofthisAgreement.TheConsultantagreestoprovideaccesstoandcopiesofanyrecords relatedtothisAgreementasrequiredbytheCitytoauditexpendituresandchargesand/ortocomply withtheWashingtonStatePublicRecordsAct(Chapter42.56RCW).TheprovisionsofthissectionshallsurvivetheexpirationorterminationofthisAgreement.8.PublicRecordsCompliance:Tothefullextent theCitydeterminesnecessarytocomplywiththeWashingtonStatePublicRecordsAct,ConsultantshallmakeaduediligentsearchofallrecordsinitspossessionorcontrolrelatingtothisAgreementandtheWork,including,butnotlimitedto,e-mail,correspondence,notes,savedtelephonemessages,recordings,photos,or drawingsandprovidethemtotheCityforproduction.IntheeventConsultantbelievessaidrecordsneedtobeprotectedfromdisclosure,itmay,atConsultant’sownexpense,seekjudicialprotection.Consultantshallindemnify,defend,andholdharmlesstheCityforallcosts,includingattorneys’fees,attendanttoanyclaimorlitigationrelatedtoaPublicRecordsActrequestforwhichConsultanthasresponsiverecordsandforwhichConsultanthaswithheldrecordsorinformationcontainedtherein,ornotprovidedthemtotheCityinatimelymanner.Consultantshallproducefordistributionanyandallrecords responsivetothePublicRecordsActrequestinatimelymanner,unlessthoserecordsareprotectedbycourt order.TheprovisionsofthissectionshallsurvivetheexpirationorterminationofthisAgreement.9.IndependentContractorRelationship:A.TheConsultantisretainedbytheCityonlyforthepurposesandtothe extentsetforthinthisAgreement.ThenatureoftherelationshipbetweentheConsultantandtheCity0PAGE3OF10 duringtheperiodoftheWorkshallbethatofanindependentcontractor,notemployee.TheConsultant,nottheCity,shallhavethepowertocontrolanddirectthedetails,mannerormeansofWork.Specifically,butnotbymeansoflimitation,theConsultantshallhavenoobligationtoworkanyparticularhoursorparticularschedule,unlessotherwiseindicatedintheScopeofWorkorwhereschedulingofattendanceorperformanceismutuallyarrangeddue tothe natureoftheWork.ConsultantshallretaintherighttodesignatethemeansofperformingtheWorkcoveredbythisagreement,andtheConsultantshallbeentitledto employotherworkersatsuchcompensationandsuchotherconditionsasitmaydeemproper,provided,however,thatanycontractsomadebytheConsultantistobepaidbyitalone,andthatemployingsuchworkers,itisactingindividuallyandnotasanagentfortheCity.B.TheCityshallnotberesponsibleforwithholdingorotherwisedeductingfederalincome tax orSocialSecurityorcontributingtotheStateIndustrialInsuranceProgram,orotherwiseassumingthedutiesofanemployerwithrespecttoConsultantoranyemployeeoftheConsultant.C.IftheConsultantisasoleproprietorshiporifthisAgreementiswithanindividual,theConsultantagreestonotifytheCityandcompleteanyrequiredformiftheConsultantretiredunderaStateofWashingtonretirementsystemandagreestoindemnifyanylossestheCitymaysustainthroughtheConsultant’s failuretodoso.10.HoldHarmless:TheConsultant agreestorelease,indemnify,defend,andholdharmlesstheCity,electedofficials,employees,officers,representatives,andvolunteersfromanyandallclaims,demands,actions,suits,causesofaction,arbitrations,mediations,proceedings,judgments,awards,injuries,damages,liabilities,taxes,losses,fines,fees,penalties,expenses,attorney’sorattorneys’fees,costs,and/orlitigationexpensestoorbyanyandallpersonsorentities,arisingfrom,resultingfrom,orrelatedtothenegligentacts,errorsoromissionsoftheConsultantinitsperformanceofthisAgreementorabreachofthisAgreementbyConsultant,exceptforthatportionoftheclaimscausedbytheCity’ssolenegligence.ShouldacourtofcompetentjurisdictiondeterminethatthisagreementissubjecttoRCW4.24.115,(Validityofagreementtoindemnifyagainstliabilityfornegligence relativetoconstruction,alteration,improvement,etc.,ofstructureorimprovementattachedtorealestate...)then,intheeventofliabilityfordamagesarisingoutof bodilyinjurytopersonsordamagestopropertycausedbyorresultingfromtheconcurrentnegligenceoftheConsultantandtheCity,itsofficers,officials,employeesandvolunteers,Consultant’sliability shallbeonlytotheextentofConsultant’s negligence.0PAGE4OF10 It isfurtherspecificallyandexpresslyunderstoodthattheindemnificationprovidedinthisAgreementconstituteConsultant’swaiverofimmunityundertheIndustrialInsuranceAct,RCWTitle51,solelyforthepurposesofthisindemnification.ThePartieshavemutuallynegotiatedandagreedtothiswaiver.TheprovisionsofthissectionshallsurvivetheexpirationorterminationofthisAgreement.11.GiftsandConflicts:TheCity’sCodeofEthicsandWashingtonStatelawprohibitCityemployeesfromsoliciting,accepting,or receivinganygift,gratuityorfavorfromanyperson,firmorcorporationinvolvedinacontractortransaction.ToensurecompliancewiththeCity’sCodeofEthicsandstatelaw,theConsultantshallnotgiveagiftofanykindtoCityemployeesorofficials.ConsultantalsoconfirmsthatConsultantdoesnothaveabusinessinterestoraclosefamilyrelationshipwithanyCityofficeroremployeewho was,is,orwillbeinvolvedinselectingtheConsultant,negotiatingoradministeringthisAgreement,orevaluatingtheConsultant’sperformanceoftheWork.12.CityofRentonBusinessLicense:TheConsultantshallobtainaCityofRentonBusinessLicensepriorto performinganyWorkandmaintainthebusinesslicenseingoodstandingthroughoutthetermofthisagreementwiththeCity.Informationregardingacquiringacitybusinesslicensecanbefoundat:http://www.rentonwa.gov/cms/One.aspx?portalld=7922741&pageld=9824882InformationregardingStatebusinesslicensingrequirementscanbefoundat:http://dor.wa.gov/doing-business/register-my-business13.Insurance:Consultantshallsecureandmaintain:A.Commercialgeneralliabilityinsuranceintheminimumamountsof$1,000,000foreachoccurrence/$2,000,000aggregatefortheTermofthisAgreement.B.IntheeventthatWorkdeliveredpursuanttothisAgreementeitherdirectlyorindirectlyinvolveorrequireProfessionalServices,ProfessionalLiability,ErrorsandOmissionscoverageshallbeprovidedwithminimumlimitsof$1,000,000peroccurrence.“ProfessionalServices”,forthepurposeofthissection,shallmeananyWorkprovidedbyalicensedprofessionalorWorkthatrequiresaprofessionalstandardofcare.C.Workers’compensationcoverage,asrequiredbytheIndustrialInsurancelawsoftheStateofWashington,shallalsobesecured.D.CommercialAutomobileLiabilityforowned,leased,hiredornon-owned,leased,hiredornon-owned,withminimumlimitsof$1,000,000peroccurrencecombinedsingle0PAGE5OF10 limit,iftherewillbeanyuseofConsultant’svehiclesontheCity’sPremisesbyoronbehalfoftheCity,beyondnormalcommutes.E.ConsultantshallnametheCityasanAdditionalInsuredonitscommercialgeneralliability policyonanon-contributoryprimarybasis.TheCity’sinsurancepoliciesshallnotbeasourceforpaymentofanyConsultantliability,norshallthemaintenanceofanyinsurancerequiredbythisAgreementbeconstruedtolimittheliabilityofConsultanttothecoverageprovidedbysuchinsuranceorotherwiselimittheCity’srecoursetoanyremedyavailableatlaworinequity.F.Subject totheCity’sreviewandacceptance,acertificateofinsuranceshowingtheproperendorsements,shallbedelivered totheCitybeforeperformingtheWork.G.ConsultantshallprovidetheCitywithwrittennoticeofanypolicycancellation,withintwo(2)businessdaysoftheirreceiptofsuchnotice.14.Delays:ConsultantisnotresponsiblefordelayscausedbyfactorsbeyondtheConsultant’sreasonablecontrol.WhensuchdelaysbeyondtheConsultant’sreasonablecontroloccur,theCityagreestheConsultantisnotresponsiblefordamages,norshalltheConsultantbedeemedtobeindefaultoftheAgreement.15.SuccessorsandAssigns:NeithertheCitynortheConsultantshallassign,transferorencumberanyrights,dutiesorinterestsaccruingfrom thisAgreementwithoutthewrittenconsentoftheother.16.Notices:AnynoticerequiredunderthisAgreementwillbeinwriting,addressedtotheappropriatepartyattheaddresswhichappearsbelow(asmodifiedinwriting fromtimetotimebysuchparty),andgivenpersonally,byregisteredorcertifiedmail,returnreceiptrequested,byfacsimileorbynationallyrecognizedovernightcourierservice.Timeperiodfornoticesshallbedeemedtohavecommenceduponthedateofreceipt,EXCEPTfacsimiledeliverywillbedeemedtohavecommencedonthefirst businessdayfollowingtransmission.EmailandtelephonemaybeusedforpurposesofadministeringtheAgreement,butshouldnotbeusedtogiveanyformal 17.DiscriminationProhibited:Excepttothe extentpermittedbyabonafideoccupationalqualification,theConsultantagreesasfollows:A.Consultant,andConsultant’sagents, employees,representatives,andvolunteerswithregardtotheWorkperformedortobeperformedunderthisAgreement,shallnotdiscriminateonthebasisofrace,color,sex,religion,nationality,creed,maritalstatus,sexualorientationorpreference,age(exceptminimumageandretirementprovisions),honorablydischargedveteranormilitarystatus,orthepresenceofanysensory,mentalorphysicalhandicap,unlessbaseduponabonafideoccupationalqualificationinrelationshiptohiringandemployment,inemploymentorapplicationforemployment,theadministrationofthedeliveryofWorkoranyotherbenefitsunderthisAgreement,orprocurementofmaterialsorsupplies.B.TheConsultantwilltakeaffirmative actiontoinsurethatapplicantsareemployedandthatemployeesaretreatedduringemploymentwithoutregardtotheirrace,creed,color,nationalorigin,sex,age,sexualorientation,physical,sensoryormentalhandicaps,ormaritalstatus.Suchactionshallinclude,butnotbelimitedtothefollowingemployment,upgrading,demotionortransfer, recruitmentorrecruitmentadvertising,layoffortermination,ratesofpayorotherformsofcompensationandselectionfortraining.C.IftheConsultantfailsto complywithanyofthisAgreement’snon-discriminationprovisions,theCityshallhavetheright,atitsoption,tocanceltheAgreementinwholeorinpart.D.TheConsultantisresponsibletobeawareofandincompliancewithallfederal,stateandlocallawsandregulationsthatmayaffectthesatisfactorycompletionoftheproject,whichincludesbutisnotlimitedtofairlaborlaws,worker’scompensation,andTitleVIoftheFederalCivilRightsActof1964,andwillcomplywithCityofRentonCouncilResolutionNumber4085.18.Miscellaneous:Theparties herebyacknowledge:A.TheCityisnotresponsibletotrainorprovidetrainingforConsultant.B.Consultantwillnotbereimbursedforjobrelatedexpensesexcepttotheextentspecificallyagreedwithintheattachedexhibits.C.Consultantshallfurnishalltoolsand/ormaterials necessarytoperformtheWorkexcepttothe extentspecificallyagreedwithintheattachedexhibits.D.Intheeventspecialtraining,licensing,orcertificationisrequiredforConsultanttoprovideWorkhe/shewillacquire ormaintainsuchathis/herownexpenseand,ifoPAGE7OF10 Consultantemploys,sub-contracts,orotherwiseassignstheresponsibilitytoperformtheWork,saidemployee/sub-contractor/assigneewillacquireandormaintainsuchtraining,licensing,orcertification.E.Thisisanon-exclusiveagreementandConsultantisfreetoprovidehis/herWorktootherentities,solongasthereisnointerruptionorinterferencewiththeprovisionofWorkcalledforinthisAgreement.F.Consultantisresponsibleforhis/herowninsurance,including,butnotlimitedtohealthinsurance.G.Consultantisresponsibleforhis/herownWorker’sCompensationcoverageaswellasthatforanypersonsemployedbytheConsultant.19.OtherProvisions:A.ApprovalAuthority.EachindividualexecutingthisAgreementonbehalfoftheCityandConsultantrepresentsandwarrantsthatsuchindividualsaredulyauthorizedtoexecuteanddeliverthisAgreementonbehalfoftheCityorConsultant.B.GeneralAdministrationandManagement.TheCity’sprojectmanagerisJaredMcDonald,SurfaceWaterUtilityEngineer.InprovidingWork,ConsultantshallcoordinatewiththeCity’scontractmanagerorhis/herdesignee.C.AmendmentandModification.ThisAgreementmaybeamendedonlybyaninstrumentinwriting,dulyexecutedbybothParties.D.Conflicts.IntheeventofanyinconsistenciesbetweenConsultantproposalsand thisAgreement,thetermsofthisAgreementshallprevail.Anyexhibits/attachmentstothisAgreementareincorporatedbyreferenceonlytotheextentofthepurposeforwhichtheyarereferencedwithinthisAgreement.TotheextentaConsultantpreparedexhibitconflictswiththetermsinthebodyofthisAgreementorcontainstermsthatareextraneoustothepurposeforwhichitisreferenced,thetermsinthebodyofthisAgreementshallprevailandtheextraneoustermsshallnotbeincorporatedherein.E.GoverningLaw.ThisAgreementshallbemadeinandshallbegovernedbyandinterpretedinaccordancewiththelawsoftheStateofWashingtonandtheCityofRenton.ConsultantandalloftheConsultant’semployeesshallperformtheWorkinaccordancewithallapplicablefederal,state,countyandcitylaws,codesandordinances.F.JointDraftingEffort.ThisAgreementshallbeconsideredforallpurposesaspreparedbythejointeffortsofthePartiesandshallnotbeconstruedagainstonepartyorthe0PAGESOF10 otherasaresultofthepreparation,substitution,submissionorothereventofnegotiation,draftingorexecution.G.JurisdictionandVenue.Anylawsuitorlegalactionbroughtbyanyparty toenforceorinterpretthisAgreementoranyofitstermsorcovenantsshallbebroughtintheKingCountySuperiorCourtfortheStateofWashingtonattheMalengRegionalJusticeCenterinKent,KingCounty,Washington,oritsreplacementorsuccessor.Consultantherebyexpresslyconsentstothepersonaland exclusivejurisdictionandvenueofsuchcourtevenifConsultantisaforeigncorporationnotregisteredwiththeStateofWashington.H.Severability.Acourtofcompetentjurisdiction’sdeterminationthatanyprovisionorpartofthisAgreementisillegalorunenforceableshallnotcancel orinvalidatetheremainderofthisAgreement,whichshallremaininfullforceandeffect.SoleandEntireAgreement.ThisAgreementcontainstheentireagreementofthePartiesandanyrepresentationsorunderstandings,whetheroralorwritten,notincorporatedareexcluded.J.TimeisoftheEssence.TimeisoftheessenceofthisAgreementandeachandallofitsprovisionsinwhichperformanceis afactor. AdherencetocompletiondatessetforthinthedescriptionoftheWorkisessentialtotheConsultant’sperformanceofthisAgreement.K.Third-PartyBeneficiaries. NothinginthisAgreementisintendedto,norshallbeconstruedtogiveanyrightsorbenefitsintheAgreementtoanyoneotherthantheParties,andalldutiesandresponsibilitiesundertakenpursuanttothisAgreementwillbeforthesoleandexclusivebenefitofthePartiesandnooneelse.L.BindingEffect.TheParties eachbindthemselves,their partners,successors,assigns,andlegalrepresentativestotheotherpartytothisAgreement,andtothepartners,successors,assigns,andlegalrepresentativesofsuchotherpartywithrespecttoallcovenantsoftheAgreement.M.Waivers.Allwaiversshallbeinwritingandsignedbythewaivingparty.Eitherparty’sfailuretoenforceanyprovision ofthisAgreementshallnotbeawaiverandshallnotpreventeithertheCityorConsultantfromenforcingthatprovisionoranyotherprovisionofthisAgreementinthefuture.WaiverofbreachofanyprovisionofthisAgreementshallnotbedeemedtobeawaiverofanypriororsubsequentbreachunlessit isexpresslywaivedinwriting.0PAGE9OF10 N.Counterparts.ThePartiesmayexecutethisAgreementinanynumberofcounterparts,eachofwhichshallconstituteanoriginal,andallofwhichwilltogetherconstitutethisone EXHIBITASCOPEOFWORKKINGCOUNTYPARCELS—PHASE1ENVIRONMENTALASSESSMENTSPROJECTPURPOSE:ThepurposeoftheprojectistoperformaPhase1EnvironmentalSiteAssessmentonfourpropertiesthattheCityofRentonisconsideringtopurchasefromKingCounty.TheconsultantagreementshallincludethetasksandworknecessarytoproducefourseparatePhase1EnvironmentalAssessmentsforthefollowingparcels:1)ParcelID#:07230590982)ParcelID#:10230594273)ParcelID#:20230590184)ParcelID#:0323059297I.DESCRIPTIONOFPROPOSEDWORKTask1—ProjectCoordinationandCommunicationsThistaskincludesprojectcoordinationandcommunicationwiththeclientandtheirrepresentatives,andongoingprojectmanagementdutiesincludingcontracting,budgettracking,andstatusreporting.Task2—PhaseIEnvironmentalSiteAssessmentsThepurposeofthisPhaseIESAistoidentify,totheextentpracticableusingstandardmethods,thepresence,orlikelypresence,ofhazardoussubstancesorpetroleumproductsonorneartheaboveParcels(SubjectProperties)duetoanexistingrelease,apastrelease,oramaterialthreatofareleaseoneachSubjectPropertyorintoth’eground,groundwater,orsurfacewaterofeachSubjectProperty.ThePhaseIESA’swillbeconductedingeneralaccordancewithASTMInternational(ASTM)StandardE-1527-13.Theproposedscopeofworkincludesthefollowingtasks:•ConductareconnaissanceofthefourSubjectPropertiestoobserveexistingsiteconditionsandactivitiesonthepropertyandneighboringparcels.Off-sitereconnaissancewillbelimitedtoobservationsfromtheSubjectPropertyandpublicspaces.•Interviewavailablekeypersonnel(includingcurrentandpastowners,operators,andoccupants)thatmayhaveknowledgeaboutcurrentandpastenvironmentalpracticesattheSubjectProperty.•Reviewstate,federal,tribal,andlocalregulatoryagencydatabasesforboththeSubjectPropertiesandforsurroundingproperties.Databasestobesearchedinclude,butarenotlimitedto,thelistsspecifiedbyASTMStandardE-1527-13. •Reviewhistoricalrecords,includingreadilyavailablebusinessdirectories,localassessorrecords,andaerialphotographs.ThepurposeofthisreviewistoidentifyobvioususesofeachSubjectPropertyfromthepresentbacktoeachSubjectProperty’sfirstdevelopeduse,or1940,whicheverisearlier.Historicalrecordswillbereviewedon5-yearintervalswhenpossible.•Reviewpublishedmapsfortopographicandgeologicinformation.•Performapreliminaryvaporintrusionassessment.•Identifydatagapsandassessifthedatagapsaresignificantenoughtoaffectourabilitytoidentifyrecognizableenvironmentalconditions.•Preparefourseparatereportssummarizingtheresultsofthedataresearch,siteobservations,andinterviewsandpresentingourconclusionsregardingthepotentialforrecognizableenvironmentalconditionsforeachoftheSubjectProperties.Consistentwithstandardpractice,PhaseIESAsarelimitedtoreadilyavailableinformationthatcanbeobtainedwithoutsamplingorintrusiveexploration,suchasdrilling,excavating,ordestructionofbuildingsandotherstructures.Consistentwiththeout-of-scopeitemsspecifiedintheASTMstandard,thePhaseIESAwillnotaddressasbestos,mold,lead-basedpaint,leadindrinkingwater,wetlands,andenvironmentalcompliance.NotethatPhaseIESAsareconsideredvalidifthefollowingcomponentswereconductedwithin180daysoftheacquisition:•Interviews•Searchforenvironmentalcleanupliens•Reviewofenvironmentaldatabases•SitereconnaissanceThesecomponentswillrequireupdatingifconductedmorethan180daysbeforetheacquisition.AllportionsofthePhaseIESAmustberepeatedifthereportisolderthan1yearbeforetheacquisition.ClientResponsibilitiesInordertoexpeditecompletionofthePhaseIESA’sandtopreservetheclient’sprotectionfromfutureliabilityunderCERCLA,theclientisrequestedtofulfillthefollowingresponsibilities:•ProvideaccesstoeachoftheSubjectProperties,includingtheabilityforAESItoenter10%ofbuildings/structuresontheSubjectProperty.•Ifavailable,provideacompletedUserInformationForm(attached)andasitemapshowingSubjectPropertyboundariesforeachParcel. •Provideacopyofarecenttitlereport,includingachainofownershipextendingbackuntilatleast1940andasearchforenvironmentalliensandactivityandland-uselimitations(AUL5).ThechainofownershipandsearchforenvironmentalliensandAULsisnotusuallyincludedinatitlereport.AESIcanordertheseadditionaltitlereportsforanadditionalcost. EXHIBITBBUDGETKINGCOUNTYPARCELS—PHASE1ENVIRONMENTALASSESSMENTSPROJECTOurestimatedcostsforthesePhaseIESA’sareasfollows:ProjectCoordinationandCommunication$1,000FourPhaseIESAReports$10,000ProjectTotal$11,000Ourcostestimateisbasedonthefollowingassumptions:1.ThereisnocurrentuseofhazardousmaterialsattheSubjectProperties.2.ThereviewofrecordswillnotidentifyanyuseorreleaseofhazardoussubstancesonorneartheSubjectProperties.IfrecordsdoindicatetheuseofhazardoussubstancesonorneartheSubjectProperties,itmaybenecessarytorequestandreviewrecordsattheWashingtonStateDepartmentofEcology.Costsforthisreviewaretypicallybetween$500and$1,000.3.CostsfororderingthechainofownershipandsearchforenvironmentalliensandAUL5arenotincluded,Ifrequested,AESIcanobtainthesedocumentsforanadditionalcost.Costsmaybemoreorlessthanestimatedduetounforeseenconditionsorchangesinscope.Totheextentfeasible,AESIwillnotifytheclientofpotentialcostincreasesbeforethecostsareincurred.
