2THISAMENDMENT,datedFebruary,2021.isbyandbetweentheCityofRenton(the“City”),aWashingtonmunicipalcorporation,andTranspoGroupUSA(“Consultant”).TheCityandtheConsultantarereferredtocollectivelyinthisAmendmentasthe“Parties.”OncefullyexecutedbytheParties,thisAmendmentiseffectiveas ofthelastdatesignedbybothparties.Whereas,theCityengagedtheservicesoftheConsultantunderAgreementCAG-20-008,datedJanuary9,2020,toprovidenecessaryservicestoupdatetheCity’sADATransitionPlan(referredtohereinasthe“Agreement”);Whereas,thePartieswishtoamendtheAgreementtochangethescopeofworkandchangethecompensationinordertocollectadditional541pedestrianpushbuttonsnotpreviouslyaccountedforunderTask3.2-Self-EvaluationDataCollectioninAmendment1.NOWTHEREFORE,ItismutuallyagreeduponthatCAG-20-008isamendedasfollows:1.ScopeofWork:Section1,ScopeofWork,isamendedtoaddworkasspecifiedinExhibitA-2,whichisattachedandincorporatedherein.2.Compensation:Section4,Compensation,isamendedsothatthemaximumamountofcompensationpayabletoConsultantisincreasedby$14,600from$109,300to$123,900,plusanyapplicablestateandlocalsalestaxes.TheadditionalcompensationshallbepaidbaseduponWorkactuallyperformedaccordingtotherate(s)oramountsspecifiedinExhibitB-2oftheAgreement,whichisattachedandincorporatedherein].3.AlltermsoftheAgreementnotexplicitlymodifiedhereinshallremaininfullforceandeffectandsuchtermsshallapplytoWorkperformedaccordingtothisAmendmentasiffullysetforthherein.AMENDMENTNO.2TOAGREEMENTFORADATRANSITIONPLANUPDATE24CAG-20-008,
