THISAGREEMENT,datedMonthApril8,2021,isbyandbetweentheCityofRenton(the“City”),aWashingtonmunicipalcorporation,and(“Consultant”),KPFFConsultingEngineers,IncaWashingtonCorporation.TheCityandtheConsultantarereferredtocollectivelyinthisAgreementasthe“Parties.”OncefullyexecutedbytheParties,thisAgreementiseffectiveasofthelastdatesignedbybothparties.1.ScopeofWork:Consultantagrees toprovideaconceptsketchfora200stallParkandRidelotasspecifiedinExhibitA,whichisattachedandincorporatedhereinandmayhereinafterbereferredtoasthe“Work.2.ChangesinScopeofWork:TheCity,withoutinvalidating thisAgreement,mayorderchangestotheWorkconsistingofadditions,deletionsormodifications.AnysuchchangestotheWorkshallbeorderedbytheCityinwritingandtheCompensationshallbeequitablyadjustedconsistentwiththerates setforthinExhibitBor asotherwisemutuallyagreedbytheParties.3.TimeofPerformance:ConsultantshallcommenceperformanceoftheAgreementpursuanttotheschedule(s)setforthinExhibitA.AllWorkshallbeperformedbynolaterthanDecember31,20214.Compensation:A.Amount.TotalcompensationtoConsultantforWorkprovidedpursuanttothisAgreementshallnotexceed$15,000,plusanyapplicablestateandlocalsalestaxes.CompensationshallbepaidbaseduponWorkactuallyperformedaccordingtotherate(s)oramountsspecifiedinExhibitB.TheConsultantagreesthatany hourlyor flatratechargedbyitforitsWorkshallremainlockedatthenegotiatedrate(s) unlessotherwiseagreedtoinwritingorprovidedinExhibitB.Exceptasspecificallyprovidedherein,theConsultantshallbesolelyresponsibleforpaymentofanytaxesimposedasaresultoftheperformanceandpaymentofthisAgreement.B.MethodofPayment.Onamonthlyornolessthanquarterlybasis duringanyquarterinwhichWorkisperformed,theConsultantshallsubmitavoucherorinvoiceinaformspecifiedbytheCity,includingadescriptionofwhatWàrkhasbeenperformed,theAGREEMENTFORPLANNINGLEVELCOSTESTIMATEFORPARKANDRIDENE44THST/I-405BRTCAG-21-092 nameofthepersonnelperformingsuchWork,andanyhourlylabor chargerateforsuchpersonnel.TheConsultantshallalsosubmitafinalbillupon completionofaltWork.PaymentshallbemadebytheCityforWorkperformedwithinthirty(30)calendardaysafterreceiptandapprovalbytheappropriateCityrepresentativeofthevoucherorinvoice.IftheConsultant’sperformancedoes notmeettherequirementsofthisAgreement,theConsultantwillcorrectormodifyitsperformancetocomplywiththeAgreement.TheCitymaywithholdpaymentforworkthatdoesnotmeettherequirementsofthisAgreement.C.EffectofPayment.PaymentforanypartoftheWork shallnotconstituteawaiverbytheCityofanyremediesitmayhaveagainsttheConsultantforfailureoftheConsultanttoperformtheWorkorforanybreachofthisAgreementbytheConsultant.D.Non-AppropriationofFunds.Ifsufficientfunds arenotappropriatedorallocatedforpaymentunderthisAgreementforanyfuturefiscalperiod,theCityshallnotbeobligatedtomakepaymentsforWorkoramountsincurredaftertheendofthecurrentfiscalperiod,andthisAgreementwillterminateuponthecompletionofallremainingWorkforwhichfundsareallocated.NopenaltyorexpenseshallaccruetotheCityintheeventthisprovisionapplies.5.Termination:A.TheCityreservestherighttoterminatethisAgreementatanytime,withorwithoutcausebygivingten(10)calendardays’noticetotheConsultantinwriting.Intheeventofsuchterminationorsuspension,allfinishedorunfinisheddocuments,data,studies,worksheets,modelsandreports,orothermaterialpreparedbytheConsultantpursuanttothisAgreementshallbesubmittedtotheCity,ifanyarerequiredaspartoftheWork.B.IntheeventthisAgreementisterminatedbytheCity,theConsultantshallbeentitledto paymentforallhoursworkedtotheeffectivedateoftermination,lessallpaymentspreviouslymade.IftheAgreementisterminatedbytheCityafterpartialperformanceofWorkforwhichtheagreedcompensationisafixedfee,theCityshall paytheConsultantanequitableshareofthefixedfee.ThisprovisionshallnotpreventtheCityfromseekinganylegalremediesitmayhavefortheviolationornonperformanceofanyoftheprovisionsofthisAgreementandsuchchargesduetotheCityshallbedeductedfromthefinalpaymentduetheConsultant.NopaymentshallbemadebytheCityforanyexpensesincurredorworkdonefollowingtheeffectivedateofterminationunlessauthorizedinadvanceinwritingbytheCity.6.WarrantiesAndRightToUseWorkProduct:ConsultantrepresentsandwarrantsthatConsultantwillperformallWorkidentifiedinthisAgreementinaprofessionalandPAGE2OF10 workmanlikemannerandinaccordancewithallreasonableandprofessionalstandardsandlaws.Compliancewithprofessionalstandardsincludes,asapplicable,performingtheWorkincompliancewithapplicableCitystandardsorguidelines(e.g.designcriteriaandStandardPlansforRoad, BridgeandMunicipalConstruction).Professionalengineersshallcertifyengineeringplans,specifications,plats, andreports,asapplicable,pursuanttoRCW18.43.070.ConsultantfurtherrepresentsandwarrantsthatallfinalworkproductcreatedforanddeliveredtotheCitypursuanttothisAgreementshallbetheoriginal workoftheConsultantandfreefromanyintellectualpropertyencumbrancewhichwouldrestricttheCityfromusingtheworkproduct.ConsultantgrantstotheCityanon-exclusive,perpetualright and licensetouse,reproduce,distribute,adapt,modify,anddisplayallfinalworkproductproducedpursuanttothisAgreement.TheCity’sorother’sadaptation,modificationoruseofthefinalworkproductsotherthanforthepurposesofthisAgreementshallbewithoutliabilitytotheConsultant.Theprovisionsofthis sectionshallsurvivetheexpirationorterminationofthisAgreement.7.RecordMaintenance:TheConsultantshallmaintainaccountsand records,whichproperlyreflectalldirectandindirectcostsexpendedandWorkprovidedintheperformanceofthisAgreementandretainsuchrecordsforaslongasmayberequiredbyapplicableWashingtonStaterecordsretentionlaws,butinanyeventnolessthansixyearsaftertheterminationofthisAgreement.TheConsultantagreestoprovideaccesstoand copies ofanyrecordsrelatedtothisAgreementasrequiredbytheCitytoauditexpendituresandchargesand/ortocomply withtheWashingtonStatePublicRecordsAct(Chapter 42.56RCW).TheprovisionsofthissectionshallsurvivetheexpirationorterminationofthisAgreement.8.PublicRecordsCompliance:TothefullextenttheCitydeterminesnecessary tocomplywiththeWashingtonStatePublicRecordsAct,ConsultantshallmakeaduediligentsearchofallrecordsinitspossessionorcontrolrelatingtothisAgreementandtheWork,including,butnotlimitedto,e-mail,correspondence,notes,savedtelephonemessages,recordings,photos,ordrawingsandprovidethemtotheCityforproduction.IntheeventConsultantbelievessaidrecordsneedtobeprotectedfromdisclosure,itmay,atConsultant’sownexpense,seekjudicialprotection.Consultantshallindemnify,defend,andholdharmlesstheCityforallcosts,includingattorneys’fees,attendanttoanyclaimorlitigationrelatedtoaPublicRecordsActrequestforwhichConsultanthasresponsiverecordsandforwhichConsultanthaswithheldrecordsorinformationcontainedtherein,ornotprovidedthemtotheCityinatimelymanner.ConsultantshallproducefordistributionanyandallrecordsresponsivetothePublicRecordsActrequestinatimelymanner,unlessthoserecordsareprotectedbycourtorder.TheprovisionsofthissectionshallsurvivetheexpirationorterminationofthisAgreement.9.IndependentContractorRelationship:oPAGE3OF10 A.TheConsultantisretainedbytheCityonlyforthepurposesandtotheextentset forthinthisAgreement.ThenatureoftherelationshipbetweentheConsultantandtheCityduringtheperiodoftheWork shall bethatofanindependentcontractor,notemployee.TheConsultant,nottheCity,shallhavethepowertocontrolanddirectthedetails,mannerormeansofWork.Specifically,but notbymeansoflimitation,theConsultantshallhavenoobligationtowork anyparticularhoursorparticularschedule,unlessotherwiseindicatedintheScopeofWorkorwhereschedulingofattendanceorperformanceismutuallyarrangedduetothenatureoftheWork.ConsultantshallretaintherighttodesignatethemeansofperformingtheWorkcoveredbythisagreement,andtheConsultantshallbeentitledtoemployotherworkersatsuchcompensationandsuchotherconditionsasitmaydeemproper,provided,however,thatanycontractsomadebytheConsultantistobepaidbyitalone,andthatemployingsuchworkers,itisactingindividuallyandnotasanagentfortheCity.8.TheCityshallnotberesponsibleforwithholdingorotherwisedeductingfederalincometaxorSocialSecurityorcontributingtotheStateIndustrialInsuranceProgram,orotherwiseassumingthedutiesofanemployerwithrespecttoConsultantoranyemployeeoftheConsultant.C. IftheConsultantisasoleproprietorshiporifthisAgreementiswithanindividual,theConsultantagreestonotifytheCityandcompleteanyrequiredformiftheConsultantretiredunderaStateofWashingtonretirementsystemandagreestoindemnifyanylossestheCitymaysustainthroughtheConsultant’sfailuretodoso.10.HoldHarmless:TheConsultantagrees torelease,indemnify,defend,andholdharmlesstheCity,electedofficials,employees,officers,representatives,andvolunteersfromanyandallclaims,demands,actions,suits,causesofaction,arbitrations,mediations,proceedings,judgments,awards,injuries,damages,liabilities,taxes,losses,fines,fees,penalties,expenses,attorney’sorattorneys’fees,costs,and/orlitigationexpensestoorbyanyandallpersonsorentities,arisingfrom,resultingfrom,orrelated tothenegligentacts,errorsoromissionsoftheConsultantinitsperformanceofthisAgreementorabreachofthisAgreementbyConsultant,exceptforthatportionoftheclaimscausedbytheCity’ssolenegligence.ShouldacourtofcompetentjurisdictiondeterminethatthisagreementissubjecttoRCW4.24.115,(Validityofagreementtoindemnifyagainstliabilityfornegligencerelativetoconstruction,alteration,improvement,etc.,ofstructureorimprovementattachedtorealestate...)then,intheeventofliabilityfordamagesarisingoutofbodily injurytopersonsordamagesto propertycausedbyorresultingfromtheconcurrentnegligenceoftheConsultantandtheCity,itsofficers,officials,employeesandvolunteers,Consultant’sliabilityshallbeonlytotheextentofConsultant’snegligence.PAGE4o1O ItisfurtherspecificallyandexpresslyunderstoodthattheindemnificationprovidedinthisAgreementconstituteConsultant’s waiverofimmunityundertheIndustrialInsuranceAct,RCWTitle51,solelyforthepurposesofthisindemnification.ThePartieshavemutuallynegotiatedandagreedtothiswaiver.TheprovisionsofthissectionshallsurvivetheexpirationorterminationofthisAgreement.11.GiftsandConflicts:TheCity’sCodeofEthicsandWashingtonStatelawprohibitCityemployeesfromsoliciting,accepting,orreceivinganygift,gratuityorfavorfromanyperson,firmorcorporationinvolvedinacontractortransaction.ToensurecompliancewiththeCity’sCodeofEthicsandstatelaw,theConsultantshallnotgiveagiftofanykindtoCityemployeesorofficials.ConsultantalsoconfirmsthatConsultantdoesnothaveabusinessinterestoraclosefamilyrelationshipwithanyCityofficeroremployeewhowas,is,orwillbeinvolvedinselectingtheConsultant,negotiatingoradministeringthisAgreement,orevaluatingtheConsultant’sperformanceoftheWork.12.CityofRentonBusinessLicense:TheConsultantshallobtainaCityofRentonBusinessLicensepriortoperforminganyWorkandmaintainthebusinesslicenseingoodstandingthroughoutthetermofthisagreementwiththeCity.Informationregardingacquiringacitybusinesslicensecanbefoundat:http://www.rentonwa.gov/cms/One.aspx?portalld=7922741&pageld=9824882InformationregardingStatebusinesslicensingrequirementscanbefoundat:http://dor.wa.gov/doing-business/register-my-business13.Insurance:Consultantshallsecureandmaintain:A.Commercialgeneralliabilityinsuranceintheminimumamountsof$1,000,000foreachoccurrence/$2,000,000aggregatefortheTermofthisAgreement.B.IntheeventthatWorkdeliveredpursuanttothisAgreementeitherdirectlyorindirectlyinvolveorrequireProfessionalServices,ProfessionalLiability,ErrorsandOmissionscoverageshallbeprovidedwithminimumlimitsof$1,000,000peroccurrence.“ProfessionalServices’1,forthepurposeofthissection,shallmeananyWorkprovidedbyalicensedprofessionalorWorkthatrequiresaprofessionalstandardofcare.C.Workers’compensationcoverage,asrequiredbytheIndustrialInsurancelawsoftheStateofWashington,shallalso besecured.D.CommercialAutomobileLiabilityforowned,leased,hiredornon-owned,leased,hiredornon-owned,withminimumlimitsof$1,000,000peroccurrencecombinedsingle0PAGE5OF10 limit,iftherewillbeanyuseofConsultant’svehiclesontheCity’sPremisesbyoronbehalfoftheCity,beyondnormalcommutes.E.ConsultantshallnametheCityas anAdditionalInsuredonitscommercialgeneralliabilitypolicyonanon-contributoryprimarybasis.TheCity’sinsurancepoliciesshallnotbeasourceforpaymentofanyConsultantliability,norshallthemaintenanceofanyinsurance requiredbythisAgreementbeconstruedtolimittheliability ofConsultanttothecoverageprovidedbysuchinsuranceorotherwiselimittheCity’srecoursetoanyremedyavailableatlaworinequity.F.SubjecttotheCity’sreviewandacceptance,acertificateofinsuranceshowingtheproperendorsements,shallbedeliveredtotheCitybeforeperformingtheWork.G.ConsultantshallprovidetheCitywithwrittennoticeofanypolicycancellation,withintwo(2)businessdaysoftheirreceiptofsuchnotice.14.Delays:ConsultantisnotresponsiblefordelayscausedbyfactorsbeyondtheConsultant’sreasonablecontrol.Whensuch delaysbeyondtheConsultant’sreasonablecontroloccur,theCityagreestheConsultantisnotresponsiblefordamages,norshalltheConsultantbedeemedtobeindefaultoftheAgreement.15.SuccessorsandAssigns:NeithertheCitynortheConsultantshallassign,transferorencumberanyrights,dutiesorinterestsaccruingfromthisAgreementwithoutthewrittenconsentoftheother.16.Notices:Anynoticerequired underthisAgreementwillbeinwriting,addressedtotheappropriatepartyattheaddresswhichappearsbelow(asmodifiedinwritingfromtimetotimebysuchparty),andgivenpersonally,byregisteredorcertifiedmail,returnreceiptrequested,byfacsimileorbynationallyrecognizedovernight courierservice.Timeperiodfornoticesshallbedeemedtohavecommenceduponthedateofreceipt,EXCEPTfacsimiledeliverywillbedeemedtohavecommencedonthefirstbusinessdayfollowingtransmission.Emailandtelephonemay 17.DiscriminationProhibited:Excepttotheextentpermittedbyabonafideoccupationalqualification,theConsultantagreesasfollows:A.Consultant,andConsultant’sagents, employees,representatives,andvolunteerswithregardtotheWorkperformedortobeperformedunderthisAgreement,shallnotdiscriminateonthebasisofrace,color,sex,religion,nationality,creed,maritalstatus,sexualorientationorpreference,age (exceptminimumageandretirementprovisions),honorablydischargedveteranormilitarystatus,orthepresenceofanysensory,mentalor physicalhandicap,unlessbaseduponabonafideoccupationalqualificationinrelationship tohiringandemployment,inemploymentorapplicationforemployment,theadministrationofthedelivery ofWorkoranyotherbenefitsunderthisAgreement,orprocurementofmaterialsorsupplies.B.TheConsultantwilltakeaffirmativeactiontoinsurethatapplicantsareemployedandthatemployeesaretreatedduringemploymentwithoutregardtotheirrace,creed,color,nationalorigin,sex,age,sexualorientation,physical,sensoryormentalhandicaps,ormaritalstatus.Suchactionshallinclude,butnotbelimitedtothefollowingemployment,upgrading,demotionortransfer,recruitmentorrecruitmentadvertising,layoffortermination,ratesofpayorotherformsofcompensationandselectionfor training.C.IftheConsultantfailstocomplywithanyofthisAgreement’snon-discriminationprovisions,theCityshallhavetheright,atitsoption, tocanceltheAgreementinwholeorinpart.D.TheConsultantisresponsible tobeawareofandincompliancewithallfederal,stateandlocallawsandregulationsthatmayaffectthesatisfactorycompletionoftheproject,whichincludesbutisnotlimitedtofairlaborlaws,worker’scompensation,andTitleVIoftheFederalCivilRightsActof1964,andwillcomplywithCityofRentonCouncilResolutionNumber4085.18.Miscellaneous:Thepartiesherebyacknowledge:A.TheCityisnot responsibletotrainorprovidetrainingforConsultant.B.Consultantwillnotbereimbursedforjobrelatedexpensesexcepttotheextentspecificallyagreedwithintheattachedexhibits.C.Consultantshallfurnishalltoolsand/ormaterialsnecessarytoperformtheWorkexcepttotheextentspecificallyagreedwithintheattachedexhibits.0PAGE7or10 D.Intheeventspecialtraining,licensing,orcertificationisrequiredforConsultanttoprovideWorkhe/shewillacquireormaintainsuchathis/herownexpenseand,ifConsultantemploys,sub-contracts,orotherwiseassignstheresponsibilitytoperformtheWork,saidemployee/sub-contractor/assigneewillacquireandormaintainsuchtraining,licensing,orcertification.E.Thisisanon-exclusiveagreementandConsultantisfreetoprovidehis/herWorktootherentities,solong asthereisnointerruptionorinterferencewiththeprovisionofWorkcalledforinthisAgreement.F.Consultantisresponsibleforhis/herowninsurance,including,butnotlimitedtohealthinsurance.G.Consultantisresponsibleforhis/herownWorker’sCompensationcoverageaswell asthatforanypersonsemployedbytheConsultant.19.OtherProvisions:A.ApprovalAuthority.EachindividualexecutingthisAgreementonbehalfoftheCityandConsultantrepresentsandwarrantsthatsuchindividualsaredulyauthorizedtoexecuteanddeliverthisAgreementonbehalfoftheCityorConsultant.B.GeneralAdministrationandManagement.TheCity’sprojectmanagerisJimSeitz,Transportationdirector.InprovidingWork,ConsultantshallcoordinatewiththeCity’scontractmanagerorhis/herdesignee.C.AmendmentandModification.ThisAgreementmaybeamendedonlybyaninstrumentinwriting,dulyexecutedbybothParties.0.Conflicts.IntheeventofanyinconsistenciesbetweenConsultantproposalsandthisAgreement,thetermsofthisAgreementshallprevail.Anyexhibits/attachmentstothisAgreementareincorporatedbyreferenceonlytotheextentofthepurposeforwhichtheyarereferencedwithinthisAgreement.TotheextentaConsultantpreparedexhibitconflictswiththetermsinthebodyofthisAgreementorcontainstermsthatareextraneoustothepurposeforwhichitisreferenced,thetermsinthebodyofthisAgreementshallprevailandtheextraneoustermsshallnotbeincorporatedherein.E.GoverningLaw.ThisAgreementshallbemadeinandshallbegovernedbyandinterpretedinaccordancewiththelawsoftheStateofWashingtonandtheCityofRenton.ConsultantandalloftheConsultant’semployeesshallperformtheWorkinaccordancewithallapplicablefederal,state,countyandcitylaws,codesandordinances.0PAGE8OF10 F.JointDraftingEffort.ThisAgreementshallbeconsideredforallpurposesaspreparedbythejointeffortsofthePartiesandshallnotbeconstruedagainstonepartyortheotherasaresultofthe preparation,substitution,submissionorothereventofnegotiation,draftingorexecution.G.JurisdictionandVenue.AnylawsuitorlegalactionbroughtbyanypartytoenforceorinterpretthisAgreementoranyofitstermsorcovenantsshallbebroughtintheKingCountySuperiorCourtfortheStateofWashingtonattheMalengRegionalJusticeCenterinKent,KingCounty,Washington,oritsreplacementorsuccessor.ConsultantherebyexpresslyconsentstothepersonalandexclusivejurisdictionandvenueofsuchcourtevenifConsultantis aforeigncorporationnotregisteredwiththeStateofWashington.H.Severability.Acourtofcompetentjurisdiction’sdeterminationthatanyprovisionorpartofthisAgreementisillegalorunenforceableshallnotcancelorinvalidatetheremainderofthisAgreement,whichshallremaininfullforceandeffect.SoleandEntireAgreement.ThisAgreementcontainstheentireagreementofthePartiesandanyrepresentationsorunderstandings,whetheroralorwritten,notincorporatedare excluded.J.TimeisoftheEssence.TimeisoftheessenceofthisAgreementandeachandallofitsprovisionsinwhichperformanceisafactor.AdherencetocompletiondatessetforthinthedescriptionoftheWorkisessentialtotheConsultant’sperformanceofthisAgreement.K.Third-PartyBeneficiaries.NothinginthisAgreementisintendedto,norshallbeconstruedtogiveanyrightsorbenefitsintheAgreementtoanyoneotherthantheParties,andalldutiesandresponsibilitiesundertakenpursuanttothisAgreementwillbeforthesoleandexclusivebenefitofthePartiesandnooneelse.L.BindingEffect.ThePartieseachbindthemselves,theirpartners,successors,assigns,andlegalrepresentativestotheotherpartytothisAgreement,andtothepartners,successors,assigns,andlegalrepresentativesofsuchotherpartywithrespecttoallcovenantsoftheAgreement.M.Waivers.Allwaiversshallbeinwritingandsignedbythewaivingparty.Eitherparty’sfailuretoenforceanyprovisionofthisAgreementshallnotbeawaiverandshallnotpreventeither theCityorConsultantfromenforcingthatprovisionoranyotherprovisionofthisAgreementinthefuture.Waiverofbreachofany provisionofthisAgreementshallnotbedeemed tobeawaiverofanypriororsubsequentbreachunlessitisexpresslywaivedinwriting.0PAGE9OF10
