AboutContractAGREEMENTFORTOPOGRAPHICSURVEYTHISAGREEMENT,datedforreferencepurposesonlyasApril13,2021,isbyandbetweenthereCityofRenton(the“City”),aWashingtonmunicipalcorporation,andParametrix,Inc.(“Consultant”),aWashingtonCorporation.TheCityandtheConsultantarereferredtocollectivelyinthisAgreementasthe“Parties.”OncefullyexecutedbytheParties,thisAgreementiseffectiveasofthelastdatesignedbyboth parties.1.ScopeofWork:Consultantagrees toprovidetopographicsurveywithinthelimitsshowninSites1-5,asspecifiedinExhibitA,whichisattachedandincorporatedhereinand mayhereinafterbereferredtoasthe“Work.”2.ChangesinScopeofWork:TheCity,withoutinvalidatingthisAgreement,mayorderchangestotheWorkconsistingofadditions,deletionsormodifications.AnysuchchangestotheWorkshallbeorderedbytheCityinwritingandtheCompensationshallbeequitablyadjustedconsistentwiththeratessetforthinExhibitBorasotherwisemutuallyagreedbytheParties.3.Time ofPerformance:ConsultantshallcommenceperformanceoftheAgreementpursuanttotheschedule(s)setforthinExhibitC.AllWorkshallbeperformedbynolaterthanJuly31,20214.Compensation:A.Amount.TotalcompensationtoConsultantforWorkprovidedpursuanttothisAgreementshallnotexceed $46,315,plusanyapplicablestateandlocalsalestaxes.CompensationshallbepaidbaseduponWorkactuallyperformedaccordingtotherate(s)oramountsspecifiedinExhibitB.TheConsultantagreesthatanyhourlyorflatratechargedbyitforitsWorkshallremainlockedatthenegotiatedrate(s)unlessotherwiseagreedtoEnwritingorprovidedinExhibitB.Exceptasspecificallyprovidedherein,theConsultantshallbesolelyresponsibleforpaymentofanytaxesimposedasaresultoftheperformanceandpaymentofthisAgreement.B.MethodofPayment.Onamonthlyornolessthan quarterlybasisduringanyquarterinwhichWorkisperformed,theConsultantshallsubmitavoucherorinvoiceinaformspecifiedbytheCity,includingadescriptionofwhatWorkhasbeenperformed,thenameofthepersonnelperformingsuchWork,andanyhourlylaborchargerateforsuchpersonnel.TheConsultantshallalsosubmitafinalbilluponcompletionofallWork.PaymentshallbemadebytheCityforWorkperformedwithinthirty(30)CAG-21-128 calendardaysafterreceiptandapprovalbythe appropriateCityrepresentativeofthevoucherorinvoice.IftheConsultant’sperformancedoesnotmeettherequirementsofthisAgreement,theConsultantwillcorrectormodifyitsperformancetocomplywiththeAgreement.TheCitymaywithholdpaymentfor workthatdoesnotmeettherequirementsofthisAgreement.C.EffectofPayment.PaymentforanypartoftheWorkshallnotconstituteawaiverbytheCityofanyremediesitmayhaveagainsttheConsultantforfailureoftheConsultanttoperformtheWorkorforanybreachofthisAgreementbytheConsultant.D.Non-AppropriationofFunds.IfsufficientfundsarenotappropriatedorallocatedforpaymentunderthisAgreementforanyfuturefiscalperiod,theCityshallnotbeobligatedtomakepaymentsforWorkoramountsincurredafter theendofthecurrentfiscalperiod,andthisAgreementwillterminateuponthecompletionofallremainingWorkforwhichfunds areallocated.NopenaltyorexpenseshallaccruetotheCityinthe eventthisprovisionapplies.5.Termination:A.TheCityreservestherighttoterminatethisAgreementatanytime,with orwithoutcausebygivingten(10)calendardays’noticetotheConsultantinwriting.Intheeventofsuchterminationorsuspension,allfinishedorunfinisheddocuments,data,studies,worksheets,modelsandreports,orothermaterialpreparedbytheConsultantpursuanttothisAgreementshallbesubmittedtotheCity,ifanyarerequiredaspartoftheWork.B.IntheeventthisAgreementisterminatedbytheCity,theConsultantshallbeentitledtopaymentforallhoursworked totheeffectivedateoftermination,lessallpaymentspreviouslymade.IftheAgreementisterminatedbytheCityafterpartialperformanceofWorkforwhichtheagreedcompensationisafixedfee,theCityshallpaytheConsultantanequitableshareofthefixedfee.ThisprovisionshallnotpreventtheCityfromseekinganylegalremediesitmayhavefortheviolationornonperformanceofanyoftheprovisionsofthisAgreementandsuchchargesduetotheCityshallbedeductedfromthefinalpaymentduetheConsultant.NopaymentshallbemadebytheCityforanyexpensesincurredorworkdonefollowingtheeffectivedateofterminationunlessauthorizedinadvanceinwritingbytheCity.6.WarrantiesAndRightToUseWorkProduct:ConsultantrepresentsandwarrantsthatConsultantwillperformallWorkidentifiedinthisAgreementinaprofessionalandworkmanlikemannerandinaccordancewithallreasonableandprofessionalstandardsandlaws.Compliancewithprofessionalstandardsincludes,asapplicable,performingtheWorkincompliancewithapplicableCitystandardsorguidelines(e.g.designcriteriaand0PAGE2oF10 StandardPlansforRoad,BridgeandMunicipalConstruction).Professionalengineersshallcertifyengineeringplans,specifications,plats,andreports,asapplicable,pursuanttoRCW18.43.070.ConsultantfurtherrepresentsandwarrantsthatallfinalworkproductcreatedforanddeliveredtotheCitypursuanttothisAgreementshallbetheoriginalworkoftheConsultantandfreefromanyintellectualpropertyencumbrancewhichwouldrestricttheCityfromusingtheworkproduct.ConsultantgrantstotheCityanon-exclusive,perpetualrightandlicensetouse,reproduce,distribute,adapt,modify,anddisplayallfinalworkproductproducedpursuanttothisAgreement.TheCity’sorother’sadaptation,modificationoruseofthefinalworkproductsotherthanforthepurposesofthisAgreementshallbewithoutliabilitytotheConsultant.TheprovisionsofthissectionshallsurvivetheexpirationorterminationofthisAgreement.7.RecordMaintenance:TheConsultantshallmaintainaccountsandrecords,whichproperly reflectalldirectandindirectcostsexpendedandWorkprovidedintheperformanceofthisAgreementandretainsuchrecordsforas longasmayberequiredbyapplicableWashingtonStaterecordsretentionlaws,butinanyeventnolessthansixyearsaftertheterminationofthisAgreement.TheConsultantagreestoprovideaccesstoandcopiesofanyrecordsrelatedtothisAgreementasrequiredbytheCitytoauditexpendituresandchargesand/ortocomplywiththeWashingtonStatePublicRecordsAct(Chapter42.56RCW).TheprovisionsofthissectionshallsurvivetheexpirationorterminationofthisAgreement.8.PublicRecordsCompliance:Tothefullextent theCitydeterminesnecessarytocomplywiththeWashingtonStatePublicRecordsAct,ConsultantshallmakeaduediligentsearchofallrecordsinitspossessionorcontrolrelatingtothisAgreementandtheWork,including,butnotlimitedto, e-mail,correspondence,notes,savedtelephonemessages,recordings,photos,ordrawingsandprovidethemtotheCityforproduction.IntheeventConsultantbelievessaidrecordsneedtobeprotectedfromdisclosure,itmay,atConsultant’sownexpense,seekjudicialprotection.Consultantshallindemnify,defend,andholdharmlesstheCityforallcosts,includingattorneys’fees,attendanttoanyclaimor litigationrelatedtoaPublicRecordsActrequestforwhichConsultanthasresponsiverecordsandfor whichConsultanthaswithheldrecordsorinformationcontainedtherein,ornotprovidedthemtotheCityinatimelymanner.ConsultantshallproducefordistributionanyandallrecordsresponsivetothePublicRecordsActrequestinatimelymanner,unlessthoserecordsareprotectedbycourt order.TheprovisionsofthissectionshallsurvivetheexpirationorterminationofthisAgreement.9.IndependentContractorRelationship:A.TheConsultantisretainedbytheCityonlyforthepurposesandtotheextent setforthinthisAgreement.ThenatureoftherelationshipbetweentheConsultantandtheCityduringtheperiodoftheWorkshallbethatof anindependentcontractor,notemployee.TheConsultant,nottheCity,shallhavethepowertocontrolanddirectthe0PAGE3OF10 details,mannerormeansofWork.Specifically,butnotbymeansoflimitation,theConsultantshallhavenoobligationtoworkanyparticularhoursorparticularschedule,unlessotherwiseindicatedintheScopeofWorkorwhereschedulingofattendanceorperformanceismutuallyarrangedduetothe natureoftheWork.ConsultantshallretaintherighttodesignatethemeansofperformingtheWorkcoveredbythisagreement,andtheConsultantshallbeentitledtoemployotherworkersatsuchcompensationandsuchotherconditionsasitmaydeemproper,provided,however,thatanycontractsomadebytheConsultantistobepaidbyitalone,andthatemployingsuchworkers,itisactingindividuallyandnotasanagentfortheCity.B.TheCityshallnotberesponsibleforwithholdingorotherwisedeductingfederalincometaxorSocialSecurityorcontributingtotheStateIndustrialInsuranceProgram,orotherwiseassumingthedutiesofanemployerwithrespecttoConsultantoranyemployeeoftheConsultant.C.IftheConsultantisasoleproprietorshiporifthisAgreementiswithanindividual,theConsultantagreestonotifytheCityandcompleteanyrequiredformiftheConsultantretiredunderaStateofWashingtonretirementsystemandagreestoindemnifyanylossestheCitymaysustainthroughtheConsultant’sfailuretodoso.10.HoldHarmless:TheConsultantagreestorelease,indemnify,defend,andholdharmlesstheCity,electedofficials,employees,officers,representatives,andvolunteersfromanyandallclaims,demands,actions,suits,causesofaction,arbitrations,mediations,proceedings,judgments,awards,injuries,damages,liabilities,taxes,losses,fines,fees,penalties,expenses,attorney’sorattorneys’fees,costs,and/orlitigationexpensestoorbyanyandallpersonsorentities,arisingfrom,resultingfrom,orrelatedtothenegligentacts,errorsoromissionsoftheConsultantinitsperformanceofthisAgreementorabreachofthisAgreementbyConsultant,exceptforthatportionoftheclaimscausedbytheCity’ssolenegligence.ShouldacourtofcompetentjurisdictiondeterminethatthisagreementissubjecttoRCW4.24.115,(Validityofagreementtoindemnifyagainstliabilityfornegligencerelativetoconstruction,alteration,improvement,etc.,ofstructureorimprovementattachedtorealestate...)then,intheeventofliabilityfordamagesarisingoutofbodilyinjurytopersonsordamagestopropertycausedbyorresultingfromtheconcurrentnegligenceoftheConsultantandtheCity,itsofficers,officials,employeesandvolunteers,Consultant’sliabilityshallbeonlytotheextentofConsultant’snegligence.ItisfurtherspecificallyandexpresslyunderstoodthattheindemnificationprovidedinthisAgreementconstituteConsultant’swaiverofimmunityundertheIndustrialInsuranceAct,RCWTitle51,solelyforthepurposesofthisindemnification.TheParties0PAGE4OF10 havemutuallynegotiatedandagreedtothiswaiver.TheprovisionsofthissectionshallsurvivetheexpirationorterminationofthisAgreement.11.GiftsandConflicts:TheCity’sCodeofEthicsandWashingtonStatelawprohibitCityemployeesfromsoliciting,accepting,orreceivinganygift,gratuityorfavorfromanyperson,firmorcorporationinvolvedinacontractortransaction.ToensurecompliancewiththeCity’sCodeofEthicsandstatelaw,theConsultantshallnotgiveagiftofanykindtoCityemployeesorofficials.ConsultantalsoconfirmsthatConsultant doesnothaveabusinessinterestoraclose familyrelationshipwithanyCityofficer oremployeewhowas,is,orwillbeinvolvedinselectingtheConsultant,negotiatingoradministeringthisAgreement,orevaluatingtheConsultant’sperformanceoftheWork.12.CityofRentonBusinessLicense:TheConsultantshallobtainaCityofRentonBusinessLicensepriortoperforminganyWorkandmaintainthebusinesslicenseingoodstandingthroughout thetermofthisagreementwiththeCity.Informationregardingacquiringacitybusinesslicensecanbefoundat:http://www.rentonwa.gov/cms/One.aspx?portalld=7922741&pageld=9824882InformationregardingStatebusinesslicensingrequirementscanbefoundat:http://dor.wa.gov/doing-business/register-my-business13.Insurance:Consultantshallsecureandmaintain:A.Commercialgeneralliabilityinsuranceintheminimumamountsof$1,000,000foreachoccurrence/$2,000,000aggregatefortheTermofthisAgreement.B.IntheeventthatWorkdeliveredpursuanttothisAgreementeitherdirectlyorindirectlyinvolveorrequireProfessionalServices,ProfessionalLiability,ErrorsandOmissionscoverageshallbeprovidedwithminimumlimitsof$1,000,000peroccurrcnccClaim.“ProfessionalServices”,forthepurposeofthissection,shallmeananyWorkprovidedbyalicensedprofessionalorWorkthatrequiresaprofessionalstandardofcare.C.Workers’compensationcoverage,asrequiredbytheIndustrialInsurancelawsoftheStateofWashington,shallalsobesecured.D.CommercialAutomobileLiabilityforowned,leased,hiredornon-owned,leased,hiredornon-owned,with minimumlimitsof$1,000,000peroccurrencecombinedsinglelimit,iftherewillbeany useofConsultant’svehiclesontheCity’sPremisesbyoronbehalfoftheCity,beyondnormalcommutes.0PAGE5OF10 E.ConsultantshallnametheCityas anAdditionalInsuredonitscommercialgeneralliabilitypolicy onanon-contributoryprimarybasis.TheCity’sinsurancepoliciesshallnotbeasourceforpaymentofanyConsultantliability,norshallthemaintenanceofanyinsurancerequiredbythisAgreementbeconstruedtolimittheliabilityofConsultanttothecoverageprovidedbysuchinsuranceorotherwiselimittheCity’srecourseto anyremedyavailableatlaworinequity.F.SubjecttotheCity’sreviewandacceptance,acertificateofinsuranceshowingtheproperendorsements,shallbedeliveredtotheCitybeforeperformingtheWork.G.ConsultantshallprovidetheCitywithwrittennoticeofanypolicycancellation,withintwo(2)businessdaysoftheirreceiptofsuchnotice.14.Delays:ConsultantisnotresponsiblefordelayscausedbyfactorsbeyondtheConsultant’sreasonablecontrol.WhensuchdelaysbeyondtheConsultant’sreasonablecontroloccur,theCityagreestheConsultantisnotresponsiblefordamages,norshalltheConsultantbedeemedtobeindefaultoftheAgreement.15.SuccessorsandAssigns:NeithertheCitynortheConsultantshallassign,transferorencumberany rights,dutiesorinterestsaccruingfromthisAgreementwithoutthewrittenconsentofthe other.16.Notices:Anynoticerequired underthisAgreementwillbeinwriting,addressedtotheappropriatepartyattheaddresswhichappearsbelow(asmodifiedinwritingfromtimeto timebysuchparty), andgivenpersonally,byregisteredorcertifiedmail,returnreceiptrequested,byfacsimileorbynationally recognizedovernight courierservice.Timeperiodfor noticesshallbedeemedto herebyacknowledge:A.TheCityisnotresponsibletotrainorprovidetrainingforConsultant.B.Consultantwillnotbereimbursedforjobrelatedexpensesexcepttotheextentspecificallyagreedwithintheattachedexhibits.C.Consultantshallfurnishalltoolsand/ormaterialsnecessarytoperformtheWorkexcepttotheextentspecificallyagreedwithinthe E.Thisisanon-exclusiveagreementandConsultantisfreetoprovidehis/herWorktootherentities,solongasthereisnointerruptionorinterferencewiththeprovisionofWorkcalledforinthisAgreement.F.Consultantisresponsibleforhis/herowninsurance,including,butnotlimitedtohealthinsurance.G.Consultantisresponsibleforhis/herownWorker’sCompensationcoverageaswellasthatforanypersonsemployedbytheConsultant.19.OtherProvisions:A.ApprovalAuthority.EachindividualexecutingthisAgreementonbehalfoftheCityandConsultantrepresentsandwarrantsthatsuchindividualsaredulyauthorizedtoexecuteanddeliver thisAgreementonbehalfoftheCityorConsultant.B.GeneralAdministrationandManagement.TheCity’sprojectmanagerisYasirAbduljaleel,SurfaceWaterutility.InprovidingWork,ConsultantshallcoordinatewiththeCity’scontractmanagerorhis/herdesignee.C.AmendmentandModification.ThisAgreementmaybeamendedonlybyaninstrumentinwriting,dulyexecutedbybothParties.D.Conflicts.IntheeventofanyinconsistenciesbetweenConsultantproposalsandthisAgreement,thetermsofthisAgreementshallprevail.Anyexhibits/attachmentstothisAgreementareincorporatedbyreferenceonlytotheextentofthepurposeforwhichtheyarereferencedwithinthisAgreement.TotheextentaConsultantpreparedexhibitconflictswiththetermsinthebodyofthisAgreementorcontainstermsthatareextraneoustothepurposeforwhichitisreferenced,thetermsinthebodyofthisAgreementshallprevailandthe extraneoustermsshallnotbeincorporatedherein.E.GoverningLaw.ThisAgreementshallbemadeinandshallbegovernedbyandinterpretedinaccordancewiththelaws oftheStateofWashingtonandtheCityofRenton.ConsultantandalloftheConsultant’semployeesshallperformtheWorkinaccordancewithallapplicablefederal,state,countyandcitylaws,codesandordinances.F.JointDraftingEffort.ThisAgreementshallbeconsideredforallpurposesaspreparedbythejoint effortsofthePartiesandshallnotbeconstruedagainstone partyortheotherasaresultofthepreparation,substitution,submissionorothereventofnegotiation,draftingorexecution.0PAGF8OF10 G.Jurisdiction and Venue.AnylawsuitorlegalactionbroughtbyanypartytoenforceorinterpretthisAgreementoranyofitstermsorcovenantsshallbebroughtintheKingCountySuperiorCourtfortheStateofWashingtonattheMalengRegionalJusticeCenterinKent,KingCounty,Washington,oritsreplacementorsuccessor.ConsultantherebyexpresslyconsentstothepersonalandexclusivejurisdictionandvenueofsuchcourtevenifConsultantisaforeigncorporationnotregisteredwiththeStateofWashington.H.Severability.Acourtofcompetentjurisdiction’sdeterminationthatanyprovision orpartofthisAgreementisillegalorunenforceableshallnotcancel orinvalidatetheremainderofthisAgreement,whichshallremaininfullforceandeffect.SoleandEntireAgreement.ThisAgreementcontainstheentireagreementofthePartiesand anyrepresentationsorunderstandings,whetheroralorwritten,notincorporatedare excluded.J.TimeisoftheEssence.TimeisoftheessenceofthisAgreementandeachandallofitsprovisionsinwhichperformanceisafactor. AdherencetocompletiondatessetforthinthedescriptionoftheWorkisessentialtotheConsultant’sperformanceofthisAgreement.K.Third-PartyBeneficiaries.NothinginthisAgreementisintendedto,norshallbeconstruedtogiveanyrightsorbenefitsintheAgreementtoanyoneotherthantheParties,andalldutiesandresponsibilitiesundertaken pursuanttothisAgreementwillbeforthesoleandexclusivebenefitoftheParties andnooneelse.L.BindingEffect.TheParties eachbindthemselves,theirpartners,successors,assigns,andlegalrepresentativestotheotherpartytothisAgreement,andtothepartners,successors,assigns, andlegalrepresentativesofsuchotherpartywithrespecttoallcovenantsoftheAgreement.M.Waivers.Allwaiversshallbeinwriting and signedbythewaivingparty.Eitherparty’sfailuretoenforceanyprovision of thisAgreementshallnotbeawaiverandshallnotpreventeither theCityorConsultantfromenforcingthatprovisionoranyotherprovisionofthisAgreementinthefuture.WaiverofbreachofanyprovisionofthisAgreementshallnotbedeemedtobeawaiverofanypriororsubsequentbreachunlessitisexpresslywaivedinwriting.N.Counterparts.ThePartiesmayexecutethisAgreementinanynumberofcounterparts,eachofwhichshallconstituteanoriginal,andallofwhichwilltogetherconstitutethisoneAgreement.oPAGE9OF10
