OncefullyexecutedbytheParties, thisAgreementiseffectiveasofthelastdatesignedbybothparties. 1. ScopeofWork: ConsultantagreestoprovidetheservicesspecifiedinExhibitA, whichis attachedandincorporatedhereinandmayhereinafterbereferredtoasthe"Work." 2. ChangesinSconeofWork: The City, withoutinvalidatingthis Agreement, may order changestotheWorkconsistingofadditions, deletionsormodificationsasapprovedofbythe Consultant. Anysuchchangesto theWorkshallbe orderedby theCityinwritingandthe CompensationshallbeequitablyadjustedconsistentwiththeratessetforthinExhibitBoras otherwisemutuallyagreedbytheParties. 3. TimeofPerformance: Consultantshallcommence orcontinueperformanceofthe Agreement pursuanttotheschedule(s)setforthinExhibitA.AllWorkshallbeperformedbynolaterthanDecember31, 2019. Thisagreement maybeextendedforadditionalperiodsoftime uponthemutualwrittenagreementoftheCityandtheConsultant. 4. Compensation: A. Amount. InreturnfortheWork, theCityshallpaytheiContractoraccordingtoa rateor methodasdelineatedinExhibit"B,"attachedheretoandincorporatedbythisreference. Except as specificallyprovided herein, theConsultantshallbe solely responsibleforpaymentofanytaxesimposedasaresultoftheperformanceandpaymentofthisAgreement. 000462 1 B. MethodofPayment. Afterrevenuerecovery fundsarereceivedby theCity, theConsultantwillsendaninvoiceforthe amount ofcompensationdue. Paymentsareduewithin thirty (30) daysafterreceiptofsuchinvoice. Interestupto0.5%permonthmaybechargedbytheConsultantforlatepayments. IftheConsultant's performancedoesnotmeet the requirementsofthis Agreement, theConsultantwillcorrectormodifyitsperformanceto complywiththeAgreement. TheCitymaywithholdpaymentforworkthatdoesnotmeet the requirementsofthis Agreement. C. EffectofPayment. PaymentforanypartoftheWorkshallnotconstituteawaiverbytheCityofanyremediesitmayhaveagainsttheConsultantforfailureoftheConsultanttoperform theWorkorforanybreachofthisAgreementbytheConsultant. D. Non-AppropriationofFunds. Fundsforpaymentsshallbe allocatedfromrevenuerecoveryfunds(asdefinedinExhibitB) received. 5. Termination: A. The CityandtheConsultantreservetherighttoterminatethisAgreementatanytime,withorwithoutcausebygivingten (10) calendardays' noticetotheotherpartyinwriting. Intheeventofsuchterminationorsuspension, allfinishedorunfinisheddocuments, data, studies, worksheets, modelsand reports, or othermaterial preparedbytheConsultantpursuanttothisAgreementshallbesubmittedtotheCity, ifanyarerequiredaspart oftheWork. B. Intheevent this AgreementisterminatedbytheCity,theConsultantshallbeentitledtopaymentforall hoursworkedtothe effectivedateoftermination, lessallpaymentspreviouslymade. IftheAgreementisterminatedbytheCityafterpartialperformanceofWorkforwhichtheagreedcompensationisafixed fee,theCity shallpaytheConsultantanequitableshareofthefixedfee. Thisprovisionshallnot prevent theCityfromseeking anylegalremediesitmayhaveforthe violationornonperformanceofanyoftheprovisionsofthis AgreementandsuchchargesduetotheCityshallbedeductedfromthefinalpaymentduetheConsultant. NopaymentshallbemadebytheCityforany expensesincurred orworkdonefollowingtheeffectivedateofterminationunlessauthorizedinadvanceinwritingbytheCity. 6. WarrantiesAnd RightTo Use WorkProduct: ConsultantrepresentsandwarrantsthatConsultantwillperformallWorkidentifiedinthisAgreementinaprofessionalandworkmanlikemannerand inaccordancewithallreasonableandprofessional standardsandlaws. Compliancewithprofessional standardsincludes, as applicable, performingtheWorkincompliancewithapplicableCitystandards orguidelines (e.g. designcriteriaandStandardPlansforRoad, Bride and MunicipalConstruction). Professionalengineersshallcertifyengineeringplans,specifications, plats, andreports, asapplicable, pursuanttoRCW 18.43.070. Consultantfurther representsand warrantsthatallfinalwork productcreatedforanddeliveredtotheCitypursuanttothisAgreementshallbetheoriginalworkoftheConsultantandfreefromanyintellectualpropertyencumbrance whichwouldrestricttheCityfromusingtheworkproduct.ConsultantgrantstotheCitya non-exclusive, perpetualrightandlicensetouse, reproduce, 000463 distribute, adapt, modify, and displayallfinalworkproductproducedpursuanttothis Agreement. The City's orother's adaptation, modificationoruseofthefinalworkproducts otherthanforthepurposesofthisAgreementshallbewithoutliabilitytotheConsultant. The provisionsofthissectionshallsurvivethe expirationor terminationofthisAgreement. 7. RecordMaintenance: TheConsultantshallmaintainaccountsandrecords, whichproperly reflectallWorkprovidedintheperformanceofthisAgreementandretainsuchrecordsforas longas may be requiredbyapplicableWashingtonStaterecordsretentionlaws, butinany eventnolessthansixyearsafterthe terminationofthis Agreement. TheConsultantagreesto provideaccesstoandcopiesofanyrecordsrelatedtothisAgreementasrequiredbytheCityto auditcharges and/ortocomplywiththeWashingtonStatePublicRecordsAct (Chapter42.56 RCW). The provisionsofthissectionshallsurvivetheexpirationorterminationofthis Agreement. 8. PublicRecordsCompliance:Tothe full extenttheCitydeterminesnecessarytocomplywith theWashingtonState PublicRecordsAct, Consultantshall makeaduediligentsearchofall recordsinitspossessionorcontrolrelatingtothisAgreementandtheWork, including, butnot limitedto, e-mail, correspondence, notes, savedtelephonemessages, recordings, photos, or drawingsandprovidethemtotheCityforproduction. IntheeventConsultantbelievessaid recordsneedtobe protectedfromdisclosure, itmay, atConsultant's own expense, seek judicialprotection. Consultantshallindemnify, defend, andholdharmlesstheCityforallcosts, includingattorneys' fees, attendanttoanyclaimorlitigationrelatedtoa PublicRecordsAct requestforwhich Consultanthasresponsive recordsandforwhichConsultanthaswithheld recordsorinformationcontainedtherein, ornotprovided themtotheCity inatimelymanner. Consultantshallproducefordistributionany andallrecords responsivetothePublicRecords Act requestina timelymanner, unlessthoserecordsareprotectedbycourt order. The provisionsofthissectionshallsurvivetheexpirationortermination ofthisAgreement. 9. Independent ContractorRelationship: A. TheConsultantisretainedbytheCityonlyforthepurposesandtotheextentsetforth inthisAgreement. ThenatureoftherelationshipbetweentheConsultantandtheCityduring theperiodoftheWorkshallbe thatofan independentcontractor, notemployee. The Consultant, nottheCity, shallhavethe powertocontrolanddirectthedetails, manneror meansofWork. Specifically, but notby meansoflimitation, theConsultantshall haveno obligationtoworkanyparticularhoursorparticularschedule, unlessotherwiseindicatedinthe ScopeofWorkorwhereschedulingofattendanceorperformanceismutuallyarrangeddueto thenatureofthe Work. Consultantshallretaintherighttodesignatethemeansofperforming theWorkcoveredby this agreement, andtheConsultantshall beentitledtoemployother workersatsuchcompensationandsuchotherconditionsasitmay deemproper, provided, however, thatanycontractsomade by the Consultantistobe paidby italone, andthat employingsuchworkers, itisactingindividuallyandnotasanagentfor theCity. TheCityshallnotberesponsibleforwithholdingorotherwise deductingfederal incometaxorSocialSecurity orcontributingtotheStateIndustrialInsuranceProgram, orotherwise assumingthedutiesofan employerwithrespecttoConsultantoranyemployeeoftheConsultant. 1 C. IftheConsultantisasoleproprietorshiporifthis Agreementiswithan individual, theConsultantagreestonotifytheCityandcompleteanyrequiredformiftheConsultantretired undera StateofWashingtonretirementsystemand agreestoindemnifyanylossestheCitymaysustainthroughtheConsultant's failuretodoso. 10.Hold Harmless:TheConsultantagreestorelease, indemnify,defend,andholdharmlesstheCity, electedofficials, employees, officers, representatives, andvolunteersfromanyandallclaims, demands, actions, suits, causesofaction, arbitrations, mediations, proceedings,judgments, awards, injuries, damages, liabilities,taxes, losses, fines, fees, penalties, expenses,attorney's orattorneys' fees, costs, and/orlitigationexpensestoorbyanyandallpersonsorentities, arisingfrom, resulting from, orrelatedtothenegligentacts, errorsor omissionsoftheConsultantinitsperformanceofthisAgreementorabreachofthisAgreementby Consultantorafindingbyatribunalthatanyprovisionofthis Agreementviolateslaw, exceptforthatportion oftheclaimscausedbytheCity's solenegligence. TheCityagreestorelease, indemnify, defend, andholdharmlesstheConsultant, employees, officers, representatives, andvolunteersfromany andallclaims, demands, actions, suits, causesofaction, arbitrations, mediations, proceedings, judgments, awards, injuries, damages,liabilities,taxes, losses, fines, fees, penalties, expenses, attorney's orattorneys' fees, costs,and/orlitigationexpensestoorbyanyandallpersonsorentities, arisingfrom, resultingfrom,orrelatedtothenegligentacts, errorsoromissionsoftheCityinitsperformanceofthisAgreementorabreachofthis AgreementbyCityora findingbyatribunalthatanyprovisionofthis Agreementviolateslaw, exceptforthatportionoftheclaimscausedbytheContractor'ssolenegligence. Shoulda courtofcompetent jurisdiction determinethatthisagreementissubjecttoRCW4.24.115, (Validityofagreementtoindemnifyagainstliabilityfornegligencerelativeto construction, alteration, improvement, etc., ofstructureorimprovementattachedtorealestate...) then, intheeventofliabilityfordamagesarisingoutofbodilyinjury topersonsordamagestopropertycausedbyorresultingfromtheconcurrentnegligenceoftheConsultantandtheCity, itsofficers, officials, employeesandvolunteers, Consultant's liabilityshall beonlytotheextentofConsultant's negligence. ItisfurtherspecificallyandexpresslyunderstoodthattheindemnificationprovidedinthisAgreementconstituteConsultant's waiverof immunityundertheIndustrialinsuranceAct, RCWTitle51, solelyforthepurposesofthisindemnification. The Parties havemutuallynegotiatedandagreedtothiswaiver. The provisionsofthissectionshallsurvivetheexpirationorterminationofthisAgreement. 000465 11.Giftsand Conflicts: The City's Code ofEthics andWashingtonStatelawprohibitCity employeesfromsoliciting, accepting, orreceivinganygift, gratuityorfavorfromanyperson, firmorcorporationinvolvedina contractortransaction. To ensurecompliancewiththeCity's CodeofEthicsandstatelaw, theConsultantshallnotgivea giftofanykindtoCityemployees orofficials. ConsultantalsoconfirmsthatConsultantdoesnothavea businessinterestora closefamilyrelationshipwithany Cityofficeroremployeewhowas, is, orwillbe involvedin selectingtheConsultant, negotiatingoradministeringthisAgreement, or evaluatingthe Consultant's performanceoftheWork. 12.CityofRentonBusinessLicense: TheConsultantshallobtainaCityofRentonBusiness LicensepriortoperforminganyWorkandmaintainthebusinesslicenseingoodstanding throughoutthetermofthisagreementwiththeCity. InformationregardingStatebusinesslicensingrequirementscanbefoundat: htto://dor.wa.gov/content/doingbusiness/registermybusiness/ 13. Insurance: Consultantshallsecureandmaintain: A. Commercial generalliabilityinsuranceintheminimum amountsof$1,000,000foreach occurrence/$2,000,000aggregatefortheTermofthisAgreement. B. IntheeventthatWorkdeliveredpursuanttothisAgreementeitherdirectlyorindirectly involveorrequireProfessionalServices, ProfessionalLiability, ErrorsandOmissionscoverage shallbe providedwithminimumlimitsof $1,000,000peroccurrence. "ProfessionalServices", forthepurposeofthissection, shallmean anyWork providedbya licensedprofessionalor Workthatrequiresaprofessionalstandardofcare. C. Workers' compensationcoverage, as requiredbytheIndustrialInsurance lawsofthe StateofWashington, shallalsobesecured. D. CommercialAutomobileLiabilityforowned, leased, hiredornon-owned, leased, hired ornon-owned, withminimumlimitsof $1,000,000peroccurrencecombinedsinglelimit, if therewillbeanyuseofConsultant's vehiclesontheCity's PremisesbyoronbehalfoftheCity, beyondnormalcommutes. However, ifConsultantdoesnotown automobiles, then requirementforcoverageforownedvehicleswillnotbeneeded. E. Consultantshallname theCityas an AdditionalInsuredon itscommercialgeneral liabilitypolicyona non-contributoryprimarybasis. TheCity's insurance policiesshallnotbe a sourceforpaymentofanyConsultantliability, norshallthemaintenanceofanyinsurance requiredbythisAgreementbe construedtolimittheliabilityofConsultanttothecoverage Page5 of10 0 000466 providedbysuchinsuranceorotherwiselimittheCity's recoursetoanyremedyavailableatlaworinequity. F. SubjecttotheCity's reviewand acceptance, a certificateofinsuranceshowingthe properendorsements,shallbedeliveredto theCitybeforeperformingtheWork. G. Consultantshallprovide theCitywithwrittennoticeofanypolicy cancellation, withinfive (5)businessdaysoftheirreceiptofsuchnotice. 14. Delays: ConsultantisnotresponsiblefordelayscausedbyfactorsbeyondtheConsultant's reasonablecontrol. When suchdelaysbeyondtheConsultant's reasonablecontroloccur, the CityagreestheConsultantisnotresponsiblefordamages, norshalltheConsultantbedeemed tobe indefault oftheAgreement. 15.Successorsand Assigns: NeithertheCitynortheConsultant shallassign, transferor encumberanyrights, duties or interestsaccruingfromthisAgreementwithoutthewritten ri consentoftheother. 16. Notices: Any notice required underthis Agreementwillbe inwriting, addressedtothe appropriatepartyat theaddresswhichappearsbelow(asmodifiedinwritingfrom timetotimebysuchparty), andgivenpersonally, byregisteredorcertifiedmail, returnreceiptrequested,by facsimileorbynationallyrecognizedovernightcourierservice. Timeperiodfornoticesshallbedeemedtohavecommenceduponthedateofreceipt, EXCEPTfacsimile deliverywillbedeemedtohavecommencedonthefirstbusiness dayfollowingtransmission. Email andtelephonemaybeusedforpurposesofadministering the Agreement, butshouldnotbeusedtogiveanyformalnotice requiredbytheAgreement. B. TheConsultantwilltakeaffirmativeactiontoinsurethatapplicantsareemployedand thatemployeesaretreatedduringemploymentwithoutregardtotheirrace, creed, color, nationalorigin, sex, age, sexualorientation, physical, sensoryormentalhandicaps, or marital status. Suchactionshallinclude, but notbe limitedtothe followingemployment, upgrading, demotionortransfer, recruitmentor recruitmentadvertising, layoffortermination, ratesofpay orotherformsofcompensationandselectionfortraining. C. IftheConsultantfailstocomplywithanyofthisAgreement's non-discrimination provisions, theCity shallhavethe right, atitsoption, tocanceltheAgreementinwholeorin part. D. TheConsultantisresponsibletobe awareofandincompliancewithallfederal, state andlocallaws andregulationsthatmayaffectthesatisfactorycompletionoftheproject, which includesbutisnotlimitedtofairlaborlaws,worker's compensation, andTitleVIoftheFederal CivilRightsActof1964, andwillcomplywithCityofRentonCouncilResolutionNumber4085. 18.Miscellaneous:Thepartiesherebyacknowledge: A. TheCityisnotresponsibletotrainorprovidetrainingforConsultant. B. Consultantwillnotbe reimbursedforjobrelatedexpensesexcepttotheextent specificallyagreedwithintheattachedexhibits. C. Consultantshallfurnishalltoolsand/ormaterialsnecessarytoperformtheWork except totheextentspecificallyagreedwithintheattachedexhibits. D. Intheeventspecialtraining, licensing, orcertificationisrequiredforConsultantto provide Workhe/shewillacquireormaintainsuchathis/herown expenseand, ifConsultant employs, sub-contracts, orotherwiseassignstheresponsibilitytoperform the Work, said employee/sub-contractor/assigneewillacquireand ormaintainsuchtraining, licensing, or certification. E. Thisisa non-exclusiveagreementandConsultantisfreetoprovidehis/herWorkto otherentities, so longas thereisno interruptionorinterferencewiththeprovisionofWork calledforinthisAgreement. F. Consultantisresponsibleforhis/herowninsurance, including, but notlimitedtohealth insurance. G. Consultantisresponsibleforhis/herown Worker's Compensationcoverageaswellas thatforanypersonsemployedbytheConsultant. Page7 of10 0 000468 19.OtherProvisions: A. ApprovalAuthority. Eachindividualexecutingthis AgreementonbehalfoftheCityand Consultantrepresentsandwarrantsthatsuchindividualsaredulyauthorizedtoexecuteand deliverthisAgreementonbehalfoftheCityorConsultant. B. GeneralAdministrationandManagement.TheCity's projectmanagerisNateMalone. In providing Work, ConsultantshallcoordinatewiththeCity's contractmanageror his/her designee. C. AmendmentandModification. ThisAgreementmaybe amendedonlybyan instrumentinwriting,dulyexecutedbybothParties. D. Conflicts. Intheeventofanyinconsistenciesbetween Consultantproposalsandthis Agreement, thetermsofthis Agreementshallprevail. Any exhibits/attachmentstothisAgreementareincorporatedbyreference onlytotheextentofthepurposeforwhichtheyare referencedwithinthis Agreement. To the extentaConsultant preparedexhibitconflictswith thetermsinthebodyofthisAgreement orcontainstermsthatareextraneoustothepurposeforwhichitisreferenced, thetermsinthebodyof thisAgreementshallprevailandthe extraneoustermsshallnotbeincorporatedherein. E. GoverningLaw. ThisAgreementshallbe made in andshallbe governedby andinterpretedinaccordancewiththelawsoftheStateofWashingtonandtheCityofRenton.ConsultantandalloftheConsultant's employeesshallperform theWorkinaccordancewithall applicablefederal, state,countyandcitylaws, codes andordinances. F. JointDraftingEffort.ThisAgreementshallbeconsideredforallpurposesaspreparedbythejointeffortsofthePartiesand shallnotbe construedagainstonepartyortheotheras a resultofthe preparation, substitution, submissionorothereventofnegotiation, draftingorexecution. G. JurisdictionandVenue. AnylawsuitorlegalactionbroughtbyanypartytoenforceorinterpretthisAgreementoranyofitstermsorcovenantsshallbebroughtintheKingCountySuperiorCourtfortheStateofWashingtonattheMalengRegionalJusticeCenterinKent, KingCounty,Washington, oritsreplacementorsuccessor. H. Severability. A courtofcompetentjurisdiction's determinationthatanyprovisionorpartofthisAgreementisillegal orunenforceableshallnotcancelorinvalidatetheremainderof this Agreement, whichshallremaininfullforceandeffect. i 000469 I.Soleand EntireAgreement. ThisAgreementcontainstheentireagreementofthe Partiesandanyrepresentationsorunderstandings, whetheroralorwritten, notincorporated areexcluded. J. TimeisoftheEssence. Timeisof theessenceofthisAgreementandeachandallofits provisionsinwhichperformanceisafactor. Adherencetocompletiondatessetforthinthe descriptionofthe WorkisessentialtotheConsultant's performanceofthisAgreement. K. Third-PartyBeneficiaries. Nothinginthis Agreementisintendedto, norshallbe construedtogive anyrightsor benefitsintheAgreementtoanyonedttrethantheParties, and alldutiesandresponsibilitiesundertaken pursuanttothis'Agreementwillgiforthesoleand exclusivebenefitofthePartiesandnooneelse. L. BindingEffect.ThePartieseachbind themselves,theirpartners,successors, assigns,and legalrepresentativestotheotherpartytothisAgreement, andtothepartners, successors, assigns, and legalrepresentativesofsuchotherpartywithrespecttoallcovenantsofthe Agreement. M. Waivers. Allwaiversshallbe inwritingand signed bythewaivingparty. Eitherparty's failuretoenforceanyprovisionofthisAgreementshallnotbea waiverandshallnotprevent either theCityorConsultantfromenforcingthatprovisionoranyotherprovisionofthis Agreementinthefuture. Waiverofbreachofanyprovisionofthis Agreementshallnotbe deemedtobe a waiverofanyprioror subsequentbreachunlessitisexpresslywaivedin writing. N. Counterparts. ThePartiesmay executethis Agreementinanynumberofcounterparts, eachofwhichshallconstituteanoriginal, andallofwhichwilltogetherconstitutethisone Agreement.
