At the request of your Department, we have prepared a Quit Claim Deed from the City of Renton to Greater Renton Shopping Centers , Inc. for the Northwesterly one-half of vacated Harrington Place N.E. which was vacated under Ordinance No. 2553. You will recall that by your Memorandum of May 2 , 1983 you had indicated that this area was intended to be owned by the Shopping Center following the vacation of the street and the exchange of the kiddie park. Unfortunately, the Clerk' s office recorded the Quit Claim Deed for the kiddie park first , and therefore, when the street was vacated the Northwesterly one-half of the street attached to the City of Renton' s ownership of the kiddie park instead of to the property owned by the Shopping Center. I would appreciate your review of the Quit Claim Deed which we have prepared and the Preliminary Commitment for Title Insurance which the Shopping Center has procured. If this is in order, please initiate an agenda item to request the City Council to authorize this conveyance. FONTES, ASSISTANT CITY ATTORN April 26, 1983 Honorable Barbara Shinpoch, Mayor Municipal Building Renton, WA 98055 Re: Greater Renton Shopping Centers , Inc. - Exchange of Kiddie Park and Vacation of Harrington P1. N.E. Dear Madam Mayor: Greater Renton Shopping Centers, Inc. has drawn to our attention a discrepancy in the conclusion of the exchange between the City of Renton and Greater Renton Shopping Centers in 1970 when the Shopping Center dedicated to the use of the City the kiddie park in the public use area adjacent to the Renton Highlands Shopping Center. In return the City had agreed to vacate Harrington Place N.E. and to transfer ownership thereof to Greater Renton Shopping Centers . The Shopping Center has delivered to us a copy of the letter of April 10, 1970 addressed to Mrs . Nelson, the City Clerk. This letter delivered the Quit Claim Deed from the Shopping Center to the City of Renton for the kiddie park, subject to compliance with several conditions. Among these conditions is that the ordinance vacating a portion of Harrington Place N.E. be in final effect. Apparently the City of Renton recorded a Quit Claim Deed prior to satisfaction of the foregoing condition. We enclose copies of the recorded Quit Claim Deed and vacating Ordinance No. 2553 which we have received. The Quit Claim Deed is dated March 3, 1970 and was recorded on April 23, 1970. Ordinance No. 2553 was adopted on March 23 , 1970, but; for some unknown reason, was not published until April 26, 1970. Furthermore, it was not recorded until May 5, 1970. Due to the foregoing discrepancies , the title to the North- western one-half of vacated Harrington Place N.E. is clouded, and the title company has raised an exception to vesting title to that half of the vacated street in Greater Renton mir Page 2 Honorable Barbara Shinpoch, Mayor April 26, 1983 Shopping Centers . As you know, when a street is vacated in the absence of contrary provisions in a Deed, the title to the street is vested one-half in each abutting landowner. In this case it appears to be the clear intent of all of the parties that all of Harrington Place N. E. was to attach to Greater Renton Shopping Centers, since they would be the owners of the properties on both sides of the street had the Quit Claim Deed not been prematurely recorded. However, since the Deed was recorded by the City contrary to the escrow instructions, an argument can be made that title to the kiddie park was vested in the City of Renton as of April 23, 1970, and therefore when the vacation ordinance went into effect on April 26, 1970 the Northwestern one-half of Harrington Place N.L. would have attached to the City of Renton' s kiddie park. The Shopping Center has asked us to review this matter on behalf of the City because it is requesting that the City give to Greater Renton Shopping Centers a Quit Claim Deed to the Northwestern one-half of Harrington Place N.E. to clarify this matter and remove the cloud on the title. Obviously this raises a conflict of interest since this office has represented Greater Renton Shopping Centers , Inc. for many years . It is our desire to make a full and complete disclosure of this conflict of interest, and to let the City of Renton make its determination as to whether independent counsel should be retained to study this question on behalf of the City, since the interests of the City and the Shopping Center are in conflict. As we have discussed with you and the City Council on many occasions previously, the conflict of interest ethical rules require only the full and complete disclosure to all parties of the potential conflict. Withdrawal of the attorney is not mandated unless one of the conflicting parties is unwilling to waive the potential conflict. I believe that our analysis of this matter as outlined above is a full and fair recitation of the facts and that it is encumbent on the City to move ahead to quit claim this property to the Shopping Center to fulfill what appears to be the original intention of all of the parties . Earlier the City had quit claimea the Public Use area to Greater Renton Shopping Center shaded in pink. As you can see we have retained ownership of access to the kiddie lot via the area cross hatched in green and the area outlined in green. Note the area outlined in green is the area you refer to as the north westerly one-half. Again we retained that for access and it was never intended to vacate same. This is for the reason that we represent one of the private parties involved. We are enclosing, however, original and two copies of our standard Ordinance providing for vacation, together with original and two copies of a proposed Quit Claim Deed relative to the Public Use Area, with the express request that somebody in the Engineering Department should check same over carefully to be sure that these documents are correct in all respects , especially the legal descriptions oontained therein. After execution and completion of this matter, the Deed and the certified copy of the Ordinance should be turned over to Mr. Lotto and simultaneously therewith, he should deliver unto the City his dedicati n Quit Claim Deed for the "kiddy park" .
